1 DISNEY UNDER THE STARS LIVE AUDITIONS 2016 TERMS AND CONDITIONS OF ENTRY 12 February 2016 These terms and cnditins relate t yur applicatin fr yur child t participate in a talent search cmpetitin being perfrmed and filmed fr an utdr cncert prgram titled, Disney Under the Stars ( The Prgram ) which is being spnsred by Target Australia (ABN ) ( Target ) fr The Walt Disney Cmpany (Australia) Pty Limited (ABN ) ( Prducer ). Entering int and participatin in this cmpetitin is deemed acceptance f these terms and cnditins. These terms and cnditins are an agreement between yu, the entrant, the Prducer and Target Australia Pty Ltd (ABN ), (the Prmter). Entrant eligibility Emplyees (and their immediate families), representatives r agents f the Prmter, and Prducer agencies assciated with this prmtin are ineligible t enter their child. Immediate family means any f the fllwing: spuse, ex-spuse, de-fact spuse, child r step-child (whether natural r by adptin), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brther, sister, step-brther, stepsister r first cusin. Entry is pen t any parent r legal guardian wh is ver the age f 18 with a child aged 5-15 years ld at the time f entry. Entries are deemed t be received at the time they are received by us and nt at the time yu submit the entry. If the auditin dates are during schl term times, it is yur respnsibility t btain cnfirmatin f authrised leave f absence during schl term times frm yur schl and/r lcal authrity. The Prducer and Prmter will nt be liable where yu d nt btain such authrisatin. If selected, yu and the child yu have nminated must be able and willing t attend any f the Live Auditin and Live Cncert dates and times utlined belw in yur state. Feb Live Auditin, Target Melburne CBD Feb Live Auditin, Target Parramatta Mall Feb Live Auditin, Target Brisbane CBD It will be a cnditin f accepting the pprtunity t participate in the Live Auditin and attend the Live Cncert that the selected entrants and the children they have nminated be able t attend these events. Yu and yur child must be Australian residents at the time f submitting an entry and be able t demnstrate this upn request by the Prmter.

2 If there is a dispute as t the identity f an entrant, the Prmter reserves the right, in its sle discretin, t determine the identity f the entrant. Prf f age may be required. The Prmter reserves the right in its abslute discretin, t: disqualify entrants wh submit an entry that is nt in accrdance with these terms r wh tampers with the entry prcess; disqualify entrants wh enter using multiple aliases; accept entries that cntain errrs r missins; and deem incmplete, inapprpriate, inaudible, defamatry r indecipherable entries invalid. Entry T enter, parents r legal guardians must,: Film a vide r audi recrding f their child singing D Yu Want T Build A Snwman? The vide r audi recrding must nt include any music, cnsist slely f the child singing the lyrics t D Yu Want t Build a Snwman, and be n lnger than 10 minutes per entry. Submit the vide recrding r audi recrding in accrdance with the cmpletin descriptin utlined abve by n later than 11:59pm AEDST n 16/02/16. The Prmter and Prducer and their agents and sub-cntractrs d nt accept any respnsibility whatsever fr any technical failure r malfunctin r any ther prblem with any nline applicatins, telephne netwrk r line, system, server, prvider r therwise which may result in any messages r applicatins nt being prperly received, heard r recrded. There is a limit f ne entry per child. First Vide Entry By submitting the entry int this cmpetitin, yu acknwledge and agree t abide by the rules, regulatins, terms and cnditins and yu acknwledge that the rules may be changed (including withut limitatin verbally) at any time by the Prmter and r the Prducer in their sle discretin. All decisins regarding all elements f the applicatin prcess, the cmpetitin shall be final and binding. Please nte that utside f this applicatin prcess, acts may als be invited t auditin fr the Prgram by researchers acting n behalf f the Prducer. Such acts will be required t g thrugh the auditin prcess and nrmal prgram terms will apply. The Prmter and r the Prducer reserve the right, at any time, t verify the validity f entries and entrants (including an entrant s identity, age and place f residence) and reserves the right, in its sle discretin, t disqualify any individual wh the Prmter and r Prducer has reasn t believe has breached any f these Terms and Cnditins, tampered with the entry prcess r engaged in any

3 unlawful r ther imprper miscnduct calculated t jepardise fair and prper cnduct f the prmtin. Errrs and missins may be accepted at the Prmter and Prducer s discretin. Failure by the Prmter r Prducer t enfrce any f its rights at any stage des nt cnstitute a waiver f thse rights. The Prmter and Prducer s legal rights t recver damages r ther cmpensatin frm such an ffender are reserved. The Prducer s decisin is final and n crrespndence will be entered int. Entrants selected fr the Live Auditin will be ntified by r phne within tw (2) business days frm 12.00pm (AEDT) 16 February Live Auditin Live Auditins will be held at the fllwing times and lcatins: Feb Rund Tw Auditin, Target Melburne CBD Feb Rund Tw Auditin, Target Parramatta Mall Feb Rund Tw Auditin, Target Brisbane CBD Entrants that are selected and invited t attend a Live Auditin at a time and lcatin t be decided at the sle discretin f the Prducer whse decisin will be final and binding. The submissin f an entry des nt guarantee that an entrant will be selected t participate in a Live Auditin r participate in the Live Cncert. Neither the Prmter nr the Prducer will prvide remuneratin r any kind f reimbursement r cmpensatin fr dmestic travel, accmmdatin r any ther expenses whatsever expenses assciated with participating in the Cmpetitin, the Live Auditin and r the Live Cncert. In the event that yu and yur child are invited t attend an auditin yu hereby irrevcably grant all cnsents necessary fr the Prducer t film and recrd such auditin and fr the Prmter and the Prducer t use recrdings featuring yur image and/r vice in cnnectin with the Prgram and/r ancillary rights in the Prgram and t explit the same in all media thrughut the wrld in perpetuity withut the need fr payment t yu. Yu acknwledge that yu understand the style, nature and frmat f the Prgram and that we reserve the right t shw all auditins whether successful r unsuccessful. Prizing 4 x Grand Prize Winners (1 per cncert) t each receive: 4 x Reserved seating tickets (valued at $589.08) A Disney prize pack (valued at $89) Perfrm at the cncert in their respective states Value per grand prize: $ x finalists t receive: 2 x General Admissin tickets (valued at $154.32) a Disney prize pack (valued at $89) Value per finalist prize: $243.32

4 Live Cncert The Live Cncert will be held at the fllwing times and lcatins: Sydney: 27 and 28 February, 2016 Melburne: 5 March 2016 Brisbane: 12 March 2016 Shuld yur child be selected t take part in the Live Cncert yu agree and undertake t enter int further cntracts with the Prducer as a cnditin f yur participatin in ne f the Live Cncerts and yu agree t abide by the terms therein. All persnal details and/r infrmatin given in yur applicatin either in this frm r therwise must be truthful, accurate and in n way misleading. The Prducer reserves the right t disqualify yu if yu have supplied untruthful, inaccurate r misleading persnal details and/r infrmatin, have failed t abide by the Rules and/r are in breach f the terms heref. Yu will nt withut the Prducer s prir written cnsent disclse, publish r discuss with any third party any infrmatin relating t the Prgram, yur appearance in the Prgram, the prductin team r any participants in the Prgram nr any ther infrmatin which may cme t yur attentin including withut limitatin in relatin t the bradcaster, the Prducer r therwise save where such infrmatin is already in the public dmain. Yu must disclse t the Prducers details f any criminal cnvictins and/r unspent cnvictins ther than driving ffences which have nt resulted in a ban r mre serius sentence. Yu shall ntify the Prmter and Prducer immediately if there are any criminal charges brught against yu r if any infrmatin yu prvide in yur applicatin becmes inaccurate between nw and the date f first transmissin f the Prgram. Ownership The Prducer will wn yur entry and will nt return yur entry at the end f the cmpetitin. Yu may keep a cpy f the entry fr archiving purpses. Yu agree that all f the rights (including intellectual prperty rights) in yur entry, including any cpyright wrks in yur entry, belng t the Prducer and yu hereby assign any rights yu may have t the Prducer. This includes all cpyright (present r future), ther intellectual prperty rights and rights f wnership. Yu grant a perpetual wrldwide license (including a right t sub-license) t the Prducer f all rights in yur entry pending cmpletin f this assignment. Yu agree t d all things necessary (which may include signing dcuments) t transfer these rights t the Prducer.

5 Yu cnsent t the Prducer ding r mitting t d anything that infringes yur mral rights in yur entry. Mral rights are yur inherent rights in yur entry as the authr and/r perfrmer in the Entry and cmprise the rights: - t be attributed as the authr f the entry - nt t have yur authrship f the entry falsely attributed; and - f integrity f authrship and/r perfrmance. Persnal Infrmatin Yu agree t and acknwledge the Prmter and Prducer s right t use yur child s name, likeness and vice and any bigraphical details (which includes, withut limitatin, any persnal infrmatin as defined in the Privacy Amendment (Enhancing Privacy Prtectin) Act 2012 r therwise (Persnal Infrmatin), phtgraphs and recrdings f yur child separately frm r in cnjunctin with the Prgram r the spnsrship theref in all media and frmats thrughut the Universe including but nt by way f limitatin n Prgram related websites r ther nline media and in advertising, publicity, spnsrship and explitatin material. Fr the avidance f dubt, yu irrevcably cnsent t the Prmter and Prducer transferring Persnal Infrmatin abut yur child verseas t related bdy crprates and third parties assciated with the Prgram and t use the Persnal Infrmatin. Data Prtectin The infrmatin yu prvide abut yur child as part f the applicatin prcedure will be used by the Prmter and Prducer t assess whether r nt t select yu fr the Prgram. If yu are successful, this infrmatin may be used in cnnectin with the prductin and prmtin f the Prgram. By submitting this applicatin frm yu cnsent t any infrmatin yu prvide, including withut limitatin any sensitive persnal infrmatin, being used fr this purpse. We may use the infrmatin yu prvide t verify yur age and identity and t carry ut backgrund checks with law enfrcement and gvernment agencies. The Prmter and the Prducer will cllect yur persnal infrmatin (such as yur name and bigraphical data) as part f the cmpetitin and may use this infrmatin anywhere in the wrld fr the purpses f administering the cmpetitin, and ther purpses fr which we btain yur express cnsent. Where yu have expressly cnsented, yur persnal infrmatin may be prvided t the Prmter and the Prducer affiliates, including verseas affiliates fr future prmtinal, marketing and publicity purpses withut ntice and withut any fee being paid unless therwise advised by yu. The Prmter and the Prducer will cmply with its privacy plicy in the cllectin and use f yur persnal infrmatin. 6 Liabilities and Indemnities T the fullest extent permitted by law, neither the Prmter nr Prducer nr any f their affiliated cmpanies, nr any f their respective directrs, fficers, agents, emplyees, cntractrs, r representatives (altgether the Entities ) are liable, and yu release each f the Entities frm liability, fr any lss r damage that yu may suffer in cnnectin with yur participatin in the Cmpetitin, including (withut limitatin) if: - the Cmpetitin is cancelled, mdified, suspended r delayed; r - Prducer des nt receive yur entry within the cmpetitin perid fr any reasn. The Cmpetitin and Cnsumer Act 2010 (Cth) as well as ther laws in Australia may imply certain cnditins, warranties and undertakings, and give yu ther legal rights. If they apply, they cannt be mdified r excluded by any cntract. Yu may cnsider seeking legal advice as t whether they apply t yu. Nthing in these Terms and Cnditins generally affects yur rights under Australian cnsumer law (as cntained in Schedule 2 f the Cmpetitin and Cnsumer Act 2010 (Cth) and equivalent State and Territry fair trading legislatin) regarding cnsumer guarantees t the extent that such cnsumer guarantees cannt be excluded by law. Other than these cnsumer guarantees Prducer and Prmter make n warranties abut any prizes ffered as a part f the cmpetitin, including warranties as t the quality, merchantability r fitness fr purpse f such prizes. Yu agree t indemnify the Entities against all liabilities suffered r sustained by any f the Entities arising frm any claim that yur Entry infringes the rights (including intellectual prperty rights) f any third party. Representatins and warranties Yu represent and warrant that yu have all f the rights necessary t effect the transfer f rights t Prducer and Prmter under these terms and cnditins. Materials and cnsent Yu warrant that any materials ( Materials ) submitted by yu in yur entry r therwise will be riginal material and that all such wrk will nt breach the rights f any third party. Yu warrant, as the legal guardian f the child, that appears in the Materials, that the child has cnsented t their appearance in the Materials and use f the Materials by the Prmter and Prducer in the manner cntemplated in these Terms and Cnditins. Yu warrant and agree t the Prmter and Prducer that yu have btained all cnsents frm all persns appearing in the Materials fr the Prmter and Prducer t use the Materials in the manner cntemplated by these Terms and Cnditins withut restrictin including cnsent t disclse their name, likeness, vice and any ther persnal infrmatin (as that term is understd under the Privacy Act 1988).

7 Yu further hereby cnfirm that yur child can appear r cntribute t the Materials and any ther materials submitted t the Prmter and Prducer t all f the abve terms and cnditins and agree t prcure, prvide and/r execute all necessary dcumentatin t that effect.
