1 RULES FOR THE HILTON THRIVE SABBATICAL: GIVE A DREAM, LIVE A DREAM Eligibility: T be eligible t enter the Hiltn Thrive Sabbatical: Give a Dream, Live a Dream (the Thrive Sabbatical ) yu must be a Hiltn Team Member emplyed at a Hiltn crprate Office r Hiltn wned r managed prperty wh meets the eligibility cnditins prvided belw. Team Members may start submitting Entries fr the perid that begins at 12:00:01 a.m. Eastern Time ( ET ) in the United States n July 31, 2017 and ends at 11:59:59 p.m. ET n August 31, 2017 (the Entry Perid ). The eligibility cnditins fr the Thrive Sabbatical are: 1. A Team Member must have five (5) r mre f cntinuus years f service as f the end f the Entry Perid. A break in service f mre than ne (1) year, r ther time perid as may be required by applicable lcal law, will apply t determine whether a Team Member has had five (5) years f cntinuus service. 2. A Team Member must be emplyed by Hiltn r an affiliate at the time f applicatin and at the time the Thrive Sabbatical is awarded, if applicable; 3. During the applicatin, apprval and selectin prcesses and during the perid f the Thrive Sabbatical, a Team Member must be in gd standing as apprved by the General Manager (fr htel Team Members) r the applicable Vice President (fr crprate ffice Team Members). 4. Team Members must have prir apprval frm General Managers (fr htel Team Members) and the applicable Vice President (fr crprate ffice Team Members) t apply. Apprvals will be verified prir t the determinatin f winners. Officers and directrs f Hiltn Wrldwide Hldings, Inc., its subsidiaries, affiliates, franchisees, independent cntractrs, advertising and prmtin agencies, and any entity r persns invlved in the prductin r administratin f the Thrive Sabbatical submissin prcess, are nt eligible fr the Thrive Sabbatical. Hw t Enter: During the Entry Perid, visit the Thrive Sabbatical entry page n the Lbby and click n the Thrive Sabbatical entry tab, and then fllw the instructins t cmplete all infrmatin fields n the entry page, and submit a cmpleted entry frm including yur essay, pht and/r vide (n mre than 2 minutes in length) n the theme f Give a Dream r Live a Dream. Yur submissin (the Entry ) must be based n yur wn genuine experience. Hiltn reserves the right t verify all facts and infrmatin presented in the Entry. If Hiltn is unable t validate the authenticity f a Team Member s Entry when requested, the Team Member may be disqualified. Entry Cntent Guidelines: Entry materials yu submit (entry, pht and/r ne vide (n mre than 2 minutes in length) per entry instructins) must cmply with the fllwing guidelines: Submit essays that address the fllwing: (1) what yu wuld like t d fr yur Thrive Sabbatical in 500 wrds r less; (2) hw wuld this experience be meaningful and have an impact n yu and/r thers in 500 wrds r less, and (3) what is currently preventing yu frm achieving yur Give a Dream r Live a Dream in 250 wrds r less. Phts r vides may nly be submitted via apprved frmat (see applicatin frm) and are nly accepted as separate files. All Entries must be created by a Team Member, and must nt infringe the cpyright, trademark, privacy, publicity, r ther persnal r prprietary rights f any persn r entity. If any persn ther than the Team Member is depicted r described in any essay, pht r vide, the Team Member is respnsible fr btaining any necessary permissin fr use f each such persn s name r likeness.

2 General Entry Cnditins. Limit ne (1) entry per Team Member. Entries will nt be acknwledged r returned. In the event f a dispute ver the identity f a Team Member, an Entry will be deemed submitted by the authrized accunt hlder f the accunt listed in the Entry. Authrized accunt hlder is defined as the natural persn wh is assigned t an e- mail address by an Internet access prvider, n-line service prvider, r ther rganizatin (e.g., business, educatinal institutin, etc.) that is respnsible fr assigning addresses fr the dmain assciated with the submitted address. All Entries must be received by the end f the Entry Perid. Prf f transmissin is nt prf f receipt. Hiltn s cmputer system is the fficial timekeeping device fr the entry. Entries must nt transmit anything that cntains viruses r anything else that is harmful t any cmputer. N respnsibility is assumed fr late r misdirected Entries, r any failure r unavailability f hardware, sftware, electrnic cmmunicatins, r Internet uplading r ther cnnectins. Neither Hiltn nr its affiliates, subsidiaries, fficers, directrs, emplyees, franchisees, cntractrs, agents r franchisees will have any liability fr any changes r effects caused t a cmputer system r vide equipment that is used t submit an Entry. Usage Rights in Entries. Hiltn and its designees shall have the unrestricted and nn-exclusive right t edit, adapt, publish, cpy, display, perfrm, bradcast, mdify, and therwise use any r all Entry materials and Summary Reprts (as defined belw), if applicable, alne r in cmbinatin with ther material including but nt limited t essays, phts and/r vides in any and all media, whether nw knwn r later discvered, in perpetuity, withut restrictin f any kind whatsever, withut further cmpensatin t the Team Member r anyne else. Withut limiting the freging, Entries may be psted fr public viewing. Hiltn reserves the right t review any Entry prir t any such psting, t remve any Entry at any time after psting, and t remve any incidental material that culd be deemed infringing where ding s wuld nt materially alter the Entry and where a Team Member therwise clearly intended t cmply with these Rules, as determined by Hiltn. N guarantee is made that any particular Entry will r will nt be psted r as t the length f time between submissin and psting. Hiltn reserves the right, in its abslute discretin, t determine if any particular Entry and/r Summary Reprt is apprpriate fr psting. All Entries that are upladed and made available fr viewing by the general public will be deemed psted at the directin f the entrant within the meaning f the Digital Millennium Cpyright Act and the Cmmunicatins Decency Act. Entry cnstitutes permissin fr Hiltn and its designees t use a Team Member s name, bigraphical infrmatin, pht and/r likeness in any and all media, nw r hereafter devised, wrldwide, in perpetuity, fr internal, advertising, Thrive Sabbatical prgram and ther purpses withut additinal cmpensatin, ntificatin r permissin, unless prhibited by law. Ptential selected Team Members may be required t assign all rights in the Entry and Summary Reprt t Hiltn withut additinal cmpensatin. Selected Team Members will be required t reprt abut their experience during the Thrive Sabbatical, in a frmat prvided by the Hiltn, within fur (4) weeks f cmpletin f their Thrive Sabbatical experience ( Summary Reprt ). If any representatin in a selected Team Member s Summary Reprt is inaccurate, falsified, r cntains inapprpriate material as determined in the sle discretin f Hiltn, the Team Member may be subject t disciplinary actin. Judging / Selectin All Entries will be reviewed and cnsidered by a panel f judges, determined in the sle discretin f Hiltn, wh will apply the fllwing criteria: 1. Give a Dream Give back t the cmmunity and enrich the lives f thers thrugh a philanthrpic r vlunteer activity f the Team Member s chice, r 2. Live a Dream Achieve a persnal gal, explre a new interest r embark n a meaningful adventure.

3 The judges will select 10 Team Members wh will be eligible t receive the Thrive Sabbatical. The selected Team Members will be ntified by Octber 2, All decisins f the judges are final and binding. A Team Member s Thrive Sabbatical must be cmpleted n later than December 31, Ntificatin f Selected Team Members: Selected Team Members will be ntified by , and/r telephne, using the infrmatin supplied at time f Entry, and may be required t sign and return an affidavit f eligibility, publicity and liability release, alng with an assignment f all rights in and t his/her Entry (including cpyright and a waiver f any mral rights t the extent allwed by law), within seven (7) days f ntificatin. Ptential selected Team Members may als be required t verify the facts f his/her stry and/r prvide additinal dcuments as may be required by Hiltn t cnfirm and/r assign rights in the Entry. Failure t cmply when requested may result in disqualificatin and selectin f an alternate Team Member. If any ptential selected Team Member is fund t be ineligible, r if he r she has nt cmplied with these Rules r declines the Thrive Sabbatical fr any reasn prir t being selected, such ptentially selected Team Member will be disqualified and an alternate Team Member may be selected in the sle discretin Hiltn. The fllwing are available t each selected Team Member: During the Thrive Sabbatical, selected Team Members will receive: 1. Cntinued base pay fr a fur (4) week perid that starts n the first day f the Thrive Sabbatical. Benefits will cntinue during this Thrive Sabbatical perid, including deductins fr the Team Member prtin f benefits. 2. A stipend in an amunt equal t $5,000 USD r the lcal currency equivalent, subject t withhlding f applicable taxes. The stipend is prvided t assist with csts assciated with travel, accmmdatin, gear, equipment, and/r living csts that may be incurred in cnnectin with the Thrive Sabbatical. Expenses in excess f $5,000 USD are the sle respnsibility f the Team Member. 3. Travel camera t capture Thrive Mments. Travel camera belngs t Team Members. The value f the camera will be grssed up fr applicable taxes. Nne f the benefits prvided with the Thrive Sabbatical may be liquidated fr cash. Nne f the benefits prvided with the Thrive Sabbatical are entitlements t Team Members and shuld nt be cnsidered a term r cnditin r guarantee f cntinued emplyment with Hiltn r an affiliate and nthing in the Thrive Sabbatical shall alter the at-will nature f emplyment, if applicable. Hiltn reserves the right t change r mdify the terms and cnditins f the Thrive Sabbatical at any time. General Cnditins fr stipend/ ther grants: Hiltn reserves the right t phtgraph, videtape r therwise recrd selected Team Member s participatin in all elements f the Thrive Sabbatical ( Ftage ). Hiltn shall wn all rights t the Ftage. Hiltn and its designees shall have the right, but nt the bligatin, t use, reprduce, mdify, publish, pst, create derivative wrks frm, and display such Ftage and all elements embdied therein, including, withut limitatin, any names and likenesses, in whle r in part, n a wrldwide perpetual basis, and t incrprate the Ftage int ther wrks, in any frm, media r technlgy nw knwn r later develped, fr internal, advertising, cmmercial and prmtinal purpses, and a selected Team Member may be required t sign additinal dcuments cnfirming such rights. N transfer, assignment r substitutin f the Thrive Sabbatical, except Hiltn reserves the right t substitute the stipend and camera (r a prtin theref) fr an item f cmparable r greater value, at its sle discretin.

4 Release f Liability: By submitting an Entry, the Team Member agrees t hld Hiltn, its parent, affiliates and subsidiary cmpanies, franchisees and advertising and Thrive Sabbatical agencies and each f their respective directrs, fficers, emplyees and assigns (cllectively, the Released Parties ) harmless fr any injury r damage caused r claimed t be caused, in whle r in part, directly r indirectly, by participating in the Thrive Sabbatical r acceptance r use f a the Thrive Sabbatical (including any travel r activity-related theret). Released Parties are nt respnsible fr lst, late, misdirected, delayed, inaccurate, illegible, garbled, stlen r incmplete Entries r Entries nt received fr any reasn r fr electrnic transmissin errrs resulting in missin, interruptin, deletin, defect, delay in peratins r transmissin, theft r destructin r unauthrized access t r alteratins f entry materials, r fr technical, netwrk, telephne equipment, electrnic, cmputer, hardware r sftware malfunctins r limitatins f any kind, r inaccurate transmissins f r failure t receive Entry infrmatin by Hiltn n accunt f technical prblems r traffic cngestin n the Internet r at any Web site r any cmbinatin theref r fr any ther errrs r difficulties f any kind whether human, mechanical, electrnic, cmputer, netwrk, typgraphical, printing r therwise relating t r in cnnectin with the Thrive Sabbatical, including, withut limitatin, errrs r difficulties which may ccur in cnnectin with the administratin f the Thrive Sabbatical, the prcessing r judging f Entries, the incrrect uplading f any pht r essay r in any Thrive Sabbatical-related materials. Released Parties are als nt respnsible fr any incrrect r inaccurate infrmatin, whether caused by site users, tampering, hacking, r by any equipment r prgramming assciated with r utilized in the Thrive Sabbatical. Released Parties are nt respnsible fr injury r damage t any persn's cmputer related t r resulting frm participating in this Thrive Sabbatical submissin r dwnlading materials frm r use f the Page r any web site. Persns wh tamper with r abuse any aspect f the Thrive Sabbatical submissin prcess r Web site, wh act in an unsprtsmanlike r disruptive manner r wh are in vilatin f these Rules, as slely determined by Hiltn, will be disqualified and all assciated Entries will be vid. Cautin: Any attempt by an individual t deliberately damage any Web site r undermine the legitimate peratin f the Thrive Sabbatical submissin prcess is a vilatin f criminal and civil laws and shuld such an attempt be made, Hiltn reserves the right t seek damages and ther remedies (including attrneys fees) frm any such individual t the fullest extent f the law. By participating, yu further agree that: (i) any and all disputes, claims, and causes f actin arising ut f r in cnnectin with the Thrive Sabbatical submissin, shall be reslved individually withut resrt t any frm f class actin; (ii) any claims and judgments shall be limited t actual ut-f-pcket csts incurred, including csts assciated with submitting a Thrive Sabbatical Entry frm, but in n event attrney s fees; and (iii) under n circumstances will any Team Member be permitted t btain any award fr, and the Team Member hereby waives all rights t claim, punitive, incidental r cnsequential damages and any and all rights t have damages multiplied r therwise increased and any ther damages, ther than damages fr actual ut-f-pcket expenses, all t the maximum extent permitted by law. Gverning Law: Except where prhibited by law, all issues cncerning the cnstructin, validity and enfrcement f these Rules, r the rights and bligatins f the Team Member and Hiltn, shall be cnstructed and gverned by the laws f the state f New Yrk, withut regard t cnflicts f law. Claims may nt be reslved thrugh any frm f class actin. Venue fr all suits will be in the Eastern District f Virginia r, if there's n federal jurisdictin, Fairfax Cunty, Virginia. Privacy: Any infrmatin yu submit is subject t Hiltn s privacy plicy psted at Severability: If any prvisin(s) f these Rules are held t be invalid r unenfrceable, all remaining prvisins heref will remain in full frce and effect.
