4 nrth american affiliates agreement F affiliatin this affiliatin agreement ( agreement ) is entered int by and between ( affiliate ) and the natinal reining hrse assciatin ( nrha ). recitals Whereas, affiliate desires t becme an nrha affiliate assciatin and receive the benefits and privileges assciated with such designatin. Whereas, nrha desires t designate affiliate as an nrha affiliate assciatin subject t the terms and cnditins f this agreement. FOR AND IN CONSIDERATION f the mutual cvenants cntained in this agreement, affiliate and nrha agree as fllws: 1. nrha des hereby designate affiliate as an nrha affiliate assciatin thereby making affiliate eligible t receive such benefits and assistance frm nrha as nrha may determine. 2. affiliate agrees that it will abide by (a) the terms and cnditins f this agreement; (b) the prvisins f the fficial NRHA Handbk as it may be amended frm time t time; (c) the plicies and prcedures f nrha as they may be amended frm time t time, and (d) the cnditins f nrha prgrams as they may be amended frm time t time. 3. the affiliate shall, in n manner, have authrity, express r implied, t act fr r bind nrha in any manner. 4. nrha des nt assume respnsibility fr the acts r missins f the affiliate, its fficers, directrs, emplyees, r any ther f its representatives. nrha affiliatin exists n a vluntary basis, accrding t pre-requisites and guidelines set frth by nrha, designed t prmte the reining hrse and prtect its welfare, while creating a prgram f disseminatin f infrmatin and allcatin f benefits and assistance t members at the affiliate level. 5. if, in the nrha s sle pinin, the affiliate des nt supprt, serve r represent the reining interests within affiliate s regin/cuntry, nrha reserves the right t revke the affiliate s nrha affiliatin and designate ne r mre ther affiliate(s) in the state/prvince/cuntry t represent the interests nt served r represented by the affiliate. 6. affiliate understands and agrees that the general affiliatin prerequisites fr btaining and maintaining this affiliatin are as fllws: a. affiliate s general purpse shall be the prmtin and welfare f the reining hrse. b. affiliate must be a demcratic membership rganizatin where each member f the affiliate in gd standing has equal rights, privileges, and the right t vte n affiliate matters. Vting fr nrha fficers, directrs at large, reginal directrs, naa directrs, r nrha Bylaws require a current nrha membership in gd standing. c. the affiliate must cnduct at least ne (1) annual membership meeting, with adequate advance ntice as t the time and lcatin, where membership matters may be discussed and vted upn. d. the affiliate must have a gverning bdy, bard f directrs, r executive cmmittee, which is elected by its general membership. affiliate fficers must be nrha members in gd standing. e. althugh nrha membership is nt a prerequisite, each nrha member r persn eligible fr nrha membership shall have access t and may becme a member f the affiliate. the affiliate s membership must be available t all eligible adults, and if the affiliate has a yuth divisin, available t all yuth wh are either natinal reining hrse yuth assciatin members r eligible fr natinal reining hrse yuth assciatin membership. f. if nrha suspends an nrha member s participatin privileges, the affiliate shall likewise suspend such persn s participatin privileges regarding affiliate s events. Unless waived by nrha, persns suspended r disciplined by nrha are ineligible t participate as fficers r directrs f the affiliate. g. the affiliate shall exercise reasnable effrts t cmmunicate and develp wrking relatinships with the nrha directrs representing the regin/cuntry t fully cnvey the interests f the affiliate t nrha and disseminate nrha's interests within the affiliate/regin/cuntry. 7. affiliate understands and agrees t adhere t the fllwing requirements cncerning submissin f affiliate cmpliance items/dcuments: a. annually, upn renewal, affiliate shall prvide a cpy f their bylaws in cmpliance with article ix. nrha affiliates, sectin 6, and in the case f crpratins, certificatin f gd standing with the state/prvince/cuntry s crprate regulatry agency if applicable, shall be n file with nrha. b. annually, the affiliate shall pay an affiliate membership fee determined by the nrha Bard f directrs and submit a cmpleted affiliate applicatin prviding a listing f all fficers and a designated cntact persn fr cmmunicatin with nrha. the listing shall include names, telephne, and addresses. the affiliate shall prvide an updated list t nrha within thirty (30) days f any changes. c. Within thirty (30) days after the first shw affiliate hsts during the calendar year, affiliate shall submit a cmplete list f affiliate s members t nrha.the affiliate shall prvide an updated membership list t nrha mnthly in the frmat specified by nrha, during the natinal Finals qualificatin perid, if new r changed infrmatin is received. a final membership list shall be submitted as specified by nrha n less than thirty (30) days prir t their reginal r natinal affiliate Finals, whichever cmes first, fr affiliate qualifiers t be recgnized. d. affiliate shall submit t nrha, within 30 days, any affiliate dcumentatin/infrmatin nrha may request fr just cause. 8. affiliate warrants and agrees that it will (a) cnduct its business affairs with integrity, sincerity, accuracy, and in cmpliance with nrha bylaws, rules, regulatins, plicies and prcedures, in an pen and frthright manner; (b) handle its business and peratins in a manner which prmtes the image f the reining hrse industry; and (c) instill cnfidence amng its members and the public in the reining hrse industry, aviding any actin cnducive t discrediting the affiliate and nrha r membership in the affiliate and nrha. 9. nrha hereby grants t affiliate a nn-exclusive, nntransferable, nnassignable and indivisible right and license t use the nrha Marks, as set frth in exhibit a slely in cnjunctin with affiliate activities/pursuits related t the prmtin/advertising/marketing f the reining hrse. the nrha Marks and the identificatin numbers are set frth in Exhibit A. all marks reprduced by affiliate must be in riginal frm as 4 f 5

5 prvided t affiliate by nrha Marketing department. affiliate agrees that all its uses f the nrha Marks shall be subject t prir apprval f nrha. affiliate acknwledges the gdwill which nrha has develped in cnnectin with the nrha Marks. accrdingly, affiliate agrees that it will nt knwingly and intentinally take any actins which culd adversely affect such gdwill as develped by nrha. all rights t the nrha Marks, ther than thse rights licensed under this agreement, are reserved by nrha fr its wn exclusive use and benefit, and nrha may, at any time and at its sle discretin, terminate the license made subject f this sectin. affiliate understands and agrees that upn the expiratin r the earlier terminatin f this agreement fr any reasn, all f such rights and interests licensed herein in the nrha Marks shall cease, and all such rights and interests shall revert t nrha. affiliate acquires n wnership interest in any federal cpyright prtectin f nrha s name, lgs r any f nrha s trademarks r service marks presently in use, r later acquired. 10. all nrha members may participate in the nminatin and electin f reginal r naa directrs in their respective regin r cuntry administered under thse guidelines apprved by the nrha Bard f directrs. 11. except t the extent due t the sle negligence f nrha, affiliate agrees t indemnify and hld harmless nrha, its fficers, directrs, emplyees, and ther representatives, frm all third party claims, demands, causes f actin, suits, judgments, liabilities, csts and expenses f any nature, whenever r hwever arising ut f any negligent act r missin f affiliate with regard t affiliate cnducting its services, events r prgrams. 12. affiliatin with nrha is a privilege, nt a vested right, granted r rejected at nrha s discretin n an annual basis accrding t its prcedures and requirements. nrha, at its sle discretin, may terminate this agreement with r withut cause by prviding affiliate thirty (30) days prir written ntice. 13. shuld any ambiguity be discvered between the terms f this agreement and/r its addenda, if any, and the nrha Bylaws, rules and regulatins, the nrha Bylaws, rules and regulatins shall prevail. this agreement shall be cnstrued under the laws f the state f klahma. the parties agree t the exclusive jurisdictin and venue f the curts lcated in klahma Cunty, klahma. 14. this agreement shall cnstitute the entire agreement between the parties and supersedes all negtiatins, representatins, warranties, cmmitments, ffers, cntracts and writings executed prir t the date heref. t the extent a previus affiliate agreement existed between the parties, such agreement is hereby terminated and replaced with this agreement. this agreement may nly be altered, amended, r mdified by a writing signed by the persns authrized t sign agreements n behalf f nrha and affiliate. executed this day f, 20. natinal reining hrse assciatin By: Chief Financial fficer By the executin heref, the affiliate, acting by and thrugh its president, a duly authrized crprate fficer, des hereby agree t abide by and be bund t the abve terms and cnditins f this affiliatin agreement. executed this day f, 20. affiliate name By: affiliate president signature affiliate president printed name return t: nrha affiliate prgram, 3021 West ren ave., klahma City, k f 5
