4 N.B.: (1) Tender will be accepted only by RPAD / Speed post. It is necessary to produce the latest solvency certificate from any nationalized bank for 20% value of estimated cost and Experience certificates or similar evidences for the works carried out in past at the time of purchasing of tender copy. All these certificates along with details of jobs carried out along with documentary evidence and /or satisfactory completion certificate from respective clients should be attached with technical bid for deciding of the opening of price bid. (2) Tenderers should quote the reference of payment of EMD DD No. & Date. Tenderers should also certify as unconditional tender on tender cover it self. The tender without payment of EMD will not be opened or considered. (3) Tenderers shall note that they possess separate P.F. Code No. in their name (under Employee provident fund organization, Regional office, Ahmedabad directive) obtained from the concerned authorities of their respective jurisdictions. In the event of non-possession of the separate PF code number, No tender will be issued to contractor. (4) Issue of tender documents to any party will not automatically qualify the party as to its capability etc to execute the job and GSECL shall assess the capability of the party at the time of evaluation of technical bids that party has carried out such works on 400 KV, 250 MVA GTs successfully. (5) Tenderers shall also certify that quoted tender is UNCONDITIONAL on tender covers itself. (6) The tender s documents are of two bid systems. [A] The technical bid, which is to be submitted in separate sealed envelope mentioning TECHNICAL BID on envelope with details given special note for pre qualification with mentioning of E.M.D. payment. [B] The commercial [price] bid, which is to be submitted with the rest page of tenders including Schedule-B in separate sealed envelope mentioning COMMERCIAL BID. 8 GUJARAT STATE ELECTRICITY CORPORATION LIMITED. SSHEP (O&M), KEVADIA COLONY. GENERAL TERMS AND CONDITIONS OF CONTRACT: 1. The General Rules and Regulations of the GSECL for Tender and Contract for works will apply to the extent of the same and not modified herein. The Contractor is deemed to have gone through and considered to be fully aware of the conditions mentioned therein. 2. This Earnest Money Deposit (EMD) shall not bear any interest thereon. 3. Successful bidder will have to pay Security Deposit equivalent to 5% of the order value of schedule B, on placement of LOI prior to final order. 4. Successful bidder will have to furnish a Bank Guarantee equivalent to 10% of the order value of Schedule-B as Performance bank guarantee, which will be valid for one year from the date of commissioning of transformer. 5. This Security Deposit / Bank guarantee will be returned to the Contractor on completion of Contract period and on his fulfilling all obligations to the GSECL s entire satisfaction and in terms of Contract awarded to Contractor in the execution / performance of the awarded work. On non-fulfilling of any obligations towards statutory, legal payment, any dues etc., the Security Deposit/ Performance bank guarantee shall be forfeited by the GSECL. 6. To sublet or to transfer the Contract without prior approval of the GSECL shall be treated, as breach of Contract and it shall be punishable by forfeiting the SD as well as termination of Contract. The Contractor will have to provide their manpower as own employee and will have to maintain attendance muster for the same. 7. The GSECL reserves the right to forfeit the SD/PBG and / or to terminate the Contract in case of any breach of Contract and in case of disputes. The decision of Chief Engineer (O&M), GSECL, SSHEP (O&M), Kevadia Colony shall be final, binding and acceptable to the Contractor. If the Contractor fails to provide tools, materials, consumables, man powers etc. as per requirements of the job at SSHEP (O&M), Kevadia Colony. However, in case of repeated incidences of providing less man powers than required, the SD shall be forfeited and the work will be carried out at the risk & cost of Contractor and the Contract will be terminated. 8. Income tax will be deducted as per Statutory Requirements. 9. The GSECL will be entitled to deduct directly from the bills to be paid to the Contractor any sum or sums payable by the Contractor and which sum / sums the GSECL is required to pay as a principal employer on account of Contractor s default in respect of all liabilities referred to in above clauses. 10. No Sales tax, Professional tax or any other taxes, Cess or Levy, Excise duty, Octroi, Royalty or other duties will be payable by the GSECL against this Contract. Only Service Tax will be paid extra as per prevailing rules from the effective date of the Government Notification. 11. If any damage or loss is due to the negligence of Contractor, the cost involved in rectification and replacement of the equipment will be recovered from the Contractor. 12. Documents required to be submitted by the Bidder. a. At the time of submission of the Tender, the Contractor shall attach experience certificate(s) of having carried out such / similar type of work in GSECL/GEB/GUVNL/GETCO or any such other organization. b. The Bidder shall have to submit along with the offer, the details of minimum tools, tackles & equipment in possession &/or supposed to be used relevant to the job such as but not limited to - lifting, jacking tools, Mobile filtration M/c., ceilings, hooks, pulleys, ratchets, Cutting & machining devices. c. Along with the offer, the bidder shall have to submit the details of PF Code Number from appropriate authorities, without which the offer is liable to be ignored. d. The bidder shall have to submit a copy of the latest solvency certificate of minimum 20% of the estimated cost of the Tender of any Schedule Bank. The offer without Solvency certificate is liable to be rejected. 8

9 e. Partnership Deed / Memorandum of Association & Articles of Association: If the bidder is not a sole proprietor, then the bidder shall have to furnish a copy of the partnership Deed along with the offer. In case of a company, the M/A & A/A is required to be submitted without which the offer is likely to be ignored. The bidder shall also submit power of Attorney, if needed. f. The successful bidder, on getting the work order but before starting the work, shall have to furnish the copy of labour License under the Contract Labour (R&A) Act from the appropriate authorities, without which the Contract order is liable to be terminated. g. The bidder shall have to submit along with the offer the details of Service Tax Registration No. & PAN N0. from appropriate authority without which the offer is liable to be rejected. 13. The time allowed for carrying out the work as entered in the Tender shall be strictly observed by the Contractor and shall be reckoned from the date on which the order to commence work is given to the Contractor. The work shall throughout the stipulated period of Contract be proceeded with all due diligence (time being deemed to be the essence of Contract) and the Contractor shall pay, as compensation, an amount equal to one percent or such smaller amounts, as the Engineer In Charge (whose decision in writing shall be final) may decide of the amount of the Contracted cost of whole work as shown by the Tender for every day that the work remains uncompleted or unfinished after the given date / dates of jointly decided programme of work. Provided always that the total amount of compensation, to be paid under the provisions of the clause, shall not exceed 10 per cent of the Contracted cost of the work as shown in Tender. 14. The Contractor shall have to deposit 0.50% (half percent) or the rate applicable from time to time of the wages in respect of employees and also insurance charges who are members of the PF, as the contribution to the Deposit Linked Insurance Scheme, with the Regional Provident Fund Commissioner. 15. The Contractors shall comply with the provisions of E.S.I. Act / W. C. Act wherever applicable as per the prevailing provisions of the Acts and as amended from time to time. 16. Contractor shall be solely responsible for strictly follow the all labour laws, industrial laws, factories Act. & rules and such other laws which are applicable from time including but not limited to the notification, amendments or additions which are made to these laws during the period of Contract. The Contractor shall also be responsible for the various levies of State Government, Government of India or any statutory body. 17. Insurance shall be affected for all the Contract employees engaged in the performance of this Contract. If any of the work is sublet after due permission in writing from the GSECL, the Contractor shall require the sub-contractor to provide workmen s compensation and employer s liability insurance for the later employees, unless such employees are covered under the Contractor s insurance. It shall be the liability of Contractor for employees of his sub- Contractor. 18. The Power Station being a restricted / prohibited area, all the formalities as required by the Security and Vigilance staff of GSECL / SSNNL should be complied with, to whom the Contractor should Contract. 19. The successful Bidder will have to enter into an agreement with the GSECL on the receipt of the work order. The cost of the stamp paper will be born by the Contractor. The Contractor will also have to execute indemnity bond on required value of stamp paper as per GSECL s rules. The payment of RA/final Bills will be made after the Execution of Agreement. 20. The Contractor shall indemnify and keep indemnified the GSECL and every member, officer and employees of the GSECL, including Engineer-in-Charge and his staff, against all actions, proceedings, claims, demands, costs and expenses whatsoever arising out of or in connection with the matters referred in above clauses and elsewhere and against all actions, claims, demands, costs and expenses which may be made against the GSECL, by any workman / employee of the Contractor or sub-contractor under any laws, rules or regulations having the force of law, including, but not limited to, claims against the owner under Workmen s Compensation Act, 1923 and its subsequent amendments. The GSECL shall not be liable for 9

10 or in respect of or in consequence of any accident or injury to any workman or other person in the employment of the Contractor. The Contractor shall indemnify and keep indemnified the GSECL against all such damages and compensation and against all claims, demands, proceeding costs, charges and expenses whatsoever in respect thereof or in relation thereto. 21. The Contractor shall also indemnify GSECL in all respect against any liability due to breach of legal provisions contained in any of the Labour Laws. 22. The Contractor shall be responsible and liable to pay difference in wages, if any, and / or observe the Directives that may be awarded by the Honourable Industrial Tribunal effective from the date directed in the order / award. 23. GSECL reserves its rights to change, alter, modify or revised the terms & conditions of the existing Contract & same shall be binding to the Contractor. 24. The Contractor will make arrangements at his own cost to insure all men, materials and equipments employed for this works and also for third Party men, materials and equipments. The GSECL will not be responsible for any loss or damage either to the Contractor s men, materials and equipments or third Party men, materials and equipments. 25. Dispute, if any, taking place between the Contractor and his men power must be intimated to Engineer in Charge / Chief Engineer (O&M), GSECL, Kevadia Colony Immediately. 26. Any casualty will also have to be born by the Contractor for the period the Contract continues. 27. The Contractor shall not engage any sub-contractor without written prior permission of the Chief Engineer or the authorised officer of the GSECL. In no case the GSECL will be liable in any matter regarding any liability in respect of any Contract men power engaged by the sub- Contractor and the liability of such Contract men power will solely rest with the principal Contractor. 28. The Contractor shall keep deployed adequate No. of qualified and experienced staff for operation & maintain various registers and records required under the law and Contract. No payment by the GSECL for supervision shall be admissible. 29. It is the responsibility of the Contractor to ensure that his employees maintain strict discipline as regards security, methods of safe working etc. and not to cause any hindrance to smooth running of power station or in execution of duties by GSECL staff. Any lapse in this regard will be viewed seriously and Contract is liable to be terminated. If any of his staff is found unsuitable or not behaving properly, the Contractor shall have to remove him from the work-site. The Contractor shall have to strictly observe the rules and conditions specified in the enclosed works Contract booklet of the GSECL. To keep harmonious Industrial Relations amongst Contract labourers is the sole responsibility of the Contractor. Any breach of the same will be viewed seriously. 30. Arbitration: All questions, disputes or differences, whatsoever which may at any time arise between the parties to this Contract on connection with the Contract or any matter arising out of or in relation thereto, shall be referred to the Gujarat Public Work Contract Dispute Arbitration Tribunal as per the provisions of the Gujarat Public Work Contract Dispute Arbitration Tribunal Act, The GSECL reserves the right to terminate this Contract at any time during its currency without giving notice of termination or any reason thereof. 32. GSECL at any time during the tenure of the Contract may terminate the same at its sole discretion without assigning any reason, if it is observed that obligations under this Contract are not performed up to the satisfaction of GSECL. The Contractor will however not be entitled for any compensation for such premature termination of Contract. In case of termination of Contract by GSECL due to poor performance as assessed by E.I.C., GSECL and / or unsatisfactory fulfilment of Tender conditions in view of E.I.C. - GSECL, GSECL shall terminate the Contract, forfeit the SD and shall carry out the work through other agency or departmentally at the risk & cost of the Contractor. 10

11 Under the Contract, the Contractor should either himself be present at the site or should nominate persons in writing who must be available at site and who should be authorised to take decisions about the works and receive the instructions from Engineer-in-Charge of the work at any time. In absence of any responsible man of Contractor at the time of any emergency, adhoc decision of Engineer-in-Charge will be binding on the Contractor. 33. If any immovable articles / tools / equipments will be found stolen from the working place, the Contractor would be held responsible and cost will be recovered from his bill. 34. For any conflict and ambiguity, the decision of the Chief Engineer (O&M), GSECL, SSHEP (O&M), Kevadia Colony shall be final and binding on the Contractor. 35. Sealed Tender should be super scribed as Job work of attending oil leakages by major replacement of LV turret gaskets & other related gaskets of 1 no. of 400 / 13.8 KV, 250 MVA, GT with all associated activities. 36. Technical Bid, Price Bid and a separate demand draft of EMD should be sent by R.P.A.D./speed post only so as to reach at this office before the last date & time of Acceptance of the Tender. The Contractor shall quote only certain percentage of rates above or below than estimated rates, i.e. Contractor should quote either, say A % above the estimate or B % below the estimate for all the items. The Contractor should quote only percentage higher / lower in figures as well as in words in Schedule B. In case of not mentioning clearly above / below the estimate, the GSECL shall consider the quoted percentage below the estimate and the Contractor shall have to honour this, failing which suitable action shall be taken, considering this as dishonour and or summary rejection of offer with out assigning any reason thereof as deemed fit by Chief Engineer. The rate quoted should be inclusive of all applicable taxes and expenses (Except Service Tax, applicable time to time), if any. Nothing will be paid extra (Except Service Tax, applicable time to time) as a part of Contract unless & until, it is specified in the Tender documents by GUJARAT STATE ELECTRICITY CORPORATION LTD. 37. The rates quoted shall be firm and valid for 180 days for acceptance from the date of opening. 38. Conditional Tender is liable to be rejected. Withdrawal or insertion of conditions unilaterally after opening of Tenders will not be permitted unless it is so desired by the GSECL. 39. Chief Engineer, (O&M), GSECL, SSHEP (O&M), Kevadia Colony reserves the right to reject any or all Tenders without assigning any reasons thereof. 40. Office correspondence will be carried out in English language, and if at any time to facilitate the Contractor, Gujarati translation may be furnished, if deemed fit. The English version will be the correct one and the same only will hold good for legal matters. 41. The Contractor shall provide telephone facility to their manager & supervising person & preferably mobile facility to manager so that they can be contacted at time for site problems & mobilisation % payment shall be paid within 30 days from satisfactorily completion of work and date of submission of bill in triplicate. Name of work: Job work of attending oil leakages by major replacement of LV turret gaskets & other related gaskets of 1 no. of 400 / 13.8 KV, 250 MVA, GT with all associated activities GENERAL TECHNICAL TERMS & CONDITIONS: 1. Before bidding, the Contractor if desires can see the plant and site on any working day and during working hours with permission of the Chief Engineer (O&M), SSHEP (O&M), Kevadia Colony. Otherwise it will be presumed that the bidder has visited the site and got acquainted with the site conditions in respect of bidding for the said jobs. 2. The entire job work is to be carried at site only, with all required materials such as gaskets, seals, sealing agent in bidder scope. 3. The 15 T crane, Storage tank, empty oil barrels,3ph/4 wire supply, fresh oil if required, will be provided by GSECL. 4. High vacuum Mobile filter machine, vacuum pump, oil BDV kit, winding resistance measurement meter for ascertaining complete tightness of high current LV jumpers, lifting, jacking tools, ceilings, hooks, pulleys, ratchets, Punching, Cutting & machining devices and other tools tackles for carrying out overhauling of transformer are in scope of bidder only & will have to be provided by bidder. Miscellaneous tools tackles will have to be arranged by the bidder only. 5. As the work is of continuous nature round the clock permission will be arranged by GSECL for bidder s Engineer and Technicians including holidays, provided persons engaged by bidder always carry authorised ID card and Entry pass. 6. The necessary line clear and Entry pass for bidder s persons and vehicles will be arranged by GSECL, as requested by bidder time to time. 7. A furnished Hostel accommodation will be provided on chargeable basis if available. 8. Any spares if needed, to be replaced will be provided by GSECL. 9. It is envisaged that mainly following activities may be required to be performed for the said job as per instructions of EIC. 1. Physical visualisations / Observations & review and recording of oil leakages form LV turret & any other spot (Except HV turret), where marginally leakages are observed, which can be attended with work of LV turret replacement. 2. Checking of Transformer healthiness before commencement/starting the work for all possible tests with your testing kits. 3. Disconnection of the LV BUS Duct. IR measurement for HV-LV, LV-E, HV-E, Core to Tank, Tank to Yoke, Core to Yoke etc. 4. Draining of oil below permissible working level of LV turret (with or without pump) in separate oil tank (each 4 x4 x 4 Mtr) or empty barrels (each 200 ltr) provided by GSECL. {Note:- Extreme care will have to be taken before draining so as Conservator air cell cannot be damaged. The agency should ensure that Conservator tank air cell should always be in service by shutting off appropriate valve before draining the oil & Air cell should not be damaged or flattened other otherwise the agency will have to replace & re-commission the air cell at its own}. 5. Measurement of LV Delta winding resistance from LV bushings before disconnection of LV Jumpers. 6. Disconnection of LV Jumpers between LV bushing and Transformer active part from inspection window. (Position of each fastener shall be marked before disconnection) 7. Dismantling of LV Turret, LV bushings, etc. 8. Dismantling of Buchholz relay, OSR, PRV, radiator, Radiator valves, header valves, header plates, filter and sampling valves etc wherever required. 9. Preparation & replacement of all oil sealing gaskets of LV Turret, LV Bushings made of appropriator grade rubberized cork sheet (RC- 80 C) & if required replacement of all oil sealing gaskets of Radiator valves glands, header valves, header plates, filter and sampling valves, Buchholz relay, OSR, PRV.(Gaskets, seals, sealing agents are in bidder s scope.) The RC 80 C gasket of 16 mm thick covering perfect width of turret will have to be used with a continuous run on all corners of turret & where ever possible. On the long run of Gasket, Duck tail joints will have to be made. All other related gaskets will have to be replaced as per instruction of EIC. 10. Refitting of LV Turret, LV bushing, and radiator, Radiator valves, header valves, and header plates Buchholz relay, OSR, PRV etc. wherever required. (Up most care will have to be taken so that new gaskets are not damaged). 11. Re-connection of LV jumper and checking proper tightness of the same. 12. Measurement of LV Delta winding resistance from LV bushings after reconnection of LV jumpers. 13. Servicing and refitting of Buchholz relay, OSR, PRV, etc. 14. Attending all other minor leakage, if any. 15. Inspection and servicing of oil pump whenever required. 16. Filtration of the drained oil in storage tank/oil barrel and testing for BDV, before filling it in to the main tank. 17. Filling of oil from storage tank/oil barrels in to the main tank under vacuum not less than 700mm of HG, & also additional oil to the required level, if oil level is low. (Additional oil will be provided by GSECL, the contactor has to filter the additional oil & to test for BDV before adding) 18. Filtration of entire oil in transformer tank till the desired IR value of the winding & BDV of oil is achieved. 19. Testing of transformer after completion of work for all possible site tests. 20. Testing of oil, for BDV, PPM, & DGA will have to be carried out at M/s. ERDA, Baroda by bidder. 21. Charging of transformer & putting back in to services with the available capacity of Hydro Generation. 22.
