Tender submitted without Tender Fee/EMD shall not be considered.

2 Earnest Money deposit shall be accepted in cash or by Demand draft on any Nationalized/schedule bank payable at Surat in favor of D.G.V.C.L. Cheque or Bank Guarantee shall not be accepted. Copy of Original Money Receipt (if paid by cash) / Demand Draft for payment of Tender Fee and EMD shall be placed in the separate cover super scribing Tender Fee and EMD. The Tender shall be opened on the date mentioned above in the presence of those bidders who wish to be present, if possible. If the Representative of Bidder wishes to remain present, then he must submit the authorization letter of the representing company at the time of opening of Bids and this is compulsory. Only one Authorized Representative is allowed. Qualifying criteria: The bidder should submit the following documents without which their tender shall not be opened and the bidder shall be considered disqualified. 1) The bidder has to pay Tender fee. 2) The bidder has to pay EMD. 3) Solvency certificate of minimum 40% amount of the tender amount from the nationalized bank only. 4) Bidder must have following documents. Factory License VAT registration certificate ISO 9001, 14001, certification Any one order of successful supplying of this type furniture to Govt., Semi-Govt., DISCOM or GUVNL offices amounting to Rs.1 Lacs or more. Note: All above documents should be submitted in the Tender document cover. The bidder quoting rates for the tender is deemed to have gone through General Terms & conditions of the supply / contract booklet and same shall be treated as binding upon him. Any information and clarifications that may be required pertaining to this enquiry should be referred to the Add. 3 SPECIAL CONDITION OF CONTRACT:- 1. If your tender will be accepted by DGVCL, you have to give in writing. This Tender is being accepted, I/We hereby agree to abide by and fulfill all the terms and conditions of the Tender for supply as applicable and in default thereof forfeit and pay to the DGVCL the sum of Money due. 2. The full value of the Earnest Money deposit paid herewith should be absolutely forfeited to the DGVCL, If I/we do not deposit the full amount of specified security deposit. NOTE:- 1. Rate The rates quoted by you and accepted by DGVCL will be final up to the completion of work and escalation or price rise will be not be given. 2. Taxes Income tax and other taxes/cess if any in respect of this contract shall be deducted at source as applicable except service tax. 3. Terms of Payment The Bidder shall submit the bills in with original within 15 days on completion of work. 4. Price variation No price variation shall be given on any rise or fall of material cost or labour rates etc. 5. Security Deposit The Bidder shall, within 10 days of the issue of Letter of intent/work order, pay 10% of contract value as Security Deposit in the form of F.D. drawn in favour of DGVCL. Alternatively, the Bank Guarantee from schedule Bank (In prescribed format of DGVCL) towards 100% Security Deposit will be accepted. All damages, costs, charges, expenses and other sums which may be or may become due or payable by the Bidder to the DGVCL under the terms of the contract may be deducted from the cash or in the proceeds of sale of the Bank Guarantee already deposited (which the officer or person to whom the same may be endorsed as aforesaid is hereby authorized to sell / to encase for that purpose) or from the interest of any such securities or from any sums due or which may become due to the Bidder by the DGVCL or from the whole or the balance unpaid as aforesaid of the en-cash securities so deposited being repaid or transferred and returned as may be to Bidder after the date on which the final bill is paid or after the expiry of the date up to which the Bidder has to maintain the work in good order, whichever is later. No interest shall be paid by the DGVCL on Security Deposit. The S.D. shall be refunded after successful completion of the work. 6. Penalty 1. If, work of the Bidder is found unsatisfactory and not fulfill the supply of tender items with in stipulated time limit, DAKSHIN GUJARAT VIJ COMPANY LTD. shall exercise its discretionary power to cancel the order and penalty shall be levied as per company s rules and regulations which is 0.5% per week with maximum 10% of Order Value.

If, Bidder fails to execute the order successfully or fails to execute the work, it shall be got completed through other agency and if required to pay higher rate, in that case, difference of rates shall be recovered from the Bidder. 7. Legal aspects 1. In case of any dispute or any discrepancy, the decision of the Add. Chief Engineer (P) DGVCL shall be final and binding to the Bidder. 2. The Bidder must follow all the rules, regulations and enactment of the Labour Laws relating to engagement of persons by him. 3. The Bidder shall obtain comprehensive insurance policies for all his workers in respect of all the insurable liabilities under the workman Compensation Act Fatal Accident, Personal Injuries Act, Natural Hazardous, Riots/arson etc 4. The Bidder shall obtain necessary license, registrations as legally required. 5. DGVCL shall entitle to recover full amount from Bidder for expenses incurred on account of compliance of any statutory provision or breach of contract. 6. The Bidder shall not sublet the contract to any other party. If it is found, subletting the contract, then S.D. shall be forfeited and party shall be black listed. 7. All disputes in connection with the Tender/Contract shall be subject to the jurisdiction of the court situated at Surat. 8. General 1. The Add. Chief Engineer (P) DGVCL reserves the right to reject any OR all the Bidders without assigning any reasons there of. 2. The Bidder shall make his own arrangement for the Boarding and lodging of his workers. 3. The Bidder shall ensure that representative on his behalf deputed by him should be in touch with the Add. Chief Engineer (P)/ EE (Civil) & DE (Civil) with regard to detailing of work etc. 4. The rates quoted by the Bidder shall include all taxes and duties charges such as Fuel, Levies, Transport, Maintenance, Repairs or Bidder s servant / agent wages etc. GENERAL TERMS & CONDITIONS REGARDING INDUSTRIAL LAWS & OTHER RELATED MATTERS. 1. Wages to be paid & time of payment etc. by the Bidder:- The Bidder shall pay as per latest minimum wages act. The payment shall be discharge in the presence of Management representative during the working hours. The Bidder shall get entries certificated in the register of wages by the representative of the Company. 2. LABOUR LAWS:- Person below age of 18 years shall not be employed for the work. No female worker shall be employed in the night shift between 7 p.m to 6 a.m. Bidder shall maintain a valid labour license under the contract labour (Regulation & abolition) act for employing necessary manpower to be required by him. In the absence of such license the contact shall comply with as under. 1. Payment of contribution by way of employer s contribution towards provident fund, family pension scheme, Deposit linked insurance scheme, Administrative charges etc. at

5 the rates applicable from time to time by Government of Gujarat / Government of India or other statutory Authority. 2. Payment of deposit in respect of each contract labour at the rate of Rs.30/ with the office of frame there under of labour as per control labour. (Regulation & abolition) Act. 3. License fee as prescribed under the control labour (Regulation & abolition) Act & rules frame there under depend upon the number of workmen employed by the Bidder. 4. Paid leave facility & wages as per the provision of the factories act at the rate of one day for every 20 days of working. 5. Identity cards as prescribed under the facilities act with photo affixed there to the same for identification. 6. Payment of retrenchment compensation notice pay & other liabilities as per industrial disputes Act. Any payment to the Bidder s employees arising out of any claim or disputes under the industrial dispute act 1947 or any other labour laws. 7. Payment of compensation in case of accident injury. 8. Provision of earache if the female labour employed are more than 30 numbers. 9. Maternity leaves as per the provision of maternity Benefit Act. 3.TERMS & CONDITIONS REGARDING INDUSTRIAL LAWS & OTHER RELATED MATTERS. The above are some of the major liabilities of the Bidder in addition to other liabilities prescribed under. The various labour laws in force from statutory authorities like state Government / Government of India which the Bidder shall have to comply with. Provident fund & Family pension scheme:- The Bidder shall submit along with his bill (month wise) a statement regarding deductions against employees provident fund & family pension scheme in respect of each concerned against employee if demanded by DGVCL. Provident fund & family pension scheme at the rate of 8.33% (or at the rate made applicable by the Government from time to time) of the wages. The Bidder s contribution & his workers contribution towards provident fund, family pension scheme shall be deposited by the Bidder with Regional provident fund commissioner, Ahmedabad. Deposit Link Insurance:- The Bidder shall have to deposit 0.5% of the wages in respect of employees who is a member of the provident fund as the contribution to the Deposit link insurance scheme with Regional provident fund commissioner, Ahmedabad. Administrative charges:- Administrative charges for monitoring provident fund A/C shall be deposited by the Bidder with Regional provident fund commissioner, Ahmedabad at the rates applicable. Workmen s compensation fund & employer s liability Insurance:- The Bidder shall cover all his employees under workmen s compensation fund & under the liability insurance. The Bidder shall employ adequate number of experience staff at site for daily supervision & for maintenance of various register & records required under the law & contract. No payment for supervision shall be admissible. Bidder to Indemnity the DGVCL Company :- The Bidder shall indemnity the Company & every member officer & employees of the Company also. Engineer in charge his staff against proceedings claims, demands, and costs & expenses what so ever arising out of or in connection with the matters referred herein above elsewhere & against all actions. Proceedings claims, demand coats &

6 expenses which may be made against the DGVCL or Government for or in respect of or formance of his obligation under the contract documents. The DGVCL shall not be liable for in respect of or in consequences of any accident or injury to any workmen or other person in the employment of Bidder or his sub Bidder & the Bidder shall indemnity & keep indemnified The Company against all each damage & compensation & against all claims, demands, proceedings costs, charges & expenses what so ever in respect thereof in relation there to. The DGVCL reserves the right to terminate the contract at any time during its pendency without giving notice of termination or any reasons thereof. The DGVCL shall be entitled to deduct directly from the bills to be paid to the Bidder any sum payable by bidder & which sum / sums the DGVCL is required to pay as principal employer on account of bidder default in respect of all liabilities referred to in above clauses.
