SHADAB TAX CONDITION- RATES ARE BASIC; OTHER TAXES WILL BE EXTRA **SCRAP SALE AS IS WHERE IS BASIS & NO COMPLAINT BASIS Note: The contractor has to depute vehicle regularly (evenly distributed) in the period of contract, to clear the scrap on ground clearance basis. There shall be no instance where the scrap bin would be full/overflowing with the scrap. Scrap contractor to ensure timely lifting of Scrap. Contractor must place one vehicle at least once in 2 weeks, failing to which LTH has all rights to forfeit the EMD. If the scrap quantity exceeds as mentioned in the contract, The Contractor must lift all the scrap material immaterial of the quantity mentioned within the scrap contract period. Inspection of all the scrap lot is mandatory before participating in the E-auction. No complaints will be entertained after the allotment of scrap contract regarding the quality and type of scrap lots. Buyers should arrange their own labour and vehicles for the purpose of lifting. 3 3. QUANTITY: The Quantity mentioned against each lot in clause-2, is estimated only. Whatever quantity generated during the contract period will have to be lifted by the successful tenderer. However, the company reserves the right to close the contract after fulfilling of quantity indicated in the individual contract even if the above said stipulated time period is still not completed. 4. RATES: The rates quoted in clause-2 are as per the unit of measurement (MT, KG, NO, LOT etc.) mentioned against each item. All offers are understood to be in AS IS WHERE IS condition at our LTH, Hazira and you will have to bring your own containers, vehicle and labours at your own cost to collect the scrap materials. 5. TAXES/DUTIES & LEVIES: 5.1 Excise duty, Sales tax & Service tax or any other taxes/levies applicable from time to time and may imposed by the Central, State Government, Municipality or other bodies will be payable by you in addition to the rate as per clause-2. Taxes will be levied as applicable by Govt. Bodies at the time of lifting of scrap. 5.2 If you want to avail any concession in Taxes or duties/levies, necessary form will have to be Submitted in advance before billing. If the form is not acceptable or not handed over to our Accounts dept. in advance, taxes or duties/levies as applicable shall be charged. 5.3 You will provide us your PAN/TIN/ECC numbers in advance. 6. EARNEST MONEY DEPOSIT (EMD) : 6.1 Earnest Money Deposit for the contract shall be 10% of order value. 6.2 The Earnest Money Deposit will not carry any interest and will be refunded after the expiry of the contract period, provided you have satisfactorily fulfilled all the terms and conditions of the contract. This Earnest Money Deposit will be forfeited by the company in the event of termination of the contract as per clause You have to claim your Earnest Money Deposit within 6 months after expiry of Of the Sale Order/Contract. Failure in claiming EMD by you within 6 months, company reserves the right to forfeit the Earnest Money Deposit without assigning any reason thereof. 7. WEIGHMENT : Weight as indicated at the weigh bridge/weighing scale at our L&T works or on a public weigh bridge of our choice in the presence of our representative will be considered as a final and no dispute whatsoever will be entertained. 8. INSPECTION: The Company reserves the right to inspect the materials during the stage of collection at our site, during weighing / transportation as well as at your godown, if necessary. If the company finds that the materials of wrong description has been lifted or any other malpractice is adopted, company s representative have full freedom to take back the above said materials and company has full discretion to take disciplinary actions. 9. PERIOD OF CONTRACT: The contract will be valid for a period as specified in clause-1 above but may be terminated earlier by the company if in company s opinion; the clearance of offered items by you is irregular or unsatisfactory. However, company reserves the right to short close the contract within assigning any reason what so ever. 10. PAYMENT & DELIVERY: 10.1 You have to pay full value of materials (Inclusive of Tax) in advance before taking delivery You have to report at our security department between 9 AM to 10 AM to get permission slip from SCM dept.

4 10.3 After permission by SCM personnel as per the instructions given in advance, the loading of scrap materials will be allowed till 3.00 PM only so that you can approach accounts department to prepare documents viz. Invoice/Gate pass. Accounts department will not prepare documents if you report to accounts department after 3.30 PM. You have to leave with loaded truck out of our premises before 5 PM on normal working days. On Saturdays, you need to approach Finance & Accounts department before 11:00 AM and you have to leave our premises before 1.30 PM. After this deadline to leave our factory premises, your vehicle will not be allowed to leave our premises and company will not take any liability of detention. In this situation, you will not give this as an excuse for not placing vehicle for lifting the scrap materials as per the next schedule The company reserves the right to take back any scrap materials from any scrap yard or area if required for its own use You have to load the scrap material in presence of representative of company from allocated scrap bins as mentioned on permission slip In case of heavy and high volume scraps which may be difficult to lift or load and you may want to cut, company may provide gas only on chargeable basis. All other arrangements will be made by you at your own as per our safety norms You have to fulfill our safety norms during loading scrap materials viz. Every person you depute for loading the vehicle should wear safety Helmet, shoes, Gloves and goggles. Also, the vehicle driver should carry original driving license, RC Book, PUC etc. and have to show all these whenever asked for. Your Vehicle should contain visible display indicating it as a SCRAP VEHICLE. In breach of any condition in this clause, Company may levy penalty of Rs. 500/- per breach of condition It will be your responsibility to arrange for representative to visit the site every week to assess the quantity available for delivery and ensure that at no time the accumulation of these materials at the site exceeds one tempo load You have to work out the volume and weight of the scarp materials for placing suitable transport vehicles to lift the scrap material In failure of lifting scrap materials as per schedule, company reserves the right to terminate the contract forthwith and you will be liable for the forfeiture of the Earnest Money Deposit as in clause The terms and conditions as mentioned in our quotation letter also forms part of this sale order. The successful tenderer(s) shall also be liable to pay loss and damages. No extension will normally be permitted either for deposit of amount or for lifting the materials. IN this case EMD will be forfeited by the seller in such extension; extension will be valid only if permitted in writing by L&T HOWDEN PVT. LTD. Dispatch will be given only once a day *****No Delay in Lifting of Material & Payments. ***** Vehicles should be placed once in fortnight Basis. Failing the same EMD will be forfeited. Payments should be made one day prior to placing the vehicle in form of DD & RTGS/NEFT/IMPS only. NO OTHER MODE OF PAYMENT WILL BE ACCEPTED.

5 PROCEDURE OF FORWARD AUCTIONING L&T HOWDEN PVT. LTD. will declare its Starting Price (SP), which shall be visible to the all vendors during the start of the forward Auction. The start price of an item in online forward auction is open to all the participating bidders. Any bidder can start bidding, in the online forward auction, from the start price itself. The second online bid and onwards will have to be higher than the H1 rate by minimum one increment value, or higher. The minimum bid increment amount shall be display at the time of auction. The Bidding Rates will be on Per MT /Per Number etc. Bidding in the last minutes and seconds should be avoided in the bidders own interest Neither the Service Provider nor Seller will be responsible for any lapses /failure on the part of the vendor, in such cases. The Auto Bid feature allows Bidders to place an automated bid against other Bidders in an auction and bid without having to enter a new amount each time a competing Bidder submits a new offer. Auto bid is not a confirmed bid. It is only the maximum ceiling amount set by the bidder to enable the auction engine to place bids on his behalf, whenever he is out bidded, upto the ceiling set by him. You will be able to view the following on your screen along with the necessary fields in the Forward Auction:- (a) Highest Bid in the Auction. (b) Bid Placed by you. (c) Opening Price & Increment Value. (d) Final Closing Price. Training: Steelez.com will provide training (online) if required by the bidders at a mutually convenient date and time before the Auction These terms and conditions are to be signed by the tenderer and must accompany the tender documents otherwise it is liable to be rejected. 6 Additional Terms & Conditions 1. For the purpose of removing the materials, the successful Bidder shall employ or engage only his / their own personnel and shall keep the L&T fully indemnified against any claims whatsoever including claim for wage, injuries, compensation, death etc. 2. While removing materials, if any accident or damage to the property/life etc. arises by reason of any act of negligence /omission /default or non-compliance with any of the Terms & Conditions of statutory regulations or rules and regulations applicable within L&T's premises, on the part of the Bidder's / his representative or employees resulting in death or injury to any persons or damages to the property of L&T or any third Party then in such an event the Bidder will have to pay compensation to any such person including the employees of L&T's for such injury / for damage to person's property of such persons. The Bidder shall in such and event keep the L&T indemnified from any demand, claims or proceedings made. 3. The Buyer/Buyer s employees shall have valid Workmen compensation policy with work details in L&T Howden & will essentially supply Safety helmets, Goggles, ID Cards & Safety shoes to workmen.
