ITEMS Item IV: Cmmittee Reprts and Membership Key Cnsideratin Nminating Cmmittee David Crippens states that he met with smene frm AEG t bring t the cmmittee. Rd Lane states that we want t increase the number f bard members but that the names shuld be brught t the nminating cmmittee t first cnsider. Rd Lane states that we can say in recruiting that we are trying t bring in peple in industries parallel t the pathways mdel the cllege has and we wuld lve t have yu cnsidered. Darlene Kuba agrees, making reference t David Crippens radmap t recruitment frm. Rd Lane states that recruitment shuld be a three step prcess: 1 Extend the invitatin t be cnsidered. 2 The nminatin cmmittee vets the candidate. 3 A slate is brught t the bard t ultimately apprve the candidate Darlene Kuba states that the bard did get t vte n apprving new members. Rd Lane states that the Nminating Cmmittee is just t vet ptential candidates. Rd Lane states that ging frward, the candidates shuld nt be present at the meetings. Rd Lane states that the Nminating Cmmittee shuld bring a slate f peple t the bard and nt expect them all t get apprved. David Crippens states that usually with ther bards, the Nminating Cmmittee will vte n a slate. Chini Jhnsn-Taylr states that it shuld als be made clear t candidates that they are expected t give r get $5000 t the fundatin. Schlarship Cmmittee Chini Jhnsn-Taylr asks abut the funds that were t g t the Child Develpment Center. Abby Arnld states that she is waiting n the center t tell her wh t make the check ut t because the backup dcuments were just a spreadsheet f bks and prices. Chini Jhnsn-Taylr states that she is referring t the amunt fr musical instruments and planter beds. Christine Du states that the invice was received and that a check was made ut fr the invice amunt and t the cmpany and put in LaTanga Hardy s campus mailbx. Chini Jhnsn-Taylr asks abut the mney fr Kaiser Schlarships. Darlene Kuba asks hw much Kaiser Mney is utstanding. Rd Lane states that he wants a better explanatin f schlarships and a restricted funds list. Darlene Kuba states that the restricted funds list shuld g thrugh the Schlarship Cmmittee and that she wants the list t say when the funds get disbursed, where the mney cmes frm, and the restrictins. Abby Arnld states that the restrictins are set by the auditr. Darlene Kuba states that she wants an excel Spreadsheet f the restricted funds. 3 the FY anntated budget is made. Rd Lane states that Abby Arnld created a schlarship agreement that states wh established the fund and what the requirements are. Rd Lane states that at ne pint the bard said that it gives ut schlarships nly and that giving bks t kids in the center is nt really a schlarship. Abby Arnld states that thse frms are filed. Darlene Kuba states that she wants t see that n the budget and asks fr a timeframe. David Crippens states that the budget will be available in June. Chini Jhnsn-Taylr states that she did nt see the Exxn and BP ttaling abut $50,000 n the schlarships reprt that was sent t her. Abby Arnld states that the auditr recently fund the BP and Exxn funds in the accunting. David Crippens states that the anntated budget will take care f these cncerns. Chini Jhnsn-Taylr states that she brught BP and Exxn up because it was nt included. Abby Arnld states that the funds are managed by Renee Madyun and that she meets with Renee ften. David Crippens states that we will cme back t the matter. David Crippens wants t see the biggest charges t the Schlarship Cmmittee dealt with: Equity and Financial Aid. Chini Jhnsn-Taylr states that she wanted t have the next meeting with the campus schlarship cmmittee. Darlene Kuba asks hw ften the cmmittee meets. Abby Arnld states that she ges t the campus schlarship cmmittee meetings when she can but there can be weeks r mnths in between. David Crippens states that fundatin Schlarship Cmmittee needs t have a special meeting r task frce. Abby Arnld states that President Laurence Frank has asked that the request t attend the campus Schlarship Cmmittee be put thrugh t Vice President f Student Services Kaneesha Tarrant. Darlene Kuba asks that Abby Arnld let her knw when the next meeting is because Rd Lane wants t cme t the meeting Schlarship Cmmittee meeting. Executive Cmmittee David Crippens has been visiting with ther bard members t determine which cmmittees they wuld like t serve n. David Crippens states that the Finance Cmmittee needs t start wrk n investments, putting ut an RFP, and figuring hw much t investment and the implicatins. Abby Arnld states that mst fundatins have an investment plicy. Rd Lane states that Sandra Martínez shuld be added t the Finance Cmmittee. Darlene Kuba states that if she wants t be n the cmmittee she shuld say Page 3

4 smething. David Crippens and Rd Lane state that Sandra Martínez has stated that she wants t be part f the Finance Cmmittee. Chini Jhnsn-Taylr states fr the check requests ver $2500 that cme t the Executive Cmmittee, she wuld like t see which line item it wuld cme frm and what is still available in the budget fr that line item. Darlene Kuba states that in regards t the signature n the check request frm, the bard shuld apprve the expense befre the Executive Directr des. Abby Arnld states that the current prcedure fllws what is in the Plicy and Prcedure Manual. David Crippens states that he is against the change because the fundatin already has the mst airtight prcess fr disbursing funds that he has ever seen. David Crippens states that the fundatin must be able t mve fast in ding business, and that it is best t keep the current plicy. Chini Jhnsn-Taylr states that the Cmmittee is just rubber stamping then withut the change. Rd Lane disagrees, stating that if the expense is ver $2500, Abby Arnld s signature is just stating that she has lked at the accunt and is passing the request ver t the Executive Cmmittee t apprve. The check des nt get made if there is n apprval. Abby Arnld states that there still needs t be tw signatures after the check is made. Rd Lane states that when he signs a check, he lks at the backup infrmatin t the check t make sure he understands what it is fr. David Crippens states that there are already s many radblcks befre a check gets signed and that he desn t want t add any mre. Chini Jhnsn-Taylr states that her issue is that it says apprved by n the check request frm where Abby Arnld signs. Rd Lane states that at least 3 peple are lking at the expense: Abby Arnld, and tw check signers. Rd Lane states that having t many checks and balances get expensive because it takes mre time which is mney. David Crippens states that an anntated budget will clearly state what funds are used fr. Chini Jhnsn-Taylr suggests again t indicate the line item and hw much is available in future check requests. David Crippens states that this can be dne in the interim phase befre the anntated budget is available. Rd Lane states that we need t streamline accunting. Abby Arnld states that the chart accunt number is included n the check request frm. Rd Lane states that adding the line item in the check request fr the interim is kay. Chini Jhnsn-Taylr asks wh is n the task frce. David Crippens states that he thinks that it is Darlene Kuba, Chini Jhnsn- Taylr, and Krista Phipps. David Crippens states that the task frce needs t begin wrk. Darlene Kuba asks what the charge f the task frce is. David Crippens asks wh is interested in chairing the task frce. Darlene Kuba states that she will chair. David Crippens states that in regards t Darlene Kuba s alumni engagement questins, he is lking tward the cllege s 95 th and 100 th anniversaries per the meeting he had with Vice President Mary Gallagher. David Crippens stated that the Chamber can get invlved because they histrically created the schl. David Crippens states that the alumni giving can create an endwment. David Crippens states that the cllege passed Accreditatin with flying clrs. Chini Jhnsn-Taylr states that this is the first time that the whle district has undergne Accreditatin at the same time. David Crippens states that in terms f the fundatin s entrepreneurial activities, hh met with Mary Gallagher t discuss hw t rent ut facilities fr a flea market, farmers market, and parking. Chini Jhnsn-Taylr states that that is a great idea because the cllege is a better lcatin than the Cnventin Center. David Crippens states that he still needs t talk t Vice President Leticia Barajas. David Crippens states that the campus is ready t take ff and that the fundatin needs t build its crpus. Item V: Plicies and Prcedures (t include the Brwn Act) Key Cnsideratin David Crippens states that regarding the Brwn Act, the district Lawyer has said that any requests frm the fundatin must g thrugh the cllege president. Darlene Kuba states that an attrney is needed n the bard s that the fundatin des nt have t rely n district cunsel. David Crippens states that he is review the bylaws and will cme back t the bard. David Crippens requests that any requests t the Executive Directr be made thrugh the Chair because he knws the schedule f the ffice and what the staff is ding.
