4 INSTRUCTION TO BIDDERS FOR SUBMISSION OF ONLINE BIDS THROUGH e-tender Bidders are requested to read the terms & conditions of this tender before submitting their online bids. In this document the terms bidders and Bidders mean the one and same. 1.0 Pre requisites for accessing NLC Website A. Software Requirements Operating system: Windows XP -- SP3 & above. Web browser: Internet Explorer 9/10/11 Java: JRE6 / JRE or above. PDF reader: Adobe Acrobat Reader 8 or above. B. Digital Certificate C. Bidder should have a legally valid CLASS III Digital Certificates (i) Digital Signature, non-repudiation certificate (used for Signing) and (ii) Key Encipherment Certificate (used for encrypting Bid Document) with Organisation name from any of the licenced Certifying Authorities (CA) operating under the Root Certifying Authority of India (RCAI), Controller of Certifying Authorities (CCA) of India. Ensure that all necessary trust certificates and drivers are installed as per CA s instruction and working properly. For detailed guidance about browser and Java configuration, the bidders are advised to go through the guide available in the portal. 2.0 Registration: The process involves Bidder registration with NLC website under e-contracts portal. Only after successful registration, the Bidder(s) can submit his / their bids electronically. Bidders are required to make their own arrangement for bidding from a computer connected with Internet. NLC shall not be responsible for making such arrangements. Bidders are required to register in the URL and click on New Bidder and fill up the registration form with their details like Bidders address, user ID and Password, etc., and submit. Kindly note that Bidder name will be captured from Digital Signing Certificate (DSC). Bidders are advised to keep note of the same. It may be noted that no separate user id and password will be provided by NLC. Acceptance or Rejection of Registration request for the Tender will be intimated by a separate message. After successful registration, the bidder can login with their user ID, password & DSC and participate in the e-tender. 3.0 Bidding Process: The entire bidding process will be through e-tender as given below: Preparation of Bid a. The Bidder will be able to prepare his TECHNICAL BID, COMMERCIAL BID and PRICE BID online using the respective forms. For Guidelines please refer to the help in the Portal. b. Bidder can edit and save his offer any number of times till closing time of the bid. However, once he submits his bid, he will not be able to edit it. c. If the Bidder wants to edit his submitted bid, then, he has to first delete his submitted offer and then edit his offer and resubmit. Only submitted bids will be 4 Page 4 of 24

5 considered for evaluation. Any saved bids that are not submitted will be deleted by the system after the due date of opening. d. Bidder can attach files containing company profile details, scanned copies of dealership certificate, scanned copies of technical drawings, etc., which are required for the enquiry. The documents attached should be in PDF format. e. File Size: 5MB is the maximum size of a single file that can be attached. 3.2 Bid Submission and Signing a. Submission is a two step process. In the first step, the bid will be split into Techno Commercial bid and Price Bid. In the second step, these bids have to be digitally signed using Bidder s Digital Signing Certificate. b. Bidder cannot submit any offer after the due date and time stipulated in the Tender. c. All bids submitted by Bidder can be viewed by clicking on the link Submitted bids provided in the left menu of the corresponding Bidder's home page. d. All notices and correspondence to the bidder(s) shall be sent by message only during the process till finalization of tender. Hence the bidders are required to ensure that their address provided at the time of registration is valid and updated. Non receipt of will not entitle any bidder to lodge any claim and no complaint in this regard shall be entertained. Bidders are also requested to ensure validity of their DSC. e. Bidders are advised to see the web site regularly to remain updated with latest information to ensure that they do not miss out any corrigendum / addendum uploaded against the said tender after downloading the tender document. The responsibility of downloading the related corrigendum, if any, will be that of the bidders. 4.0 Bidding in e-tender: a. In all cases, bidder should use their own ID and Password along with Digital Signature at the time of submission of their bid. b. The e-tender floor shall remain open from the pre-announced date & time and for as much duration as mentioned above. c. All electronic bids submitted during the e-tender shall be legally binding on the bidder. Any bid considered as the valid bid offered by that bidder and acceptance of the same by the Purchaser will form a binding contract between Purchaser and the Bidder for execution. d. It is mandatory that all the bids are submitted with digital signature certificate otherwise the same will not be accepted by the system. e. NLC reserves the right to cancel or reject or accept or withdraw or extend the tender in full or part as the case may be without assigning any reason thereof. f. The server time shall be treated as final and binding. Bids recorded in the server before the bid closing time will only be treated as valid bid. Bidders are, therefore, advised to submit their bids well before the closing time of e-tender. If any bid reaches the server after the bid closing time as per server time, the same will not be recorded and no complaint in this regard shall be entertained. 5 Page 5 of 24

6 g. Bidders are advised to exercise caution in quoting their bids in e-tender to avoid any mistake. Bids once submitted can t be recalled. 5.0 Process of e-tender: During tender opening, the Techno-Commercial bids will be opened electronically on or after specified date and time as given in the tender document. The Techno-Commercial bids will be evaluated on Techno Commercial aspects and the bids which are found to be in accordance with the tender requirement will be shortlisted as Technically Qualified Bids and the respective bidders shall be known as Technically Qualified Bidders. 6.0 Opening of Price Bids of e-tender: The Price Bid of Technically Qualified bidders in e-tender shall be opened on the stipulated date and time. The price bid opening intimation will be sent to the registered address of the Qualified Bidders and no separate intimation shall be sent. 7.0 Any order resulting from this bidding process shall be governed by the terms and conditions mentioned in the NIB. 8.0 NLC reserves the right to cancel this bidding process (e-tender) or extend the due date of receipt of bid(s) without assigning any reason thereof. 6 Page 6 of 24

9 4.0 TIME SCHEDULE; Procurement Portal (CPPP) of Government of India, website. Bidders are requested to visit NLC s web sites or Central Public Procurement Portal (CPPP) of Government of India website and note the amendments before submission of offer. Any ignorance on the part of the firms in not seeing the websites will not be an excuse. NLC shall not be responsible if any Bidder omits to notice any amendments / Errata / corrigendum / clarification. Amendments / Errata / corrigendum / clarification will be numbered serially. Time schedule for the entire work shall be three years from the date of Work Order. 5.0 The Tender Documents (non-transferable) can be downloaded from NLC web sites or CPPP Portal. 6.0 All other terms and conditions along with technical details, validity of bids and instruction to bidders, etc., are contained in the tender Documents. Any offer received after the expiry of the time specified for receiving the bid is liable for rejection. 7.0 Bids submitted by Telefax or and off line bids received shall be rejected. 8.0 NLC reserves the right to reject any tender or all tenders received at its discretion without assigning any reason whatsoever. 9.0 Offer is to be made in Indian Rupees and payment for entire scope will be made in Indian Rupees only. 10 2.0 INTRODUCTION: SECTION - II INSTRUCTION TO BIDDERS. NLC s Corporate Vigilance division was certified with ISO 9001:2008 certification in November The validity of the present certification will expire on 25 th November BRIEF SCOPE OF WORK: The Certification Agency shall carry out re-certification audit of QMS for ISO 9001 : 2008, issue the Renewal Certificate and shall carry out two Surveillance Audits within the certification validity period of three years from the date of re-certification. Detailed scope of work is given in Section IV of tender specification. 2.2 BID SUBMISSION: All bids, including all attachments / enclosures shall be prepared in English language only and submit online in the NLC web site. The bidder shall submit the offer for full scope of work indicated in the tender specification. Bids can be submitted only by the bidders mentioned in Section-I (NIB). 2.3 TECHNO COMMERCIAL BID: The Online bid with regard to Technical and Commercial aspects shall contain the full details of the profile of the bidder(s), details of similar work done to different plants / utilities, details of the Projects handled and detailed Work procedure & Work schedule, etc in PDF format, in addition to duly filled up online forms. 2.4 PRICE: a. The Schedule of Prices duly filled in by the bidder shall be submitted online in the Specified Form. b. The bidder shall quote his price for the entire scope of work as per price format given and on firm price basis only. The bidder quoting a system of prices other than that specified, run the risk of summary rejection of the bid. c. The bidder should certify that prices quoted are not less favourable than the rates quoted to any other Government Department / Government Undertakings. Page 10 of 24 10

11 2.5 LATEST HOUR FOR RECEIPT OF BIDS: Online / Electronic Bid shall be submitted through within the date specified in NIB. In general, no request for postponement or extension of time shall be permitted for the tender document download period and / or tender / price bid opening date. However, purchaser has right to decide. 2.6 BID OPENING: a) This is a two stage tender. In the first stage, the Technical and Commercial bid shall be opened. b) In the second stage, the price bid of the qualified / shortlisted bidders shall be opened on a later date. The time, date and venue for opening of price bid shall be intimated to the short listed bidders in due course. c) No extension of time shall be permitted for the Tender Opening date. 2.7 BID VALIDITY: The Bid should be kept valid for acceptance for a period of 180 days from the date set for the opening of the Techno-Commercial bid. 2.8 DEVIATION: Normally no deviation is permitted to commercial and technical specification. Even then if the bidder takes any deviation, it shall be clearly indicated in the deviation schedule. Deviation listed elsewhere in the bid shall be summarily rejected and also be ignored. Separate printed standard terms and conditions of the bidder shall not be considered and shall be totally rejected. 2.9 EVALUATION OF BID : The Bids received will be evaluated by the Purchaser to ascertain the lowest evaluated substantially responsive Bid vis-à-vis the Tender Specifications. The Bidder has to satisfy himself that full information is furnished as required in the specifications. Lack of particulars or incomplete information furnished will run the risk of rejection of the bid GENERAL: Bids received in incomplete shape shall be liable for rejection. **** Page 11 of 24 11

12 SECTION - III COMMERCIAL CONDITIONS OF CONTRACT. 3.0 PRICE: The total price in respect of the entire scope of work covered by and in accordance with all terms and conditions stipulated in the Contract and incorporated in the Price Schedule shall be treated as the Contract Price. 3.1 TAXES AND DUTIES : Except Service Tax, all taxes and duties or any other statutory levies payable arising out of this contract are included in the quoted prices and shall be borne and paid by the Certification Agency. No claim by the Certification Agency, whatsoever, on these accounts will be entertained. 3.2 PAYMENT TERMS: All the payments shall be made in Indian Rupees as given below:- (a) 100% of Re-certification audit fees shall be paid after the completion of the audit within 20 days against the submission of invoice and certification by NLC regarding the completion of the activity. (b) (c) (d) 50% of Surveillance Audit fees shall be paid after the completion of each audit, within 20 days against the submission of invoice and certification by NLC regarding the completion of the activity. The license fee (Sl. No. 3 of the Schedule of Prices), if any, for three years will be paid on producing the invoice for the same along with a copy of Fee receipt paid. 13 The invoice should be accompanied by copy of service tax registration certificate and a declaration by the certification agency stating that in the previous year the value of the services rendered by them was not less than Rupees ten Lakhs. (e) (f) Tax deduction at source will be effected for the payments made as per Income Tax Act prevailing from time to time. PAN Card copy to be produced. Payment will be made by e-payment. 14 4.0 ORGANISATION BUSINESS : SECTION IV TECHNICAL CONDITIONS OF CONTRACT In a critical situation being faced by the Economy in general and the PSUs in particular, Vigilance has become a critical factor. It has become imperative for the organization to become critically vigilant on all fronts, adopting cost cutting and efficiency enhancing measures to remain afloat in the ocean of competition. Vigilance management has become a critical management function with the systems of checks and balances for punishing the corrupt and protecting the dedicated and honest employees. Hence ISO Certification is intended for vigilance branch to deliver a consistent quality of service following clearly documented Procedures and Instructions for achieving better efficiency. 4.1 ORGANISATION PROFILE: The NLC Vigilance Branch is headed by a CVO. The General Manager / Vigilance is assisted by a team of Executives, department administrative staff, and other workmen. S.NO. CATEGORY No.of persons 1 Executives 20 2 Non-Executives ( Regular) 30 3 Labour 09 4 Others 02 Total SCOPE OF WORK: The Certification Agency shall carry out re-certification audit of QMS for ISO 9001:2008 consisting of application, adequacy and certification audits before the expiry of the certificate which is valid up to , issue the renewal certificate and shall carry out two surveillance audits (once in a year) within the certification validity period of three years from the date of re-certification. 4.3 SPECIAL CONDITIONS: 1) The renewal certification audit shall be completed on or before and operative from November for a period of 3 years. 2) Within the period of three years, two surveillance audits shall be conducted at the interval of one year from the date of re-certification. 3) The Technical data, information, specifications and other related documents and such of those materials prepared by or furnished to the Certifying agency shall not be used for any purpose other than for execution of this contract. 15 4) The Technical data, information, specifications and other related documents shall not be divulged and or disclosed to a third party or used for any other purposes whatsoever, without NLC s previous consent in writing, except to the extent required for the execution of this contract. * * * * 15 Page 15 of 24

BID ACCEPTANCE Sl.No Description Bidder Acceptance 1.0 We agree to abide by and keep our Bid valid initially for a period of 6 (six) months from the date of opening of Techno-commercial Bid by NLC India Limited and it shall remain binding on us and may be accepted at any time before the expiry of that period. 2.0 I/We, the undersigned hereby agree to carry out the entire works as per prices quoted by us in the Schedule of Prices. 3.0 Should our Bid be accepted, we hereby agree to abide by and fulfill all Terms and conditions of Tender Document as accepted by us.
