2 The Life Insurance Corporation of India (hereinafter referred to as LIC ) a statutory corporation established under section 3 of Life Insurance Corporation Act 1956 (XXXI of 1956) and having its Corporate Office at Yogakshema, Jeevan Bima Marg, Mumbai , hereby invites sealed responses (hereinafter referred to as Bids ) in the prescribed format, to this Request for Proposal ( RFP ) for Renewal of Annual Technical Support (ATS) of Oracle and BEA Weblogic Software licenses for a period of one year. Bids received from the bidders who do not fulfill any of the following eligibility criteria are liable to be rejected. 1. The bidder should be a legal entity registered in India. 2. The bidder should hold valid Sales Tax & Service Tax Registration Certificates, PAN Card and should be registered with the appropriate authorities for all applicable statutory taxes/duties. 3. The bidder must submit the Manufacturer s authorization letter (i.e. MAF) from OEM (M/s Oracle). 4. Bidder must submit the Integrity Pact along with the Bid. Page 2 of 14

3 Proposals along with the following documents must be submitted in 2 separate sealed envelopes marked as: 1) RFP Renewal of ATS for Oracle/BEA Weblogic Licenses-Eligibility 2) RFP Renewal of ATS for Oracle/BEA Weblogic Licenses-Indicative Commercial Bid. 1) Contents Envelope 1- RFP Renewal of ATS for Oracle/BEA Weblogic Licenses- Eligibility : a) Letter of Proposal. b) Authorization for signing all the documents related to RFP as per the template. c) Authorization letter from OEM (M/s Oracle) authorizing the vendor to submit the bid for Renewal of ATS for Oracle Licences as mentioned in the RFP. d) Integrity Pact in the prescribed format. e) Documents such as NEFT Mandate Form, Certificate of Incorporation. 2) Contents Envelope 2 - RFP Renewal of ATS for Oracle/BEA Weblogic Licenses- Indicative Commercial Bid : a) Indicative Commercial bid in a separate sealed envelope (as per Annex. 1). Proposals complete in all respects should be put in the tender box kept at the following address latest by 4.00 P.M. on 30 th March, Executive Director (IT/BPR) Life Insurance Corporation of India Jeevan Seva Annexe, 2 nd floor, South wing, IT/BPR department, Opp. Santacruz Bus Depot, S. V. Road, Santacruz (West), Mumbai Bid Currencies Prices for all the components shall be quoted in Indian Rupee (INR) only. Arithmetical errors The Arithmetical errors will be rectified on the following basis. If there is a discrepancy between the unit price and the total price that is obtained by multiplying the unit price and quantity, the unit price shall prevail and the total price shall be corrected accordingly. If there is a discrepancy between words and figures, the amount in words shall prevail. If the bidder does not accept the correction of errors, its bid will be rejected. Late Bids Bids received after the date and time specified in the Schedule of Events will not be considered and will be rejected. LIC may, at its sole discretion, change the date/time of submission and LIC s decision in this matter will be final. Page 3 of 14

4 General Terms and Conditions 1. Cost Details & Validity: The quoted Rate / Cost should be inclusive of all levies / taxes like Service tax, Sales Tax, CST / VAT (excluding Octroi). LIC of India would reimburse Octroi cost, if any, to the vendor on actuals on production of original Octroi receipts in LIC s name. The proposal submitted against this RFP should remain valid till at least three months from the last date of submission of proposal. 2. Payment Terms: 100% payment after submitting the proof of renewal of Oracle ATS with Oracle India Pvt. Limited for the desired period. All the payments will be made by LIC, Central Office, Mumbai, electronically through RTGS/NEFT by crediting the same in vendor s bank a/c as per details furnished in the Bank Mandate Form. TDS shall be deducted as per applicable rates/rules. LIC would reimburse Octroi, if any, to the vendor on actuals on production of original Octroi receipts in LIC s name. 3. LIC reserves the right to accept or reject any quotation in full or part, and to suspend this process and reject all quotations or part thereof, at any time prior to the award of contract, without thereby incurring any liability to the affected vendors on the grounds of the purchaser s inaction. 4. Bid Submission: Vendors should submit the bids strictly in accordance with the information given in the Schedule of Events under RFP. 5. Pre Contract Integrity Pact This RFP is an offer made on the condition that the bidder will sign the Integrity Pact with LIC. Only those vendors/bidders who have entered into Pre Contract Integrity Pact with LIC would be eligible to participate in the bidding. Life Insurance Corporation of India reserves the right to consider/ reject any or all applications without assigning any reason thereof. 7. Life Insurance Corporation of India reserves the right to negotiate further with L1 bidder as determined after online reverse auction. 8. Responsive bid: Bid conforming to the following essential requirements shall be considered as responsive: i. Bid shall be submitted at the prescribed address on or before the stipulated date and time. ii. Bid shall contain the following documents (as mentioned in Page 2) : 1) Letter of Proposal 2) Authorization letter for signing all the documents related to RFP. 3) Authorization letter from OEM as per the format i.e. Annexure 2 (Manufacturers Authorization Form) authorizing the bidder to submit the bid for Renewal of ATS of Oracle & Weblogic licences. 4) Pre- Contract Integrity Pact. 5 5) Indicative Commercial bid in the prescribed format i.e. Annexure 1, in a separate non-window sealed envelope. 9. Opening of Bids: Bids received before the closing date and time specified in the Schedule of Events will be opened in the presence of bidders representatives (maximum two representatives per bidder) who choose to attend the opening of the bids on the specified date, time and venue as given in the Schedule of Events. 10. Bids not accompanied with the documents mentioned in the Clause 8(ii) above will be considered as NON-RESPONSIVE. No further communication will be done in this regard with the bidder whose Bid is considered as NON-RESPONSIVE. 11. Evaluation Criteria Bids of those bidders satisfying the eligibility requirements and accepting the terms and conditions of this document shall be short-listed for further process. Only fixed price financial bids indicating total price for all the deliverables specified in this bid document will be considered. The bid price shall include all taxes and levies and shall be in Indian Rupees and mentioned separately. L1 quote would mean the lowest price mentioned in the Commercial bid i.e. lowest Grand Total Cost (excluding Octroi ) as per Annexure 1, discovered through Online Reverse Auction. L1 Bidder would mean the Bidder with L1 quote. Any conditional bid would be rejected. The decision of Life Insurance Corporation of India will be final in this regard. REVERSE AUCTION: LIC will hold Reverse Auction in the event 2 or more bidders are eligible. a) Price Variation Factor When the number of eligible bidders are more than 3 and if a bidder quotes higher prices i.e. prices which are higher by more than 40% as compared to the average of the quoted prices (of all eligible bidders) in the indicative commercial bid (Grand Total Cost excluding Octroi as mentioned in Annexure 1), such bidder shall not be called for reverse auction process. b) Bidders shall arrange the Digital Certificates (at no cost to LIC) from a Certifying Agency notified by Comptroller of Certifying Authority (CCA) as per Information Technology Act, 2000 as amended from time to time. c) LIC will determine the Start Price and other parameters for the Reverse Auction i) On its own and / or ii) Evaluating the price band information available in the indicative commercial bids of the eligible bidders and / or iii) Based on the lowest quote received in the indicative commercial bids. 6 d) Business Rules for the Reverse Auction will be communicated to the eligible bidders. e) When there are no bids in the Reverse Auction, LIC may decide Re-Auction while further amending the start price. LIC may decide a re-auction by taking fresh Indicative prices from all qualified vendors in sealed cover only, to amend the start price for Re-auction. 12. Procedure for Finalizing L1 Vendor The Bidder, who has submitted the L1 quote [lowest Commercial bid i.e. lowest Grand Total Cost (excluding Octroi) mentioned in Annexure 1] during the online reverse auction shall be selected as the L1 Bidder and shall be called for further process leading to the award of the Contract. 13. In case the successful bidder (XYZ) fails to fulfill any of the obligations under the RFP within the timelines defined, LIC reserves the right to cancel his selection and declare the bidder with rank 2 (ABC) as successful bidder provided this bidder agrees to match the commercial bid of XYZ. 14. In case of any deviation in general terms and conditions, bids would be liable for rejection. Page 6 of 14

Change in Tax structure at the time of actual invoicing : While any increase in the rates of applicable taxes or impact of new taxes subsequent to the submission of the quotation/rates shall be borne by LIC, any subsequent decrease in the rates of applicable taxes or impact of new taxes shall be passed on to LIC in its favour.
