Inspectin f the Park Center elevated water strage tank revealed a leak at the base f the tank. The prpsed IPO will prvide recmmendatins fr rehabilitatin f the exterir and interir f the tank and bring it int cmpliance with TCEQ regulatins. Plans and specificatins fr a cnstructin prject will be develped. The IPO als prvides fr cnstructin management by Kimley-Hrn n a reimbursement basis. The design fee requested is $95,000 which includes a budgeted $25,000 fr cnstructin phase services that will be perfrmed n a reimbursement basis. Cnstructin is currently estimated at $1,000,000. FINANCIAL IMPACT: Overall funding in the amunt f $1,200,000 fr cnstructin and engineering was apprved in the Budget (Water & Wastewater, Accunt , EF Capital Prjects). RECOMMENDATION: Staff recmmends that the IPO with Kimley-Hrn be apprved in an amunt nt t exceed $95,000 fr the Park Center Elevated Tank Rehabilitatin. 4 Page 2 INDIVIDUAL PROJECT ORDER NUMBER Park Center Elevated Strage Tank Rehabilitatin Describing a specific agreement between Kimley-Hrn and Assciates, Inc. (the Cnsultant), and The City f Saginaw, Texas (the Client) in accrdance with the terms f the Master Agreement fr Cntinuing Prfessinal Services dated April 17, 2012, which is incrprated herein by reference. Identificatin f Prject: Park Center Elevated Strage Tank Rehabilitatin Prject Understanding: This prject is identified in the fiscal year budget. Recent inspectin f the elevated strage tank indicated a leak at the base f the water strage tank bwl. The tank was last rehabilitated in The Client desires t rehabilitate the inside and utside f strage tank, repair the leak at the base f the water strage tank bwl, and bring appurtenances int TCEQ cmpliance. Scpe f Services: Task 1 Preliminary Design Phase The Cnsultant will prvide the fllwing prfessinal services under this task: 1. Kick-Off Meeting - The Cnsultant will facilitate a kick-ff meeting with City Staff t develp criteria, design parameters, and prject schedule. 2. Tank Inspectin Services Once the tank is drained and ut f service, tank inspectin services will include the fllwing: The exterir areas f the tank will be visually inspected frm the grund and areas that are readily accessible (i.e. catwalks and ladders). Samples f the interir and exterir paint will be taken and analyzed fr ttal cntent f cadmium, chrmium, and lead (2 interir and 4 exterir). Thickness readings f the metal will be made n the accessible prtins f the tank using an ultrasnic thickness gauge. Adhesin tests will be perfrmed n the exterir and interir paint (3 t 5 tests ttal). Dry film thickness readings will be made n the exterir and interir paint. The tank s appurtenances such as manways, hatches, verflw pipes, and ladders will be inspected. Clr phtgraphs will be taken during the exterir and interir inspectins and prvided in reprt frmat. Fur (4) sil samples will be taken frm the area arund the EST using a qualified getechnical labratry. The sil samples will be sent t a labratry fr analysis f lead and chrmium.

Preliminary Design Reprt The reprt will include the fllwing: Executive Summary Discussin, phts and recmmendatin fr the different prject cmpnents (i.e. site evaluatin, tank interir, tank exterir, tank appurtenances and telecmmunicatin). This sectin will als fcus n the fllwing: Current interir and exterir cating system evaluatin. Chemical analysis f paint samples. Evaluatin f pitting and recmmendatin fr repairs. Priritized list f repair recmmendatins and the preliminary pinin f prbable cnstructin cst (OPCC) fr each repair. New cating system recmmendatins. Tank mdificatins necessary t cmply with current TCEQ, including 30 TAC , OSHA and AWWA standards knwn and published at the time f this agreement Evaluate and recmmend mdificatins needed t accmmdate cables, antennas, and ther equipment lcated at the tp f the tank. Appendices Preliminary pinin f prbable cnstructin cst (OPCC) Testing results Meetings: a. One (1) kick-ff meeting with City Staff. b. One (1) review meeting t discuss draft reprt. Deliverables: a. Three (3) cpies f draft reprt. b. Three (3) cpies f final reprt. Services/Deliverables prvided by the Client: a. Attend Kick-ff Meeting. b. Attend Review Meeting. Task 2 Final Design Phase Once the reprt has been cmpleted, Cnsultant will prepare cnstructin cntract dcuments and specificatins in accrdance with the reprt. Prfessinal services under this task include: 1. Cntract Dcuments - The Cntract Dcuments will be based upn the NCTCOG Standard Specificatins fr Public Wrks Cnstructin and the Client s requirements fr Public Wrks Cnstructin will gvern all ther specificatins. 2. Specificatins - Specificatins shall include technical specificatins fr the rehabilitatin and repaint f the tank and sequencing f cnstructin in assciatin with the telecmmunicatin facilities. Technical specificatins shall be City standards where applicable. All ther specificatins shall be based n industry standards.

6 Page 4 Meetings: a. One (1) review meeting with City Staff. Deliverables: a. Six (6) cpies f specificatins and cntract dcuments b. Six (6) cpies f the final OPCC. Services/Deliverables prvided by the Client: a. Review and cmment n specificatins and cntract dcuments. Task 3 Bidding Cnsultant will prvide the fllwing prfessinal services under this task: 1. Final Cntract Dcuments Cnsultant will prepare and issue the prject fr advertisement utilizing the CivCast website. Cnsultant will print and issue sets f plans and specificatins as requested by cntractrs r plan huses. A nn-refundable depsit will be required f cntractrs r plan huses fr plans and specificatins. 2. Ntice t Bidders Cnsultant will prepare a ntice t bidders. The Client will be respnsible fr submitting the Ntice t newspapers fr advertisement. Advertising will be billed directly t the Client by the newspaper. 3. Pre-Bid Meeting Cnsultant will facilitate a mandatry pre-bid meeting with cntractrs prir t bid pening. 4. Addenda Cnsultant will answer cntractr questins during the bid prcess. Cnsultant will issue addenda as required. 5. Bid Opening Cnsultant will attend the bid pening, prepare a tabulatin f bids, and prepare a letter summarizing the bids t the Client fr award f cntract. 6. Executin Cnsultant will prepare six (6) sets f the Cntract Dcuments fr executin by the cntractr, receive and review such dcuments fr cmpleteness, and frward t the Client fr review and executin. Meetings: a. Pre-bid meeting as described abve. b. Bid Opening as described abve. Deliverables: a. Final Cntract Dcuments as described abve. b. Ntice t Bidders as described abve. c. Addenda as described abve. d. Tabulatin f Bids as described abve. e. Letter Summarizing Bids as described abve. f. Cntract Dcuments fr Executin as described abve.

Task 4 Cnstructin Cntract Administratin Cnsultant will prvide prfessinal cnstructin phase services t the Client during cnstructin f this prject. The estimated cnstructin perid f the prject is fur (4) mnths fr the basis f establishing the Cnsultant s Fee. The cnstructin phase services are as fllws: Pre-Cnstructin Cnference The Cnsultant will cnduct a pre-cnstructin cnference prir t cmmencement f wrk at the site. Visits t Site and Cnstructin Observatin The Cnsultant will prvide n-site cnstructin bservatin services during the cnstructin phase. Cnsultant will make visits at intervals as directed by Client in rder t bserve the prgress f the Wrk. Such visits and bservatins by Cnsultant are nt intended t be exhaustive r t extend t every aspect f Cntractr's wrk in prgress. Observatins are t be limited t spt checking, selective measurement, and similar methds f general bservatin f the Wrk based n Cnsultant s exercise f prfessinal judgment. Based n infrmatin btained during such visits and such bservatins, Cnsultant will evaluate whether Cntractr's wrk is generally prceeding in accrdance with the Cntract Dcuments, and Cnsultant will keep Client infrmed f the general prgress f the Wrk. The purpse f Cnsultant s site visits will be t enable Cnsultant t better carry ut the duties and respnsibilities specifically assigned in this Agreement t Cnsultant, and t prvide Client a greater degree f cnfidence that the cmpleted Wrk will cnfrm in general t the Cntract Dcuments. Cnsultant shall nt, during such visits r as a result f such bservatins f Cntractr's wrk in prgress, supervise, direct, r have cntrl ver Cntractr's wrk, nr shall Cnsultant have authrity ver r respnsibility fr the means, methds, techniques, equipment chice and usage, sequences, schedules, r prcedures f cnstructin selected by Cntractr, fr safety precautins and prgrams incident t Cntractr's wrk, nr fr any failure f Cntractr t cmply with laws and regulatins applicable t Cntractr's furnishing and perfrming the Wrk. Accrdingly, Cnsultant neither guarantees the perfrmance f any Cntractr nr assumes respnsibility fr any Cntractr's failure t furnish and perfrm its wrk in accrdance with the Cntract Dcuments. Recmmendatins with Respect t Defective Wrk The Cnsultant will recmmend t Client that Cntractr's wrk be disapprved and rejected while it is in prgress if, n the basis f such bservatins, Cnsultant believes that such wrk will nt prduce a cmpleted Prject that cnfrms generally t Cntract Dcuments. Clarificatins and Interpretatins The Cnsultant will respnd t reasnable and apprpriate Cntractr requests fr infrmatin and issue necessary clarificatins and interpretatins f the Cntract Dcuments t Client as apprpriate t the rderly cmpletin f Cntractr's wrk. Any rders authrizing variatins frm the Cntract Dcuments will be made by Client. Change Orders The Cnsultant may recmmend Change Orders t Client, and will review and make recmmendatins related t Change Orders submitted r prpsed by the Cntractr.

8 Page 6 Shp Drawings and Samples The Cnsultant will review and apprve r take ther apprpriate actin in respect t Shp Drawings and Samples and ther data which Cntractr is required t submit, but nly fr cnfrmance with the infrmatin given in the Cntract Dcuments. Such review and apprvals r ther actin will nt extend t means, methds, techniques, equipment chice and usage, sequences, schedules, r prcedures f cnstructin r t related safety precautins and prgrams. Substitutes and "r-equal" The Cnsultant will evaluate and determine the acceptability f substitute r "r-equal" materials and equipment prpsed by Cntractr in accrdance with the Cntract Dcuments, but subject t the prvisins f applicable standards f state r lcal gvernment entities. Inspectins and Tests The Cnsultant may require special inspectins r tests f Cntractr's wrk as Cnsultant deems apprpriate, and may receive and review certificates f inspectins within Cnsultant s area f respnsibility r f tests and apprvals required by laws and regulatins r the Cntract Dcuments. Cnsultant s review f such certificates will be fr the purpse f determining that the results certified indicate cmpliance with the Cntract Dcuments and will nt cnstitute an independent evaluatin that the cntent r prcedures f such inspectins, tests, r apprvals cmply with the requirements f the Cntract Dcuments. Cnsultant shall be entitled t rely n the results f such tests and the facts being certified. Disagreements between Client and Cntractr The Cnsultant will, if requested by Client, render written decisin n all claims f Client and Cntractr relating t the acceptability f Cntractr's wrk r the interpretatin f the requirements f the Cntract Dcuments pertaining t the prgress f Cntractr's wrk. In rendering such decisins, Cnsultant shall be fair and nt shw partiality t Client r Cntractr and shall nt be liable in cnnectin with any decisin rendered in gd faith in such capacity. Applicatins fr Payment Based n its bservatins and n review f applicatins fr payment and accmpanying supprting dcumentatin, Cnsultant will determine the amunts that Cnsultant recmmends Cntractr be paid. Such recmmendatins f payment will be in writing and will cnstitute Cnsultant s representatin t Client, based n such bservatins and review, that, t the best f Cnsultant s knwledge, infrmatin and belief, Cntractr s wrk has prgressed t the pint indicated and that such wrk-in-prgress is generally in accrdance with the Cntract Dcuments subject t any qualificatins stated in the recmmendatin. In the case f unit price wrk, Cnsultant s recmmendatins f payment will include determinatins f quantities and classificatins f Cntractr's wrk, based n bservatins and measurements f quantities prvided with pay requests. By recmmending any payment, Cnsultant shall nt thereby be deemed t have represented that its bservatins t check Cntractr's wrk have been exhaustive, extended t every aspect f Cntractr's wrk in prgress, r invlved detailed inspectins f the Wrk beynd the respnsibilities specifically assigned t Cnsultant in this Agreement. It will als nt impse respnsibility n Cnsultant t make any examinatin t ascertain hw r fr what purpses Cntractr has used the mneys paid n accunt f the Cntract Price, nr t determine that title t any prtin f the wrk in prgress, materials, r equipment has passed t Client free and clear f any liens, claims, security interests, r encumbrances, nr that there may nt be ther matters at issue between Client and Cntractr that might affect the amunt that shuld be paid.

9 Page 7 Substantial Cmpletin The Cnsultant will, prmptly after ntice frm Cntractr that it cnsiders the entire Wrk ready fr its intended use, in cmpany with Client and Cntractr, cnduct a site visit t determine if the Wrk is substantially cmplete. Wrk will be cnsidered substantially cmplete fllwing satisfactry cmpletin f all items with the exceptin f thse identified n a final punch list. If after cnsidering any bjectins f Client, Cnsultant cnsiders the Wrk substantially cmplete, Cnsultant will ntify Client and Cntractr. Final Ntice f Acceptability f the Wrk The Cnsultant will cnduct a final site visit t determine if the cmpleted Wrk f Cntractr is generally in accrdance with the Cntract Dcuments and the final punch list s that Cnsultant may recmmend, in writing, final payment t Cntractr. Accmpanying the recmmendatin fr final payment, Cnsultant shall als prvide a ntice that the Wrk is generally in accrdance with the Cntract Dcuments t the best f Cnsultant s knwledge, infrmatin, and belief based n the extent f its services and based upn infrmatin prvided t Cnsultant upn which it is entitled t rely. Limitatin f Respnsibilities The Cnsultant shall nt be respnsible fr the acts r missins f any Cntractr, r f any f their subcntractrs, suppliers, r f any ther individual r entity perfrming r furnishing the Wrk. Cnsultant shall nt have the authrity r respnsibility t stp the wrk f any Cntractr. Recrd Drawings Prepare prject Recrd Drawings based n infrmatin prvided by the Cntractr and/r Client as t the actual field placement f the wrk including any changes r deletins. Cnsultant is nt respnsible fr the accuracy f the infrmatin prvided by the Cntractr and/r the Client. Cnsultant will prvide the fllwing deliverables: One (1) set f reprducible (22 x 34 ) Recrd Drawings. One (1) set f.pdf file Recrd Drawings (each sheet will be a separate.pdf file) Deliverables: Shp Drawing Reviews as described abve Cntractr s Estimates as described abve Recrd Drawings as described abve Services/Deliverables prvided by the Client: Prvide Client s staff input n prgress f wrk. Payment f the Cntractr.

10 Page 8 ADDITIONAL SERVICES Any services nt specifically prvided fr in the abve scpe, as well as any changes in the scpe requested by the Client, will be cnsidered additinal services. Additinal services include, but are nt limited t, the fllwing: Prviding resident prject representatin services (RPR), n-site inspectin, during the cnstructin phase f the prject. Sampling, testing, r analysis beynd that specifically included in the Scpe f Services referenced herein abve. Prviding prfessinal services assciated with the discvery f any hazardus waste r materials in the prject rute. Subsurface Utility Engineering (SUE) Attendance at Public Meetings beynd thse specifically included in the Scpe f Services referenced abve. Additinal sets f bidding dcuments. Prfessinal services assciated with re-bidding the prject. Making significant mdificatins t the plans and specificatins after the preliminary submittals have been apprved by the Client. Any additinal changes t the Cntract Dcuments necessary t break the prject int phases. Additinal cnstructin cntract administratin respnsibilities beynd thse specifically included in the Scpe f Services referenced abve. Establish new survey mnuments fr any f the prpsed sites. Assisting Client r Cntractr in the defense r prsecutin f litigatin in cnnectin with r in additin t thse services cntemplated by this Agreement. Such services, if any, will be furnished by Cnsultant n a fee basis negtiated by the respective parties utside f and in additin t this Agreement. Accmpanying the Client s persnnel when meeting with the Texas Cmmissin n Envirnmental Quality, U.S. Envirnmental Prtectin Agency r ther regulatry agencies during the curse f the Prject. Cnsultant will assist the Client s persnnel n an as-needed basis in preparing cmpliance schedules, prgress reprts, and prviding general technical supprt fr the Client s cmpliance effrts. Preparing applicatins and supprting dcuments fr gvernment grants, lans, r planning advances, and prviding data fr detailed applicatins. Appearing befre regulatry agencies r curts as an expert witness in any litigatin with third parties r cndemnatin prceedings arising frm the develpment r cnstructin f the Prject, including the preparatin f engineering data and reprts fr assistance t the Client. Any services nt listed in the Scpe f Services.

Cnsultant will perfrm the Services in Task 4 and additinal services n a labr fee plus expense basis. Cnsultant recmmends the Client budget $25,000 fr this task based n the estimated cnstructin perid. Payment will be due within 25 days f yur receipt f the invice.
