2 RESOLUTION NO. 2014/ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DEERFIELD BEACH, FLORIDA APPROVING A TOWER LICENSE AGREEMENT EXTENSION WITH SBA 2012 TC ASSETS LLC TO 2043 WHEREAS, the City of Deerfield Beach and Sprint PCS entered into a Tower License Agreement dated March 3, 1998 for a Cell Tower located at 1901 S.W 15th Street, Deerfield Beach, FL (Ecidar Park); and WHEREAS, the agreement was assigned to SBA 2012 TC Assets LLC (the Licensee) on September 23, 2008; and WHEREAS, the City is in the third of four five-year renewal terms and if all renewal terms are exercised, the current lease will end in 2023; and WHEREAS, the Licensee has requested five additional renewal terms beyond the 2023 expiration date, which would extend the agreement to the year 2043; and WHEREAS, in return for the security of this long-term lease extension, the Licensee has agreed to a signing bonus of $25,000 for the City; and WHEREAS, the existing terms and conditions, and license fees payment escalations will remain the same; and WHEREAS, pursuant to Section (d) of the City Code, a public hearing was held prior to the vote on this Resolution; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DEERFIELD BEACH, FLORIDA, AS FOLLOWS: Section 1. The above referenced Whereas clauses are true and correct and made a part hereof. Section 2. The City Commission does hereby approve the Tower License Agreement Extension as attached hereto with SBA 2012 TC Assets LLC and authorizes the Mayor or the City Manager to execute same and the administration to implement its conditions and terms. 4 Memorandum TO: FROM: Burgess Hanson, City Manager David Santucci, Purchasing Manager DATE: March 5, 2014 RE: Cell Tower Lease Extension Agreement (Ecidar Park) The current Licensee, SBA 2012 TC Assets LLC, of the Cell Tower located at 1901 S.W 15 th Street, Deerfield Beach, FL (Ecidar Park) has approached the City to request an extension of the current lease agreement. We are in the third of four five-year renewal terms. If all renewal terms are exercised, the current lease will end in The Licensee has requested five additional renewal terms beyond the 2022 expiration date, which will extend the agreement to the year In return for the security of this long-term lease extension, the Licensee originally proposed a signing bonus of $5, The signing bonus was negotiated to $25, The existing terms and conditions, and license fees payment escalations will remain the same. The Agreement Extension has been reviewed by the Purchasing Division and the City Attorney s Office. Under the current agreement the City has received $478, in revenue since At end of the current agreement end in 2023, the City will have received $892, Should the City Commission approve the lease extension an additional revenue stream of $2,222, will be secured, assuming the Licensee renews for each term, for the period of 2023 through The original Tower License Agreement Extension is currently in the hands of the Licensee. They are executing the documents in good-faith. A copy of the Agreement Extension is attached herein. Additionally, I have included an aerial display showing the property. DS Attachments
