PLEASE CLICK HERE TO SEND MATCH HOSPITALITY FACILITIES AGREEMENT SUMMARY TERMS & CONDITIONS These terms ad coditios (the Terms ad Coditios ) gover the purchase of the facilities described o the attached bookig form (the Bookig Form ) from Hampde Park Limited, a compay registered i Scotlad with compay umber SC ad havig its registered office at Hampde Park, Glasgow, G42 9BA (the Compay ). The Bookig Form, the Terms ad Coditios, the website terms ad coditios ( the privacy policy ( (the Privacy Policy ) ad the Stadium Groud Regulatios displayed throughout the Stadium (the Groud Regulatios ) shall comprise the etire agreemet betwee the parties (the Agreemet ) for the provisio of the hospitality package described o the Bookig Form (the Facilities ). By applyig to purchase the Facilities, the Purchaser ackowledges that they have carefully read, uderstood ad agree to adhere to the Agreemet. 1. Subject to the terms of the Agreemet, the Facilities shall be supplied by the Compay to the party specified as the purchaser/ host o the Bookig Form (the Purchaser ) for the match specified i the Bookig Form (the Relevat Match ) at Hampde Park, the Natioal Stadium (the Stadium ) i cosideratio of paymet of the fee specified i the Bookig Form (the Fee ). The Fee icludes ay postage charges. 2. Purchasers must be aged 18 or over at the time of the purchase of the Facilities. Guests uder 18 will ot be etitled to atted the Facilities uless they are accompaied by a Purchaser or Guest aged 18 or over. 3. The Compay s receipt of a Bookig Form does ot guaratee that Facilities will be provided. The Facilities are subject to availability ad are sold at the Compay s sole discretio. The Compay is ot liable for ay loss, expese or other type of claim arisig as a result of ay usuccessful attempt to book or purchase Facilities. 4. The Purchaser s submissio of a completed Bookig Form (either electroically or i hard copy) shall be deemed to be the Purchaser s acceptace of the terms of the Agreemet ad a offer by the Purchaser to purchase the Facilities. The Purchaser s offer shall be deemed to be accepted ad a bidig cotract for delivery of the Facilities formed oly oce: (i) the Compay has issued a ivoice to the Purchaser for the paymet of the Fee (the Ivoice ); ad (ii) the Compay cofirms that paymet of the Fee has bee made by the Purchaser to the Compay i cleared fuds. The Purchaser must pay ay Ivoice i full immediately upo receipt. The accepted paymet methods are: cheque, bak trasfer, credit or debit card (Visa, Visa debit, Visa Electro, MasterCard ad Maestro). 5. The Facilities will be made available to either: (i) idividuals; or (ii) Busiess Customers, defied as those idividuals makig use of the Facilities i coectio with their busiess or trade. Specific terms will apply to Busiess Customers as set out i these Terms ad Coditios. 6. Oce the Facilities are purchased, the Purchaser will ot be able to obtai a full refud of the Fee if they the wish to cacel their purchase i whole or i part. Cacellatio or part cacellatio must be made i writig by letter to the Stadium marked for the attetio of the Commercial Maager or by to hospitality@ hampdepark.co.uk. I the evet that the Compay receives writte otice cacellig the bookig from the Purchaser the Compay shall be etitled to retai the Fee (or a proportio thereof) as follows: % of the Fee if writte otice of cacellatio is received by the Compay less tha 14 days prior to the Relevat Match; % of the Fee if writte otice of cacellatio is received by the Compay betwee 28 ad 14 days prior to the Relevat Match; ad % of the Fee if writte otice of cacellatio is received by the Compay more tha 28 days prior to the Relevat Match; 7. The Facilities will oly be available o the day of the Relevat Match i the period which is ecessary to esure that the Facilities are provided, which shall be set out o the Compay s website or o the Ivoice. The Compay is ot liable for ay loss, expese or other type of claim arisig as a result of ay dates or times becomig usuitable for the Purchaser ad/or the Guests. 8. The obligatios set out i these Terms ad Coditios apply to all people that the Purchaser is authorised to ivite to use the Facilities (the Guests ). The Purchaser will act as the authorised represetative of the Guests ad is fully liable for the acts or omissios of its Guests. The Purchaser shall maitai a list of ames ad addresses of the Guests attedig the Relevat Match ad shall provide this list to the Compay o request. 9. The Facilities are oly for the Relevat Match at the Stadium. Followig paymet i cleared fuds by the Purchaser, the Compay shall supply a ticket ad a accreditatio pass to access the Facilities (together the Tickets ). Tickets are issued by the Compay for use by the amed Purchaser ad its Guests oly. Purchaser are expressly prohibited from disposig of, postig o social or retail websites for re-sale, re-sellig or trasferrig ay Tickets that have bee allocated to them. Loss or theft of Tickets must be reported to the Compay i writig. The Purchaser will remai resposible for the use of the Tickets uless reported. The Compay is uder o obligatio to replace ay Tickets that are lost or stole ad it may charge i respect of each set of missig Tickets a admiistratio fee of up to 10 for issuig replacemet Tickets. 10. The purchase of the Facilities gives the Purchaser ad its Guests the right to ejoy the Facilities as set out i the Agreemet ad does ot grat the Purchaser or its Guests exclusive possessio of the Facilities or create a teacy of ay kid. The Purchaser is ot permitted to re-sell, dispose (i whole or i part) trasfer, assig, sub-cotract this Agreemet or ay of the rights ad terms of this Agreemet without the express prior writte coset of the Compay. Uless prior writte coset has bee obtaied from the Compay, the Tickets may ot be trasferred, sold, offered for sale or auctioed for gai or profit or used as giveaways or prizes i ay competitio ru by or o behalf of the Purchaser or its Guests or i cojuctio with a third party. 11. If a Purchaser who resides i the UK (a UK Purchaser ) has paid for the Facilities i cleared fuds 7 days or more before a Relevat Match, the Compay will issue the Tickets by Royal Mail Special Delivery. If a UK Purchaser has paid for the Facilities i cleared fuds less tha 7 days before the Relevat Match, uless the Compay idicates to the cotrary, the Tickets will be available for collectio at the time or locatio idicated by the Compay. The Purchaser must provide proof of idetify ad purchase whe collectig the Tickets. 12. If a Purchaser who does ot reside i the UK (a No-UK Purchaser ) has paid for the Facilities i cleared fuds, the Tickets will be available for collectio at the time or locatio idicated by the Compay. The No-UK Purchaser must provide proof of idetify ad purchase whe collectig the Tickets. 13. The Purchaser is resposible for distributig Tickets to Guests. No Purchasers or Guests will be permitted access to the Facilities without Tickets. The Purchaser shall cofirm its ame to Guests to allow the Compay to direct Guests to the correct part of the Stadium. 14. The Compay reserves the right to refuse admissio to or reject ay perso whose dress is ot i keepig with the high stadard of dress customary for those usig the Facilities. For the avoidace of doubt, the Purchasers ad Guests are ot permitted to wear traiig shoes, replica jerseys ad blue deims. The Purchasers ad Guests are also prohibited from wearig ay team colours of ay kid whe attedig ay fuctio at the Stadium. Purchasers should ote that buses will ot be permitted etry to the car park without prior express agreemet of the Compay. 15. The Purchaser will ad will procure that its Guests coduct themselves at all times i the Stadium i a maer befittig the good reputatio ad itegrity of the Compay, ad i accordace with the Groud Regulatios. Without prejudice to the Groud Regulatios, the followig is ot permitted i the Stadium or o the Compay s property: foul, isultig, offesive or abusive laguage or behaviour, racist, discrimiatory, isultig, offesive or sectaria remarks, sogs or chats, or the promotio or edorsemet of ay political orgaisatio or group proscribed uder the Terrorism Act The Stadium has bee desigated a o smokig buildig. Smokig is strictly forbidde withi the Stadium. It is the resposibility of the Purchaser to esure that its represetatives ad Guests adhere strictly to the o-smokig policy of the Stadium. Failure to adhere may result i ejectio from the Stadium or referral to the authorities. I the evet of such failure the Compay shall be etitled to termiate this Agreemet without compesatio or otice to the Purchaser. Exit ad re-etry by the Purchaser ad its Guests is strictly prohibited. 17. It is ot permitted for the Purchaser or for ay Guest to brig ito or cosume i the Stadium ay food or drik ot provided by the Compay. The Compay at its sole discretio reserves the right to refuse to serve alcohol to ay Purchaser or Guest. The Purchaser shall ot ad shall procure that its Guests do ot: (i) remove alcohol from the Facilities; ad/or (ii) brig to or serve alcoholic driks or other beverages i the Facilities other tha those supplied by the Compay, without the prior writte coset of the Compay. 18. The Stadium must be left i a clea ad tidy coditio at the ed of each period of use. The Purchaser shall accept all liability for the costs of repairs, damage or claims suffered, icurred by or itimated to the Compay as a result, directly or idirectly of ay act or omissio of the Purchaser or its Guests. 19. The Purchaser is resposible for esurig that the high stadard of behaviour required at the Stadium is maitaied, ad must also esure that its Guests adhere to the geerally accepted stadards of behaviour ad coduct as idicated i the Groud Regulatios (as these may be ameded by the Compay from time to time). Ay breach of the Agreemet or the Groud Regulatios by ay Guest will be deemed to be a breach by the Purchaser of this Agreemet. 20. I the evet that the Purchaser or ay of its Guests breach or fail to comply with the terms of this Agreemet ad/or ay of the Groud Regulatios, the Compay shall be etitled to termiate this Agreemet without refud, compesatio or otice to the Purchaser ad to revoke the Purchaser ad its Guests etitlemet to use the Facilities. O such termiatio the Compay shall be free to deal with the Facilities as it thiks fit. 21. The Purchaser will be liable to the Compay for all ad ay losses, damages ad liability of whatever ature ad however arisig (icludig reasoable legal costs) as a result of ay breach of the Purchaser s obligatios specified i this Agreemet. Busiess Customers shall idemify ad hold the Compay harmless agaist all ad ay losses, damages of whatever ature ad howsoever arisig as a result of ay breach or alleged breach of its obligatios, udertakigs ad warraties as specified i this Agreemet. Such idemity shall also iclude all legal costs. 22 I the evet that the Compay is uable to perform its obligatios uder the Agreemet by ay cause beyod its cotrol (icludig but ot limited to the cacellatio or rearragemet of the Relevat Match), the Compay shall ot be liable for ay loss icurred by the Purchaser as a result of such o-performace, subject to the Compay providig a refud or suitable alterative services at a rearraged or rescheduled fixture (if available, at the Compay s discretio ad o the receipt by the Compay of writte evidece from the Purchaser). If the Relevat Match is abadoed, the Purchaser may be etitled to a refud (i full or i part) of the Fee depedig o the circumstaces. The Compay shall ot be held liable for the loss or late delivery of ay Ticket caused by malfuctio, iterruptio of mail services, or icomplete or iaccurate data etry by the Purchaser. 23 The Compay shall, i o circumstaces, be liable to Busiess Customers i cotract, delict (icludig egligece) warraty or otherwise, i respect of ay of the followig losses or damage (whether such losses or damages were foresee, foreseeable, kow or otherwise): 23.1 idirect or cosequetial losses; 23.2 losses that were ot caused by ay breach o the part of the Compay; 23.3 loss of busiess profits, salary, busiess reveue, goodwill, or aticipated savigs; or 23.4 loss which could have bee avoided by reasoable coduct. 24 The Purchaser ackowledges that ay persoal data provided to the Compay shall be used by the Compay i accordace with the Privacy Policy. The Purchaser ackowledges that ay photographs take by a accredited photographer iside or withi the immediate perimeter of the Stadium ad/or the Facilities may be used by the Compay for commercial purposes. 25 The failure of the Compay to exercise or eforce ay right coferred o the Compay by these Terms ad Coditios shall ot be deemed to be a waiver ay such right or operate to bar the exercise or eforcemet of ay right, power or remedy available to the Compay at that time. 26 Each of the paragraphs of the Terms ad Coditios operates separately. If ay court or relevat authority decides that ay of them are ulawful, the remaiig paragraphs will remai i full force ad effect. 27 All otices give uder the Agreemet shall be i writig ad shall be set to the addresses of the parties specified i the Bookig Form. Ay such otice shall be cosidered to be properly served if set by , pre-paid post or persoally. 28 Nothig i this Agreemet shall costitute or be deemed to costitute a joit veture, agecy or partership betwee the parties. 29. Ay chages to this Agreemet must be agreed i writig by both parties. 30 The Agreemet shall be costrued i accordace with Scots Law. For Busiess Customers, this Agreemet shall be subject to the exclusive jurisdictio of the Scottish Courts. Uless paymet by istalmets is expressly agreed betwee the Compay ad the Purchaser, the Compay requires the Purchaser to pay the Fee for the Facilities i full oce the Compay has cofirmed i writig the bookig of the Facilities. 9. I the evet that the Compay receives writte otice cacellig the bookig from the Purchaser the Compay shall be etitled to retai the Fee (or a proportio thereof) as a cacellatio fee calculated as follows: - The Fee i total if writte otice of cacellatio is received by the Compay less tha 14 days prior to the Relevat Match - 50% of the Fee if writte otice of cacellatio is received by the Compay betwee 28 ad 14 days prior to the Relevat Match - 25% of the Fee if writte otice of cacellatio is received by the Compay more tha 28 days prior to the Relevat Match 10. The Purchaser is resposible for esurig that the high stadard of behaviour established at the Stadium is maitaied, ad must also esure that represetatives ad guests adhere to the geerally accepted stadards of behaviour ad coduct as idicated i the Stadium Groud Regulatios displayed throughout the Stadium (as these may be ameded by the Compay from time to time). Ay breach of the Agreemet or the Stadium Groud Regulatios by ay guest or a represetative of the Purchaser will be deemed to be a breach by the Purchaser of this Agreemet. Ay breach of this clause will be deemed to be a material breach of this Agreemet. I the evet that the Purchaser or ay of its represetatives or guests breach or fail to comply i ay material respect with the terms of this Agreemet or ay of the Stadium Groud Regulatios, the Compay shall be etitled forthwith to termiate this Agreemet without refud, compesatio or otice to the Purchaser ad to revoke the Purchaser s etitlemet to use the Facilities. O such termiatio the Compay shall be free to deal with the Facilities as it thiks fit. 11. If the Purchaser is makig use of the Facilities i coectio with its busiess or trade (a Busiess Customer ), the Purchaser shall idemify ad hold the Compay harmless agaist all ad ay losses, damages ad so forth of whatever ature ad howsoever arisig as a result of ay breach or alleged breach of its obligatios, udertakigs ad warraties as specified i this Agreemet. Such idemity to iclude all legal costs. 12. I the evet of postpoemet/abadomet/ cacellatio of the Relevat Match the Purchaser may be etitled to a refud (i full or i part depedig o the circumstaces) of the Fee. Please cotact the Compay for details i the evet of postpoemet / abadomet / cacellatio. 15. The Compay may, by givig writte otice to the Purchaser, forthwith termiate this Agreemet ad the licece grated hereby i ay of the followig circumstaces: (a) If the Purchaser or ay of its represetatives or guests has committed a material breach of ay of the Purchaser s obligatios uder this Agreemet; or (b) If the Purchaser goes ito volutary or ivolutary liquidatio (other tha as part of a recostructio or amalgamatio) or is declared isolvet either i bakruptcy proceedigs or has reached a agreemet with creditors due to its failure or iability to pay its debts as they fall due, or if a receiver or admiistrator is appoited i respect of the whole part of the Purchaser s busiess. 16. The Compay shall, i o circumstaces, be liable to the Purchaser or ay guest or represetative of the Purchaser i cotract, delict (icludig egligece) warraty or otherwise, i respect of ay of the followig losses or damage (whether such losses or damages were foresee, foreseeable, kow or otherwise): - losses that were ot foreseeable to both parties whe the cotract was formed; - losses that were ot caused by ay breach o the part of the Compay; - loss of busiess profi ts, salary, busiess reveue, goodwill, or aticipated savigs; or - loss which could have bee avoided by reasoable coduct. 17. The Compay shall, i o circumstaces, be liable to Busiess Customers i cotract, delict (icludig egligece) warraty or otherwise, i respect of ay idirect or cosequetial loss or damage. 18. The Agreemet shall be costrued i accordace with Scots Law ad shall be subject to the exclusive jurisdictio of the Scottish Courts.
