INTRODUCTION: Bangalore International Airport Limited (BIAL), a company incorporated under the Companies Act, 1956, is engaged in the operation, management and the development the Kempegowda International Airport, Bengaluru (Airport). BIAL is expanding its existing airport situated at north Bengaluru City by taking up expansion works for existing passenger terminal building T1 and taking up additional new passenger terminal building T2 The sewage generated from existing PTB T1 including its expansion works already completed is being conveyed to an existing Sewage Treatment Plant (STP) design capacity 2.00 MLD located near CISF Barracks. Based on detailed water demand analysis and estimation sewage generation from KIA in future, it has been ascertained that the capacity existing STP will be inadequate to handle expected sewage flows from planned expansions. Hence, BIAL has considered expanding the existing sewage treatment facility at KIA by proposing a new additional sewage treatment plant 3.00 MLD capacities. The plant shall be a tertiary waste water treatment plant having primary, secondary and tertiary treatment units including dual media filtration, ultra-filtration and reverse osmosis. In this connection, BIAL intends to appoint a Contractor who has requisite experience and to execute the said STP and associated works on Turnkey basis (herein referred to as the Project) and in this regard invites Proposals from the Bidders for the same. In this regard, BIAL invites Expression Interest (the EOI ) from experienced and reputed contractors for execution the Works (as detailed below) for the Project. Interested parties having valid statutory registrations and capable undertaking the Project with relevant experience and resources on terms and conditions stipulated in this EOI and desiring to qualify to participate in the Bidding Process, are invited to apply expressing their interest. BIAL has adopted a two-stage process (collectively referred to as the Bidding Process ) for award the Project. The first stage (the Pre-Qualification Stage ) the Bidding Process involves selection interested parties who submit an EOI (the Applicant ), in accordance with the provisions the invitation to the EOI. At the end the Pre- Qualification Stage, BIAL expects to announce a list all qualified Applicants (the Bidders ) who will be eligible for participation in the second stage (the Bid Stage ) the Bidding Process comprising the Request for Proposals (the RFP ). 2. BACKGROUND AND SCOPE: Page 2

3 Kempegowda International Airport, Bengaluru is an International Airport serving the city Bangalore, Karnataka, India. Spread over an area 4,000 Acres, the Airport is situated on the northern outskirts Bangalore city, approximately 30 km from the city Railway Station. As per statistics available, it is observed there is a constant increase in the air traffic movement during recent months. Further, considering the growth in air traffic rate in the recent years and with an expectation it to continuously increase in the years to come, it has necessitated Bangalore International Airport Ltd (BIAL) to establish and develop better infrastructure in line with the master plan. Scope Work: The scope work for "Turnkey" assignment is as given below: i. Process design and detailed engineering design for the proposed tertiary STP including DMF, UF, RO and RO reject handling system including Civil / Hydraulic, Mechanical, Electrical, Instrumentation & Control System, SCADA etc. complete. ii. iii. iv. Construction, erection and commissioning the entire plant. Providing additional pumps at existing raw sewage collection well and providing raw sewage pumping main from existing raw sewage collection well to inlet chamber new STP. Providing treated water pipelines from the plant up to the boundary as detailed elsewhere in the document. v. Providing conveyance pipeline for RO reject to existing treated water storage tank existing STP including providing mixing arrangement consisting diffuser arrangement and mixers placed at the bottom the tank as detailed elsewhere in the document. vi. vii. viii. ix. Construction new feed tank for stener unit including shifting existing stener feed pumps, providing pipeline from new stener feed tank to existing steners etc. as detailed elsewhere in the document. Operation and maintenance the entire plant including RO reject system for a period five (5) years from the date successful testing and commissioning as certified by the Engineer-in-Charge. Preparation and submission process and hydraulic calculations, process / plant layout and hydraulic flow diagrams including mass and flow balance diagrams. Preparation and submission structural, mechanical, electrical and instrumentation and control system, SCADA design calculations, technical data sheets, vendor documents and drawings etc. Page 3

4 x. Preparation and submission structural and architectural drawings for all civil works, building works etc. and electromechanical equipment drawings including equipment installation drawings. xi. All the detailed designs and calculations as above shall be submitted to BIAL / Consultant for review and approval. xii. xiii. xiv. xv. xvi. Providing allied works like internal roads, drains, compound wall for STP area, site grading, landscaping, gardening, tree plantation etc. Preparation and submission O & M manuals / instructions and all as built drawings for civil, mechanical, electrical, instrumentation and control system works, SCADA etc. Obtaining periodic compliance renewal certificates from KSPCB. Demolition existing nursery sheds (Approx. 220 sq.m.) and other structures, fence, site levelling and disposal to designated dump site etc. as part site enabling works. The existing, road south existing STP, which is fouling with the area allocated for proposed STP, shall be demolished and new asphalt road to be constructed as per MoRTH specifications (Revision - V) at further north location as indicated in tender drawings. The proposed access road length is about 135 m and width shall be 7.0 m. 3. PARTICIPATION: Scope includes, demolition existing road and other structures, shifting existing service lines suitably without affecting the operations, electrical poles, earthwork and formation road with crust layers, providing and fixing kerb stones, kerb painting, side walk with paver block, construction RCC drain with cover slabs, culverts, gratings, silt trap and control structure as indicated in drawing, fixing street light poles with foundations, fixtures, cables, sleeves, encasement, signage s, smoothening existing road approaches, disposal dismantled materials etc. As per technical specifications and employers requirements specified elsewhere in the contract document. 3.1 Applicants shall have adequate financial capacity and technical capability to undertake the scope works. 3.2 RFP shall be issued to only such Applicants, short-listed in the Prequalification Stage. 3.3 The application for prequalification is to be submitted in accordance with the instructions as mentioned in the RFQ. 3.4 Applicants must fulfill the Eligibility Criteria on its own. For the purpose this EOI, Joint Ventures / Consortiums are not permitted to participate. 3.5 The EOI shall be duly signed by the authorized signatory the Applicant. Page 4

5 3.6 An Applicant shall not have a conflict interest (the Conflict Interest ) that affects the Bidding Process. Any Applicant found to have a Conflict Interest shall not be considered for prequalification, as opined by BIAL at its discretion. An Applicant shall be deemed to have a Conflict Interest, affecting the Bidding Process if the Applicant, its member or associate (or any constituent there) and any other Applicant, its member or any associate there (or any constituent there) have common Controlling Shareholders (i.e., any shareholder there having a shareholding more than 25% (twenty five per cent) the paid up and subscribed share capital, or similar, such Applicant, member or associate, as the case may be). Any Applicant found to have a Conflict Interest in the Bidding Process shall be disqualified. 3.7 Applicants shall submit their applications by duly providing full details their Company s structure, organization chart showing key personnel, financial resources, and details relevant experience. Applicants shall submit the filled in Forms attached hereto. 3.8 In order to be considered for prequalification, Applicants shall ensure that all the information and documents required by BIAL under this EOI and RFQ is furnished/submitted to BIAL on or before 30 th October, Applications without the requested information, relevant documents & incomplete applications shall not be considered. 4. ELIGIBILITY CRITERIA Applicants shall be eligible to participate in the Bidding Process, if they fulfill all the following requirements: 4.1 Financial Criteria (as per Form II) The Applicants who fulfill the following requirements shall be eligible for Prequalification: (a) Turnover Average annual financial turnover, certified by a Statutory Auditor/ practicing Chartered Accountant, in at least two financial years (out the last three Financial Years) the Applicant preceding the date submission EOI (the Submission Date ) must be INR 10.0 Crores (Rupees ten crores only). The Applicant shall provide the turnover figures in Form II along with documentary pro on the turnover. (b) Net Worth The Applicant shall have a Minimum Net Worth (Share Capital and Free Reserves & Surplus), certified by a Statutory Auditor/ practicing Chartered Accountant, INR 2.0 Crores (Rupees two crores only), for the last financial year (as at 31st March, 2017) preceding the Submission Date. Net Worth shall mean the sum subscribed and paid Page 5

6 up equity and reserves from which shall be deducted the sum revaluation reserves, miscellaneous expenditure not written f and reserves not available for distribution to equity shareholders. The Applicant shall provide its Net Worth figures for the previous five financial years followed by the Applicant preceding the submission date in Form II (c) Liquid Resources Minimum accessible/available financial resources, either (1) Liquid Resources (cash and bank balance) or (2) Combination Liquid Resources (cash and bank balance) and balance undrawn over draft to be sufficient to meet INR 1.0 Crores (Rupees one crore only), for the last financial year followed by the Applicant precding the Submission Date, supported by Statutory Auditor/ practicing Chartered Accountant s certificate/letter works from bankers on undrawn limits as applicable as on seven (7) days before Applicant submits application. The Applicant shall provide its Liquid Resources figures for the previous five financial years followed by the Applicant preceding the submission date in Form II. Financial Year, for a year in consideration, shall mean the period from 1 st April the preceding year to 31 st March the year in consideration. In the event the accounting year followed by the Applicant in the course its normal business is different, the Applicant shall submit the Statutory Auditor certificate considering the periods as specified in this Clause. 4.2 Technical Criteria: Applicants satisfying the below mentioned technical criteria shall be eligible for Prequalification: Seven (7) years preceding the Submission Date Applicant has Satisfactorily Completed, as main contractor / prime contractor/ sub-contractor, in India a) Three Similar Projects each value not less than INR 5.50 Crores OR b) Two Similar Projects each value not less than INR 7.0 Crores OR c) One Similar Project value not less than INR 14.0 Crores Page 6

7 Satisfactorily Completed means where the works have been physically completed within the original or extended completion period, without levy abnormal liquidated damages for delay on the part the contractor and the works confirm to the acceptable levels specified specifications. The certificate Satisfactory Completion issued by the concerned employer is to be provided to BIAL. Certificates furnished to BIAL shall have details the contract value, actual date completion and scheduled date completion to be provided along with details any defects liability claims made by the employer and any liquidated damages paid by or claimed from the Applicant shall be provided as per Form III. Similar Project means construction Detailing, Designing and Construction Sewerage Treatment Plant including electro mechanical works and Civil, interiors and external works like roads, pavers, footpaths, drainage system etc.,in an operational environment or critical infrastructure controlled by high security. Applicant s experience shall be measured and stated in terms a score (the Experience Score ) which shall be measured and stated in terms Eligible Projects which are Satisfactorily Completed shall be provided as per Form IV. 4.3 Short-listing Applicants a) Subject to clause 4.1 above, the credentials eligible Applicants shall be measured in terms their Experience Score. The sum total the Experience Scores for all Eligible Projects shall be the Aggregate Experience Score a particular Applicant. b) The Applicants shall then be ranked on the basis their respective Aggregate Experience Scores and short-listed for the Bid Stage. c) BIAL may, in its discretion, maintain a reserve list pre-qualified Applicants who may be invited to substitute the short-listed Applicants in the event their withdrawal from the Bidding Process or upon their failure to conform to the conditions specified herein; provided that a substituted Applicant shall be given at least 30 (thirty) days to submit its bid 5. OTHER CONDITIONS: 5.1. BIAL reserves the right to accept or reject any or all EOI without assigning any reasons and is not obliged to correspond with the Applicants in this regard. Further, BIAL reserves the right to change and / or cancel the pre-qualification and Bidding Process and / or review / revise the pre-qualification criteria at any time without prior notice or without assigning any reasons whatsoever, and this shall be without prejudice to its right to re-tender at any time in the future and in such case, no Applicant/intending Applicant shall have any claim arising out such action. 8 5.2. BIAL reserves the right to issue amendments to this document by issue an addendum, and shall be uploaded through e-tendering portal at any stage, without liability or any obligation for such invitation and without assigning any reason. This invitation for EOI does not give rise to any rights in rem and is not an fer or an invitation to fer Submission the EOI by any Applicant to BIAL shall be deemed to be an acceptance all the terms and conditions the Bidding Process by such Applicant BIAL reserves the right to verify all statements, information and documents submitted by the Applicant in response to the Invitation and the Applicant shall, when so required by BIAL, make available all such information, evidence and documents as maybe necessary for such verification. Any such verification or lack such verification, by BIAL shall not relieve the Applicant its obligations or liabilities hereunder nor will it affect any rights BIAL there under All documents and other information supplied by BIAL or submitted by an applicant to BIAL shall remain or become the property BIAL. BIAL will not be liable to return any application or any information provided along therewith The applicants shall bear all costs associated with the preparation and submission its EOI. BIAL shall in no case be responsible or liable for these costs, regardless the conduct or outcome EOI process BIAL reserves the right to, at its sole discretion and without notice, cancel this Invitation or the entire Bidding Process or reject all or any EOIs or invite revised EOIs, change and/or cancel the Pre-Qualification Stage and Bid Stage or review/revise the pre-qualification criteria at any time without prior notice or without assigning any reasons whatsoever and without prejudice to its right to re-tender, at any time, without incurring any liability. In no event shall BIAL be liable to return the EOI documents any Applicant The Applicant shall comply with laws and regulations India Laws the Republic India shall be applicable to the Bidding Process. The courts in Bengaluru shall have exclusive jurisdiction in relation to any disputes. 6. CLARIFICATIONS: 6.1 Applicants requiring any clarification on the EOI may notify BIAL in writing by or by courier as specified in the address for communication. They should send in their queries 10 (ten) days before the Submission Date. BIAL shall endeavor to respond to the queries no later than five (5) days prior to the Submission Date. BIAL reserves the right not to respond to any question or provide any clarification, in its sole discretion, and nothing in the EOI shall be taken or read as compelling or requiring BIAL to respond to any question or to provide any clarification. 6.2 BIAL may also on its own motion, if deemed necessary, issue interpretations and clarifications and may extend the Submission Date through a notification on its website. All clarifications and interpretations issued by BIAL shall be deemed to be part the EOI. Page 8

9 Verbal clarifications and information given by BIAL or its employees or representatives shall not in any way or manner be binding on BIAL. 6.3 To facilitate evaluation EOI, BIAL may, at its sole discretion, seek clarifications from any Applicant regarding its EOI. Such clarification(s) shall be provided within the time specified by BIAL for this purpose. Any request for clarification(s) and all clarification(s) in response thereto shall be in writing. If an Applicant does not provide clarifications sought as specified herein, within the prescribed time, its EOI shall be liable to be rejected. In case the EOI is not rejected, BIAL may proceed to evaluate the EOI by construing the particulars requiring clarification to the best its understanding, and the Applicant shall be barred from subsequently questioning such interpretation by BIAL. 6.4 BIAL reserves the right to call for additional documents/information in a form and manner to be specified. Such documents/information shall be provided within the time specified by BIAL for this purpose. 6.5 The EOI shall contain complete and all information sought in the RFQ. BIAL shall neither be obliged to seek clarifications nor be liable in any way, if information is not provided by the Applicant. 7. SUBMISSIONS AND COMMUNICATION: The bidder shall follow the e Tendering process and the last date submission the uploading the documents on or before hours on 30 th October, This RFQ can be viewed / downloaded from TCIL e-portal from hours 13 th October, 2017 to 30 th October, 2017 IST (up to hours IST). Bidders shall submit their duly signed Proposal online through eprocurement portal. Proposal must be submitted online at on or before 30 th October, 2017 (upto hours IST). Proposal submitted through any other mode shall not be entertained. Bidder has to submit the original Technical Proposal (physical version) as uploaded, by the Bidder in a sealed envelope no later than hrs within 3 days request from BIAL. Prequalified Applicants will be issued with a Request for Proposal (RFP) during the Bid Stage upon signing a Non-Disclosure Agreement and upon payment onetime non-refundable RFP document fee INR 25,000/- (Rupees twenty five thousand only). Applicants who submit their bids, will be required to deposit an Earnest Money Deposit (EMD) (refundable) amounting to INR 13,80,000/- (Rupees thirteen lakhs and eighty thousand only). BIAL shall not be liable for any omission, mistake or error in respect any the above or on account any matter or thing arising out or concerning or relating to the RFQ or the Bidding Process, including any error or mistake therein or in any information or data given by BIAL.
