1 INVITATION FOR PROPOSALS a. Mangalore SEZ Limited (MSEZL) is jointly promoted by Oil & Natural Gas Corporation Ltd. (ONGC), Infrastructure Leasing & Financial Services Ltd., Karnataka Industrial Areas Development Board (KIADB) and Kanara Chambers of Commerce and Industries (KCCI). MSEZL has taken up a project to set up a Sector Specific SEZ initially and is upgraded to Multi product SEZ catering mainly to the petrochemical Industry and other sectors such as manufacturing, services, trading and warehousing (hereinafter referred to as the Project ). b. MSEZL is inviting open tenders for Replacement of existing Ultra Filtration membranes with new membranes of capacity 5MGD (net production) at MSEZ Tertiary Treatment Plant, Mangalore on EPC basis including Supply, Erection, Testing, Commissioning and Operation for 15 days. c. A complete set of Bid document may be purchased by the interested bidders on submission of a written application to the above office, along with a non- refundable fee of Rs. 17,700 (Indian Rupees Seventeen Thousand and Seven Hundred Only) inclusive of GST, for Indian bidders and USD 265 (US Dollars Two Hundred and Sixty Five Only) for foreign bidders during normal office hours on all working days from 25/06/2018 to 04/08/2018. The fee shall be paid Online through RTGS / NEFT remitted to Mangalore SEZ Limited Account No: of State Bank Of India, Corporate Accounts Group-II, New Delhi, IFSC Code: SBIN The bidder shall provide the payment details along with the id to which the tender document shall be ed. The tender document in PDF format will be ed to the bidder after confirmation of receipt of bid document fee. d. Background: Mangalore SEZ Limited has constructed a 22.7MLD (5MGD) Tertiary Treatment Plant (TTP) using state-of-the-art GE membrane technology (Ultra filtration) for re-use of Secondary Treated Sewage Water from Kavoor STP during the year of The Tertiary CONTRACTOR EMPLOYER

2 Treatment Plant has been commissioned during the year of April 2012 and treated water is being supplied to industries for their further use. The membranes used for ultra filtration were ZW 1000, supplied by M/s GE Water. The life of the membranes is nearing completion and hence MSEZL has planned to replace the existing membranes. f. Brief scope of the work is as under: i. Replacement of existing membranes with new membranes of 5MGD net production capacity including Supply, Erection, Testing, Commissioning and Operation of membranes for 15 days. ii. New membranes should meet the outlet parameters mentioned and quantity of production without any deviation. iii. Suppliers should provide 10 years absolute warranty for new membranes regarding quality, quantity and life of membrane. iv. The successful supplier should provide technical support throughout the life of the membranes. v. Membranes are used for the treatment of secondary treated sewage water and hence should be capable to function if there is any deviation in the secondary treated sewage water parameters. vi. The supplier needs to understand the existing arrangements of membranes, quality of sewage, electro-mechanical equipments and pipelines etc., and propose suitable sizes of membranes to fit into existing membrane tanks. vii. The successful bidder should provide brief design and methodology of proposed membrane replacement and any other Electro Mechanical equipments/works which need to be modified during the new membrane replacement at existing 5MGD Tertiary Treatment Plant. viii. MSEZL will carry out electro-mechanical works, if any required, as suggested by the successful bidder through a third party agency. ix. The installation and commissioning of membranes to be carried out by only taking partial shutdown of the existing plant as complete shutdown is not possible. x. Within one month of work order, the successful bidder should clearly specify and submit the scope of modifications required in electro-mechanical works. e) Mandatory Notes: i) Consortium / Joint Venture is not permitted for this tender. ii) A job executed by a bidder for its own plant/projects cannot be considered as experience for the purpose of meeting technical qualification requirements as mentioned in S. No. 5 of Bidding Data. iii) A job executed by subsidiary of the bidder cannot be considered as experience for the purpose of meeting technical qualification requirements as mentioned in S. No. 5 of Bidding Data. iv) Indian Bidders shall quote their Prices in Indian Rupees only. Foreign bidders may quote their prices in any one of the following currencies: US Dollars/Euro/Yen/Pound Sterling CONTRACTOR EMPLOYER

3 v) In case of Foreign Bidders, if the Annual Turnover is in currency other than USD, the same shall be converted into equivalent USD considering the conversion factor indicated in Bidder s Audited Financial Report. In case the same is not indicated, the conversion rate of USD as on last date of Bidder s financial year shall be considered based on RBI reference Rates. vi) In case the last financial year closing date is within 9 (nine) months of bid due date and audited annual report of immediate preceding financial year is not available, bidder has the option to submit the financial details of the five previous years immediately prior to the last financial year. Otherwise, it is compulsory to submit the financial details of the immediate five preceding financial years. vii) In case a bidder is having wholly owned subsidiaries but only a single consolidated annual report is prepared and audited which includes the financial details of their wholly owned subsidiaries, consolidated audited annual report shall be considered for establishing the financial criteria subject to Statutory Auditor of the bidder certifying that separate annual report of bidder (without the financial data of subsidiaries) is not prepared and audited. viii) Further, in case a bidder is a subsidiary company and separate annual report of the bidder is not prepared & audited, but only a consolidated annual report of the Parent Company is available, consolidated audited annual report shall be considered for establishing the financial criteria subject to Statutory Auditor of the parent company certifying that separate annual report of bidder is not prepared and audited. ix) The bidder shall, in his own interest, furnish complete documentary evidence to justify that the bidder meets the Qualification criteria. x) Bidder shall furnish documentary proof of fulfilling the Bidder Qualification Criteria. The documentation shall include but not limited to copies of work order(s)/contract agreements(s)/relevant pages of contract document(s), completion certificate (s), fulfilling the qualification criteria, complete annual reports containing audited balance sheets and evaluation based on the details furnished without seeking any additional information. xi) All supporting documents, pertaining to Bidder Qualification Criteria (Technical as well as Financial) shall be submitted duly authenticated as follows: xii) Documents shall be submitted duly certified by Statutory Auditor of the bidder or a practicing Chartered Accountant (not being an employee/director and not having any interest in the bidder s company) where audited accounts are not mandatory as per law. OR Bidder shall submit documents duly notarized by any Notary Public/Apostille in the bidder s country or certified true copies duly signed, dated and stamped by an official authorized for this purpose in Indian Embassy/High Commission in Bidder s country. xiii) In the event of submission of any document/certificate by the bidder in a language other than English, the bidder shall get the same translated into English and submit the same after getting the translation duly authenticated by local Chamber of Commerce of bidder s country. 4 xiv) Bidder shall confirm that all authenticated documents submitted for meeting the Qualification Criteria are certified as per the authentication requirement defined in the bidding document. xv) It is clarified that if authenticated documents are not submitted in original in physical form, offer shall not be considered. xvi) However, in case the bidder submits either a photo copy of published statement or a translated copy of the published financial statements, the same shall be certified either by statutory auditor or Notary Public, in original. xvii) Any additional documents if deemed necessary to establish the qualifying requirements may be submitted by the Bidder. xviii) Submission of authentic documents is the prime responsibility of the Bidder. In addition, MSEZL may verify the credentials of the Bidders before award as per the prevailing guidelines. xix) MSEZL reserves the right to complete the evaluation based on the details furnished (without seeking any additional information) and/or in-house data, survey or otherwise. xx) Failure to meet the Qualifying Criteria will render the bid to be summarily rejected. xxi) Bidders are required to submit all such Proven Track Records (PTR) meeting the Qualification Criteria with relevant supporting documents in the first instance itself, along with the bid. Accordingly, only such past experience (s) shall be considered for qualification, details of which are provided in the bid by the bidder and subsequently no additional Proven Track Records (PTR) shall be sought from the bidder. The filled-in tender documents shall reach MSEZL office before 15:00 hours on 06/08/2018. Time Period for completion including commissioning and trial run 4. Financial Turn Over in any one of the last five financial years ending with Time frame will be Four Months (including operation period of 15 Days) including monsoon period, from the date of issue of LOI. Turn over should be minimum Rs 40,000,000 (Rupees Forty Million Only) for Indian Bidders or USD 593,000 (USD Five Hundred Ninety Three Thousand Only) for foreign bidders. (The bid must be accompanied by the Annual Reports of the bidder for the preceding five years to fulfil the above financial criteria and separate certificate issued by the Chartered Accountant showing the Annual Turnovers for the last five financial years). 4.1 Net Worth Should be positive as per the Annual Report for the latest financial year. The specific certificate to this effect should be obtained and produced from the qualified Chartered Accountant. 5. Technical Qualification Requirements Bidder shall be a UF membranes manufacturer. Bidder shall have UF membranes business experience of over 5 years. Bidder should have installed at least one UF membrane with a minimum capacity for 3MGD AND shall show a track record of minimum 10 UF membrane installations of minimum 1MGD capacity. Bidder shall submit a customer certificate of at least 3 years operation of UF membranes with production capacity of minimum 3MGD. The Bidder needs to furnish the complete information in the forms 3, 3a & 3b provided in the Qualification proposal. 6. Technical Proposal The bidder should submit along with the bid a comprehensive scheme and plan of their proposal on execution of the work in terms of technology proposed, CONTRACTOR EMPLOYER

Key Information Details approach to the work, deployment of personnel & equipments, O & M etc. The technical proposal will be evaluated for the suitability and requirement of MSEZL and bidder may be required to modify the proposal upon evaluation of the same. The technical proposal will not be a criterion for disqualification. However, the proposal will form part of the contract and the bidder will not be allowed to substantially deviate from the scheme unless otherwise approved by MSEZL. 7. Proposal Validity 90 days from the last date of submission of the proposal. 8. Amount of Bid Security Rs 1,250,000 (Rupees One Million Two Hundred Fifty Thousand only) for Indian Bidders and USD 18,550 (USD Eighteen Thousand Five Hundred and Fifty Only) for Foreign Bidders in the form of a Bank Draft drawn in favour of Mangalore SEZ Limited payable at Mangalore, or an Unconditional Bank Guarantee issued on behalf of the Bidder by a Nationalised/Scheduled Bank (other than Co-operative Bank) in favour of MSEZL valid for a period up to 60 days beyond the validity of the proposal (i.e., 150 days from the proposal due date) 9. Performance Security Total 10% of the Contract Price in the form of an Unconditional Bank Guarantee issued on behalf of Bidder by a Nationalised/Scheduled Bank of India or of the bidder s country in favour of MSEZL to be provided within 10 days of receipt of the Letter of Intent. To be valid until Completion and acceptance of the Works by the Employer. 10. Warranty Period 10 Years from the date of commissioning. 11. Duties and Taxes The work shall be executed outside Mangalore SEZ notified area. The bidder shall quote Rate for all items of works including GST, Imports & Customs Duties and any other applicable duties. 12. Deduction of Advance Income Tax and Advance Works Contract Tax As per the prevailing Tax Rules of the Government of India and the Government of the State of Karnataka 13. Signing of Agreement Within 10 Days from the date of issue of LoI 14.
