2 REQUEST FOR QUOTATION (RFQ) Bangalore International Airport Limited (BIAL) embarks on an ambitious airport enhancement program, which will increase Kempegowda International Airport Bengaluru s (KIAB) capacity to at least 65 million passengers per annum (MPPA) in the long term. The KIAB second stage expansion was granted approval by the MOEFF, Government of India in September To cater to the increasing passenger traffic, BIAL has planned to construct a new Terminal ( T2 ) and associated infrastructure facilities. In this background, to increase the cost effectiveness, process efficiency, consolidation of project data and in general to have a better control over the various projects to be executed by BIAL, BIAL intends to make use of software s for project development, sharing of information and decision making. For this purpose, BIAL invites qualified supplier s/service providers with a proven background and similar experience to provide the Supply as detailed in this RFQ. BIAL, its employees and advisers make no representation or warranty, and shall have no liability to any person including any proposer under any law, statute, rules or regulations or tort, principles of restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from or be incurred or suffered on account of anything contained in this RFQ or otherwise, including the accuracy, adequacy, correctness, reliability or completeness of the RFQ and any assessment, assumption, statement or information contained therein or deemed to form part of this RFQ or arising in any way in this award process. 5. BIAL may, in its absolute discretion, but, without being under any obligation to do so, update, amend or supplement the information, assessment or assumption contained in this RFQ. 7. 4 presentation, which may be required by BIAL or any other cost incurred in connection with or relating to its this RFQ. All such costs and expenses will remain with the bidder, and BIAL shall not be liable in any manner whatsoever, for the same, or, for any other costs or, other expense, incurred by any bidder, in preparation or submission of the response to this RFQ, regardless of the conduct or outcome of the selection process. 8. BIAL reserves the right to accept or reject any or all responses; qualify or disqualify any or all bidders without giving any reason, and is not obliged to correspond with any bidder in this regard. Further, BIAL reserves the right to relax, change, review, revise or/and cancel the eligibility criteria and the RFQ process, at any time, without prior notice or without assigning any reason whatsoever. This invitation for RFQ does not give rise to any right, and is not an offer or invitation to offer. 9. BIAL will not entertain any claim for expenses in relation to the preparation of response pursuant hereto. 10. BIAL at its absolute discretion, reserves the right, until the last date for submission of response to this RFQ, to modify any terms and conditions set-out in the RFQ as necessary, including but not limited to cancelling/withdrawing the RFQ, to meet its objectives and principles as set-out below in this section. 5 INTRODUCTION Bangalore International Airport Limited ( BIAL ), the owner and operator of the Kempegowda International Airport, Bengaluru (the Airport ), a company registered under the Companies Act, The Airport is built and is being operated at the best international standards. BIAL is committed to establishing this Airport as one of India s leading airports, in terms of quality and efficiency and set a benchmark for the future development of Indian airports and also services to its passengers. The Airport is currently the third largest airport in India. I. MINIMUM ELIGIBILITY CRITERIA: Bidder shall have minimum 3 years of experience in supply or similar type of supply/works. (Please attach copy of agreement, purchase order, completion certificate etc ). II. DESCRIPTION AND TENTATIVE DATES OF THE TENDER: Sl. 6 III. INSTRUCTIONS TO SUCCESSFUL BIDDER: The successful bidder shall: 1. The bidder shall develop the shop drawings for the work as per the attached Scope of Work, specification and shall be submitted to BIAL for their approval. Not applicable. 2. Upon approval of the shop drawings, the contractor shall prepare a sample/mock up with all the necessary fittings and shall obtain approval from BIAL. Not applicable. 3. The successful Bidder shall arrange all necessary materials, necessary supports like ladder etc., barricading wherever required, tools and tackles required for executing the works at its own cost. Access to the work area will be permitted only with safety PPE's (Safety shoes, safety helmet are mandatory); as applicable 4. Complete the Works in a professional manner; as applicable 5. Hold or obtain the relevant licenses from the governmental authorities; as applicable. 6. Be responsible for the timely completion of the Works as per the approved shop drawings, plan/drawing, time lines and technical specification of BIAL; Not applicable. 7. Depute required number technically skilled, qualified employees, supervisors, managers completing the Works at its own cost; as applicable. 8. At its own cost and expense, undertake, comply with and perform all its obligations; as applicable. 9. Obtain Form V before commencement of the Works; as applicable. 10. At its own cost and expenses obtain all relevant entry passes at the Airport; as applicable. 11. Adhere to all the applicable laws; and 12. Not to do or omit to do any act, deed or thing which may in any manner be violating any applicable law related to aviation and Airport. IV. GENERAL 1. BIAL reserves the right to accept or reject any or all quotations without assigning any reasons and is not obliged to correspond with the bidders in this regard. Further, BIAL reserves the right to change/modify and / or cancel this process at any time without prior notice or without assigning any reasons whatsoever, and this shall be without prejudice to all its right to re-tender at any time in the future and in such case, bidders shall not have any claim arising out of such action. 2. BIAL reserves the right to issue amendments to this document by issue of an addendum, at any stage, without liability or any obligation for such invitation and without assigning any reason. 7 3. Pursuant to the response to this document, it is considered as unconditional acceptance of all the terms and conditions mentioned in this document. 4. All documents and other information submitted along with the quote shall remain or become the property of BIAL. 5. The Bidder shall bear all costs associated with the preparation and submission of its quotation. 6. Liability: BIAL shall not be liable or held liable for any loss, damage, expenses, costs or liability arising either directly or indirectly, arising out of this RFQ. Further, BIAL shall not be held liable for any damage or loss caused to the bidder due to injury caused to the personnel. 7. Jurisdiction: The courts at Bangalore shall have the exclusive jurisdiction in this regard and the laws of India shall be applicable. 8. Notice Address: Any notice to be made, must be in writing and may be given by facsimile, post or hand to either party to address communicated from time to time. 9. Work permit to be taken prior to start of work at least 2 hours in advance as applicable. 10. Demolition / dismantling works including carriage of debris out of premises as suggested by the BIAL s Representative to be taken up on non-working hours of the office as applicable. 11. If required, proper barricading as per standards with prior approval of barricading material to be done before the start of work as applicable. 12. Necessary signage with prior approval over the barricading needs to be placed prior commencement of work as applicable. 13. Necessary permissions & co-ordination with other Dept. to be taken prior to start of work as applicable. 14. No dust & fumes from the work area shall spread outside the working area. 15. Area surrounding the work area shall be cleared & cleaned after completion of the work on daily basis. 16. All precautions shall be taken to ensure no damage is caused to any property/equipment placed at the work area or surrounding area. 17. Any damage to the property shall be appropriately recovered. 18. Re-Instatement as in case after completion. 19. Ensure there should not be any hindrance to operation/vehicle movements. GENERAL TERMS & CONDITIONS. 1) Pre bid meeting: Not Applicable. 2) The vendor is advised to visit and inspect the location and its surroundings, and obtain for itself on its own responsibility and cost, all information that may be necessary or required for preparation of the Proposal. Further, it shall be deemed that, the Bidder has undertaken a visit to the locations and the Airport and is aware of the facts, prior to submission of the proposal as applicable. 3) The Bidder shall provide the Rates showing the tax bifurcation as shown in the Format for Financial Proposal. The rates shall include sample/mock up, conveyance and delivery to site, unloading, storing, establishment charges, overhead charges, applicable taxes, cess and labour cess, Building and Other Construction Workers Welfare Cess and any other cess as applicable and profit. The Unit Rates will be used for the purpose of ascertaining the price of variations and calculating the amounts of interim payments. 4) The vendor shall provide work flow chart / work schedule / milestones as applicable. The contractor shall designate a manager or a key person having relevant work experience as a single point of contact to interface with BIAL on work progresses. The Manager or the key person once assigned shall be required to perform that function until the work is completed or unless BIAL offers consent to a change such person. 5) Deleted. 6) Deleted. 7) Deleted. 8) Deleted. VI. TERM The vendor shall complete the entire works (as per scope of supply/works) within 2 (two) weeks from the date of issuance of LOI/Purchase Order or earlier as required by BIAL. VII. TECHNICAL DOCUMENTS SCOPE OF WORK WITH SPECIFICATION AND DELIVERABLES 1. 9 2. SCOPE Existing Primavera P6 software s valid till August 2018 Service provider shall supply and renew of existing software licenses. The Supplier/Service provider shall provide following services in the tenure of AMC. Software Support get help with modeling and analysis techniques. Technical Support get help with software installation and license authorization. Product Updates access the latest version of software as soon as it is released for no additional cost. (i) (ii) (iii) (iv) assistance to correct errors in the Software or provide means to circumvent such errors, updates of the Software, advice and help, to use the Software for a particular application, including using the Software s user interfaces, and a new license key if the Customer uses a new computer s If support required, while installation or renewal, service provider may have to attend personally or send their representative to solve the issue. 3. DELIVERABLES ARE AS STATED BELOW: S. No. Activity/ Deliverable Time period 1 Renewal of AMC for Primavera software for BIAL Projects 2 Nos for 3 years tenure. Two weeks from the date of issue of LOI/PO 4. GENERAL TERMS AND CONDITIONS: Time is essence for this supply and delivery schedule. If any items are sent extra, other than the requested or not meeting the specifications, the same shall be rejected without any notice and shall not be considered while invoicing. Proper packing and safety of the items are under supplier s scope. 5. TERMINATION A. Termination by BIAL BIAL shall be entitled to terminate this PO if: i. the Supplier abandons the Supply for more than Fifteen (15) consecutive days or otherwise, plainly demonstrates the intention not to continue performance of its obligations under this PO; ii. the Supplier without reasonable excuse fails to proceed with the Supply; iii. the Supplier subcontracts the whole of the Supply, or assigns this PO, without the required agreement / written consent of BIAL; RFQ for Renewal of AMC for Primavera software for 3 years for BIAL Projects Page 9 of 12

10 iv. the Supplier makes or has made any warranty or representation in or in accordance with the PO which was materially incorrect when made so as to materially affect BIAL s interests; v. the Supplier s liability for Liquidated Damages for delay reaches the cap on such damages; vi. the Supplier fails to complete the Supply within the relevant time of completion or any extensions granted to the Supplier in accordance with the PO; vii. the Supplier has failed to adhere to the scope of Supply and/or Specifications and in the reasonable estimation of BIAL, such failure is likely to mean that completion of the Works is likely to be delayed beyond the relevant time of completion; viii. the Supplier breaches any provision of the PO or any Applicable Laws, where such breach on its own or together with a series of other breaches has an adverse effect on the execution of the Supply by the Supplier or such breach adversely affects the enjoyment by BIAL of its rights under the PO; ix. an Order is made, or a resolution is passed for the liquidation, bankruptcy or dissolution of the Supplier, which is not, if capable of being so, discharged or, as the case may be, revoked within ninety (90) days thereafter; or x. Supplier is in material breach of its obligations under this PO, which breach, has a material adverse effect on BIAL and, if capable of remedy, is not remedied by the Supplier within thirty (30) days from the date of notice calling upon the Supplier to rectify the breach. B. In any of these events or circumstances, BIAL may, upon giving fifteen (15) days' notice to the Supplier, terminate this PO and expel the Supplier from the Supply. However, in the case of Section A, (x), BIAL may, by notice, terminate this PO immediately. C. Termination for convenience BIAL has the right to terminate this PO at will, by giving fifteen (15) days written notice without assigning any reason thereof. Upon receipt of such notice and expiry of notice period, this PO shall stand terminated at the end of fifteenth (15 th ) day of issue of such notice by BIAL. D. As soon as practicable, after a notice of termination under Clause A (Termination by BIAL) has taken effect, BIAL shall determine the value of the Supply and any other sum due to the Supplier, for the Supply executed in accordance with this PO based on the Unit Rates as contained in Annexure. E. After a notice of termination (Termination by BIAL) has taken effect, BIAL may: i. withhold further payments to the Supplier, until the costs of execution, completion and remedying of any defect, damage for delay in completion (if any), and all other costs incurred by BIAL have been reasonably estimated; or / and RFQ for Renewal of AMC for Primavera software for 3 years for BIAL Projects Page 10 of 12

11 ii. iii. recover from the Supplier, any loss and damage incurred by BIAL, and any extra cost for completing the Supply, after allowing for any sum due to the Supplier under this PO. After recovering any such loss, damage and extra cost under this PO, BIAL shall pay the balance, if any, to the Supplier. Any excess expenditure incurred, or to be incurred, by BIAL in completing the Works, or part of the Works, or the excess, or damages suffered or may be suffered, by BIAL, as aforesaid, after allowing such credit, shall be recovered from any money due to the Supplier on any account, and if such money is not sufficient, the Supplier shall be called upon in writing to pay the same, and the Supplier shall pay such amount within thirty (30) days. F. On termination of this PO, BIAL shall determine, what amount if any, is recoverable from the supplier for completion of the Supply, or part of the Supply, by BIAL, or in case the Supply or part of the Supply, is not to be completed, the loss or damage suffered by BIAL. In determining the amount, credit shall be given to the Supplier for the value of the useful Supply executed by it, up to the time of termination, based on the Unit Rates as contained in Annexure. G. After a notice of termination (Termination by BIAL), the Supplier shall promptly: i. cease all further Supply, except for such work as may have been instructed by BIAL for the protection of life or property or for the safety of the Works; ii. hand over any document, material and other work, for which, the Supplier has received payment; and H. After a notice of termination has taken effect, BIAL shall promptly pay the Supplier, any sums due under this PO, after making such deductions which BIAL shall be entitled to make, till the date of termination.
