3 GENERAL TERMS AND CONDITIONS & INSTRUCTIONS TO BIDDERS Software Technology Parks of India on behalf of Department of Economic Affairs, Ministry of Finance, Government of India requires TENDER FOR LIVE WEBCAST OF the ADB Annual Meeting 2013 at Delhi, India. Asian Development Bank (ADB) holds an Annual Meeting (AM) of its Member Countries around the first week of May every year. This is normally a four day event comprising seminars, workshops and two days of formal meetings attended by Finance Ministers/their representatives of 67 Member Countries. A large gathering of approximately 4000 people including delegates from different countries, economists, investment bankers, corporate leaders, Nobel laureates, Civil Society, media etc. participate in the event. India would be hosting the AM of ADB in Delhi/NCR from 2 nd to 5 th May The venue of the event is India Expo Mart Limited, Greater Noida. Sealed bids are invited through short term open tender for Live Webcast of the Event ADB-AM 2013 as per following: 1. The bidder can download tender document from & Tender has to be submitted latest by 14:00 hrs; 8 st April, The tender should be submitted in Sealed Two-Bid system as follows: a) Cover-I:Technical Bid & Earnest Money b) Cover-II: Financial Bid. Both the Cover should be kept in single sealed cover duly filled with all supporting documents & annexure. The bids of all the parties whose Financial Bid is not in a separate sealed cover or the rates quoted by them find mention in their Technical Bid shall be rejected forthwith. The Financial bids of only those persons/bidders shall be opened whose Technical bids are found to be eligible. 3. Bid should be submitted with forwarding on letter head of Bidder. Each page of bid document must be signed and stamped by authorised signatory to ensure the compliance with the scope & services and general terms and conditions. No overwriting, corrections and cutting is permitted. 4. Bid validity should be 30 days from the specified date of closing. 5. Earnest Money Deposit/Bid Security: EMD of Rs. 10,000/- (Rupees Ten Thousand) should be deposited in the form of a Demand Draft/Banker s Cheque in favour of STPI Noida drawn on any Nationalized/Scheduled bank and payable at Noida. Demand Draft issued should be on/after published date of tender. The EMD will be returned to all un-successful bidders after finalization of tender and bears no interest. 6. Pre-bid meeting will be held on at 12:00 hours in STPI Noida Office. The pre-bid queries, if any, should reach to The Director, Software Technology parks of India, Ganga Software Technology Complex, Sector 29, Noida, (UP) upto 17:00 hours of In case, the bidder has any doubt about the meaning of anything contained in the Tender document, he shall seek clarification on or before specified date of Pre-Bid meeting. The queries may be submitted by mail/courier/faxed/by hand. Bidders/ their authorized representatives may attend the meeting even if they themselves do not have any clarifications to seek. The completely filled bid document, duly sealed (with sealing wax/sealed with tape from all four sides) should be addressed to The Director, Software Technology Parks of India, Ganga Software Technology Complex, Sector-29, Noida (UP) and should reach on or before 14:00 hrs on 21/03/2013. The Bid should be duly super scribed as Tender for Live Webcast of the Event ADB-AM STPI will not be responsible for postal or any other delays. Quotations received in an envelope that is damaged/torn or merely stapled will be summarily rejected. 8. Bid once submitted shall not allowed to be withdrawn. Any default after acceptance of bid shall be deemed to be non compliance to the terms of contract and would be liable to forfeiture of EMD deposit and cancellation of contract. 9. Award Criteria: STPI Noida will award the Contract to the successful Bidder whose bid would be determined to be substantially responsive, technically complied and determined as the best evaluated bid in terms of lowest rates. In case L1 refuses to accept the work order/ Contract, EMD would be forfeited. 10. Payment Terms: Payment will be released at the end of the event against the invoice subjected to satisfactory performance report by concerned STPI officer/event organizers. The invoice should be raised in the name of, Deptt of Economic Affairs, Ministry of Finance (GOI). 11. The successful bidders should organise a mock-drill for the event on STPI Noida reserves the right to terminate the agreement at its discretion at any time without assigning any reason, thereof. 13. STPI Noida reserves the right to reject any or all of the tenders or accept them in part or to reject lowest tender without assigning any reason thereof. 14. Termination By default: The STPI Noida may, without prejudice to any other remedy for breach of contract, by written notice of default sent to supplier, terminate the Contract in whole or part: (a) If the Supplier fails to provide services /rectify the fault within the time period specified in the contract or any extension thereof granted by the STPI Noida. (b) If the Supplier fails to perform any other obligations under the Contract. 15. Forfeiture of EMD /Security deposits: (a) If the successful bidder refuse/fails to accept purchase/work order, EMD will be forfeited. (b) If the Bidder withdraws tender before/after finalization of the tender, EMD will be forfeited. (c) If the successful bidder abandons the contract, security deposit will be forfeited. (d) If the contract is terminated by STPI Noida due to poor performance/variation of any clause of agreement or any bad act of selected bidder, security deposit will be forfeited. 16. Rejection of the bid (a) The bidder is expected to examine all instructions, formats, terms & conditions, & scope of work in the bid document. Failure to furnish all information required as per bid document or submission of bid which is not substantially responsive to the bid document in every respect may result in rejection of bid. In respect of interpretation/clarification of this bid document and in respect of any matter relating to this bid document, the decision of STPI-Noida will be final. (b) No prices are to be indicated in the Technical bid and if price is mentioned in the Technical Bid it may lead to rejection of the bid. (c) Bid without Tender Fee will be summarily rejected. 5 (e) Bids not submitted as per two bid system will be summarily rejected. (f) The bidder will have to furnish the requisite document supporting the qualification/eligibility criteria and credential as specified in the bid document, failing which the bid is liable to be rejected. (g) The discount, if any, should be merged with the quoted prices. If the bidder does not follow this stipulation, the bid is liable to be rejected. (h) The bids received after specified date & time will not be considered. (i) The bids received through Fax / Telex/photocopy will not be considered. 17. Blacklisting Company/Firm blacklisted by Govt./PSU/Corporate organization as on the date of closing of bid are not eligible to Bid. If at any stage of bidding process or during the currency of contract, such information comes to knowledge of STPI, the STPI shall have right to reject the bid and forfeit the EMD or terminate the contract, as the case may be, without any compensation to the bidder. 18. Arbitration All disputes or difference whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of the purchase order/work order or the breach thereof shall be settled by reference to arbitration by the Director, STPI Noida. The award made in pursuance thereof shall be binding on both parties. The venue of arbitration shall be Noida. 19. Force Majeure If, at any time, during the continuance of the agreement, the performance in whole or in any part by either party of obligation under the agreement shall be prevented or delayed by reasons of any war, hostile acts of the enemy, civil commotion, subrogate, fire, floods, earthquakes, explosions, epidemics, strikes and quarantine restrictions by acts of God,(herein after referred to as eventualities) then provided notice of the happening of any such eventualities is given by either party to the other within two days from the date of occurrence thereon, neither party shall, by reason of such eventualities be entitled to terminate this contract agreement nor shall either party have any claim of damages against the other in respect of such non performance or delay in performance. Performance of the contract agreement shall, however be resumed as soon as practicable after such eventuality has come to an end. Certificate of ROC to be furnished. 2 The Bidder should have turnover of minimum of Rs. 25,00,000/- each in the last two financial years i.e & Copy of audited balance sheets/ca Certified Statement showing Turnover in similar services. 3 Vendors should have executed to atleast two events of duration not less than 3 days, organised by the government and / or quasi government agencies / financial / multilateral agencies in the last 3 years. 4 Vendor should have sufficient number of persons / skilled manpower having sufficient skill to perform the activity 5 Vendor should be an Income Tax Assessee and should have filed Income Tax return for the last 3 Assessment Years. 6 Bidder should not have been blacklisted. 9 ANNEXURE-III SCOPE OF SERVICES Live Webcast: 1. Live Audio + Video Streaming. 2. Encode the audio/video in Windows Media/Flash format at single speed with one master and one back up encoder. 3. Provide Streaming server for Live Webcast on Internet. dual stream low (minimum 220kbps) & high(min. 700kbps) bit rate. 4. Webcast on Internet for unlimited viewers. 5. Hosting or Archival facility. 6. To provide Embed code in html format, e.g. <embed src= for streaming on websites or similar. 7. Recording of the entire webcast in a CD after the event (To be sent via courier) 8. Reports after the session showcasing login details. 9. The participants who logs will input their contact details and the same should be available for us which we can use later on for generating leads/analysis. 10. 10 ANNEXURE-IV DECLARATION (on letter head) We declare and confirm that we have not been blacklisted or deregistered by any central/ state government department or public sector undertaking and none of our works had ever been terminated by client after award of contract, during last three years; and (ii) no agent, middleman or any intermediary has been, or will be engaged to provide any services, or any other item of work related to the award and performance of this Contract. We acknowledge the right of the Employer, if he finds to the contrary, to declare our Tender to be non-compliant and if the Contract has been awarded to declare the Contract null and void. The Bidder shall be entirely responsible for all taxes, duties, octroi, license fees, etc., incurred for performance of the services. 4. The rates should be quoted in Indian rupees.
