5 SCOPE OF WORK To provide & install Internet connection as per the following details. Supply of (1:1) 10 MBPS Symmetric Internet Band width connection for RITES CORPORATE OFFICE at plot No.1, Sector 29, Gurgaon. This includes setting up of last mile connectivity, supply & Installation of necessary equipment(routers, converter, etc), laying of cable up to Ethernet Port of central switch on third floor, RITES Bhawan and integration with RITES existing Local Area Network. All necessary clearances shall be the sole responsibility of vendor. Vendors are advised to visit RITES office at Gurgaon to see the existing setup before submitting their offer. Vendor shall supply and install the necessary hardware (Router etc), software for implementation & commissioning of the Internet connectivity. Please refer to Annexure I for technical specification & details of works, Annexure II for special terms & conditions and Annexure III for price schedule form. Eligibility Criteria: The tenderer (Internet Service Provider) must have a valid A category license from Government of India. Instructions to Bidders 1. The bid should be submitted in a sealed cover super scribing the Tender No. and Date. It should be submitted at the following address before due date and time. Bids submitted through FAX/Telex/ will not be accepted. The prices quoted shall be firm and no revision of prices will be entertained after the quotation is opened. Page 4 of 10

The successful bidder will have to deposit a Performance bank Guarantee (PBG) of 10% value of contract in RITES format valid for a period of 40 days beyond the expiry of the validity of contract. The PBG will be refunded after the expiry of contract period after deducting any amount due to RITES and on satisfying it self that the contract has been completed satisfactorily. 5. During the course of contract period, any loss to RITES property will be deducted from the bills. 6. EMD of Rs.9000/- to be submitted in the form of Demand Draft payable to RITES Ltd. at Gurgaon along with bid. 7. EMD of successful tenderer shall be released on receipt of performance Bank Guarantee. The EMD of unsuccessful tenderer shall be refunded within one month of finalization of the tender. Tenders received without EMD are liable to be summarily rejected. 8. RITES shall not be bound to accept the lowest or any other bid and shall be entitled to accept or reject any bid in part or full without assigning any reason whatsoever. 9. Bids received after the due date & time will not be opened and will be summarily rejected. 10. A list of 5 clients including at least one public sector to which similar services have been provided in the past 2 years should be furnished with particulars like name of the organization, bandwidth supplied, contract start date, contract end date, technology of the service (i.e. through leased line or RF etc) name, address & phone number of contact person. 8 Sl.No. SERVICE PARAMETERS Conformity as per Service Parameters (Y / N) 2.0 The bidder should provide support for trouble shooting on 24 x 7 x 365 basis so that the maximum availability of the Internet connectivity is ensured. 3.0 Uptime % uptime on a 24 x 7 x 365 basis from RITES terminal Point to ISP location. Deduction shall be made from quarterly charges on pro-data basis for connectivity down time beyond 2% during the quarter. 3.2 Packet Loss: Maximum packet loss on a monthly basis shall not exceed 2% in 99% of instances. 4.0 Trouble Shooting 4.1 Bidder shall respond with a solution within one working hour of reporting of a problem and restore satisfactory operation within four working hours. 5.0 Service Review Reports & S/W 5.1 The bidder shall provide following reports on the WEB for reviewing service parameters. 1. Actual Bandwidth available 2. Summary of usage on daily, weekly, monthly basis 3. Monthly network bandwidth availability/ utilization 6.0 Credibility Terms 6.1 Bidder should have over 5 customers within Delhi / Gurgaon 7.0 All supplied equipment & SW shall be owned by the vendor and shall be maintained by them on-site for the entire period of contract. No charges shall be separately payable by RITES. The bidder shall include all incidental costs for upkeep of equipment and license fee if any in their bid. Indicate deviation if any Page 7 of 10

9 Annexure - II Terms & Conditions 1. CONTRACT PERIOD This contract between RITES and Vendor shall be valid for a period of one year from the date of acceptance of the Internet connectivity. 2. IMPLEMENTATION PERIOD The complete implementation shall be done within 10 days from the date of award of contract. In case of any delay, RITES will have the right to recover by way of 1% of the contract value per week from this date subject to a maximum of 4% of the said value. If the implementation & commissioning of internet services is not completed by the end of 4 weeks from date of purchase order, the order will be cancelled and all the payment terms from RITES, Gurgaon side shall stand abrogated. 3. Vendor shall provide 16 live IP addresses. 4. SERVICE & SUPPORT Vendor shall provide 24 x 7 x 365 service. In case the down time is more than the specified limit, RITES at its sole discretion, reserves the right to deduct Liquidity Damages amount monetarily in proportion of excess of down-time accumulated to its total time over to quarterly access charges at the end of a quarter. The counting of down time will begin from the moment the link goes down till revival of connection. 5. MAINTENANCE Complete maintenance of the Internet services up to RITES premises (Ethernet port of central switch) shall be sole responsibility of the Vendor. 6. ARBITRATION The parties shall make their best efforts to settle amicably all disputes arising out of or in connection with this contract or its interpretation. In the event of any dispute or differences relating to the interpretation & application of the provisions of the contract, such dispute or differences shall be referred to the sole arbitrator appointed by RITES Ltd. In this regard, the decision of the sole arbitrator of RITES will be final. The Jurisdiction to decide any dispute arising out of or in connection with this contract shall be in Gurgaon. The proceedings of any such dispute / differences shall be governed by Arbitration or Reconciliation Act Page 8 of 10

10 7. LIQUIDATED DAMAGES The vendor shall provide 98% uptime on a 24 x 7 x 365 basis from RITES terminal point to ISP Location. If the down time is beyond 2%, deduction shall be made from quarterly charges on pro-rata basis for connectivity down time during the quarter. 8. FORCE MAJEURE The vendor shall not be liable for imposition of liquidated damages or termination for default, if and to the extent that, its delay in performance or other failure to perform its obligations under the contract is result of an event of force majored. For purpose of this clause Force Majored means an event beyond the control of the vendor. Such event may include, but not restricted to act of the department either in its sovereign or contractual capacity, war or revolution, fires, floods, epidemics, quarantine restrictions and freight embargoes. If a force majeure situation arises, the vendor shall promptly notify the client in writing of such conditions and the cause thereof, unless otherwise directed by the client in writing, vendor shall continue to perform its obligations under the contract as far as practical, and shall seek all reasonable alternative means so that the performance is not prevented by the force majeure. 9. PAYMENT The Internet Access charges will be paid on quarterly basis at the end of each quarter after satisfactory services, on receipt of invoice in duplicate. 10. SERVICE REQUIREMENT All the hardware and software required for implementation of services shall be sole responsibility of the bidder. 11. SERVICE LEVEL AGREEMENT Vendor shall undertake to sign a Service Level Agreement with RITES ensuring the link availability and throughputs including the last mile at RITES. Page 9 of 10
