BOARD OF DIRECTORS MEETING MINUTES November 6, 2015 Members Present: Chris Spiro, Chauncey Goss, Roger Desjarlais, Ben Siegel, Alan Mandel, Jim Wilson, Rana Erbrick, Mike Quaintance, Russell Schropp, Gary Griffin, Randy Henderson, Gray Davis, Lawrence Antonucci, Dennie Hamilton, Denis Noah, Ben Nelson. Guests and Staff: Dan Eveloff, Glen Salyer, Rachel Busch, B. Pat O Rourke, Warren Baucom, Antranette Forbes, Amy McQuagge, Barbara Kelly, Sarah Newcomb I. CALL TO ORDER President, Mr. Hamilton called the meeting to order at 11:42 a.m. II. SECRETARY CANDIDATE The Board discussed electing Dan Eveloff as their new Secretary. A motion to elect Dan Eveloff as the Foundation Secretary was made by Mr. Schropp, seconded by Mr. Wilson,and unanimously approved. III. AUDIT Amy Cooper, Principal at Clifton Larsen Allen, gave its presentation on the Horizon Foundation 2014 audit. A motion to approve the audit was made by Dr. Antonucci, seconded by Mr. Hamilton, and unanimously approved. IV. APPROVAL OF MINUTES A motion to approve the minutes of the October 2, 2015 meeting made by Mr. Schropp seconded by Mr. Noah, and unanimously approved. V. TREASURER REPORT Gary Griffin Mr. Griffin reviewed the September 2015 financials. Discussion regarding the financials ensued. A motion to accept the Treasurer s report of the September 2015 financials made by Mr. Schropp, seconded by Mr. Noah, and unanimously approved. VI. NEW BUSINESS 2016 Budget Adoption Mr. Noah discussed the proposed 2016 budget and recommended the following: $410,000 as the 2016 fundraising goal; the addition of a budget line item titled Young Professionals in the amount of $5,000. A motion to approve the amended budget was made by Mr. Griffin, seconded by Mr. Schropp, and unanimously approved. Public Relations and Marketing Contracts Amy McQuagge explained the proposal to contract separately with DCI and Priority Marketing. 2
3 A motion to approve these contracts were made by Ms. Watermeier, seconded by Mr. Schropp, and unanimously approved. Annual Meeting Coordination A motion to approve the Annual Meeting Event Coordination contract was made by Ms. Watermeier, seconded by Mr. Schropp, and unanimously approved. Harmon s Audio Visual/ Hyatt Contract Ratifications Mrs. Forbes explained that both contracts deal with the 2015 Industry Appreciation event. A motion to approve both contracts was made by Mr. Noah, seconded by Ms. Watermeier., and unanimously approved. Stonegate Bank CD Renewal Stonegate provided the best short term rates as compared to Bank of America and IberiaBank. A motion to approve the renewal was made by Ms. Watermeier, seconded by Mr. Schropp, and unanimously approved. EDO Holiday Appreciation Event Mr. Salyer proposed a holiday dinner to reward staff for their hard work. A motion to approve this event was made by Mr. Noah, seconded by Mr. Schropp, and unanimously approved. VII. ADJOURN With no further business, the meeting adjourned at 11:51 a.m. 3

20 HORIZON COUNCIL GENERAL MEMBERSHIP MEETING MINUTES November 6, 2015 I. CALL TO ORDER Chair, Mr. Noah called the meeting to order at 8:18 a.m. II. III. APPROVAL OF THE MINUTES A motion to approve the minutes of the October 2, 2015 meeting made by Mr. Spiro, seconded by Mr. Quaintance, and unanimously carried. NEW BUSINESS Secretary Candidate The Council discussed a motion to elect Dan Eveloff as the new Secretary. o A motion to nominate and offer the position to Dan Eveloff as the new Secretary was made by Mr. Schropp, seconded by Mr. Henderson, and unanimously carried. At-Large Applications o A discussion was held in reference to at-large applications. A motion to approve Bev Larson s application was made by Mr. Henderson, seconded by Mr. Schropp, and unanimously carried. A motion to approve Charlotte Miller s application made by Mr.Griffin, seconded by Mr. Schropp, and unanimously carried. A motion to approve Tom Mueller s application contingent upon staff review of potential conflict analysis made by Mr. Spiro, seconded by Mr. Goss, and unanimously carried. A motion to approve Gary Gardner s application made by Mr. Henderson was tabled Calendar o Amy McQuagge advised the Council that next year s Industry Appreciation Luncheon has been moved to August 25 th at Hyatt Regency Coconut Point. Ms. McQuagge added that next year s monthly meeting locations will vary due to renovations at Harborside Event Center. Notifications regarding meeting locations will be sent out before each consecutive meeting. o Glen Salyer proposed changing the June Horizon Foundation Investor Update from an evening event to a morning meeting with a recognized speaker. He also discussed alternating General Membership meetings and Executive meetings in 2017 in order to bring key speakers consistently. At the end of each executive 20
21 meeting, a discussion will be held to decide if the next month s meeting is necessary. A motion was made by Mr. Spiro to approve the 2016 calendar, seconded by Mr. Schropp, and unanimously carried. Year-to-Date Review o A presentation was given by the Economic Development Office to showcase the accomplishments and marketing efforts made in 2014/2015. Horizon Council Strategic Plan Review o Mr. Hamilton reviewed the previous primary objectives for the Horizon Council. After some discussion, it was decided that the objectives would remain the same Task Forces o The Council decided to continue with the Business Issues, Healthcare, and Outreach Task Forces, and sunset the Workforce Task Force. o Dan Eveloff shared a presentation proposing that the Commercial Corridor become a task force. The committee decided to revisit the proposal at a later date. ADJOURN With no further business, the meeting adjourned at 11:42 a.m. 21
