Fr the purpses f this Clause, "Frce Majeure" means and includes wars, insurrectins, revlutin, fires, flds, epidemic, quarantine restrictins, declared general strikes in relevant industries, act f Gd, act f the Gvernment f India and any cncerned State Gvernment and such ther acts r events beynd ICEX's cntrl and further the abve is withut prejudice t the rights already accrued t ICEX due t my/ur failure t perfrm either in full r in part, my/ur bligatins prir t the ccurrence f events f Frce Majeure. I / We shall nt hld ICEX respnsible fr delay, disturbance r nn-availability f cnnectivity r delay in respnse frm server during trading sessin r nn-trading sessin, any delay in refund after surrender f cnnectivity r due t any reasn at any time including the reasns stated in Frce Majeure clause hereinabve. I / We shall indemnify and keep indemnified ICEX harmless against every and all claims, demand, damages, liabilities, lsses and expenses suffered by it directly by reasn f my / ur nn-cmpliance, cntraventin with any f the prvisins f this Undertaking r any penalty impsed by Service Prvider r DOT due t my nn-cmpliances f any prvisins f the applicable Act Rules and Regulatins. I / We agree that n frbearance, delay r indulgence by ICEX in enfrcing the prvisins f this Undertaking shall prejudice r restrict the rights f ICEX nr shall any waiver f its rights perate as a waiver f any subsequent breach and n rights, pwers, remedies herein cnferred upn r reserved fr ICEX is exclusive f any ther right, pwer r remedy available t ICEX and each right, pwer r remedy shall be cumulative.
