3 Chapter I Brief Introduction 1. 1 GMDC: Gujarat Mineral Development Corporation Limited (GMDC), a Government of Gujarat Enterprise, is a pioneer institution in the field of mining for more than three decades, catering to the needs of the minerals and solid fuel for the industries based in and outside Gujarat. GMDC s mining activities are spread over in Kutch, Jamnagar, Bharuch, Baroda and Banaskantha districts of the State. It is currently dealing in minerals like Bauxite, Fluorspar, Ball Clays, Silica sand and Lignite. The Corporation has also 250 MW lignite based Thermal Power Station at Nani Chher in Kutch, The Corporation has annual turn over of about Rs. 400 Crores, The Corporation is operating four lignite mines, Two in Kutch with annual production capacity of about 60 Lac Tonnes and the other at village Amod in Bharuch district with annual production capacity of 10 Lac Tonnes. The Tadkeshwar lignite mine in Surat district is having capacity of 10 lac t. The demand of lignite is growing fast in spite of tough competition from imported coal and natural gas and the Corporation is planning to double it s production in next three years. With a view to meet entire fuel & raw material demand of the industries of the State, the Corporation proposes opening up of a new lignite / Limestone mines along with UCG project for development of deep seated lignite deposits in Kutch Bharuch,Surat & Bhavnagar Districts of the State. Recently, while reviewing State New Mineral Policy, The State Empowered Committee decided that GMDC should take up exploration for Lignite & different minerals in the State along with CGM. We have also responsibilities of search alternative methods for use the deep seated lignite deposits of the state and as a part of this responsibility we are working for under ground gasification project and planning to taking up about 50,000 meters drilling work in State 2 DESCRIPTION OF THE WORK AND LOCATION : GMDC has decided to start phase wise exploration to asses different mineral wealth of the State and particularly within lignite bearing areas of the State, and to complete the exploration work in a planned manner It was decided to Hire Diamond Core drilling Machinery with manpower from experienced and reputed contractors for drilling in different lignite bearing areas of, Kutch, Bharuch, Bhavnagar and, Surat distict of Gujarat State. 3

4 Instruction to Bidders for Online Tendering 1. Tender documents are available only in electronic format which Bidders can download free of cost from the website and 2. All bids should be submitted online through the website only. No physical submission of price and will be entertained as it should be furnished on-line only. Also no fax, , letters will be entertained for the same. 3. Following should be submitted off-line in sealed covers separately at our Corporate Office, Ahmedabad. Bidders who wish to participate in online tenders will have to produce/should have legally valid Digital Certificate (Class III) as per information Technology Act, using which they can sign their electronic bids. Bidders can procure the same from any of the license certifying Authority of India or can contact (n) code solutions- a division of GNFC Limited, who are licensed Certifying Authority by Government of India at address mentioned below at clauses All bids should be digitally signed. Kindly take note that, valid Digital Signature Certificates is must for all the interested bidders. Online tendering process is not possible without valid digital signature certificate. 7. Interested bidders are also requested to complete their procedure for taking digital signature certificate in respect to filling of application form, supporting documents with necessary fees at least 3 days before last date of tender submission. 4

5 8. (n) code solutions reserves the rights to issue digital signature certificate after verification of applications forms/supporting documents submitted by bidder. (n)code solutions is fully authorized to issue digital signature certificate to bidders. 9. All the bidders who have no facility to participate in on-line tenders are requested to contact (n) code solutions for the same. 10. Free vendor training camp will be organized every Saturday between 4.00 to 5.00 P.M. at (n) code solutions-a Division of GNFC Ltd., Bidders are requested to take benefit of the same( Advance Confirmation to (n) code is requested). 11. 6 Other instruction to bidders 1 E- tendering 1.1 Tender documents are available only in electronic format which Bidders can download free of cost from the website and THE TENDER & THE OFFER: a) It is a three-bid system. The bid is required to be submitted on line at by the date and time prescribed in the tender notice as under : Part I Preliminary Bid - To be submitted online about the details of document fee and EMD. Part - II Technical bid - Technical bid documents i.e form A. are to be submitted on line. However, the documents required to be submitted in support of experience, financial position, status of the bidder, machinery and equipment owned by the bidders etc. as well as tender fee and EMD in the desired form shall be placed in sealed cover super-scribed TECHNICAL BID, Tender No. and Name of work, should be submitted separately at Corporate Office, Ahmedabad before stipulated time. Part III Price-bid - to be submitted on line before the stipulated time. b) If the EMD and tender fee are not found in the sealed technical bid document cover or if the amounts thereof is found short, the tender will not be considered for scrutiny and will be outrightly rejected. c) The Corporation reserves the right to reject any or all the tenders or split the work between more than one bidders without assigning any reason thereof. 2. Opening of bids a. E-tendering procedure is explained in detail as above. b. Preliminary bids will be opened after verification of receipt of payment towards Tender document fee and EMD. The bidders will able to view it on their computers on date and time notified in tender notice. 6

7 c. On verification of the supporting documents, technical qualification of the bidders will be assessed. The successful bidders will be communicated the date and time of on line opening of price bids by fax or telephone or or SMS. However, all the bidders will be able to view the price bids online on their computers. 3. Rate quotation of work a). b). The Bidder has to quote rates for exploration in Rs. per running meters for all formation in given price bids. The quoted rates are including all taxes and service tax. (Possible nature of rock type in the proposed exploration areas is lignite, different types of Clay, Shale, friable Sand Stone, Conglomerate & lime stone etc. The evaluation of offers will be made on the basis of technical capability and the lowest offer received for the entire exploration work. The management reserves the right to accept or overlook or reject any lower offer and / or split the work between more than one bidders without assigning any reason thereof. d). The bidder is required to quote the rate strictly as per the terms and conditions mentioned in the tender documents. The conditional tender will not be entertained and will be rejected. The rate quoted should be exclusive of all items including service tax.. 4. ACCEPTANCE OF Letter of intent : If the successful bidder does not accept the Letter of Intent issued by GMDC within two week of its receipt, the amount of the EMD paid by him will be forfeited. 5. COMMENCEMENT OF WORK & DEVELOPMENT OF CAPACITY: The successful bidder will have to start the work within 30 (Thirty) days of the date of receipt of the Letter of Intent, by deploying adequate nos. of Rigs and other machinery required to carry out the job and will have to develop full capacity within 60 days thereafter. In case of failure to commence the work within 40 days of the date of receipt of the LOI or in failure to achieve the capacity as scheduled above, the contract may be terminated, at the discretion of GMDC forfeiting EMD 7

8 6 CONTRACT AGREEMENT: The successful bidder will have to enter into an agreement within 15 (Fifteen) days of the receipt of LOI, with GMDC on appropriate Stamp Paper (to be provided by the Contractor) in token of acceptance of the terms and conditions of the contract. In case of failure, the contract is liable to be terminated and the Security deposit may be forfeited. The successful bidder shall also indemnify GMDc against any claim, compensation, damage, loss, penalty etc. for breach and / or non-fulfillment of the prevailing Rules and Regulations and other statutory provisions in force from time to time and applicable to the work during the currency of contract 7. GENERAL: a) GMDC will not be responsible for any postal delay whatsoever. b) If the tender documents and forms referred to in the offer are not submitted or are submitted but not found duly filled in and unsigned, will result in rejection. c) In the event of space being insufficient for furnishing required information, additional sheets may be used and signed. d) Canvassing in any form may lead to rejection of the offer. 8. GMDC reserves the right to reject any or all the offer or split the work between more than one bidders without assigning any reason thereof. 8

9 Chapter II Criteria for Evaluation of Technical Bids 1. EXPERIENCE a) The requirement of experience and drilling rigs and it's accessories are as under Experience of drilling Readily available rigs with accessories and Pump 2000 meters three. b) The bidder must have sound financial position so as to buy and deploy additional machinery so as to meet the targets It will mean that the latest audited balance sheet of the bidder must show its net-worth equal to 30% of the cost of additional machinery which the bidder proposes to buy on award of the contract. A certified copy of the balance sheet and copies of the documentary proof for the cost of such machinery must be attached with the technical bid. c) Alternatively, the bidder may produce an original copy of the agreement signed with some other individual(s) / party(ies) forming a Joint Venture Company, who would carry out the contract and the JVC parties should jointly own the require numbers of drilling rigs and should jointly have net worth equal to 30% of the cost of the additional machinery required to be contract work. e) The bidder should clearly state its status and submit duly attested supporting documents as detailed in the Annexure-I. 3 Evolution of Rates : The price bid of only those parties, who qualified in the technical bid shall be opened. The bidders has to quote depth wise drilling rates as under; 00 to 100 meters - (in Rs. Per mt.) 100 to 200 meters- (in Rs. Per mt.) Above 200 meter - (in Rs. Per mt.) 9

CONSORTIUM / JOINT VENTURE: a) A Joint Venture may be formed for the purpose of tender work. However, the JVC partners should jointly own, possess and be able to deploy required machinery worth required capacity. b) The offer shall be submitted in the name of any of the partners of the Joint Venture Company. 10

11 c) The JVC/Consortium should have a proper and legally enforceable working arrangements as a part of the agreement. e.) The bid may be rejected in case the documents in support of the status of bidder is not clear or if the supporting documents are not enclosed with the technical bid. 4 POSSESSION OF MACHINERY The bidder should directly own and readily available required (As per Sr No 1) Diamond Core Drilling Rigs with necessary accessories and pump. The bidder should clearly state its status and submit duly attested supporting documents for ownership of the drilling rigs. 5 SOLVENCY CERTIFICATE The bidder should submit latest Solvency Certificate for a value of Rs. 5 (five) lacs issued from any Nationalized Bank with in last 12 months along with the technical bid. 6 ACCEPTANCE OF GENERAL TERMS AND CONDITIONS: The bidder should unconditionally accept all the terms and conditions of the contract by signing on each page of the technical bid document of the tender including annexures. 7 EMD The bidder should enclose separate crossed demand draft of any nationalized bank or scheduled bank worth Rs. 10 lacs (Rupees ten Lacs) towards Earnest Money Deposit along with the documents of technical bid in the cover so super-scribed. In absence of the DD for EMD or inadequate amount of EMD, the offer will be rejected. DD issued by co-operative bank shall not be accepted 8 DECLARATION The bidder should give a declaration along with the technical bid that it has not enclosed any conditional offer. 11

12 9 BLACK-LISTING OF THE BIDDER: The Bidder or its directors or partners of JVC should have been not black listed by any Government Organisation, nor should any litigation should be pending against any of them. The bidder will submit declaration to this effect along with the technical bid. If at any time such declaration is found false, the bid will be rejected or if the contract work is already awarded, it will be terminated forthwith without payment of any compensation and the EMD/SD will be forfeited. 12

13 CHAPTER - III OTHER TERMS AND CONDITIONS OF THE TENDER M/s Gujarat Mineral Development Corporation (herein after referred to as GMDC )proposes to carry out exploration work by hiring of Diamond core drilling rigs to explore in the different areas of Kutch, Surat, Bhavnagar,Bharuch etc district with the following terms and conditions. 1 SCOPE OF WORK 1.1 Exploratory Drilling : (a) The successful bidder will provide adequate numbers of Diamond Core drilling rigs with necessary accessories and Manpower and other ancillary equipment for Exploratory core drilling with NX / BX size & Ax size if required. The proposed drilling locations are lignite bearing areas of Kutch,Bharuch Surat, and Bhavnagar or any other district of Gujarat (b) (c) The drill holes will be Vertical. The drill hole depth will be varying from 30 meters to more than 350 meters. (d) The core recovery in all the formation should be at least 85 %. This will not apply in loose sand or it s equivalent formation. 1.2 Survey Work : GMDC will provide the proposed bore hole location plan of all the areas to be covered under exploration. and location (on plan & Field) of minimum two bench marks with RL and co ordinates within close proximity of area of Exploration. The contractor has to make Its own arrangements to fix up the proposed bore hole location on the site. They will also determine the Reduce Level and Co ordinates of all the bore holes. In case of the bore hole location shown on plan is not feasible on ground, the alternative location should be decided in consultation with GMDC Geologist. 13

14 1.3 Core Logging : The contractor shall adopt Standard procedures of Geological core logging which include details of Lithology,Thickness, Grain size, Colour and Megasopic Characters and other related details. The Water table observation of each completed bore hole and loss of Water if any during the drilling work should be part of the core logging. Contractor has to submit all the original logging registers to GMDC after completion of the work. 1.4 Sampling: The Contractor has to collect samples of all the economical minerals encountered during drilling operations The lignite and Carbonaceous material samples would be packed in to polyethylene tubes immediately after drilling to avoid the loss of initial moisture. The contractor has to take initial In situ moisture reading on the site,. with help of suitable instruments. There will be one lignite / limestone sample for every 1 meter run of lignite / limestone seam thickness. Each sample should be crushed in desirable mesh and after conning & Quartering final sample should be prepared. The selected recovered core and sludge shall be arranged properly in wooden core boxes of 1 m long with 6 riffles covered with wooden lid. Each run shall be marked properly by Plastic tag and the core boxes shall be numbered properly.the contractor will have to make arrangements for core boxes at his cost. The Contractor will hand over all the collected samples and selected core Boxes to GMDC at desired location for further Physical, Chemical and Geo Technical analysis work. The sampling should be carried out in presence of site Geologist. 1.5 Bore hole depth : The bore holes will be drilled up to older formation or may be closed as per the instructions of Site Geologist. 14

General scope of Services : The Contractor shall mobilize all the equipment s for the drilling within the time schedule. The contractor shall deploy his own manpower for the satisfactory completion of the entire scope of work The Contractor shall make his own arrangement for shifting the drilling rigs to new location / site at his own cost. The contractor shall arrange the wooden core boxes for preserving the core at his own cost. The contractor shall make his own arrangement for diesel, Lubricants, all other consumables, power, Camping, Transportation Etc.. 3 DURATION AND QUANTITY OF WORK (a) The period of the contract and quarterly target will be as Under Offer for Time Period of the work monthly Target in meters 50,000 meters One year (Maximum) 5000 meters 16

17 b) Total drilling should not be more than 50,000 meters However GMDC reserves the right to increase or decrease the quantum of the work with advance intimation to the contractor. GMDC reserves the right to split the work between more than one bidders without assigning any reason thereof. 4 RATES: (a) The contractor shall quote rates for exploration work in enclosed price bids the rates should be firm (Lumpsum) rate for core drilling in Rs. per mt in the given annexture.(inclusive of all taxes and service tax) (b) (b) Rate quoted shall remain valid for 180 days from the date of opening of the technical bid, which shall have to be extended unconditionally for further maximum of period 60 days, as deem fit by GMDC The firm rate quoted by the successful tenderer shall be valid for the entire currency of the contract. No escalation in the rates will be allowed on any account. (c) The rates quoted by the tenderer shall be free from corrections and over writings. Tenders containing over writing, erased rate(s), corrections or illegible rates shall be liable for rejection. 5 EARNEST MONEY DEPOSIT : (a) (b) (c) A non-interest bearing Earnest Money Deposit of Rs. 10,00,000 /- (Rupees Ten lacs only ) shall be paid along with the tender, and enclosed with Technical Bid documents in seal cover superscribed TECHNICAL BID, in form of Crossed Demand Draft in favour of GMDC. payable at Ahmedabad from Nationalised or Scheduled bank ( not being Co-operative). Any tender submitted without Earnest Money shall be summarily rejected and no claim shall be entertained on such rejected tenders. The unsuccessful bidders will be refunded the EMD amount by way of crossed cheque within 15 days of finalisation of the contracts. The EMD of the successful bidders (the Contractor) shall either be adjusted as a part of security deposit, if desired by the contractor or shall be refunded by way of crossed cheque on receipt of security deposit amount 17

18 6 SECURITY DEPOSIT (a) The successful Contractor shall pay security 5% of the total contract value in the following manner. i. 2.5% of the total contract value (including EMD) before the commencement of the contract work in form of a Crossed Demand Draft in favour of GMDC. payable at Ahmedabad or a Bank Guarantee, from any Nationalised Banks in the form and manner acceptable to the GMDC. ii. The balance 2.5 % amount of the Security Deposit will be recovered from Contractor s Running Account Bills by deducting it at a rate of 5% of RA bill amount and built up till the full amount of SD is realized b) Security deposit shall not bear any interest. c) It shall be refunded to the Contractor, within a period of three months after satisfactory completion of the work and removal of equipment, tools tackles, camp site etc, and the due fulfillment of all the terms and conditions of the contract including submission of final exploration report. The Contractor shall obtain a certificate to this effect from the General Manager [Project] / Project-in- Charge Site Geologist and shall submit the same to the General Manager [Geo] at Ahmedabad who after verification of the fact will arrange for refund of SD. d) GMDC will reserve the right to recover the charges or the penalty from the Security Deposit in the following circumstances- i. If the contractor or its employees causes any damage or destroy any property belonging to GMDC / GMDC. ii. The shortfall amount of all compensations, penalties and other sums of money payable by the contractor or recoveries to be made under the terms of this contract which is due but not paid by the contractor in full, etc. 7 RUNNING ACCOUNT BILLS. The Contractor shall submit the monthly Running account bills for completed Bore holes to Head office GMDC with following documents.in no case bill for uncompleted bore hole will be made. I. Detailed Joint measurement & computation sheets, duly signed by Geologist of Contractor and Site Geologist / Project Manager of GMDC. 18

19 MODE OF PAYMENT: 80% payment will be made from GMDC Head office after submission of Monthly Running bill. The final 20% payment will be released from Head Office after submission of Exploration Report The Running Account bills, submitted at Head Office will be processed, after considering following deductions. a) Income tax as per provision of Income Tax Act, and other Taxes (and sur-charges) applicable in force from time to time b) Security 5% of the gross amount of the RA bill as per clause No.2 c) If any amount becomes payable by as a result of any claim or application in terms of the provisions or non compliance of provision of the any Acts and the Rules and Regulations, By-laws or the Orders made there under, applicable from time to time, such amounts shall be recoverable from the tenderer for which GMDC will not be responsible for any compensation d) Liquidated damages or penalty if any. e) Any other applicable deduction. 8 LOCAL FACILITIES / LOCAL CONDITIONS a) GMDC do not undertake and agree to provide any facilities to the Contractor at the work site. However, the Contractor have to make its own independent arrangements. b) The tools, tackles, machinery, equipment, pumps etc. and the manpower required to execute the contract shall be arranged by the Contractor only. 9 STATUTORY OBLIGATIONS: a) The Contractor shall be responsible for arranging requisite manpower, and shall also fulfill the provisions of Labour laws, Contract Labour Laws etc if applicable 19

20 b) If any amount becomes payable by GMDC as a result of any claim or application in terms of the provisions or non compliance of provision of the any Acts and the Rules and Regulations, By-laws or the Orders made there under, applicable from time to time, such amounts shall be recoverable from the tenderer for which GMDC will not be responsible for any compensation. c) The selected Contractor shall also indemnify the GMDC against any claims, compensations, damages, loss, penalty etc. for breach and / or non-fulfillment of the prevailing Rules and Regulations and other statutory provisions in force from time to time and applicable to the work during the currency of contract. 10 MEASUREMENTS Measurements of quantum of work (i..e in meter) drilled by drill machine will be carried out in presence of an authorized representative of the contractor and Geologist at site in charge deputed from GMDC for look after the entire work and will also certify the same. This measurement shall be final and binding to the contractor. 11 LIQUIDATED DAMAGES( L.D.) 1. If the Bidder fails to mobilize the machinery and manpower to commence the work within (30) days of receipt of LOI, liquidated Rs. 10,000/- per day shall be leviable, for a maximum period of 15 days. If the bidder fails to start work even after 15 days, the GMDC will be free to take any action including forfeit of EMD and termination of LOI at your cost and risk. 2. The Liquidated damages shall be leviable after end of every month on the shortfall in the quantity of meterage to be drilled specified in respect of that month target, counted from the date of commencement of work till the relevant RA Bill period, at the following rates Cumulative Shortfall till the Running Account Bill Period Up to 5% of the prescribed cumulative quantity More than 5% up to15% of the prescribed cumulative quantity More than 15% of the prescribed cumulative quantity Rate for Liquidated damages for shortfall quantity 2 % of the quoted rate of met. 5 % of the quoted rate of met. 7 % of the quoted rate of met. 20

21 a) The obligation to strictly comply with the specified monthly quantity i.e. the quantity specified in respect of the particular month in the monthly schedule is fundamental requirement and obligation of the bidder. d) Shortfall in the targeted quantity shall be reviewed on cumulative target basis at the end of each running account bill period so that the bidder can recoup and recover the shortfall, if any, during the month of the respective RA bill period. b) The GMDC reserves right to terminate the contract and get the balance work completed at the cost and risk of the bidder if cumulative short fall is found more than 20% for three consecutive months/ RA bill period 13 NON FULFILMENT OF TERMS & CONDITION AND TERMINATION OF THE CONTRACT. a) If the Contractor fails to carry out the work as per terms and conditions of the contract to the satisfaction of the GMDC, GMDC shall be entitled to terminate the contract and forfeit the security deposit paid by the Contractor. This however, shall not absolve the Contractor from his obligation to fulfill the contract. In such event, the GMDC shall have a right to complete and / or to get the work completed at the cost & risk of the Contractor and the Contractor shall be responsible to pay such cost incurred by the GMDC to complete the work and / or to get the work completed. b) Likewise, if the Contractor does not fulfil the terms and conditions of the contract and does not carry out the work up to the entire satisfaction of GMDC, GMDC has the right to forthwith terminate the contract at its sole discretion, without assigning any reason, Under such events, the GMDC shall be entitled to forfeit the security deposit paid by the Contractor and the GMDC shall have a right to complete the work and / or to get the work completed at the risk and cost of the Contractor. c) For any reasons, if it is required, the GMDC reserves right to cancel, terminate. amend and / or alter the contract and / or bifurcate and / or reduce the contract work at any time without giving any notice to the Contractor and without incurring any responsibility. For such cases, Contractor shall have to take away his labour, tools, tackles, machinery, equipment etc. and shall leave the site at once or shall have to carry out the instructions of the GMDC. 14 GENERAL CONDITONS a) The appointment/ authorization of all officials and competent shall be issued with intimation to and through the concerned site incharge deputed from GMDC. 21

22 b) The Contractor has to ensure supervision of the work through duly qualified and competent persons and also has to make sure that a responsible qualified and competent person is full time available on work site to whom GMDC can issue the instruction and who can fulfill such instructions. Contractor shall have to work during daylight only with at least half-an hour rest interval. There will be no work on weekly days of rest and on paid/public holidays. All the equipment to be deployed by the Contractor must be maintained in proper working order and be fitted with all the required safety devices. For any dispute arising out of this Work Order or interpretation of any terms thereof, the decision of the Committee consisting of concerned Project Head (currently G.M.[Geo] at H.O., concerned Head of the Exploration Circle (CGM/GMRDS), & Chairman GMDC, shall be final and binding upon the tenderer. In case of any Central/State Government directives regarding execution of work related thereto, the same shall have to be strictly adhered to and binding upon the tenderer for implementation, for which GMDC will not be responsible for any compensation. 15 DISPUTES & ARBITRATION In case of any dispute, whatsoever, the Contractor shall not approach any Civil Courts for seeking remedy and justice. Such dispute, arising out of this contract, shall be resolved or adjudged only by way of arbitration as per the Arbitration and Conciliation Act, FORCE MAJEURE Force majeure is here in defined as natural phenomena such as floods, draughts, cyclone, earthquakes and epidemics, declaration of war, accidents etc. In such conditions of force majeure both the parties can claim force majeure but they are obliged to inform the either party within 7 days in writing of the date of commencing and again ending of the force majeure. Under the circumstances of force majeure stated above, the contract terms of quantity and period shall be extended by period equivalent to the loss of time due to force majeure. The decision regarding the occurrence of force majeure to be considered shall be taken jointly by Contractor & GMDC. Period of such time loss due to force majeure will be considered for reducing the monthly target for calculating the liquidated damages for the respective month in which such force major has occurred. 22
