Methd f Appintment Trustees are elected by the Sciety s members by written r electrnic mail ballt, per HRS Bylaws. Accuntability Reprt t: Bard Key Relatinships: Bard members, Chief Executive Officer, Directr f Gvernance and Bard Relatins Purpse T act in the best interest f the Sciety as a whle and t exercise the legal duties f nnprfit stewardship: 1) be faithful t the Sciety s missin, 2) exercise due diligence, and 3) give undivided allegiance t the Sciety when making decisins affecting the Sciety. Respnsibilities As a Steward f the Sciety Be infrmed abut and supprt the Sciety s missin, services, plicies and prgrams. Be infrmed abut and supprt the Bard f Trustees missin t gvern the Sciety, prtect the rganizatin s image and assets, and be the mral vice f its members. Champin the Sciety s prgrams and interests. Ensure that all ntices fr meetings and ther actins are given in accrdance with the prvisins f the Bylaws r as required by law. Act as custdian f the recrds, including minutes and the fficial list f trustees, and the crprate seal. 7

8 Certify and ensure that a current cpy f the Bylaws is maintained in the crprate ffice. Affix the seal, as authrized by the Bylaws r as required by law, t duly executed dcuments f the crpratin. Perfrm any ther duties required by the Bylaws, Articles f Organizatin, r the law. As Treasurer Serve as financial fficer f the rganizatin. Wrk with the Chief Executive Officer and Chief Operating Officer t ensure that accurate financial recrds are maintained and that apprpriate financial reprts are made available t the Bard n a timely basis. Assist the Chief Executive Officer and Chief Operating Officer in preparing the annual budget and presenting the budget t the Bard fr apprval. Ensure cmpliance with all relevant legal and regulatry requirements and ethical standards. Ensure that the rganizatin s assets are prtected, expended and invested accrding t Bard plicies and prcedures.
