2 1 Backgrund and Cntext 1.1 Suth Glucestershire and Strud Academy Trust Suth Glucestershire and Strud Academy Trust (SGSAT) is a cmpany, limited by guarantee, and an exempt charity. SGSAT was incrprated n 12 December SGSAT is at the heart f its cmmunity and its main aim is t advance educatin, fr public benefit, by develping teaching, learning and leadership resulting in imprved utcmes and life chances fr its learners. 1.2 Trustee Respnsibilities The Scheme f Delegatin explains the ways in which the SGSAT Trustees fulfil their respnsibilities fr the leadership and gvernance f the Trust, the respective rles and respnsibilities f the Trustees and the Lcal Gverning Bdy and is intended t prmte a culture f hnesty and accuntability. The Scheme f Delegatin has been put in place by the SGSAT Bard f Trustees frm the Effective Date in accrdance with the prvisins f the SGSAT s Articles f Assciatin (the Articles ) and it shuld be read in cnjunctin with thse Articles. The Scheme f Delegatin will be reviewed n an annual basis by the SGSAT Bard f Trustees. Circumstances which may lead t earlier review f this Scheme f Delegatin may include, but nt be limited t; SGS AT Bard requirement fr further supprt t imprve the perfrmance f a Schl/UTC, changes in the cnstituent academies f the Trust r the strategic directin/fcus f the Trust as apprved by the SGS AT Bard. 2 Eths and Values 2.1 Missin statement f SGSAT The SGS Academy Trust will aim t fcus n the develpment f the whle child by invlving and effectively engaging with pupils, parents / carers, staff and the cmmunity in a supprtive, aspiratinal and caring envirnment. We will aim fr excellence in ur teaching and all learning experiences and psitively prmte and nurture the academic, mral, scial, physical and creative grwth f the children in ur care. 2.2 Our Visin Brader, Further, Higher Page 2 f 22
3 SGSAT will supprt schls t imprve pupil attainment and distance travelled thrugh the prvisin and crdinatin f effective perfrmance management and prfessinal develpment / capacity building, cntinuus imprvement and prmting best practice thrugh peer supprt and knwledge exchange. SGSAT will prvide efficient, effective and crdinated nn-curriculum services t each schl t; -drive dwn the csts f these services fr each schl, -add value in the services they culd access individually and -ensure mre budget is fcused n student facing services. 2.3 Our Values 1. Whilst the Lcal Gverning Bdy shall be respnsible fr ensuring that the schls/utcs within SGSAT are cnducted in accrdance with its eths and values, the determinatin f SGSAT s guiding principles and key strategic bjectives shall be the respnsibility f the Trustees. In respect f the UTC, whilst the SGS AT Trust Bard shall be respnsible fr ensuring that UTC business is cnducted in accrdance with the Trust s eths and values, the determinatin f the UTC guiding principles and key strategic bjectives shall be the respnsibility f the UTC s Lcal Gverning Bdy (LGB) and are t be set within the framewrk f Baker Dearing Trust visin fr UTC s. At all times, the Trustees and the Lcal Gverning Bdy shall ensure that the schls/utc within SGSAT are cnducted in accrdance with the bjects f SGSAT, the terms f the trust gverning the use f the land which is used fr the purpses f the schls and any funding agreement entered int with the Secretary f State. 3 Structure The fllwing diagram shws the layers f gvernance and lines f accuntability within SGS AT. 5 3.1 Principal Spnsr Suth Glucestershire and Strud Cllege (SGS) is the principal spnsr f SGSAT. Spnsrs are respnsible t the Department fr Educatin (DfE) fr the perfrmance and finances f the schls within SGSAT. 3.2 Members Members are the subscribers t SGSAT s memrandum f assciatin, and any ther individuals permitted t becme members under its articles f assciatin. Members have an verview f the gvernance arrangements f the trust and have the pwer t appint and remve Trustees. Members can amend SGSAT s articles f assciatin (subject t the cnstraints f charity and cmpany law). The Bard f Trustees submits an Annual Reprt and Financial Statements t reprt n the perfrmance f the Trust t the Members. While Members can als be Trustees, retaining sme distinctin between the tw layers ensures that Members, independent f Trustees, prvide versight and challenge. 6 3.3 Bard f Trustees Each Schl/UTC is ultimately gverned by SGSAT and its Bard f Trustees, wh has ultimate authrity and respnsibility. The Bard f Trustees sets the visin and directin fr SGSAT, hlds the Head Teacher f each Schl/UTC Principal within SGSAT t accunt and ensuring financial prbity. As Charity Trustees, they must als ensure that they are cmplying with Charity law and Cmpany law requirements. The term f ffice fr a Trustee is 4 years and any Trustee may be re-appinted/re-elected. A Trustee shall cease t hld ffice by resignatin, remval r disqualificatin in line with the Articles f Assciatin. Article 100 prvides fr the appintment, by the Trustees, f cmmittees t whm the Trustees may delegate certain f the functins f the Trustees. The cmmittees f SGSAT are: The Finance & Audit Cmmittee The Frest High Schl Lcal Gverning Bdy The SGS AT Berkeley Green University Technical Cllege Lcal Gverning Bdy The SGS Pegasus Schl Lcal Gverning Bdy The respnsibilities f Bard Cmmittees are set ut in the Cmmittee s terms f reference. In additin, Wrking Parties, Task Grups, and Panels may be established and cnvened by the Bard f Trustees as required. Under Articles , Trustees have the pwer t delegate authrity t apprpriate persns. 4 Rles & Respnsibilities 4.1 SGSAT Members Members are the subscribers t the trust s memrandum f assciatin, and any ther individuals permitted t becme members under its articles f assciatin. Members have an verview f the gvernance arrangements f the trust. Key respnsibilities include: Appintment and remval f Trustees. 7 4.2 SGSAT Trustees Accuntable t external gvernment agencies, including the Department fr Educatin (and any successr bdies), fr the quality f the educatin prvided and the establishment f systems thrugh which they can assure themselves f quality, safety and gd practice; Overall respnsibility and ultimate decisin making authrity fr all the wrk f SGSAT, including the establishing and running f Lcal Gverning Bdies and apprving and reviewing f LGB cmmittee structure; A duty t act in the fulfilment f SGSAT s bjectives. The Trustees have the pwer t direct change where required; Respnsibilities include: Setting and reviewing the visin and strategic directin f SGSAT; Agreeing the key pririties fr cnstituent schls visin and strategy and agreeing Key Perfrmance Indicatrs against which prgress twards achieving the visin can be measured. Agreement f the SGS AT Trust staffing structure and appintment f the Chief Executive Trust Chief Financial Officer, Schl Head Teachers and UTC Principal; Appintment f the Clerk t SGSAT and the Clerk t the Lcal Gverning Bdies; Hlding the Chief Executive t accunt fr standards at all SGSAT Schls; Overall respnsibility fr cmpliance and versight in respect f Trust Health & Safety Duties, supprted by the wrk f the Trust Schls Health & Safety Cmmittee with invlvement f a Lead Trustee. Overall respnsibility fr Cmpliance and versight f Safeguarding arrangements within the Trust The perfrmance review f the Chief Executive, including setting and review f perfrmance targets and CPD expectatins; The Bard f Trustees must be cnsulted prir t any pssibility f the dismissal f the Chief Executive r Head Teacher/UTC Principal. T establish and apprve a Trust staff and Schl staff Appraisal prcess and hear any appeals related t pay reviews in line with the Trust Apprved Pay Plicy. Apprving a balanced annual budget fr submissin t the Educatin Funding Agency fr the financial year t 31 August, and any significant changes t that budget; Apprval f Schl/UTC and central budgets prir t the start f each financial year t ensure timely submissin t the Educatin Funding Agency (EFA); Final apprval f prpsed capital prgrammes; Page 7 f 22

Apprving significant and permanent additinal staffing appintments utside f the annual budget; Apprving any redundancies r staff restructuring after recmmendatin frm the Chief Executive; Recmmending the appintment f an external auditr t the Members. The prductin f audited accunts and receive and respnd t any reprts f the External Auditrs; Apprval f the annual reprt and accunts, submissin t Members and publicatin n Trust website; Scrutiny and apprval f curriculum plans; Apprving and reviewing f all plicies and prcedures required by law and best practice, including but nt limited t: Cmplaints Prcedure Admissins Plicy Health & Safety Plicies HR plicies Finance Prcedures Permanent Exclusin Prcedure Safeguarding Prcedures; Having regard t the interests f all Schls/UTCs which SGSAT is respnsible in deciding and implementing any plicy r exercising any authrity in respect f a Schl/UTC; Establish a Trust scheme f Financial Delegatin (Trust Financial Regulatins) and ensure regular review. Ensuring publicatin n Trust and Schls websites f all required DfE infrmatin relating t perfrmance, plicies and Gvernance. Ensuring effective arrangements are in place fr the Trust and Lcal LGBs t effectively engage with stakehlders fr the Trust/cnstituent schls Agreeing prcedures fr effective self-evaluatin and successin planning f the Bard and Cmmittees and undertake annual review f perfrmance; Appintment and remval f Lcal Gverning Gvernrs and successin planning f key staff, Trustees and Lcal Gvernrs; Page 8 f 22

In cnsidering any material changes t this Scheme f Delegatin r any framewrk n which it is based, the Trustees will have regard t and give due cnsideratin f any views f the Lcal Gverning Bdy. 4.3 Chief Executive The Chief Executive is an ex-ffici Trustee and accunting fficer; Accuntable t the Bard f Trustees fr the standards at the Schls within SGSAT and fr the quality f the educatin prvided; Respnsibilities include: Tgether with the Trustees, the accmplishment f SGSAT s missin and visin, and the respnsibility f the Trust t its regulatrs and diverse stakehlder grup; Ensuring the preparatin f all plicies required by law and best practice fr submissin t the Bard f Trustees; Ensuring implementatin and mnitring f all plicies and prcedures, reprting prgress and matters f cncern t the Bard f Trustees; Line management and perfrmance review f the SGS Executive Team emplyed by the Trust with annual reprt n perfrmance t the SGS AT Bard and making any recmmendatins fr remuneratin t the Bard f Trustees; Ensuring preparatin f Schl/UTC and Central budgets fr submissin t the Bard f Trustees; Financial mnitring acrss SGSAT and ensuring prvisin f supprt fr Head teachers/utc Principals t effectively undertake this aspect f their rle; Tgether with the Head f Standards and Schl Imprvement; Line management and accuntability fr perfrmance review f the Schl Head Teachers and UTC Principal and hlding t accunt against challenging benchmarks. In respect f annual perfrmance review, this will be undertaken with input frm the Chair f the Lcal Gverning Bdy and the Head f Standards and Schl Imprvement. All aspects f schl imprvement, standards and attainment with SGSAT and ensuring that each schl leadership team is held t accunt via the Head Teacher/UTC Principal t deliver utstanding utcmes; Agreement f imprvement plans with Schl Head Teacher/UTC Principal and the mnitring f the implementatin f the plan n behalf f the Trust. Invlvement with key staff appintments; Accuntability fr the educatinal perfrmance f the schl and its pupils; Page 9 f 22
10 Fcusing n imprving standards and utcmes by setting stretching perfrmance targets fr each schl within the Trust: Prviding supprt fr inspectin; Oversight f quality imprvement prcesses. 4.5 Schl Head Teacher/UTC Principal The Schl Head Teacher/UTC Principal will be respnsible t the Chief Executive Officer. Perfrmance targets will be based n Trust and Schl/UTC specific utcmes and will be agreed between the respective Chair f Gvernrs, Head f Standards and Schl Imprvement and the CEO. Review will take place 3 times a year by the Chair f Gvernrs and either the CEO r Head f Standards and Schl Imprvement, with reprt back t the SGS AT. Respnsibilities include: The peratinal and day t day management f the Schl/UTC, including H&S respnsibilities; Ensuring the visin fr the Schl/UTC and Trust is clearly articulated, shared, understd and acted upn effectively by all; Translating the visin int agreed bjectives and peratinal plans t prmte and sustain imprvement; Mtivating and wrking with Schl/UTC/Trust emplyees t create a shared culture and psitive climate; Implementatin and mnitring f all plicies and prcedures effectively in line with SGS AT requirements, reprting prgress and matters f cncern t the CEO and Chair f the Lcal Gverning Bdy thrugh regular reprting Representatin with key stakehlders, utside bdies and relatinship manager t parents, staff and pupils; Recruitment and retentin f students against set targets Oversight f quality imprvement prcesses Directin f quality imprvement grups Prvide supprt fr inspectin Determining, rganising and implementing a diverse, flexible curriculum with an effective assessment framewrk; Establishing creative, respnsive and effective appraches t teaching and learning; Ensuring a cnsistent and cntinuus Schl/UTC/Trust-wide fcus n pupil achievement using data and benchmarks t mnitr prgress in every child s learning; Facilitating utstanding pedaggy; Develp a culture and eths f challenge and supprt; Page 10 f 22

Due t the specific requirements f a UTC, the UTC Principal will als be required t: Lead and engage with Emplyers and develpment f UTC prjects Shuld schl/utc perfrmance r Schl Imprvement Plan cause cncern thrugh SGS AT Bard scrutiny f CEO review prcesses, this will be discussed with the Chair f Gvernrs/Chair f the Trust. Supprt will be prvided t facilitate imprvements. Shuld it be agreed that perfrmance triggers cmpetency r disciplinary prceedings, this will be cnducted by the CEO and the Chief Grup Services Officer, accrding t the prcedures agreed by the Trust Bard. 4.6 Lcal Gverning Bdy The Lcal Gverning Bdy (LGB) is a Cmmittee f the Bard f Trustees, is respnsible t; and held t accunt by the Bard f Trustees; The rle and respnsibilities f the Lcal Gverning Bdies are dcumented in their Terms f Reference, which is subject t annual review by the Bard f Trustees. These Terms f Reference utline any differing respnsibilities delegated by the SGS Academy Trust t the respective Lcal Gverning Bdy due t individual schl circumstances and requirements. Lcal Gvernrs are appinted by the Bard f Trustees; The usual term f ffice fr all members f the LGB will be 4 years, except fr the Head Teacher and the Chair f the LGB, wh may be a Trustee f SGS AT; The LGB will be respnsible t the SGS AT Bard f Trustees Supprt the visin and directin f SGSAT; Page 11 f 22
12 Act as a critical friend t the Schl Head Teacher/UTC Principal; Set and review the visin and directin fr the Schl/UTC The LGB will nte the SGS AT Bard apprved schl budget and versee and scrutinise financial mnitring f the Schl with versight by SGS AT Bard. If apprpriate in line with the LGB Terms f Reference, the LGB will mnitr the use f the Trust apprved appraisal prcess and in line with the Trust apprved budget set fr the schl, apprve any perfrmance related pay increases n recmmendatin f the Head Teacher/Principal. If apprpriate in line with the LGB Terms f Reference, the LGB hld will mnitr and scrutinise H&S and wellbeing f student matters within the Schl and receive reprts frm the Schl Head Teacher and utcmes frm the Trust Schls Health & Safety Cmmittee. The LGB will scrutinise the prvisin and perfrmance f Teaching and Learning and ensure any required imprvements are acted upn t deliver high standards f Teaching and Learning in the Schl. The LGB will scrutinise and mnitr the Schls arrangements fr Safeguarding. T undertake annual review f lcalised Schl/UTC Prcedures (within the Trust s verarching plicies and principles), in respect f the Hme Schl Agreement, Schl Equalities Plicy, Admissins Arrangements, Behaviur fr Learning, Educatinal Visits, and Wrk Experience. Due t the specific requirements f a UTC, the UTC LGB will als be required t: Set and review the visin and directin fr the UTC within the framewrk f the SGS AT visin and within the framewrk f Baker Dearing Trust visin fr UTC s Ensure that mre than 50% f the Lcal Gverning Bdy are representatives frm either emplyers r the university spnsr and include a representative frm the Baker Dearing Trust. Full details f LGB requirements are utlined in the UTC LGB Terms f Reference. The Lcal Gverning Bdy is nt respnsible fr the peratinal and day t day management f the Schl. This is the remit f the Schl Head Teacher/Principal wh reprts t the Chief Executive Officer. SGS AT values lcal stakehlders input int schls/utc s. The LGB with lcal input and scrutiny f the Schl/UTC activities will ensure that the student, parental and cmmunity engagement arrangements are cnsidered and infrm gvernance within the Schl/UTC LGB. Outcmes f this lcal engagement will be reprted t the SGS AT Bard thrugh the nrmal LGB reprting t SGS AT methds. The LGB will ensure that gvernance arrangements are cnducted effectively and within statutry pwers and that the Schl receives effective challenge and directin. Page 12 f 22
13 Mechanisms fr versight by the SGS AT Bard will include a LGB reprt t the Bard, which will be presented t each SGS AT meeting alng with the LGB meeting minutes available fr Trustees review. This versight will be supprted by the reprt t the Bard by the Head f Standards and Schl Imprvement. which als receives versight by the CEO, with key areas highlighted fr Trustee attentin. Escalatin f any issues frm the LGB t the SGS AT Bard will be thrugh the LGB and Chair f Gvernrs (wh is a Trustee) r thrugh the CEO as apprpriate fllwing their regular meetings with the schl Head Teachers/UTC Principal. As the SGS AT Trust Bard has ultimate respnsibility, if it is felt that the LGB cannt effectively undertake delegated respnsibilities this Scheme f Delegatin may be suspended and Trustees may assume the rle/part-rle (e.g. financial mnitring and Schl Perfrmance) f the LGB. It may als lk t strengthen the LGB with Trust Executives in attendance r ask Trustees with specific skill sets t attend the LGB fr a shrt perid f time until the LGB has develped t be effective in the required areas. A Gvernr shall cease t hld ffice by resignatin, remval r disqualificatin in line with the Articles f Assciatin. 5 Central Functins A fee, usually expressed as a percentage f the incme f each Schl/UTC General Access Grant, t the maximum f 4.9% will be agreed by SGS AT. This will be agreed annually fr specific services and supprt, is levied which enables all Schls t access a range f functins and services as and when required. If necessary, specific charges may be made fr bespke interventin when curriculum and perfrmance require e.g. lng term r significant leadership supprt. Depending n the cntext f each Schl, there may be different Service Level Agreements/Cntracts in place as the Head Teacher/UTC Principal and if apprpriate within their terms f reference, the LGB, feel is apprpriate within the Schl budget. Shuld services be secured thrugh external prvisin, surcing f these services must be undertaken in line with the requirements utlined in the Academies Financial Handbk and SGS Academy Trust Financial Regulatins dcument. 6 Budget Setting All final Schl/UTC and Trust budgets fr the fllwing academic year must be submitted t the SGSAT Bard f Trustees fr apprval. Budgets require authrisatin by the Schl Head Teacher, Chief Financial Officer and Chief Executive Officer, where apprpriate in line with agreed LGB terms f reference, prir t being presented t the SGSAT Bard f Trustees fr apprval. It is anticipated that the Chair f Gvernrs wuld have invlvement in the Budget setting prcess. Budgets shuld always be submitted n a surplus basis. Any deficit r anticipated deficit shuld be advised t the SGSAT Bard f Trustees immediately n ccurrence, discvery r first expectatin. Page 13 f 22
14 Schl Head Teachers/UTC Principals will wrk within specific parameters as fllws: Staffing csts t remain belw 75% f ttal incme Budgets and actual financial utcmes t run at a surplus in line with the Reserves Plicy. The Bard f Trustees may set additinal parameters where it is thught t be apprpriate. It is acknwledged that fr new Schls/UTCs jining the Trust there will be a legacy curriculum in place. This may require a plan t adjust t the abve perfrmance indicatr ver time. During start-up f a Schl/UTC, the LGB will determine the apprpriateness f the financial perfrmance indicatrs ther than the requirement t maintain a psitive cash psitin. The financial perfrmance f the Schl/UTC will be reflected within the SGSAT annual accunts. 7 Cmmunicatins Meetings f the Lcal Gverning Bdy will usually take place in advance f the Bard f Trustees meeting.
