3 1 Intrductin Thank yu fr agreeing t play a valuable rle as a member f a REAch2 Academy's Lcal Gverning Bdy. REAch2 is a charitable vluntary rganisatin which relies n the crucial input f a cnsiderable number f vlunteers, supprted by an experienced team f staff. Due t the size f the rganisatin and the number f schls fr which it is respnsible fr, cupled with its drive fr accuntability, it is als a cmplex rganisatin with varius imprtant layers f gvernance. The REAch2 Gvernance Charter prvides an verview f sme f thse cmplexities and layers as well as ur principles f gvernance. This cnstitutin and terms f delegatin fr yur Lcal Gverning Bdy (LGB) has been made by the Trustees f REAch2 Academy Trust (the Trust and Trust Bard respectively) and we ask that yu please read it alngside the REAch2 Gvernance Charter and the Rles and Functins Matrix. 2 Remit The rle f an LGB is an imprtant ne. It is t prvide fcused gvernance fr the Academy at a lcal level and it is the intentin f the Trust Bard t ensure that the respnsibility t gvern the Academy is vested in thse clsest t the impact f decisin-making. The LGB mnitrs the Academy's key perfrmance indicatrs and acts as a critical friend t the Headteacher and the Academy's senir leadership team, prviding challenge where apprpriate. The LGBs carry ut their functins in relatin t their respective Academy n behalf f the Trust Bard and in accrdance with plicies determined by the Trust Bard. The act f delegatin frm the Trust Bard t the LGBs is a delegatin f pwers and duties, and nt a delegatin r shedding f respnsibilities. 3 Interventin The LGB will wrk clsely with the Reginal Bard and the Executive Team and shall prmptly implement any advice r recmmendatins made by the Reginal Bard r the Executive Team in respect f standards and perfrmance, particularly where areas f weakness have been identified (either internally within the Trust r by Ofsted). The Trust Bard reserves the right t review r remve any pwer r respnsibility cnferred n the LGB under this cnstitutin and terms f reference, in particular, in circumstances where serius cncerns in the running f the Academy are identified, including where: there are cncerns abut financial matters; there is insufficient prgress being made against educatinal targets (including where interventin by the Secretary f State is being cnsidered r carried ut); there has been a breakdwn in the way the Academy is managed r gverned; r the safety f pupils r staff is threatened, including a breakdwn f discipline. 81

4 Where necessary, the Trust Bard will put in place fr an apprpriate perid f time an interventin bard whse respnsibility it will be t address the areas f weakness. 4 Cmpsitin f Lcal Gverning Bdies Each LGB cmprises a maximum f twelve members (which we refer t as Lcal Gvernrs), including: the Headteacher f the Academy; up t fur members appinted by the Trust Bard; at least tw elected parents r guardians f a pupil at the Academy (Parent Lcal Gvernrs); up t tw emplyees f the Academy, usually cmprising ne teacher and ne nn-teaching staff member, elected by emplyees f the Academy (Staff Lcal Gvernrs); and up t three members c-pted by the Lcal Gvernrs. Each LGB shall have a Chair and a Vice-Chair. The length f service f all Lcal Gvernrs and the Clerk t the LGB shall be fur years. Subject t remaining eligible t be a Lcal Gvernr, any Lcal Gvernr may be reappinted r re-elected at the end f his r her term. Every persn wishing t becme a Lcal Gvernr will be required t sign a declaratin f acceptance and f willingness t act as a Lcal Gvernr, in the frm set ut in Appendix 1 r as prescribed by the Trust Bard frm time t time, and shall make disclsures fr the purpses f a criminal recrds check by the Disclsure and Barring Service. With regard t St Mark's Church f England Primary Academy, fundatin gvernrs nminated by Suthwark Dicesan Bard f Educatin and ntified as such t the Trust Bard will frm at least 50% f the members appinted by the Trust Bard and the Incumbent will by virtue f their psitin be amember f the LGB. 5 Cmmitment f Lcal Gvernrs Lcal Gvernrs are asked t: prepare fr and make an active cntributin at meetings f the LGB; champin the Academy in the lcal cmmunity; familiarise themselves with the Academy's plicies; 82

5 visit the Academy bth during schl hurs (with prir arrangement with the Headteacher) and fr evening events t get t knw the Academy and t be visible t the Academy cmmunity; and attend training sessins fr Lcal Gvernrs, where pssible. 6 Stakehlder vices LGBs are expected t have regard t the vices f their varius stakehlders (especially pupils, parents and staff) and t put in place arrangements t receive feedback and t respnd apprpriately. This includes engaging stakehlders thrugh defined gvernance arrangements (including elected parent and staff gvernrs n the LGBs) and mre bradly. Accessing and respnding t pupils cllective cncerns is an imprtant part f the peratins and gvernance f REAch2 academies. All schls have active Pupil Cuncils with representatives frm each year grup. Each LGB is expected tgive due regard t issues that are raised thugh the Pupil Cuncil and the management actins taken in respnse t the issues. 7 Appintment and particular respnsibilities f Lcal Gvernrs a) Chair The Chair is appinted by the Lcal Gvernrs. The term f ffice f the Chair is tw years, but the Chair is eligible fr reappintment at the end f that term. The Trust Bard are entitled t remve the Chair frm ffice at any time, althugh this wuld nt necessarily affect the individual's psitin as a Lcal Gvernr. The Chair and Vice-Chair will rdinarily meet with the Headteacher f the Academy and the Clerk (and the Reginal Executive Principal if available) befre the start f the academic year t plan the wrk f the LGB fr the year. The respnsibilities f the Chair include the fllwing: t chair meetings f the LGB; t set the agenda fr meetings with the Headteacher and Vice-Chair; t reprt t the Reginal Bard and the Trust Bard in writing fllwing any LGB meeting, if requested; t give an ral summary f the LGB's deliberatins, if requested, at meetings f the Reginal Bard and the Trust Bard; and t prvide a direct link between the LGB and the Reginal Bard. In the event f a need t make genuinely urgent decisins between meetings n matters falling within the remit f the LGB, the Chair f the LGB (r the Vice- Chair f the LGB in his r her absence) in cnsultatin with the Chair f the Reginal Bard, shall take apprpriate actin n behalf f the LGB. The decisins taken and the reasns fr urgency shall be explained fully at the next meeting f the Reginal Bard and f the LGB. 83

6 b) Vice-Chair The Vice-Chair is appinted by the Lcal Gvernrs. The term f ffice f the Vice-Chair is tw years, but the Vice-Chair is eligible fr reappintment at the end f that term. The Trust Bard is entitled t remve the Vice-Chair frm ffice at any time, althugh this wuld nt necessarily affect the individual's psitin as a Lcal Gvernr. The respnsibilities f the Vice-Chair include the fllwing: t deputise fr the Chair in his r her absence; t set the agenda fr meetings f the LGB with the Chair, if requested; and t prvide a link between the LGB and the Reginal Bard. In the absence f bth the Chair and the Vice-Chair at a meeting, the LGB will elect a temprary chair frm amng their number. c) Staff Lcal Gvernrs The teacher member f the LGB shall be elected by the teaching staff at the relevant Academy. The nn-teaching staff member f the LGB shall be elected by the nn-teaching members f staff f the relevant Academy. The respnsibilities f the Staff Lcal Gvernrs are t represent the interests and pinins f teaching and nn-teaching staff at the Academy t the LGB. d) Elected Parent Lcal Gvernrs Parent Lcal Gvernrs fr each LGB shall be elected in accrdance with the prcess set ut belw: When a vacancy arises, the LGB will write t all parents f pupils at the Academy seeking nminees fr the vacancy. Nminees will be asked t prvide a shrt statement abut why they are interested in being a Parent Lcal Gvernr and their backgrund and experience that makes them suitable fr the rle. In the event that the number f nminees equals r is less than the number f vacancies n the LGB, the LGB can chse t appint all (r any) f thse nminated. If there are mre nminees than places available, the LGB will write t all parents f pupils at the Academy asking them t vte fr their preferred candidate. A Parent Lcal Gvernr shuld be a parent r carer f a registered pupil at the relevant Academy r where this is nt reasnably practical, a persn wh is the parent f a child f cmpulsry schl age. The respnsibilities f the Parent Lcal Gvernr are t represent the interests and pinins f the Parent Bdy f the Academy t the LGB. 84

7 e) Other respnsibilities Each LGB shall appint frm amng its members individuals with specific respnsibilities which shall include: a Lcal Gvernr with respnsibility fr special educatinal needs and inclusin; a Lcal Gvernr with respnsibility fr safeguarding; a Lcal Gvernr with respnsibility fr statutry grants (including pupil premium); a Lcal Gvernr with respnsibility fr health and safety; and a Lcal Gvernr with respnsibility fr finance. f) Clerk t the Lcal Gverning Bdy The LGB in cnsultatin with the Reginal Bard shall appint a Clerk t the LGB wh must nt be a Lcal Gvernr. In the absence f the Clerk, the LGB shall elect a replacement fr the meeting (wh may be a Lcal Gvernr). The respnsibilities / functins f the Clerk t the LGB are as fllws: cnvene meetings f the LGB including sending ntices and papers f meetings; attend meetings f the LGB and ensure minutes are prduced; maintain a register f members f the LGB including their terms f ffice and reprt any vacancies t the LGB; maintain a register f business interests f LGB members; maintain a register f Lcal Gvernrs' attendance at meetings and reprt n nn-attendance t the LGB; reprt t the LGB as required n the discharge f the Clerk's functins; and perfrm such ther functins as shall be determined by the LGB frm time t time. g) Ceasing t be a Lcal Gvernr A Lcal Gvernr's term f ffice will be terminated if: any event r circumstance ccurs which wuld disqualify him r her frm the ffice f Trustee under the Articles were he r she t hld such ffice; he r she has, withut the cnsent f the LGB, failed t attend LGB meetings fr a cntinuus perid f six mnths, beginning with the date f the first such meeting he r she failed t attend and the Chair and the Vice Chair agree that the term f ffice shuld be terminated; he r she resigns frm ffice by ntice t the Trust; he r she is remved frm ffice by the Trust Bard. 85

8 8 Cnvening meetings f the Lcal Gverning Bdy Meetings f the LGB will be held in each term. The Clerk t the LGB shall give written ntice f each meeting and circulate an agenda and any reprts r ther papers t be cnsidered at the meeting at least seven clear days in advance f each meeting. Hwever, where the Chair determines there are matters demanding urgent cnsideratin, it shall be sufficient if the written ntice f the meeting states that fact and the ntice, cpy f the agenda and ther papers are given within such shrter perid as the Chair directs. Any tw Lcal Gvernrs may call a meeting by giving written ntice t the Clerk, which includes a summary f the business they wish t carry ut. It shall be the duty f the Clerk t cnvene a meeting as sn as reasnably practicable. The Lcal Gvernrs may invite persns wh are nt Lcal Gvernrs (such as a member f a cmmittee, any emplyee, any pupil, any prfessinal adviser and any experts f any kind) t attend the whle r part f any meeting fr purpses cnnected with the meeting. The cnvening f a meeting and the prceedings cnducted at meetings shall nt be invalidated by reasn f any individual nt having received written ntice f the meeting r a cpy f the agenda. 9 Vting at meetings f the Lcal Gverning Bdy The qurum fr meetings f the LGB and fr any vte n a matter at such meetings is ne half f the ttal number f Lcal Gvernrs in ffice at that time (runded up t the nearest whle number). A meeting shall be terminated if the number f Lcal Gvernrs present ceases t cnstitute a qurum. Where a meeting is nt held r is terminated befre all the matters specified as items f business n the agenda fr the meeting have been dispsed f, a further meeting shall be cnvened by the Clerk as sn as is reasnably practicable, but in any event within seven days f the date n which the meeting was riginally t be held r was s terminated. Any Lcal Gvernrshall be able t participate in, and be cunted as present at fr the purpses f the qurum, meetings by telephne r vide cnference prvided that: he has given ntice f his intentin t d s detailing the telephne number n which he can be reached and/r apprpriate details f the vide cnference suite frm which he shall be taking part at the time f the meeting at least 48 hurs befre the meeting; and the LGBhas access t the apprpriate equipment; and prvided that, if after all reasnable effrts it des nt prve pssible fr that Lcal Gvernr t participate by telephne r vide cnference, the meeting may still prceed with its business prvided it is therwise qurate. Every questin t be decided upn at a meeting f the LGBs shall be determined by a majrity f the vtes f Lcal Gvernrs present and vting n the questin. Vtes tendered by prxy shall nt be cunted. Where there is an equal divisin f vtes, the Chair has a casting vte. 86

9 The Lcal Gvernrs may act ntwithstanding any vacancies, but, if the number f Lcal Gvernrs is less than the number fixed as the qurum, the cntinuing Lcal Gvernrs may act nly fr the purpse f filling vacancies. A reslutin in writing, signed by all Lcal Gvernrs entitled t receive ntice f a meeting shall be valid and effective as if it had been passed at a meeting duly cnvened and held. Such a reslutin may cnsist f several dcuments in the same frm, each signed by ne r mre Lcal Gvernrs and may include an electrnic cmmunicatin by r n behalf f the LGB indicating his r her agreement t the frm f reslutin prviding that the Lcal Gvernr has previusly ntified the LGB in writing f the address r addresses which the Lcal Gvernr will use. 10 Persnal interests f Lcal Gvernrs Lcal Gvernrs shall cmplete a register f their business interests, which shall be reviewed annually. Any Lcal Gvernr wh has any duty r persnal interest that cnflicts r may cnflict with his r her duties as a Lcal Gvernr shall: disclse that fact t the LGB as sn as he r she becmes aware f it. A Lcal Gvernr must absent himself r herself frm any discussins f the LGB in which it is pssible that a cnflict will arise between his r her duty t act slely in the interests f the Academy and such duty r persnal interest; withdraw frm any meeting fr that item unless expressly invited t remain in rder t prvide infrmatin; nt be cunted in the qurum fr that part f any meeting; and withdraw during the vte and have n vte n the matter. 11 Cmmittees f the Lcal Gverning Bdy The LGB may establish cmmittees t carry ut certain functins f the LGB. The LGB must determine the cnstitutin, membership and terms f reference f any cmmittee it decides t establish and review them annually. The establishment f any new cmmittees ther than temprary, ad hc cmmittees required t deal with specific issues, must be agreed in advance with the Reginal Bard. 12 Minutes Attendance at each LGB meeting, issues discussed and recmmendatins fr decisins shall be recrded and the minutes signed by the Chair at the next meeting f the LGB. The written recrd (nce apprved by the Chair f the relevant LGB meeting) shall be frwarded by the Clerk t the LGB t the Clerk t the Trust Bard as sn as is reasnably practicable. 13 Delegatin t the LGB The LGB shall have the rles set ut in this sectin and any ther rle that the Trust Bard agree shall be carried ut by the LGB and that is cmmunicated in writing t the Chair f the LGB. 87

10 a) General The gvernance f the Academy is delegated t the LGB wh may exercise the pwers f the Trust in s far as they relate t the Academy, subject t: any restrictins in the Cmpanies Act which requires a decisin f the Members r the Trust Bard; the Articles; Plicies and Prcedures set by the Trust Bard; a specific decisin f the Trust Bard; paragraphs b) t d) belw; and the reserved matters as set ut in Appendix 2. The Trust Bard and the LGB acknwledge that they each play a crucial rle in the gvernance f the Academy and cmmit t wrking tgether in the best interests f the Trust and the Academies. They als acknwledge that the duties and respnsibilities in relatin t the peratin f the Trust sit with the Trust Bard and as such the Trust Bard is entitled: t verrule a decisin f the LGB; and/ r t remve delegated pwers frm an LGB if (in their reasnable pinin) they cnsider it t be in the best interests f the Academy r the wider Academy Trust. b) Decisin Making The relatinship between the Trust Bard, the Reginal Bard and the LGB is underpinned by the principles that there shuld be n duplicatin f gvernance and gvernance shuld be as clse t the pint f impact f decisin-making as pssible. The Rles and FunctinsMatrix which prvides further clarity as t wh the decisin makers are fr different levels f decisins shuld be read alngside the REAch2 Gvernance Charter and this cnstitutin and terms f delegatin. c) Financial matters The LGB shall assess the annual budget fr the subsequent financial year prepared by the Academy's Headteacher and senir leadership team and submit the budget t the Reginal Bard's Finance Cmmittee fr apprval in accrdance with the timeline specified by the Trust Bard. Subject t the paragraph belw, the LGB shall have the pwer t expend funds f the Trust Bard which relate t the Academy as it cnsiders in the best interests f the Academy and in accrdance with the Finance Manual and the Prcurement Plicy. The LGB shall have regard t: the Objects f the Trust and the restrictins attached t any grant funding; the Academy's develpmental pririties as set ut in the Academy Develpment Plan; and 88

11 financial sustainability. In line with their duties and respnsibilities as trustees and directrs, the Trustees shall be entitled t determine that a prprtin f the budget in respect f the Academy be held centrally fr the fllwing reasns: t be allcated t the prvisin f central services received by the Academy; in pursuance f the Academy Trust's reserve plicy; and/ r as therwise may be determined by the Trustees acting reasnably and in the best interests f the Academy Trust. d) Cntractual authrity The LGB is authrised t enter int a cntract n behalf f the Trust in s far as it relates t the Academy prvided that: the cntract des nt exceed the value specified in the Finance Manual frm time t time; the cntract has been prcured in cmpliance with the Trust's prcurement plicy and in accrdance with the Academies Financial Handbk; cnsideratin is given as t whether the cntract cnstitutes a 'related party transactin'; and the cntract des nt relate t the fllwing services: HR; payrll; accuntancy; audit; educatin inspectin; leadership and CPD; energy supplier and energy management; financial management systems; management infrmatin systems; ICT systems and ICT hardware supplier cntracts; Telecmmunicatin systems; statinery and cnsumables supplier cntracts; catering cntracts; cleaning cntracts; 89

12 facilities management; capital wrks; and health and safety management systems, unless: T mnitr incme, expenditure and cash flw f the Academy 90 a) in the case f leadership and CPD supprt, it cmplements rather than duplicates the Trust ffer r, in any ther service area, the Reginal Business Manager has been cnsulted; r b) the cntract is f a lw value and shrt term (in the view f the LGB acting reasnably). 14 Key functins f the LGB The LGB is asked t carry ut the fllwing functins: a) Gvernance T champin the REAch2 visin and values in the academy and t ensure the spiritual wellbeing f the pupils T determine the educatinal character, missin and eths f the academy reflecting the wider character, missin and eths f the Trust T ensure that the schl has a medium t lng-term visin fr its future and a rbust strategy fr achieving it T appint (and remve) frm its number, the Chair, Vice-Chair and Lcal Gvernrs with specific respnsibilities fr special educatinal needs and inclusin, safeguarding, statutry grants (including pupil premium), health and safety and financial matters. T appint a Clerk T review and amend the plicies f the Academy (in line with any Trust prescribed plicy). T implement a means whereby the Academy can receive and react t pupil, parental and staff feedback. T establish and maintaining a relatinship with the members f the lcal cmmunity. b) Finance and cntracts T appint a Lcal Gvernr respnsible fr Finance T apprve the annual budget fr the Academy fr submissin t the Reginal Bard T mnitr the Academy's delegated budget and ensure that any variances are reprted t the Reginal Bard's Finance Cmmittee fr apprval

13 T ensure prper financial cntrls are in place at the Academy T maintain a register f LGB members' business interests T ensure prvisin f free schl meals t thse pupils meeting the criteria T enter int cntracts up t the limits f delegatin and within an agreed budget T supprt the Trust Bard in its mnitring and evaluatin f the delivery f any central services/functins prvided/prcured by the Academy Trust. c) Curriculum and standards T apprve the curriculum prpsed by the Headteacher (t the extent that it is cnsistent with the Trust-wide plicy) T ensure effective prcesses are in place fr mnitring the quality assurance f teaching and learning, the curriculum, inclusin and the sharing f gd practice acrss the Academy. T mnitr the KPI figures reprted frm the Headteacher relating t standards T develp, mnitr and apprve the Academy Develpment Plan in tandem with the Self-Evaluatin Frm. d) SEN T appint a Lcal Gvernr respnsible fr SEN and inclusin T review and maintain the Academy's SEN plicy T prvide versight f the implementatin f the plicy within the Academy and cmpliance with the Disability Discriminatin Act requirements. e) Safeguarding T appint a designated gvernr fr safeguarding T review and maintain a safeguarding and child prtectin plicy fr the Academy (cnsistent with the Trust-wide plicy) T ensure the cmpletin f the single central recrd. f) Behaviur T review and maintain a behaviur plicy fr the Academy T cnvene a cmmittee t review the exclusin f a pupil by the Headteacher. g) Admissins 91

14 T undertake cnsultatin, publish admissins and determine arrangements as required in accrdance with the Schl Admissins and Appeals Cdes. T make arrangements fr determining admissins and hearing admissin appeals. T ensure effective arrangements are in place fr pupil recruitment. T cntribute t the develpment f the Academy prspectus. h) Pupil related matters T review attendance and pupil absences (as part f the KPI reprt) T appint a Lcal Gvernr respnsible fr statutry grants including pupil premium T mnitr the impact f the pupil premium in the Academy T mnitr the impact f ther ring fenced grants such as the Sprts Premium. T adpt an Academy Cmplaints plicy (cnsistent with the Trust-wide plicy) T hear cmplaints at the relevant stage T ensure effective arrangements are in place fr pupil supprt and representatin at the Academy T supprt the Trust and the Headteacher in the extended schl prvisin in the Academy. i) Staffing T participate in the prcess t appint the Headteacher as requested by the REAch2 Executive Team (acting with the delegated authrity f the Trust Bard). T take part in the perfrmance management f the Headteacher T supprt the Headteacher in the develpment and review (frm time t time) f an apprpriate staffing structure fr the Academy and fr the appintment f Academy staff t ensure that the Academy is fully staffed in accrdance with that structure T ensure that there is effective cmmunicatin between the Headteacher and the Reginal Executive Principal T ensure that the Trust's plicies n all HR matters are implemented in the Academy T mnitr the implementatin f the Trust's plicies at the Academy fr HR matters including the appintment, inductin and perfrmance management f staff, pay review prcess and prcedures fr dealing with disciplinary matters, grievances and dismissal. 92

15 j) Infrmatin management and cmmunicatin T ensure the effective implementatin f the data prtectin plicies and prcedures in the Academy.
