1 Gverning Bdy Terms f Reference Rles f the Chair and Vice Chair f the Gverning Bdy 1. T ensure the business f the Gverning Bdy is cnducted prperly, in accrdance with legal and Nrthumberland Cunty Cuncil delegatin requirements. 2. T ensure that meetings are purpseful and effective. Ensure pririties are met and key issues discussed. T ensure every member f the Gverning Bdy has equal pprtunity t participate in decisin-making and discussin during meetings. 3. T ensure that meetings have actinable utcmes that will psitively impact upn the perfrmance f James Calvert Spence Cllege. 4. T enable the Gverning Bdy t challenge the schl leadership effectively. 5. T establish and fster an effective relatinship with the Executive Headteacher based n trust and mutual respect fr each ther s rles, enabling a critical friend relatinship. Rle f the Clerk t the gverning bdy 1. T wrk effectively with the Chair and Vice Chair f Gvernrs, the ther Gvernrs and the Executive Headteacher t supprt the Gverning Bdy. 2. T advise the Gverning Bdy n Cnstitutinal and Prcedural Matters, duties and pwers. 3. T cnvene meetings f the Gverning Bdy. 4. T attend meetings f the Gverning Bdy and ensure minutes are taken. 5. T maintain a register f members f the Gverning Bdy and reprt vacancies t the Gverning Bdy. 6. T give and receive ntices in accrdance with relevant regulatins. 7. T perfrm such ther functins as may be determined by the Gverning Bdy frm time t time. Rle f the Chair f a Cmmittee 1. Perfrms a check twice a year t ensure that financial recrds are prperly filed and that required accuntancy prcedures are being fllwed as detailed in the Finance Manual. 2. Checks and recmmends acceptance f the quarterly and end f year financial returns t Nrthumberland Cunty Cuncil, ensuring that these returns are an accurate statement f the Schl's financial psitin. The Gverning Bdy will take a strategic rle acting as a critical friend t James Calvert Spence Cllege and be accuntable fr its decisins. It will mnitr and review plicies, targets and plicies. It will agree with James Calvert Spence Cllege s aims and bjectives and: T agree cnstitutinal matters, including prcedures where the Gverning Bdy has discretin. T recruit new members as vacancies arise and t appint suitable new gvernrs where apprpriate. T hld at least three Gverning Bdy meetings a year. T appint r remve the Chair and Vice Chair. T appint r remve a Clerk f the Gverning Bdy. T appint/dismiss/suspend/end suspensin f the Executive Headteacher T appint the Deputy Headteacher

2 T establish Cmmittees f the Gverning Bdy and their Terms f Reference. T appint the Chair f any cmmittee. T suspend a Gvernr. T decide which functins f the Gverning Bdy will be delegated t cmmittees, grups and individuals. T receive reprts frm any individual cmmittee t whm a decisin has been delegated and t cnsider whether any further actin by the Gverning Bdy is necessary. T apprve the first frmal budget plan f the financial year. T review delegatin arrangements annually. Gvernrs may nt vte n agenda items in which they have a pecuniary interest and must declare any such interest in advance f the start f any discussins. T audit individual and cllective develpment needs and prmte apprpriate training. T arrange t meet with the External Adviser t review the Executive Headteacher s perfrmance targets. T decide, with the supprt f the External Adviser whether the targets have been met by the Executive Headteacher and t set new targets annually. T mnitr thrugh the year the perfrmance f the Executive Headteacher against the targets. T undertake purpseful mnitring visits t the schl with schl leaders in relatin t the schl imprvement plan T interrgate the perfrmance f the schl thrugh available perfrmance data, seeking clarificatin r explanatin where the data is unclear. T agree and/r review and evaluate relevant plicies such as Curriculum, teaching and learning, assessment. RE, relatinships and sex educatin T act as Link gvernrs, meeting with the assigned leaders t gain an understanding f the curriculum targets and activities undertaken/prgress twards thse targets. T undertake any necessary training that is necessary t enable effective mnitring f targets. T evaluate the extent f success f the schl imprvement plan at the end f the set timescale. T set targets with schl leaders fr pupil achievement. T review and cnsider pupil and parent views abut learning
