2 CareerSource Pinellas Finance Committee Date: May 29, :00 A.M. Location: Teleconference Call to Order In the absence of Dr. Arnold, Mr. Bill Price chaired the meeting. Call to order was done at 9:00am. There was a quorum present with the following Finance Committee members participating. Committee Members in attendance Jack Geller, Karla Leavelle, Bill Price Committee Members not in attendance Dr. Robert Arnold, Lenne Nicklaus Staff Present Jennifer Brackney, Sheila Doyle, Anna Munro, Luna Clarke Action/Discussion Items Action Item 1 Approval of Minutes of April 24, 2018 Finance Committee Meeting The minutes of April 24, 2018 Finance Committee Meeting were presented for approval. Motion: Second: Jack Geller Karla Leavelle The minutes were approved as presented. The motion carried. Action Item 2 Florida Business Tax Application The Science Center sells various small dollar items (individually less than $15) such as rock candy, astronaut ice cream, etc. to children who attend the STEM classes and holiday camps. The Organization is required to report and remit the sales tax collected to the Department of Revenue using a sale tax certificate number. The sales tax certificate number is obtained by completing the Florida Business Tax Application. Motion: Second: Karla Leavelle Jack Geller The Finance Committee recommends approval of the Florida Business Tax Application. The motion carried. Other Administrative Matters None Information Items A. Update on Science Center Background: Effective December 12, 2014, a business loan was obtained for the principal amount of $700,000 with an interest at a rate of 4.650% per annum based on a year of 360 days. The proceeds of the loan were used to pay-off the remaining principal and interest of the mortgage payable existing at June 30, The payment terms require 59 regular payments of $4,511 each and one irregular payment of $585,710. The final payment will be due on December 10, 2019, and will be for all principal and all accrued interest not yet paid. Update: The following options are available to refinance the current loan maturing December 2019 based on monthly payment of principal balance of $625,000: 15 year fixed rate/15 year amortization 5.19% monthly payment = $5, year fixed rate/10 year amortization 4.99% monthly payment = $6, year fixed rate/20 year amortization 5.39% monthly payment = $4, year fixed rate/20 year amortization 4.99% monthly payment = $4,

Discussion: - It was proposed to make a business case for keeping the Science Center as a WorkNet property. Is the center meeting the goals that were previously established? Is it serving the needs of the customers, as well as the needs for youth education, by ways of the various classes, programs and STEME activities we offer? -Board members proposed to have staff do a comparison of leasing cost compared to ownership costs, for space used for program activities. However, before embarking on such an analysis, to get input from the County as to their appetite for ownership versus leasing, as they are the ultimate financially responsible authority. -Pinellas County has assigned Mr. Dennis Long as a consultant, to assist and advise them in the transition process. Board members recommend to keep Mr. Long informed as we go along and to get his input on how the County would like to see WorkNet staff proceed on the matter of the Science Center Loan update. B. Financial update for period ended April 30, 2018 The grant award to expenditures report was provided in the meeting packet. CareerSource Pinellas has expended approximately 62% of its budgets. Staff Comments Ms. Jennifer Brackney (Interim Executive Director) gave an update on the following points: 1. We are continuing to move forward with transition plan meetings with CSTB. We are still planning for a date of July 1, CSTB has scheduled a special board meeting for May 31 st, Pinellas County has requested additional information regarding the budget, mostly for clarification purposes. The review of the budget will take place on June 19, In addition, we are working with Powell and Jones CPAs to conduct an audit of the internal controls. We anticipate their report to be available at the June 27 th Board meeting. Public Comments None Adjournment The meeting was adjourned at 9:25 a.m. 3
4 Information: Action Item 2 Program Year Budget Modification No. 6 Total budgeted revenue has increased from $16,252,262 to $16,340,603 for an overall increase of $88,341. This is due to the following: Workforce Investment Act Programs: Increase in WIOA AD of $7,860 Increase in WIOA Youth of $5,881 Increase in WIOA DW of $10,840 Employment Services Programs: Increase in Veteran s programs of $63,760 Recommendation Approval of adjustments to the revenue budgets and resultant modifications to the expenditures budgets. 4

8 Information Item 1 RFB for Finance & Accounting Services Background: CareerSource Tampa Bay and CareerSource Pinellas have utilized a shared services model over the past several years. Recently, a decision was made to create separate organizations each with their own professional and support staff. As a result, CareerSource Pinellas is in need of an interim Chief Financial Officer and Senior Accountant. It is anticipated the selected candidates will work hours per week during the contract term. Scope of Work: Job descriptions for the CFO and Sr. Accountant position are attached. Brief description of the work, for either/both positions, includes: Assist with the transition of work from a shared services model to an independent model Prepare financial reports for internal and external stakeholders. Perform grant-related postaward functions and fulfill requests for cost reports, budgets, projections, analysis, reconciliations and refunds. Communicate with fiscal contacts at funding source for problem resolution and information gathering Complete budget and expense analysis of contracts Perform grant close-out functions required by grants/contracts Review general ledger transactions to ensure accuracy; Review monthly revenue and corresponding receivable/payable for cost reimbursement contracts as assigned. Prepare adjustments and journal entries Assist in the monitoring and implementation of a cost allocation plan. 9 WorkNet Pinellas Classification Description Classification Title: Director Finance Department: Admin Pay Grade: 34 (Entry $86,300) FLSA Status: Exempt Purpose This position supervises, controls, interprets, and communicates the internal auditing or programmatic and financial/administrative monitoring operations, and provides information and guidance to the Executive Management team and Board of Directors. This position is also responsible for external audits of financial statements. Essential Functions: Job Duties and Responsibilities Plan, develop, organize, implement, direct and evaluate the organization s programmatic and financial/administrative monitoring operations. 12 WorkNet Pinellas Classification Description Classification Title: Senior Accountant Department: Admin, Program Service Type A Pay Grade: 24 FLSA Status: Exempt Purpose This position maintains and reviews complex financial records for the operating budgets and federal grant monies applying generally accepted accounting principles. The incumbent performs a wide range of monitoring functions designed to assure the accuracy and effectiveness of all operating policies, procedures, and systems and programs. This position will assist with company audits and on other special projects as assigned. Essential Functions: Job Duties and Responsibilities Assist in maintenance of accounting records; post entries; make adjusting entries; prepare financial statements from accounting records Examine and verify all operating revenues and expenditures; verify against budget; make adjusting entries, as required Manage financial transactions related to various grant funded projects as well as fee based services Manage administrative compliance monitoring of contracted service providers Assist with program compliance monitoring of contracted service providers Assist with preparation of annual operating budget Assist with departmental annual audit conducted by independent accounting firm Review and appraise organization and service provider operations to determine compliance with laws, rules, and regulations, and to assure the reliability, accuracy, and completeness of records Assist with analyzing financial statements on a monthly basis and report on variances Facilitate and complete monthly close procedures Prepare grant reimbursement requests to Federal or State funding agencies Execute monitoring procedures as assigned 12

15 Information Item 2 Annual 401(k) Plan Audit Information: WorkNet Pinellas, Inc. 401k Plan is required to have an annual audit by an Independent CPA firm. For the calendar year 2017 a full scope audit will be conducted by Powell & Jones, CPAs for a fee of $7500. The annual audit is to be completed and filed by October 15, Financial statement audit for FYE 6/30/18 Information: Audit Committee is scheduled to approve the Engagement letter with Powell and Jones, CPAs to conduct independent audit services for the Fiscal Year ended June 30, Proposed schedule is to start fieldwork once the letter has been approved and complete audit and finalize financials prior to 9/1/
