Expression of Interest (EOI) for Chartered Accountants Invitation of Proposals for Expression of Interest (EOI) for Statutory Auditor for the 2 Laning of SHs in the State of Rajasthan on DBFOT Basis: 1 The Public Works Department (PWD) has been entrusted by the Govt of Rajasthan( Authority ) with the work under PPP mode of Up-gradation/Improvement and Strengthening work for development to two lane with hard / paved shoulders, to be implemented on Design, Build, Finance, Operate and Transfer (DBFOT) pattern for a pre-agreed concession period. 2 The Authority shall invite expressions of interest from Chartered Accountants Firms or bodies corporate to undertake and perform as Statutory Auditor the duties and functions set forth in relevant Concession Agreement State Highways and there upon shortlist 10 (ten) qualified firms (for each project) in accordance with predetermined criteria as set forth in Schedule T of Concession agreement. The Authority shall convey the aforesaid list of firms to the Concessionaire for scrutiny and comments, if any. The Concessionaire shall be entitled to scrutinize the relevant records of the Authority to ascertain whether the selection of firms has been undertaken in accordance with the prescribed procedure and it shall send its comments, if any, to the Authority within 15 (fifteen) days of receiving the aforesaid panel. Upon receipt of such comments, if any, the Authority shall after considering all relevant factors, finalize and constitute a panel of 10 (ten) firms (for each road) (the Panel of Chartered Accountants ) and convey its decision to the Concessionaire. 3 Authority proposes to prepare a short-list of Chartered Accountants for each road to act as Statutory Auditor for implementing the PPP projects mentioned herein under on DBFOT pattern: SNo. Project stretch SH Project Length Total project cost Consultancy period ( in months) (Rs. F.7 (211)/BOT/PPP-SH/JPR-BHL/2009/D- Date: Sub: - Dear Sir, Short-listing of Chartered accountants for projects under PPP mode of Up-gradation / Improvement and Strengthening work for the development to mainly two-lane with hard/paved shoulders, to be implemented on Design, Build, Finance, Operate and Transfer (DBFOT) pattern for a preagreed concession period. The Public Works Department (PWD) has been entrusted by the Govt. of Rajasthan ( Authority ) to implement projects on State Roads for Up-gradation / Improvement and Strengthening work for development to two lane with hard / paved shoulders, to be implemented on Design, Build, Finance, Operate and Transfer (DBFOT) pattern for a pre-agreed concession period under PPP mode. Authority now intends to short-list eligible Chartered accountants Firms/joint ventures who have proven experience for Statutory Auditor on PPP Projects to act as Statutory Auditor. In order to carry out the implementation of above project as per MCA SH, the Authority will engage eligible chartered accountants Firms / Joint ventures to act as Statutory Auditor. 2. The Authority invites offers from all reputable firms of chartered accountants who fulfill the following eligibility criteria, namely:- a) The firm should have conducted Statutory audit of the annual accounts of at least one hundred companies registered under the Companies Act, 1956, of which at least ten should have been public sector undertakings; b) The firm should have at least 5 ( five) practicing Chartered Accountants on its rolls, each with a minimum experience of ten years in the profession; c) The firm or any of its partners should not have been disqualified or blacklisted by the Comptroller and Auditor General of India or the Government; and d) The firm should have an office in the State or in adjacent State with at least 2 (two) practicing Chartered Accountants on its rolls in such State. 3. Interested firms meeting the eligibility criteria shall be required to submit a statement of their capability including the bio-data of all the practicing Chartered Accountants on its rolls. In particular, each firm shall be required to furnish year wise information relating to the names of all the companies with

5 an annual turnover exceeding Rs. 25,00,00,000 (Rs. Twenty five crore) whose annual accounts were audited by such firm in any of the preceding 5 (Five) Accounting Years. 4. Only those chartered accountants Firms / Joint ventures who satisfy above minimum eligible criteria need apply. In case a chartered accountants Firms / Joint ventures firm claims experience for a project undertaken as a member of JV, the particular firm s position in the JV needs to be clearly brought out in the Client certificate or in a supporting sheet by the firm itself. 5. The duration of the services will be required over a period up-to 36 (Thirty six) months. 6. The Short-listing of chartered accountants Firms / Joint ventures shall be done based on the marks obtained by the firm after evaluation of firm s experience, credential etc. The points assigned for evaluation criteria have been given in Annexure-IV. 7. Instructions for submission of the expression of interest are enclosed at Annex- I and guidelines for the preparation for the expression of interest is enclosed at Annex-II. Eligible chartered accountants Firms / Joint ventures interested in short-listing for Statutory Auditor should fill up the enclosed expression of interest form (Annex-III) and submit together with a letter of intent (LoI) so as to reach our office not later than 1100 hrs on Encl. 6 Annex - I GOVERNMENT OF RAJASTHAN Public Works Department INSTRUCTION FOR SUBMISSION OF EXPRESSION OF INTEREST STATEMENT 1. Accomplished Expression of Interest Statement must be submitted together with a Letter not later than 1100 hrs on The Expression of Interest document shall be the basis of drawing up a shortlist of chartered accountants firms. 3. The application shall be submitted in English. Only one application needs to be submitted, specific mention of the road is required to be given. 4. Power of Attorney (on stamp paper and duly notarized) of the person submitting the Expression of Interest on behalf of the applicant shall be attached, JV shall be formed with maximum 2 partners including the Lead Partner. 5. In case of the application made by a Joint Venture, either Joint Venture MOU/Agreement or the Letter of Intent to form the joint venture shall be attached along with all necessary details. 6. The Empanelment of the chartered accountants shall be done for stretches under implementation as per MCA (SH). A particular chartered accountants firm is allowed to be sole an eligible applicant provided it has applied either as a firm or in JV with one more partner. Formulation of more than one JV with different partners for the different roads is NOT ALLOWED and all such Expression or Interest involving the firm shall be treated as non-responsive. 7. Completed Expression of Interest along with enclosures should be hard bound (hard bound implies binding between two covers through stitching

7 or otherwise with all pages numbered serially, along with an index of submission) whereby it may not be possible to replace any paper without disturbing the documents. Spiral bound form, loose form, etc. will not be evaluated, page numbered and initialed on each page. Loose/Spiral bounded Expression of Interest are liable to be treated as non-responsive. 8. 8 Annex-II GOVERNMENT OF RAJASTHAN Public Works Department GUIDELINES FOR PREPARATION OF EXPRESSION OF INTEREST Expression of Interest Statement of chartered accountants, interested to be considered for the services contemplated shall fill up the enclosed form in single copy. The numbers below correspond to the numbers contained in the enclosed forms (Annex-III): 1. A chartered accountants firm may submit the proposal either as a sole applicant or as a member of Joint venture for any road. However, same firm cannot submit the Expression of Interest for any other project in different combinations, all such Expression of Interest involving the firm shall be treated as non-responsive. 1.1 The Short-listing of chartered accountants for each road shall be done based on the marks obtained by the firm after evaluation of firm's experience, credential etc as set forth in Annex-V, the top 10 firms in each group scoring the highest marks would be shortlisted. 1.2 The short-listing finalized by the Authority shall be binding on the firms. 2. Complete name of firm, date of establishment and type of organization whether individual, proprietorship, partnership, private limited company, limited company etc. 3. Name of affiliate firms, their years of establishment, countries of origin and type of organization. 4. Exact and complete home office address, business address, telephone number, Fax number, and cable address. For consulting firms of foreign registry, indicate if there is any branch office(s) established in India with details in the aforesaid manner. Information is to be

9 furnished by the sole applicant or members of JV individually. 5. If present firm is the successor to or outgrowth of one or more predecessor firms, fresh name(s) of former entity (ties) and the year(s) of their original establishment. Information is to be furnished by the sole applicant or members of JV individually. 6. Present a brief narrative description of the firms. Information is to be furnished by the sole applicant or members of JV individually. 7. List not more than two (2) principals who may be contacted by this Office. Listed principals must be empowered to speak for the firm on policy and contractual matters. Information is to be furnished by the sole applicant or members of JV individually. 8. (I) indicate the number of employees by discipline. While some personnel may be qualified in several disciplines, each person should be counted only once in accordance with his/her primary functions. (II) Indicate the number of permanent/ regular employees by discipline with experience of 5 to 10 years and more than 10 years.
