4 2) Perod Of Contract: Ths contract s for a perod of one year and extendable for further perod of one year on good performance. n case of any unsatsfactory stuatons BESeOM has the rght to cancel the order wthout gvng any notce. Contract Agency and ts employees have no rght to dsclose any Techncal secrecy, Commercal secrecy and Socal secrecy of BESeOM to others. _>. n the nterest of BESeOM servces, the total requrements of Manpower on contract bass to varous offces of BESeOM may vary. However, such changes wll be as per the provsons of KTPP Act. 3) Supervson: Agency shall nspect from tme to tme and ensure satsfactory performance of the staff so provded by them. The agency shall stare that the staff deployed by hm to work and to dscharge dutes as per the nstructons of the concerned offcer. 4) Servces Req ured by the BESeOM: 4.1 The Agency shal1 provde manpower servces n BESeOM's premses as per the detals gven heren, or any other locaton as requred by the BESCOM to be read wth the Specal Condtons of Contract, Assgnment nstructons and Schedule of Requrements. 4.2 The BESeOM shall pay the charges as agreed between the BESeOM and the Agency at the tme of bddn g process. 4.3 The Agency sha11 provde manpower servces n the BESCOM's premses to ts entre satsfacton and t s the sole responsblty of the Agency that the work s executed n all respects n accordance wth the Agency's oblgatons. 5) Agency's Oblgatons: 5.1 The Agency shall provde manpower servces at BESCOM's premses as per Schedule of Work Requrements whch may be amended from tme to tme by the BESeOM durng the Contractual perod and t shall always form part and parcel of the Contract. The Agency shall abde by such assgnments as provded by the BESCOM from tme to tme. 5.2 The Agency shall provde manpower servces through ts traned personnel for the performance of ts servces hereunder and these personnel deployed shall be employees of the Agency only and the BESCOM shall not n any manner be lable and all statutory labltes (such as ES & EPF etc.) shall be pad for by the Agency. 5.3 The Agency shalj submt to BESCOM, the detals of amount deposted on account of EPF and EST n respect of the deployed personnel to the concerned authortes from tme to tme.

5 5.4 The Agency shall produce the detals of payments of statutory benefts lke bonus, leave, relef etc. from tme to tme to ts personae to BESCOM. 5.5 The BESCOM shall have the rght, wthn reason, to have any personnel removed who s consdered to be undesrable or otherwse and smlarly the Agency reserves t.he rght to remove the any personnel wth pror ntmaton to the BESCOM, emergences, exempted. 5.6 The Agency shall cover ts personnel for'personal accdent and death whle performng the duty and rhe BESCOM shall own no lablty and oblgaton n ths regard. The Agency shall exercse adequate supervson to ensure proper performance of Manpower Servces n accordance wth Schedule of Requrements. The Agency shall ssue dentty cards dentfcaton documents to all ts employees who wll be nstructed by rhe Agency to dsplay the same. The personnel of the Agency shall not be the employees of the BESCOM and they shall nor clam any salary or allowances, compensaton, damages or anythng arsng out of ther employment/duty under ths Contract. The Agency shall make them known about ths clause n wrtng before deployment under ths agreement The Agency shall also provde at ts own cost all benefts statutory or otherwse to ts employees and the BESCOM shall not have any lablty whatsoever on ths account. The Agency shall also abde by and comply wth the Labour laws, Workmen Compensaton Act, EPF Laws, ES Laws, ncome tax laws and Mnmum Wages Laws, Contract Labour (Regulatons Abolton Act) or any other law n force The Agency shall cover all ts personnel under the relevant laws of EPF, Labour, EST etc. Proof of the same should be submtted by. the Agency monthly to BESCOM The Agency shall submt a copy of wages sheet showng monthly wages pad to ts personnel to BESCOM Adequate supervson should be provded to ensure correct performance of the servces n accordance wth the prevalng requrements, agreed between both the partes All necessary reports and other nformaton shall be suppled mmedately as requred and regular meetngs wll be held wth the BESCOM The Agency shall not employ any person below the age of 18 years old. 5.9,7 Manpower so engaged shall be traned for provdng servces. 6) Agency's Personnel: 6,1 The Agency sha11 at all tmes ensure that t has suffcent, sutable and qualfed personnel to supervse the BESCOM premses at the BESCOM ste and n suffcent number to undertake the responsbltes mposed upon the Agency under the Contract and to provde full attenton for executng the work thereof.

6 o 6.2 The Agency shall submt ts Organzaton Chart, showng theren the detals of key personnel wth ther full contact detals. The Agency shall also keep nformng the BESCOM of any change n ts organzaton or ts personnel 6.3 The personnel engaged by the Agency shall be dressed n neat and clean unform (ncludng proper D cards). 7) Agency's Lablty: 7.1 The Agency shall completely ndemnfy and hold harmless the' BESCOM and ts employees aganst any lablty, clams, losses or damages sustaned by t or them by reason of any breach of contract, wrongful act or neglgence by the Agency or any of ts employees engaged n the provson of the manpower servces to the BESCOM. 7.2 The Agency shall not be lable n any way whatsoever and the BESCOM hereby expressly waves any rght to, any loss, njury, damage, cost or expense of whatsoever nature drectly or ndrectly; Caused by, resultng from or n connecton wth any Act of Terrorsm or any Bologcal or Chemcal Contamnaton or any Nuclear Rsks. Consstng of, caused by, resultng from or n connecton wth any loss, damage, destructon, dstorton, erasure, corrupton or alteraton of Electronc Data from any cause whatsoever (ncludng but not lmted to Computer Vrus) unless such loss, damage, destructon, dstorton, erasure, corrupton or alteraton of Electronc Data was due to the neglgence or default of the Agency or any of ts employees engaged n the provson of manpower Servces to the BESCOM. 7.3 The Agency shall not Sub-Contract or Sub-let, transfer or assgn the contract OT- any other part thereof. n the event of the Agency contravenng ths condton, BESCOM shall be enttled to place the contract elsewhere on the Agency's rsk and cost, and the Agency shall be lable for any loss or damage, whch the BESCOM may sustan n consequence or arsng out o~ such replacng of the contract. 8) BESeOMs Oblgatons: 8.1 Except as expressly otherwse provded, the BESCOM shall, at ts own expense, provde tmely all the' requred equpment and facltes at the Jocatonrs) where the manpower Servces are to be provded requred to enable Agency's employees to carry out the Servces. 8.2 The BESCOM shall comply wth and fulfll the recommendatons (f any), f deemed necessary, made n wrtng by the Agency n connecton wth the performance of the Servces. The BESCOM shall notfy the Agency of any dshonest, wrongful or neglgent acts or omssons of the Agency's employees or agents n connecton wth the Servces as soon as possble after the BESCOM becomes aware of them. r,, :

7 8.3 To enable the Agency to provde the manpower servces, [he BESCOM shall ensure that ther staff s avalable to provde such assstance. 8.4 The BESCOM shall not be under any oblgaton for provdng empanelment to any of the personnel of the Agency after the expry of the contract. The BESCOM does not recognze any employee, employers relatonshp wth any of the workers of the Agency. 9) The agency, whch s provdng Manpower servces wll be purely on contract bass and Dot enttled to clam any permanency benefts from BESCOlV. The employees of the contract agency at any tme are not enttled to clam any permanency beneft from BESCOM. 10) The Agency shall ensure satsfactory standards by hs staff posted as Manpower and loss to BESCOM caused due to neglgence n dutes, undesrable act, msbehavor and carelessness of ts employees shall be borne by the Agency tself n case, f [he servces are not up to the mark, such Manpower has to be replaced at the request of local offcers by the Agency. 11)Agency shall take the responsblty of nspectng ther employees on duty on regular bass by appontng one supervsor. Agency shall nspect from tme to tme and ensure satsfactory performance of the employees provded. 12)Selected personnel shall be ssued a lamnated.d. affxng latest photograph wth detals of Name, EPF & ES1 Account numbers, desgnaton, Name of the Agency, date of appontment, any other detals etc. by the agency and should be strctly worn by ndvdual staff durng offce hours. 13) The Agency, shall provde unform, cleanng allowance, badges etc. to rs employees at ther own cost. 14)Tbe Manpower engaged by the frm wll be the Employees of Contract Agency and at any cost they wll not be consdered as employees of BESCOM. 15)n case of any accdents, njures etc. to the engaged staff of the agency, compensaton shall be payable to the next kth and Kn by the contract agency only and BESCOM s not responsble n any way. 16)The Agency wll comply wth all the provsons regardng lcensng, welfare and health, procedures, mantenance of varous records and regsters etc., as provded under the Contract Labour (Regulaton & Abolton) Act ]970 and also under the order ssued by the Government of Karnataka there under, and for ts noncomplance, the Agency shall be responsble for penaltes leved by the approprate authorty under the Act. The Agency shall also be lable to comply wth all other Labour and ndustral Laws and such other Acts and Statutes (ncludng Factores Act, Payment of Bonus Act, etc.). Depostng of PF contrbuton as may be applcabje s [he responsblty of the Agency at hs own expenses and shall not be rembursed by the BESCOM. Any default n complance, the Agency shall be herd-re~ppa j.qle.

8 S 17)The BESCOM shall not be lable to pay any allowance or any other amount under any law n force for the staff engaged by the Agency. The BESCOM shall also be not lable for breach of any Labour Laws or any other Laws for the tme beng n force. The Agency shall not be enttled to any other allowances or benefts whch are not ncluded n the contract. 18)10 case the Agency subcontract to other contract agency, such Agency wll be rejected by gvng 7days notce. Any loss on account of such acts to BESCOM shall be borne by the agency tself. 19)The Agency shall agree to BESCOv regulatons and shall arrange to effectvely carry out the socal and other responsbltes. Staff of servce provder shall not msbehave wth Consumer or BESCOM permanent employees or offcers nor shall cause any loss to BESCOM property For any such lapses the Agency s solely held responsble. 20)The General Manager (A&HR), BESCOM has full rght to accept or reject the offers. 21)The Agency shall arrange to pay EPF, ES1, and GST n respect of the persons deployed n BESCOM drectly to the respectve Government/Central Government Departments at prevalng rates from tme to tme be pad drectly by the agency usng ther regstered code. Remttance of such amount s wholly the responsblty of the Agency. j, r 22)The payment shall be restrcted to the number of Manpower servces avaled durng that partcular month as certfed by the concerned head of the offce of BESCOM. 23)Tbe agency also furnsh the detals of Employees name, EPFES1 Account Number wthn TEN days from the date of ssung of contract order, to bl lng secton. 24) Mode of payment: The concerned offce shall send the certfed copy of the avaled manpower to the agency wthn '2nd day of every month wthout fal.

9 t s mandatory that the Agency shall arrange the payments to ts employees wthn 7th day of every month rrespectve of payment receved from BESCOM. 1) The agency shall submt pre-recepted nvoce n duplcate wth certfcaton from the Offcer n charge of the secton for satsfactory completon of the work for payment of remuneraton of the Manpower to the respectve payment authortes of BESCOM before 7th of the succeedng month, Payment on monthly bass wll be made by RGS mode after effectng applcable recoveres. 2) Before ssung the cheque to the agency, dsbursng authorty should ensure that the Agency has produced bank statement of RTGS made to hs Staff, as proof for havng pad the prevous month salary and challan of EPF/ES of the ndvdual employees, The agency shall furnsh the followng orgnal documents/enclosures n duplcate for payment. Otherwse the bjjs are lable to be rejected. a,?vfonthly Attendance Regster b. The Agency should ssue the salary slp by showng the authentcated EPF code, EST code and correspondng EPF & EST deductons to the ndvdual employees of the sad contract order. 25) All provsons related as per the Acts noted below shall be provded to the employees by the Agency only and Agency shall provde all related benefts under these followng Labour laws. a, Mnmum Wages Act, t, b. Payment of Wages Act, c. Contract Labour (Regulaton and Abolton) Act, d. Employees PF and Mscellaneous Provson Act, 1952, e. Employees State nsurance Act, 1948, f. The BESCOM wll have the power to appont any other agency for the manpower servces at the rsk and cost of the Azencv.,J. -." 31.2 n case the Agency fals to fulfll the mnmum statutory requrements (ESlEPF) as per the condtons?f the tender document and fals to produce the concerned documents, t shall be treated as breach of the Contract and the Agency s lable to be blacklsted by the BESCOM, n addton to forfetng of the monthly blls and Performance Securty Depost n case of breach of any condtons of the contract and for all types of losses caused ncludng excess cost due to hrng manpower servces n the event of Agency falng to provde requstoned number of manpower, the BESCOM shall make deductons at double the rate of hrng rate on pro rata bass from the blls preferred by the Agency or that may become due to the Agency under ths or any other contract or from the securty depost or may be demanded from hm to be pad wthn seven days to the credt of the BESCOM.

11 11 32) Arbtraton: Any dspute or dfference or clam arsng out of or n connecton wth or relatng to the present contract or the breach, termnaton or nvaldty thereof, shall be -referred and settled n accordance wth Arbtraton and Conclaton Act ) Dspute: n the event of any dspute or dfference arsng under ths contract agreement or that whch may arse n future wll be solved by takng recourse to mutual settlement falng whch' ths shall refer the same to the Managng Drector, Corporate Offce, BESCOM, K.R. Crcle, Bengaluru-O 1 whose decson shall be fnal and bndng on both the partes to ths contract. Further any unsettled dspute wll be subject to approprate courts n Bengaluru jursdcton and n case of any dspute between the Agency and the engaged personnel, BESCOM wll not be a party and ths has to be settled by the Agency hmself at hs own cost, 30.1)TER.;'dlNATON FOR CONVENENCE: BESCOM may, by wrtten notce sent to the Agency, termnate the contract, n whole or n pan at any tme for ts convenence. The notce of termnaton shall specfy the termnaton s for BESCOM's convenence, the extent to whch provdng manpower servces under the contract s termnated and the date upon whch such termnaton s effectve. The Agency upon recept of such notce shall dscontnue for provdng manpower servces on the date and to the extent specfed n the notce, make all reasonable efforts to stop all further manpower servces termnated. 35) TERVL~ATON OF CONTRACT: BESCOM may wthout prejudce to any other remedy for breach of Contract by 15 days wrtten notce of default sent to the Servce Provder, termnate the Contract n whole or n part. a) f the Servce Provder fals to provde the servce wthn the tme perod(s) specfed n the Contract or any extenson thereof granted by BESCOM, b) f the Agency fals to perform any other oblgaton(s) under the Contract.
