Purpose 1.1. Ths Resource Sharng Addendum for the TechShare.Common Integrated Justce Systen (herenafter "ths Addendum") s an addendum to the Master Interlocal Agreement For Partcpatol In The Texas Conference of Urban Countes TechShare Program Ths Addendum s entered nto by and among the Texas Conference of Urban Countes ("Urbal Countes") and the Partcpants Each of the undersgned Partcpants s a sgnatory to the Master ILA To the extent that any provson of ths Addendum conflcts wth the terms and condtons of an' provson of the Master ILA, then ths Addendum governs. 2. Defntons Captalzed terms used n ths Addendum have the meanngs as set forth n the Master ILA. The follown! captalzed terms, not otherwse fully defned wthn ths Addendum, have the followng meanngs: 2.1. CIJS Court Admnstraton System: The software modules offered by Tyler to Partcpants under thl Master Agreement Go Lve: Go Lve s defned as the event whereby a Partcpant makes a module of the CIJS COUI Admnstraton System fully actve so that users can access t for ts ntended purposes Master ILA: The Master Interlocal Agreement for Partcpaton n the Urban Countes TechSharc Program, Verson Master Agreement: The Master Agreement s the Amended and Superseded Master Agreemen between Tyler Technologes, Inc., and Urban Countes effectve October 1, 2014, ncludng an: amendments thereto, whch sets forth the terms and condtons whereby Urban Countes offer: lcensng and support servces for the CIJS Court Admnstraton System Oversght Commttee: Oversght Commttee means the TechShare Oversght Commttee Partcpants: Partcpants s defned as all local governments executng ths Addendum Partes: Partes s defned as the Partcpants and Urban Countes Stakeholder Commttee: Stakeholder Commttee means the CIJS Stakeholder Commttee a: provded for n the Master ILA Tyler: Tyler means Tyler Technologes, Inc. 3. Term of Addendum 3.1. Ths 2015 Resource Sharng Addendum shall be effectve from October 1, 2014 through ani ncludng December 31, FY2015 CIJS Resource Sharng Addendun /III TechShare Page 1, December =~//'I!

2 Fnancal Plan 4.1. The 2015 Fnancal Plan for each Partcpant s attached as Attachment A As addtonal Partcpants execute ths Addendum, Partcpants may be elgble for rembursemen of portons of ther Enterprse Modfcaton Fees. Enterprse Modfcaton Fees collected b~ addtonal Partcpants that exceed the Enterprse Modfcaton Fees to be pad to Tyler shall bi remtted to Partcpants as rembursement. Rembursement amounts shall be In proporton to eacl Partcpant's share of the total Enterprse Modfcaton fees pad by all Partcpants by module In accordance wth the Master lla, a Partcpant wll not be responsble for any costs n excess 0 those reflected n the 2015 Fnancal Plan unless those excess costs are approved by thl Partcpant's governflg body Costs as set forth In the 2015 Fnancal Plan are due from each Partcpant as specfed theren Urban Countes wll send nvoces to the Partcpant n accordance wth the payment schedule se forth n the Fnancal Plan. The Partcpant shall pay no later than forty fve (45) days after recept 0 each nvoce In accordance wth secton 4.2. of the Master I LA, a Partcpant elgble for membershp n Urbar Countes but not a member n good standng shall pay annually, as addtonal support costs, ar amount that n total for all Resources equals the amount the Partcpant would pay n dues f t wen a member of Urban Countes. Such addtonal amount. f applcable to any Partcpant. wll b! ncluded n Attachment A The 2015 Fnancal Plan for each Partcpant Includes an amount for shared assstance ani learnng opportuntes. Ths fund wll be admnstered by the Stakeholder Commttee for the benef of all Partcpants, and each PartCpant shall have an equal opportunty to aval tself of the share( assstance and learnng opportuntes. 6. Partcpant Access to Informaton 5.1. Urban Countes shall make avalable to Partcpants the followng nformaton, whch shall be postel In ts then-current form to the TechShare webste or other electroncally accessble locaton: the Master ILA and ths Addendum, ncludng Attachments B. C. and D; lst of Partcpants; contracts wth vendors provdng goods or servces drectly for a PartCpant; records of expendtures; and documents presented at Stakeholder Commttee meetngs and Oversght CommtteE meetngs whch pertan to CIJS. and meetng mnutes As Informaton s replaced wth more current versons. old nformaton wll be compled n archve folders and wll reman avalable to Partcpants. 6. Mscellaneous 6.1. Ths Addendum may not be amended except n a wrtten nstrument specfcally referrng to th! 3 7. Termnaton part of ths Implementaton Agreement. The remanng provsons wll be construed to preserve th. ntent and purpose of ths Implementaton Agreement and the partes wll negotate In good fath t. modfy any nvaldated provsons to preserve each party's antcpated benefts A Partcpant may termnate ts partcpaton n ths Addendum by provdng wrtten notce c termnaton to Urban Countes at least nnety (90) days pror to termnaton A PartCpant s not enttled to rembursement of any lcense fees or enterprse modfcaton fee' prevously pad by the Partcpant A PartCpant mmedately loses the rght to representaton on the Stakeholder Commttee UpOI notce of termnaton to Urban Countes A Partcpant loses the rght to rembursement of shared costs upon termnaton A Partcpant shall have the rght to contnue to use those modules for whch the PartCpant ha, pad the applcable lcense fees n full pror to termnaton, but the Partcpant wll not recev. mantenance and support. 8. Attachments Incorporated 8.1. The followng attachments are ncorporated n ths Addendum as f fully set forth heren: Attachment A: 2015 Fnancal Plan Attachment B: Amended and Superseded CUC Master Agreement contanng End Use Lcense and Professonal Servces Agreement and Software as a Servce an( Professonal Servces Agreement. Ths Addendum may be executed n multple counterparts each of whch wll be deemed an orgnal, but al multple counterparts together wll consttute one and the same nstrument.
