2 COURSE DIRECTOR COURSE OVERVIEW Charles Turner CVR Global LLP Tax has never been more taxing with multiple changes in legislation and policy approaches. This half day course is aimed at bringing insolvency practitioners and their relevant key staff up to speed with the world of tax as it interacts with restructuring and insolvency. We are focussing on some key topics which have been the subject of much attention in the profession this year including debt restructuring, VAT and tax avoidance schemes. We will have senior level input from HMRC and from R3 s own tax working groups who have done much in recent months to improve the dialogue with HMRC and advance the interests of the insolvency profession. Dealing with tax correctly is a fundamental requirement in our profession and with widespread challenges has rarely had a higher profi le. This is a course that anyone who has a need to understand tax, as it interacts with insolvency, cannot afford to miss. SPEAKERS >Charles Turner CVR Global LLP Charles has nearly 30 years of restructuring and insolvency experience, gained mainly at PwC. He is well known for his specialist advisory and personal insolvency expertise and has been a licensed appointment taker since 2000, working on cases including as liquidator of one of the Enron group of companies. >Ian Campbell HMRC Ian is a Senior Insolvency Consultant within the Counter- Avoidance Insolvency team. He is part of the team responsible for the development and implementation of Insolvency Strategy across Counter-Avoidance. >Margaret Corbally Grant Thornton UK LLP Margaret is a senior member of the Restructuring Tax team and she has specialised in tax in distressed situations for over ten years. >David Gregory Grant Thornton UK LLP David leads the Restructuring Tax team and specialises in providing tax advice to distressed businesses or their stakeholders on all aspects of restructuring, refi nancing or rescue transactions. >Chris Hall Mazars LLP Chris is a Senior Manager advising a wide variety of clients from international businesses to UK focused owner managed businesses and charities. >Morgan Montgomery Grant Thornton UK LLP Morgan is an Associate Director specialising in restructuring and insolvency. Morgan has 19 years of experience in indirect tax matters both within HMRC and the profession. 3 COURSE PROGRAMME 9.00 Registration and coffee Chairman s Introduction Charles Turner, CVR Global LLP Key Tax Considerations when Debt Restructuring Many rescue or restructuring transactions involve the restructuring of distressed debt in some shape or form. However, this can be a minefi eld for tax purposes, with different rules applying depending on whether the parties concerned are connected or unconnected and various anti-avoidance provisions to catch the unwary. In this session we discuss some of the practical implications of debt restructuring, including potential pitfalls, exemptions that may be available and our experience of HMRC s approach to common scenarios. Margaret Corbally and David Gregory, Grant Thornton UK LLP Counter Avoidance - Working with IPs This session will outline some of the common issues that arise in insolvency proceedings where tax avoidance is at play and HMRC s stance. A key focus of this presentation will be to clarify the status of avoidance liabilities in insolvency, including Accelerated Payment Notices (APNs) and how HMRC, as a major creditor, can support the work of Insolvency Practitioners in obtaining the best returns for creditors. Ian Campbell, HMRC Coffee break Recent Tax Developments Affecting Distress and Insolvency There have been a large number of tax developments over the course of the last two years that may have a signifi cant impact on businesses in distress and insolvency. In this session we will provide an update on the key developments and their potential impact, including the proposed changes to the deductibility of interest, changes to the use of carried forward losses, the corporate rescue exemption and paying HMRC statutory interest. Margaret Corbally and David Gregory, Grant Thornton UK LLP VAT Issues: Appointment to Closure This session will provide an outline of the VAT issues to consider from pre-appointment to closure, including planning to mitigate VAT risks and optimise recoveries for the Insolvency Practitioner.
