Offer shall reach us by sealed envelope as per web tender notice at by Registered post to DGM (O&M) GMDC, Akrimota Thermal Power Station, Nani Chher, Kutch, and pin other details shall be mentioned on the envelope except Tender subject Meter Testing CONTRACT, ATPS: Technical bid shall be opened on date mentioned in web notice. Tenderer are requested for being present while opening the technical bid. Tender documents shall be submitted in two parts, Technical bid without price bid and second price bid. Both bid documents shall be kept in separate envelopes and one big envelop shall contain both envelops of Tech & price bid documents. Technical bid will be opened on date which is mentioned in the web tender. Technically qualified vendors only shall be considered for opening of price bid for which intimation shall be given by fax and phone. APPROACH TO SITE AKRIMOTA THERMAL POWER STATION is accessible by road from Lakhpat and Dayapar on the Bhuj Lakhpat Coastal Highway. The site is located 2 kms away on west side of Lakhpat -Narayan Sarovar road. From Lakhpat, the site is around 15 kms away, while from Dayapar the same is around 40 kms. The nearest broad gauge railway station is at Bhuj which is around 150 kms. From the Akrimota Thermal power plant. Bhuj is also the nearest Airport which is presently connected to Mumbai by air. The nearest sea port is Kandla which is around 220 km. away from the plant site. 1

Annexure- III General Terms and conditions of the Contract Pre Qualification Criterion : Agency shall submit the following documents to qualify the Technical bid. 1) The bidder should attach the work order of similar nature of work executed. 2) Party should executed minimum one work order of identical nature worth 80 % of the estimated cost, two work order of worth 60 % of the estimated cost and three work order worth 40 % of the estimated cost. 3) Party shall furnish satisfactory work completion certificate for the identical nature of work executed in any state electricity board, electricity generation company or Power project. 4) Party should posses valid P.F code and service tax no. And same shall be attaching here with. 5) The bid submitted should be unconditional and shall prescribe on the cover as UNCONDITIONAL 6) The bidder shall also furnish the detail address of correspondence, phone and mobile number along with address and name of the authorized person looking after the job at site. 7) The bidder shall furnish solvency certificate worth Rs. 8 lacks from any nationalize bank valid for the period of 2 years from the date of participating the bid. 8) Agency s testing and calibration lab shall be NABL authorization. Tender fees: - You are requested to enclose 500/- tender fee in the form of Demand draft in favour of GMDC ATPS payable at Panandhro- Dena bank shall be paid along with Tender document. EMD: /- Rs. shall be submitted in the form of DD in favors of GMDC, ATPS, Dena bank Panandhro. (te: Technical bid received without EMD will not be considered for evaluation). Security Deposits: Contractor must submit S.D. in form of DEMAND DRAFT or Bank guarantee amount of 10% of contract value within 15 days from issue of LOI / Work Order to you. S.D. will be released without interest after final completion of the contract and submission of due certificate which will be issued from ATPS site on your request. This certificate will be issued on your request letter. Submission of tender: - Tender documents shall be submitted in two parts Technical bid & price bid which shall be filled up as per Annexure II exclusive of service Tax. Service tax amount shall be paid to you against proof of challan submitted to Service- Tax Department In case of any query, bidder should Fax at ( ) or at atps@gmdcltd.com Technical bid as per annexure I, support documentary proof without price bid and technical bid without EMD shall not be consider for bid evaluation. Both bid documents shall keep in separate envelop containing in bigger envelop. Technically qualified vender only shall be consider for opening of price bid for which intimation shall be given by fax and phone. Evaluation criteria: - Technically qualified bidder shall be call by phone / Fax, mail for being present while opening of price bid. The bidder whose evaluated cost to GMDC in lowest, will qualify for the award of LOI by GMDC subject to other conditions as evaluated by GMDC on completeness as acceptable to GMDC. The bidder shall indicate any taxes and levies separately 6

7 VALIDITY: The meter testing contract shall be given for a period of two years from actual commencement of job and GMDC may extend it for further period of one year with same terms and condition. 2. Rate: price quoted by you shall remain firm throughout the contract period and shall not be subjected to any price variation clause whatsoever in nature. Ref. Annexure II. 3. Scope of Works: Detail in Annexure IV 4. Completion Period: You shall start the Meter Testing job at ATPS with in the one week from the intimation of work and you have to complete the Meter Testing job as per guidelines mentioned in Tender document. 5. Submission of Report: You shall submit the Meter Testing & calibration report within 15days after Completion of Job. 6. Quantity: Quantity given in this tender is approximate /indicative only which may be increased or decreased individually, if required by our engineer in-charge. GMDC does not guarantee that any quantity or whole of the quantity of the items indicated will be utilized. 7. SERVICE TAX/TAXES: Service tax shall be paid extra as applicable. Please submit your service tax registration number along with your invoice. Income tax and other taxes, if any in respect of income arising from this contract shall be deducted at source, whenever applicable. 8. PAYMENTS: 100% payment shall be made within 30 days after successfully completion of the job and submission of RA bill along with the test report. Service Tax shall be paid to you separately against submission of challan for proof of deposited to Service Tax Department. For claim of retentions money: - You shall to submit due certificate issued from ATPS site as per guidelines given at that time. Final bill shall contain all routine inspection MOM and previous RA bill details. TDS shall be deducted as per IT rules from RA bill. You shall submit below mentioned documents for clearing the final amount with all visits attended protocols duly signed with GMDC. i) Submission of copy of Registration certificate issued by Service Tax Authority [to be furnished once only]. ii) iii) iv) Citing the Service Tax Registration. and the date of issue of Registration Certificate on invoice. Claim of Service Tax amount with percentage separately shown in the invoice along with copy of challan in support of tax deposited with government. The Contractor shall also submit along with invoice, the P.F. Challan statement, indicating The list of employees and employer s P.F. Contribution. 9. Penalty clause: - If you are unable to execute the assigned jobs with in one week then you will panelized Rs.10, 000 / - and GMDC may get the Meter Testing job completed by other agency. 10. Subletting of Contract: you shall not sublet any part of contract to any other agency. a. M/s GMDC deserves the right to split the contract among more than one agency. M/s GMDC b. Deserves the right to accept or reject all or any single bid without assigning any reasons. 11. INTERPRETATION OF CLAUSE: In case of disputes as regards interpretation of any of the clauses or specification, the decision of general manager (ATPS) will be final and binding on the contractor. 12. JURISDICTION: The Contractor shall be in all respect abide by terms of the Indian contract act and in accordance with the Indian laws as in force from time to time and subject to jurisdiction of Ahemdabad Court. 7

8 13. Harmony: The agency shall work co-cordially with M/s GMDC officers and staff to maintain peace. 14. Visit at ATPS before quoting the tender: - You may initiate visits from your side at ATPS site before filling BMC tender to familiarize with site. 15. WORKMAN COMPENSATION POLICY: The Contractor shall take all Risk Insurance Policy to cover all his workmen, staff applicable under the Workmen s Compensation Act, 1923 or any amendment thereof, as also insurance cover for third party liability. The Contractor shall keep GMDC indemnified from all liabilities arising out of his action in pursuance in this contract. The W.C. Policy should be obtained from Kutch region Jurisdiction and shall be assigned to GMDC. 16. Accommodation: Lodging and boarding shall be provided by GMDC on chargeable basis if required. You will be provided site office and one point power supply, on chargeable basis. 17.Safety: Contractor shall be solely responsible for any injury, damages or accident that may Be caused to him/his persons or material during Execution of work. He shall ensure that no Damage to the equipments is caused by him or his workmen. He shall abide by the safety Rules and Regulation. He shall provide personal protective equipment to his Workmen and Shall ensure working conditions and precautions while working at heights and hazardous Condition 18. Settlement of Disputes: Any disputes or differences between parties arising out of the Contract shall be settled amicably. If this is not possible, then all the disputed issues shall be resolved through arbitration according to the provisions of the Indian Arbitration Act, The place of arbitration shall be Ahemdabad. Work under the Contract shall be continued by the Contractor during the arbitration, unless GMDC shall order suspension thereof in writing or unless the matter is such that work cannot be continued unless the decision of the arbitration proceedings is obtained. a. FAILURE AND TERMINATION : If your services are not found satisfactory then GMDC has the right to terminate the contract 15 days advance notice. You shall be responsible for completing jobs and in case, failing to do so, GMDC shall recover incurred cost from you. 20. Interpretation of Clause: In case of disputes interpretation of the Clause or Specifications, the decision of the General Manager [PP], ATPS will be final and binding on the Contractor. 21 Contract Agreements: You will enter into an agreement with the corporation on stamp paper worth Rs. 100/- payable by you. The contract Agreement shall be signed by the authorized signatory with seal of company. The tender specification, clarifications and the confirmations issued to the same, your offer and clarifications and confirmations given to the same, discussions, negotiations etc. shall form a part of contract agreement. The contract agreement shall be prepared in 4 copies (one original + 3 copy) and submitted by you within fifteen days from the date of issue of the work order. 22 Indemnity: Bidder will have to submit indemnity declaration form, which shall be signed by the authorized signatory and with seal of company. You shall at all times indemnify the corporation against all claims which may be made in respect of accidents or damages, which may cause failure of the equipments and shall take entire responsibility for sufficiency of the means used by you for the fulfillment of the contract. 8

9 Annexure-IV Scope of Work: 1. You have to carry out test up to satisfactory level of GMDC. 2. You have to provide warranty of testing and calibration for two years on free of cost,if any problem occurs in meter regarding calibration. 3. You shall submit testing and calibration certificate with invoice and past individual testing sticker with full details on each meter. 4. You have to carry out offline testing and calibration of Energy meter at ATPS with GMDC engineer. 5. Others job except testing and calibration shall be carried out on the basis of MOM and joint inspection if required. 6. If any damage or miss operation occurs during testing and calibration all charges of new meter including testing and calibration shall be recovering from your bill % payment shall be release after 30days of successfully commissioning of tested meter at ATPS and on submission of your invoice. For claim of 10% retentions money: - You shall to submit due certificate issued from ATPS site as per guidelines given at that time. Final bill shall contain all routine inspection MOM and previous RA bill details. 8. GMDC shall be provided accommodation & lodging on chargeable basis. 9. Transportation of your testing engineer from your work shop to ATPS in your scope. 10. Gate Pass and Permit to work formality in GMDC scope. 11. Testing and calibration Kit and necessary tools for Job shall be in your scope. 12. GMDC provide UN skill man power for necessary help on free of cost. 9

10 Annexure V (Bank guarantee for security deposit) To be typed on Stamp Paper of Rs same format for both the Orders. BANK GUARANTEE FOR SECURITY DEPOSIT BG. For RS. 1. IRREVOCABLE BANK GUARANTEE This deed of Guarantee is made this day between Gujarat Mineral Development Corporation Limited having head office at Khanij Bhavan, 132 feet Ring Road, Near University Ground, Vastrapur, Ahmedabad ) (India) hereinafter called Corporation and (Bankers) for an amount of Rs. (Rupees ) for and on behalf of M/s. having registered office at hereinafter called Contractor/Vendor/Agency. (Which expression shall unless excluded by or repugnant to the context, included its successors and assigns of the concerned Parties.) The Corporation entered in to contract with the contractor and issued tender. to them, a Purchase/Work Order for the supply/work of for the GMDC head office, Ahmedabad as per terms and conditions contained in Tender. L.O.I/Purchase/Work Order. dated and where as clause. of the said contract Provided that the Contractor/Vendor/Agency is required to produce a irrevocable Bank Guarantee in favour of the Corporation for sum of Rs. (Rupees Only) as Security Deposit for the due performance of the contract. And whereas at the request of the Contractor/Vendor/Agency, the Bank has agreed to execute this Guarantee. 10

11 IT IS HEREBY AGREED AND DECLARED BY THE BANKERS HERETO AS FOLLOW: 1). The Bank hereby guarantee to the Corporation the observance and performance by the Contractor/Vendor/Agency of the various terms and conditions obligations as provided in the said contract and further undertakes to pay to the Corporation a sum of Rs. (Rupees ) on demand and without any demur in the event of the Contractor/Vendor/Agency failing or refusing to perform the various duties and obligations under the said contract or otherwise committed breach of any of the terms and conditions of the said contract and it is hereby declared that the decision of the Corporation that the Contractor/Vendor/Agency has to failed and neglected to perform any of the duties and obligations indicated in the said contract shall be final and binding on the Bank. 2). That the Guarantee herein shall not be affected by any change in the Constitution of the Bank. 3). That the Guarantee shall not be revoked without consent of the Corporation. 4). That the Bank further declares that on completion of the contract, the Corporation may retain such amount of the Guarantee as may be sufficient to cover any incorrect or excess payment made on the bill of the Contractor/Vendor/Agency till the Audit and defect liability period is completed. 5) twithstanding anything contained herein before our liability under this guarantee is restricted to Rs ( Rupees ). 6) The Guarantee will remain in force for a period of from the date of LOI/Purchase/Work order i.e. up to unless a demand or claim is made on us in writing on or before all your rights under this guarantee shall be forfeited and we will be relieved and discharged from all our liabilities therein under. In case, the GMDC Limited shall incur any cost or expense or suffer any loss on account of any claim demand or course of action brought against us and arising out of the operation covered by the Bidder/Tendered, the GMDC Limited shall have the power ( Without being bound to do so ) to define, contest or compromise any such claim demand or cause of action. Any amount that may become payable by GMDC Limited and any cost expense etc. that may be incurred by GMDC Limited in this behalf shall also be recoverable from us, without prejudice to your other rights.
