2 NOTICE EXPRESSION OF INTEREST FOR OPERATION AND MANAGEMENT OF GUEST HOUSE ON PUBLIC PRIVATE PARTNERSHIP MODE Expression of Interest (EOI) is invited from the reputed and experienced Hoteliers/ Hotel Management professionals/ Individuals having support of professional staff for Operation and Management cum leasing contract to provide excellent services to University guests and public for 76 suited Guest House in the campus of Central University of Rajasthan, Bandarsindri, Kishangarh District Ajmer in Rajasthan, located at about 1.50 Km from NH 8. Interested parties may submit their proposal with credentials and all relevant details. Short listed agencies will be called for further proceedings. The complete details are available on our website: Last date of submission of proposal: upto PM Proposal should be send in sealed envelope to super scribe as EOI for Operation and Management Cum leasing contract of Guest House. University reserves the right to reject any or all of the proposals without assigning any reasons. Registrar

3 Instructions and Conditions to Proposers 1. Sealed proposals are invited from the reputed and experienced Hoteliers/ Hotel Management professionals/ Individuals with proven track record of operation and maintenance of hotels, guest houses etc. 2. The proposal should be in the prescribed original form obtained from the above address or downloaded from the university website and should be send in sealed cover superscribed as Expression of Interest for Operation and Management of Guest House at Central University of Rajasthan to the Registrar, CURaj on or before at PM. 3. The EOI not in the prescribed form will be summarily be rejected. 4. The proposal for EOI must be accompanied by non-refundable proposal fee of Rs. 1000/- by crossed DD of Nationalized bank in favour of Central University of Rajasthan, payable at Bandarsindri or Madanganj/ Kishangarh. 5. The eligibility criterion of the EOI is at Annexure I. 6. The EOI will be opened at Administrative Block, Central University of Rajasthan on at PM. 7. The eligible bidders shall be intimated for presentation/ pre bid meeting to further decide detailed terms & conditions and their suitability for participation in the main bid. 8. The successful bidders decided by the competent authority for participation in main price bid after evaluation of credentials and presentation/ proposal of the bidder. 9. The proposer of EOI should sign at the bottom of each pages of the document. 10. During evaluation of proposal the CURAJ may at its discretion ask the proposer for clarification of its proposal. The request for clarification and its response shall be in writing. 11. The Evaluation committee reserves all rights either to accept or reject any or all the proposal at any time without assigning any reason. 12. The successful proposers will be invited to submit the tender documents for the work of operating and maintenance guest house of CURaj. 13. The agencies representative(s) may visit the office of Registrar (Estate Deptt.) CURaj for inspection of site and appraisal of work involved, between am to 5.00 pm on any working day between Monday to Friday. The architectural drawings (Plans only) can also be seen in the Estate Department of Central University of Rajasthan. Registrar

4 TERMS AND CONDITIONS Brief Description: The Central University of Rajasthan has been established under the Central Universities Act, 2009 enacted the Parliament of India. Rajasthan State Governement has allotted 518+ Acres of land, located at 1.3Km from NH-8, Bandarsindri, Tehsil Kishangarh, District Ajmer. The proposed built up area in the campus is 4,88,429 sq.mt. The proposed project of the Central University of Rajasthan is expected to cross Rs crores in the next five years. The Central University of Rajasthan has a Guest House of built up area of 7836 sq.mt (G+2) under construction with total 76 suits including 12 nos. (10+2) family suits. Guest House has two conference halls of 40 seater and 12 seater capacity each, big dining hall, multipurpose hall, reading room, pool room recreation room, card room etc. with provision of space for all required facilities. The construction of Guest House is being carried out as per green building norms of GRIHA. The University organizes number of conferences, seminars and other functions time to time. The University also has big size seminar halls (250 seats) in its academic buildings for organizing seminars etc. 1. The property/s will be handed over to MANAGEMENT CONTRACTOR on AS IS WHERE IS CONDITION. However, University may furnish the same in consultation with the Management Contractor if so desired by him. The word AS IS WHERE IS CONDITION means that the land and building available as on date of the Tender only. No improvements/ modifications/additions /alterations will be carried out in the land or building without approval of the University. Arresting leakages, all type of maintenance work such as building, sanitary installations, water supply, electrical/ furniture, horticulture operations etc including eviction of encroachments will be the responsibility of the Management Contractor only. 2. The property shall be run in the name of MANAGEMENT CONTRACTOR but the fact that the property belongs to Central University of Rajasthan. 3. The Management Contractor should utilize the property only for the purpose of running of Hotel business /Guest house purpose/resort type used etc and not for any other purposes. 4. The food should be prepared and served in hygienic manner by the Management Contractor. The Management Contractor should also take steps to provide safe protected drinking water. 5. The Management Contractor should produce documentary proof of their residence like Ration Card or Voter identification card.

5 6. No additions, alterations, modifications to the existing building shall be made in any manner without the written consent of the Central University of Rajasthan and the Management Contractor shall maintain the building and services in good condition. 7. The Management Contractor will have to remit the Management contract fees in full within 15 calendar days from the date of receipt of acceptance of the tender. Further relaxation of due date will not be entertained at any cost. If the Management Contractor fails to remit the Fee within the due date, the Central University of Rajasthan has the right to cancel the acceptance without any intimation to the Management Contractor and EMD will be forfeited. 8. The Management Contractor should take over the franchised unit within one month time from the date of receipt of allotment orders, failing which the Central University of Rajasthan shall have the right to cancel the allotment order and forfeit earnest money deposit. 9. The Management Contract is likely for a period of Five years which can be extended for further two years. The license of Management Contractor is renewable if needed by paying the franchise fee, 3 months in advance. If the Management Contractor failed to pay the franchise fee within the stipulated period, 12% interest p.a. will be levied and if the Management Contractor fails to remit the fee and the interest even after 3 months from the due date, action will be taken to take over possession of the property from the Management Contractor. 10. If there is any necessity for repairs, alterations, additions in the franchised unit by the Management Contractor at the time of taking over the unit, leave period will be given after handing over the unit to the Management Contractor based on his written request subject to a maximum of 3 months from the date of taking over or the date of commencement of commercial operations by the Management Contractor whichever is earlier. 9. The Management Contractor should operate the Unit on continuous basis throughout the Management Contract period. If the Management Contractor fails to run the Unit for a period of three months continuously the Central University of Rajasthan shall issue a notice to the Management Contractor and if the Management Contractor fails to operate the Unit even after one month on receipt of the notice the Central University of Rajasthan shall re- enter in to the premises and resume the possession and the operation of the unit without further notice. In such case Central University of Rajasthan will forfeit the security deposit submitted. 10. The Irrevocable Bank Guarantee equivalent to the amount of Eight months of Management Contract amount as well as statutory payment like electricity charges for Six months will have to be furnished at the time of agreement. The validity of the Bank Guarantee will be for a period of Sixty Five months. The bank guarantee should be issued from of Nationalized Bank, Schedule Bank, Commercial Bank except Co-Operative Bank OR on any one of the AXIS, ICICI, HDFC Bank. 11. The Bank Guarantee will be encashed by Central University of Rajasthan in case of nonpayment of Management fee/franchisee fee or any other dues payable to Central University of Rajasthan in stipulated time or in case of breach of any terms and condition of the agreement between Central University of Rajasthan and Management contractor.

6 12. The prescribed format of specimen agreement has been referred to Government for necessary modification if any. The parties have to therefore specifically agree that they would enter into fresh agreement as revised by Government without any murmur or protest as the present agreement is entered into on the specific understanding that Central University of Rajasthan being a institute wholly funded by the Government of India, they are bound by the modifications and alterations suggested by the Government to this agreement. 13. In case of default in payment of Management Contract amount or furnishing Bank Guarantee, the Central University of Rajasthan shall re-enter the premises and resume possessions and operation of the unit. 14. The Management Contractor shall maintain the building and movable properties like furniture, electrical installations, equipments, etc. in good condition and shall compensate the Central University of Rajasthan for any damages to such properties with replacement value. 15. All rates, taxes as applicable on the Management Contract amount, Urban land tax and property tax, assessments, charges, claims, consent fee levied by the Pollution Control Board, demands and out goings shall be borne by the Management Contractor. 16. The Management Contractor should obtain License under Prevention of Food and Adulteration Act from the Local Health Authority. 17. After the expiration of Management Contract period, the Management Contractor shall surrender possession of all movable and immovable properties franchised, including superstructure now exists and also to be constructed by the Management Contractor with due consent of the Central University of Rajasthan. 18. The Management Contractor shall not claim any title to the superstructure already put up and to be put up by him or claim any compensation at the time of surrendering possession after the expiration of the Management Contract. 19. All sanctions, permissions, no objections, letters of intent, consent, licenses, clearance, approvals etc. shall be obtained by the Management Contractor at his cost and such document shall be kept effective and in force at all material times. 20. The building, furniture and other properties franchised shall be insured against fire, rioting and other possible losses and the insurance policy be taken in the joint names of the Central University of Rajasthan and the Management Contractor and the insurance premium will be borne by the Management Contractor. 21. The Central University of Rajasthan shall have the right to inspect the premises and also the books of accounts, etc. at any time. 22. The Management Contractor should not engage any person without issuing letter of appointment as per the draft enclosed to this agreement. 23. The Management Contractor shall submit verified statements, reports, accounts, documents and any other particulars as required by the Central University of Rajasthan from time to time.

The Management Contractor shall not encumber the Central University of Rajasthan properties by way of pledge, hypothecation, mortgage, charge, lien, lease, leave and license or in any other manner. 25. The Management Contractor has to confine his activities only within the specified area handed over to him. 26. The Management Contractor shall not permit his clients to use the open space available within the premises, which has not been allotted to him. 27. No political meeting/banner shall be allowed within the premises, which has been allotted to him. 28. No unlawful activities like betting, gambling, etc shall be allowed inside the campus. 29. Ill legal activities shall not be allowed inside the premises. 30. In case the Management Contractor commits breach of any of the terms and conditions and stipulation herein contained on the part of the Management Contractor to be observed and performed, then in such cases the Central University of Rajasthan shall be at liberty to give a notice in writing to the Management Contractor to set right or rectify the breach or omission of any of the terms, conditions and stipulations of this agreement and in case of noncompliance on the part of Management Contractor within 30 days of the receipt of such notice, this agreement at the option of the Central University of Rajasthan may be terminated and upon such termination this agreement shall become null and void and all the rights of the Management Contractor herein shall immediately cease and determine. The agreement may also be terminated for any criminal acts on the part of the Management Contractor which need not be referred to arbitration. 31. The Management Contractor should cover his establishment under EPF and Miscellaneous Provision Act, ESI Act and all other Industrial legislations without fail. 32. The management contractor should give priority to the guests of Central University of Rajasthan and will pay for F&B and other facilities as per the applicable tariff. 33. The Central University of Rajasthan shall have the right to re-enter the premises and terminate the Management Contract agreement, in-case of default or any type of malpractice noticed on the part of the Management Contractor. 34. In the event of Management Contract being cancelled by Pollution Control Board s Directives the Central University of Rajasthan will not be liable for refund of Management Contract fee. 35. The Management Contractor should take possession of all the movable articles belonging to him at the time of handing over the unit to the Central University of Rajasthan failing which the properties will be disposed off by Central University of Rajasthan as deemed fit without further notice to Management contractor. 36. The Central University of Rajasthan will not be vicariously liable for any act of the Management Contractor and the Management Contractor shall alone be liable for violation of any law and the Management Contractor agrees to indemnify the Central University of Rajasthan from all claims.

8 37. All costs, charges, including stamp duty and registration charges, etc. shall be borne by the Management Contractor. 38. On the expiry of the Management Contract, the Management Contractor shall handover all articles which were entrusted in good conditions as per schedule annexed. 39. Central University of Rajasthan shall reserve the right to renew or otherwise the Management Contract after expiry of 5 years. On approval the charges will be at 10% increase per year up to the period agreed mutually. It may be for a period of 2 years. 40. In case of any dispute, the Central University of Rajasthan will refer the dispute to an Arbitrator in accordance with the provisions of the Arbitration and Conciliation Act 1996 and the parties agreed to abide by the decision of the Arbitrator. 41. Any additional terms and condition will be incorporated as and when required as per the instruction of Government of Rajasthan and /or Government of India other than the mentioned terms and conditions in the tender. This will binding to the bidders. 42. Further details are available in the bid document on the web site. Bidders who choose to download the tender from web site shall pay tender fee at the time of submission of tender/s in the form of D.D in favour Central University of Rajasthan payable at Kishangarh Dist. Ajmer Rajasthan. 43. All the properties will be handed over to the successful bidders with list and will be signed by both the parties with all details of the properties. 44. All the above terms and conditions are intended only for initial proposal and the same may be altered/modified at the time of Bidding for management contract. Signature of Bidder

9 ANNEXURE I TECHNICAL BID 1. The Proposer should have a minimum of 5 years experience in the field for which he has participated in the tender process. (Documentary proof to be enclosed) OR if he is not having required experience he can have tie up arrangements with leading companies and firms having minimum 5 years experience in this field for which tenderer has participated in the tender (Information to be submitted in separate sheet as Annexure A with documentary proof i.e. copy of agreement etc. to be furnished). 2. The Proposer should submit the Audited Annual Accounts of his firm for the preceding five years in separate sheet as Annexure B. The average annual turn over for last five years of the proposer should not be less than Rs crore 3. The Proposer should submit the Current busyness of his firm in hand with details and proof in separate sheet as Annexure C. 4. The Proposer should submit the details of professionals engaged with his firm at-least for last three years with proof in separate sheet as Annexure D. 5. The Proposer should produce the Latest copy of [ not later than one year) Solvency certificate for amount not less than Rs. 50 lacs of any Nationalised Bank, schedule Bank, commercial Bank except Cooperative Bank Or any one of the IDBI/ICICI/HDFC/AXIS Bank only. 6. Should furnish PAN, VAT Registration Certificate, Service tax No., PF & ESI Registration if any with other statuary documents required for the subject Management Contract. 7. Each and every page of tender document should be signed by the Tenderer and submitted along with the Technical Bid only. 8. Proposer should submit his proposal with detailed working plan (like deployment of human resources, equipment, facilities etc.) for operation and management of Guest House to give excellent services to University guests and public in separate sheet as Annexure E. 10 ADDITIONAL TERMS AND CONDITIONS 1. The premises allotted including the kitchen dining areas should be kept neat and clean and hygienic always. 2. Pest control should be carried out at periodical intervals, stipulated on behalf of Central University of Rajasthan. 3. The staff should be supplied Uniforms. The staff should be given identity cards, showing that they are the employees of the Management Contractor and the identity cards should be displayed on those persons. 4. Goods suppliers should also be given identity cards to avoid unauthorized persons entering and creating nuisance/ annoyance / trouble to tourists / officials of Central University of Rajasthan etc. 5. However Central University of Rajasthan reserves its rights to restrict and regulate the entry and exit of suppliers and staff. 6. In case of Policy decision VC, Central University of Rajasthan shall be the deciding authority. 7. The decision of VC, Central University of Rajasthan is final and binding on both the parties. 8. In case of any dispute or difference regarding the terms of contract, interpretation or implementation performance, default of the terms and to the implementation any of the Clause of the terms and conditions, the Central University of Rajasthan will appoint a sole Arbitrator whose decision shall be final. 9. The Management Contractor shall ensure due observance compliance with all relevant laws, rules and regulations applicable to the business from time to time. 10. If any loss or damage is caused to Central University of Rajasthan or its properties either by the Management Contractor or his agents or servants, either willfully / inadvertently, the cost / extent of loss / damage will be recovered from the Management Contractor. 11. In case of damage to the property of Central University of Rajasthan and Management Contractor due to natural calamities, rioting, Central University of Rajasthan will not undertake to compensate the loss/damage incurred. 12. The Management Contractor can insure his staff, property, guests etc., at his cost and risk. Signature of bidder
