3 SECTION II PART A TECHNICAL BID Essential pre-bid Qualifications and experience: The bidders shall become eligible to bid only on satisfying the following BID QUALIFICATION REQUIREMENT (B.Q.R.) and experiences. The bidders shall provide required documentary evidence in support of fulfillment of pre-bid qualifications and experience along with this document. i). ii). iii). The bidding Consultant or Consultant-firm, called Consultant in this document, shall be familiar with the salt production solar evaporations process. The Consultant should have minimum ten years of experience of large size salt production of raw salt. The consultant should be a degree-qualified Engineer or his team should include a degree-qualified Engineer experienced in designing and operations of all the Salt Pan area and brine management needed for the salt production. The Candidate should have minimum ten years experience in large commercial salt production field. Should have full knowledge of production adequacy for design of salt crystallizers. The consultant should plan for positioning the infrastructural facilities, such as pumping points, discharge of excess brine, storage of bittern, workers rest places, drinking water facilities (in addition to the knowledge of brine density) at vantage positions and for optimum utilization of men, materials, machines and land for high productivity of raw salt with least amount of wastages during the salt seasonal time. iv) The consultant should furnish a copy of IT returns filed with Income Tax Department for the last three years. v) The candidate should enclose the terms and conditions of the EOI document duly signed in each page in token of acceptance. vi) vii) Latest and full documentary evidence in support of the above BQR pre-requisites and qualifications should be enclosed with Part A of the Technical Bid document. The Consultant shall execute necessary undertaki8ng as per the format enclosed herewith. THE OFFER OF BIDDER(S) NOT SATISFYING THE ABOVE ESSENTIAL PRE-BID QUALIFICATION AND EXPERIENCES WILL BE SUMMARILY REJECTED. Claim of the above qualifications should be supported by latest documentary evidence and the same to be enclosed in Technical Bid of the document failing which, Price Bid will not be opened. 3

4 SECTION-III, PART A TECHNICAL BID EARNEST MONEY DEPOSIT (EMD) 1. PAYMENT OF EMD : Rs.10000/- 2. REFUND OF EMD: The Earnest Money Deposit will be refunded to the unsuccessful tenderers on application to Managing Director, TNSC Ltd after intimation of the rejection/nonacceptance of their tender. 3. FORFEITURE OF EMD The Earnest Money Deposit made by the candidature will be forfeited if: (a) he withdraws his EOI or backs out after acceptance (b) he withdraws his EOI before the expiry of the validity period of 90 days stipulated in the Specification including any extended validity period or fails to remit the Security Deposit. (c) he violates any of the provisions of these regulations contained herein (d) he revises any of the terms mentioned herein during the validity period. 4. In the event of the documents furnished with this offer being found to be false or if the supporting documents containing false particulars, the Earnest Money Deposit paid by the candidature(s) will be forfeited in addition to blacklisting them to future tenders/ contracts in Tamil Nadu Salt Corporation Limited. 5. REJECTION OF EOI. EOI will be summarily rejected if (a) The EMD requirements are not complied with. (b) Not satisfying any of the essential pre-requisite qualifications required under Part B - Technical Bid. (c) not covering the above terms & requirements (d) received by Telex/Telegram/ . 6. RIGHTS OF TNSC: Notwithstanding anything contained in this document, TNSC reserves the right to- (a) Accept the lowest EOI. (b) Reject any or all the EOIs or cancel without assigning any reason therefore. (c) Relax or waive or amend any of the conditions stipulated in the tender specification wherever deemed necessary in the best interest of TNSC. 7. In the event of the candidate is not complying with the above within a reasonable time, the Corporation shall have the option to take necessary legal action after giving two weeks notice to the candidate. 4

NON-PERFORMANCE OF WORK ENTRUSTED WITH, RIGHTS OF THE CORPORATION: The Corporation reserves the right to cancel the work assigned to the consultant, if he fails to comply with the time schedule as indicated by the Corporation. 9. PAYMENT: 1. No advance is payable for the assignment given. 2. EMD shall be converted as security deposit as and when required. 3. Payments will be made in stages as detailed below: (i) On acceptance of the Bid documents submitted by the Consultant and issue of work order : 20% (ii) Preparation & Submission of detailed project report : 50% (iii) On completion of amendment / alteration if any required by the corporation : 30% II. SECTION VI Technical Bid SCOPE OF CONSULTANCY AND DELIVERABLES I. Scope 1) To prepare detailed project report indicating all minute requirements. 2) Report should indicate complete financial requirements for operation of the salt pan area. 3) Report should indicate the essential manpower requirement for efficient operation and minimum production targets with the brine requirement. 4) The DPR should contain the techno, economic feasibility report for the implementation of the project. 5) Prepare implementation plan and PERT chart for timely completion and commissioning of the salt production in the said land. 6) To indicate the necessary statutory clearances to be obtained for the project. Deliverables: a. A preliminary report (briefly consisting of the contents of DPR) has to be prepared and submitted within 30 days and the (DPR) detailed project report shall be submitted within next 60 days on getting the confirmation from TNSC. b. Consultant should visit the project site at least once / twice and ascertain all the relevant information as may be required at his own cost and inform the Corporation prior to his visit and to brief the progress of report to the MD, TNSC whenever necessary. 5

WHEREAS the contract is for the Preparation and Submission... AND WHEREAS in accordance with Clause of the above mentioned order the contractor has to furnish an undertaking that no suit or any proceedings in regard to any matter arising in any respect under this contract shall be instituted in any Court other than in the City Civil Court of Chennai or other Court of small causes at Chennai. In consideration of TNSC having agreed to accept the undertaking from the consultant undertakes that no suit or any proceedings in regard to any matter arising in any respect under this contract shall be instituted in any Court other than in the City Civil Court of Chennai or other Court of small causes at Chennai. It is also agreed that no other Court shall have jurisdiction to any suit or proceedings even though part of the cause of action might arise within their jurisdiction. In case any part of the action arises within the jurisdiction of any of the Courts in Chennai City, then it is agreed to between the parties that such suits or proceedings shall be instituted in Court within Tamil Nadu and no other Court out-side Tamil Nadu shall have jurisdiction even though any part of the cause might originate within the jurisdiction of such courts.
