2 This Document is divided into two parts as follows PART 1: Addendum 1 PART 2: Response to Pre-bid Queries Sr. No. 1 2 PART 1: Addendum 1 Clause no Vol. I ITB Clause 9 Vol. III Part 1 General Requirement Clause 13.1 Page No RFP Provision a) Before signing of the Bus Operator Agreement, the Successful bidders shall furnish Performance Security for their respective lots in the form of Account payee Demand Draft or Bank Guarantee (As per format provided in the Annexure 9) in favor of Municipal Commissioner, Surat Municipal Corporation payable at Surat at the time of signing of the Bus Operator Agreement for an amount equivalent to Rs. 2,85,00,000/- (Rs. Two Crore Eighty Five Lakh Only), The Demand Draft or Bank Guarantee of Performance Security should be from any Bank from the approved list. All structural members of the bus would be treated for corrosion prevention internally as well as externally and painted wherever required. Polyurethane (PU) painting conforming to BIS: or latest/ international Standards as applicable would be used for exteriors painting of bus including interiors wherever required. Colour shade would... paint coats to be applied etc would be supplied. To be read as a) Before signing of... amount equivalent to Rs. 2,85,00,000/- (Rs. Two Crore Eighty Five Lakh Only), The Demand Draft or Bank Guarantee... Bank from the approved list. In case of the Authority decides to award all 300 buses to Single eligible Bidder, the amount of performance security shall be Rs 5,70.00,000/- (Rs. Five Crore, Seventy Lakh Only) which is to be submitted in the manner prescribed above. All structural members of the bus would be treated for corrosion prevention internally as well as externally and painted wherever required. 3 PART 2: Response to Pre-bid Queries 1. Vol. 1, Clause 2.1 (d), 7.5 (g)(h) Bidder should be allowded to bid 100 number of buses also. 2. In this way, Surat Municipal Corporation may be benefitted by getting most competitive rates. No Change in the RFP Condition 5. Vol. 1, Clause 6.1 (d) The Consortium is not permitted to participate in the Bidding. Only Single Bidder is permitted. The Bid/ Eligibility and Qualification Submission of the Bidder submitting as Consortium shall be termed as Non Responsive and rejected. Only single bidder is permitted and consortium is not allowed to participate in the bidding process. As a huge investment is required for bodybuilding for which possibility of obtaining loan is remote, so a single bidder/partnership firm even if having vide experience in operation and maintenance may not be so strong financially and hence such firms may remain out of the bidding process. Hence it is requested that consortium may be allowed. No change in the RFP Condition 6. Vol. 1, Clause 6.2 a) The latest net worth should be considered that is net worth of 30 th September, 2016 or 31 st December 2016 shall be considered. No change in RFP provision.
4 7. Vol. 1, Clause 6.2 a) The bidder shall have Net worth equivalent to at least Rs. 5 crore as on 31 st March, 2016 as per Auditor s certificate. Regarding Eligibility and Financial criteria it is humble request to A. reduce individual and combined the Networth needed and instead working capital of 1 to 2 Cr as needed may be sought in form of CA certificate No change in the RFP conditions. 8. Vol. 1, Clause 6.2 b) (1) Ownership and/or Operation Experience or combined Ownership and Operation Experience of at least 120 buses in India or at least 250 buses in foreign country in last three years immediately preceding the Bid Due Date. 9. Vol. 1, Clause 6.2 b) (3) Operation Experience must include Planning, managing and monitoring of day to day bus/passenger vehicle operations and/or maintenance. Vol. 2, Clause 6.3 Liquidated damages should be reduced to Rs. 500/day/bus. No change in the RFP Condition No change in the RFP Condition No change in the RFP provision. In the event of delay by the Operator in physical takeover of the chassis, due to reasons attributable to the Operator, the Authority, without any prejudice to the Operator, shall collect liquidated damages equivalent to Rs. 500 per day per no. Of chassis not taken-over. 13. Annexure 13 (Table b) of Vol 1 and Clause 9.1 of Vol 2: Time allowed for bus body building is very short. Delivery of whole lot of buses would be very hard in such short time span. The time for quality body building will take some time and hence same should be extended. Bus delivery Schedule 14. Relaxation in delivery schedule should be there, delivery should be divided in 3 parts after approval of prototype. No change in the RFP Condition.

Vol. 2, Clause 25.5 b) The Authority shall, within a period of 15 (Fifteen) days of the receipt of invoice after verifying the records that it has on the Bus operations Vol. 2, 25.5 g) The Kilometre charge shall be revised based on following formula; R L = [R L -base] + [R L -base x 0.40 x (F F-base)/F-base] + [R L -base x 0.35 x {((W W-base)/Wbase) }*80%] 17. Vol. 2, Clause 25.5 f), (iv) The determination of whether Annual Assured Payment Amount is due shall be done at the end of a period of 12 consecutive calendar months... After trial period interest should be payable on delayed payments. Diesel portion should be calculated at 45% instead of 40%. Calculation & payment for excess and unutilised kilometre should be done quarterly. 18. Vol. 2, Clause 26.1 Suggestion as per reverse charge mechanism Service Tax notification dated B and amendments there off, may be Paid by SMC directly to the Service tax Authority and routing central government departmental payment via transporters may be discouraged as per general Service Tax Manual and guidelines. No change in RFP provision. No change in RFP provision. No change in the RFP provision. No change in RFP provisions. 19. Vol. 3, Clause 15.9 It is not possible in such buses and operation. No change in the RFP Condition
7 A suitable device to prevent doors from opening as long as bus is in motion would be provided. 20. Vol. 3, Clause 29 During Bus body making itself ITMS operator shall install it's PIS VTS GPS etc so avoid any kind of frictions later on. Bidders have to provide facilities for retro fitment of ITS equipments. 21. General Details of parking space and facilities that will be available should be mentioned. 22. General Details of AMC provided by TATA motors tentative rates should be given. 23. General Shall the Bidder form a New Entity between Bidder and Associate in form of JV, pvt Ltd, or partnership firm to execute the said Job if awarded? Will this be a regular formation or an SPV for SMC only? Such formation shall have mininum 25% of each of Bidder and of Associates etc such clarifications. 24. General Bus Body Builder as preferred supplier list if available may be shared if any. 25. General To be able to smooth delivery and making of bus body Tata Motors formal clearance as discussed in pre Bid meeting that list of specifications asked are clear and possible and does not affect Chasis adversely nor standard warranties policies of tata motors. 26. General Local CSR in any 2% of PAT of such entity (SPV) formed for this SMC tender. Refer Clause 29 of Vol. 3 Bus Body Building Specifications of RFP Adequate parking space shall be provided. It has to be taken directly from Tata Motors, if the Bidder wishes so. No such list is available. The bus body building specifications have been framed in thorough consultation with chassis manufacturer such that they do not affect the chassis adversely. The query is not pertaining to RFP.

General Consent by bidder Introduction of fully built eco friendly electric or ethanol bus or hybrid bus or CNG bus as needed in future atleast 1 to 5 in number as per departmental estimates by each operator within 3 years in lines of vision of Honble PM for better and cleaner India and reduction of air pollution and fossil fuel load. No Change in the RFP condition Unless and otherwise amended as per part 1 and part 2 above, all RFP conditions shall remain unchanged. This Addendum-1 and Response to pre-bid queries is published and attached herewith In addition to the online RFP published vide Tender traffic/15/ Bidders are instructed that all Addendums shall be treated as a part of Tender Document and shall be submitted along with the RFP Document.
