9 Sponsor / Exhibitor Agreement Sponsor & Exhibitor Rules & Regulations 1. Agreement: Exhibitor hereby agrees to abide by these Rules & Regulations, together with such additional rules and regulations as may be adopted by and provided to Exhibitor from time to time. As used in the Agreement, Exhibitor(s) includes any company or entity registered as a Sponsor or Exhibitor. 2. Exhibitor Packet: Information for online access to the 2017 Exhibitor Packet will be ed to the contact of each exhibiting company. This will contain important deadlines for such items as logos and company descriptions; exhibit hall map and selection forms; show bag item delivery and contact information for the Exhibit Company and the Conference Venue. The Exhibitor will need to review the Exhibitor Packet and return all items on time to be included in all exhibitor benefits. A PDF version of the Exhibitor Packet will also be provided upon request. 3. Membership: In order to receive the member rate, the Exhibitor s membership must be current at the time of the event. If the membership lapses, or the company chooses to not renew membership, has the right to charge the non-member rate. 4. Assignment of Exhibit Space: As a general rule, assigns booth space to Medal, Event and Product Sponsors based on sponsorship category and registration date priority therein, and then Exhibitors on a first-come, first-serve basis. reserves the right to assign or relocate exhibit areas or reconfigure the exhibition area for the betterment of the show or otherwise in its sole discretion. Exhibit space assignment shall be conditional upon payment in full of all amounts due. The exhibit space assigned to the Exhibitor is for the use of the named Exhibitor only. Exhibit space sharing in whole or in part with any third party is expressly prohibited. Exhibit Space Selection forms will be provided and the Exhibit Hall layout map distributed. 5. Exhibitor Badges/Spaces: Each exhibit space is intended for a single business entity only, including corporate affiliates. Exhibitors shall not share booth space with any other third party. reserves the right to assess an additional charge for any such unauthorized space sharing. All conference badges/lanyards issued by for Exhibitors/Sponsors shall be for the sole use of Exhibitor/Sponsor personnel or IAD/ISO customer identified thereon and supplied in advance to. Sharing of badges/lanyards is not permitted. 6. Terms of Payment: All registrations submitted to must be accompanied by the appropriate payment for the associated amount due. Returned checks will result in a $50.00 returned check fee and all future payments by the exhibiting company must be made by cash, credit card (MasterCard/Discover/Visa) or certified check. 7. Cancellation by Exhibitor: If the Exhibitor cancels from an event, the fees paid cannot be transferred to another event or applied to dues. The following refund policy will be in effect and enforced: CANCELLATION / REFUND / SUBSTITUTION POLICY Written notice of cancellation received by on or before SEPTEMBER 10, 2017, will result in a refund of fees paid less a $50 processing fee. Please submit any cancellation requests to srr@natmc.org. PLEASE NOTE: No refunds will be provided for cancellations received after SEPTEMBER 10, On-site no-shows are non-refundable. Substitutions are encouraged and should be submitted to srr@natmc.org. Please include the original attendee s name and the substitute s full contact information (name, title, company, address, phone #, and address). No-shows are non-refundable. Please provide with notification regarding any substitutions prior to OCTOBER 2, After that date, substitutions will be processed on-site at the 2017 event. 8. Event Cancellation by : In the event that cancels an event, will refund only payment made directly to and will not be held responsible for other costs or expenditures incurred by the Sponsor / Exhibitor. will not refund payment or assume additional costs and liability from acts of God or criminal activity. All refunds will be issued within eight weeks of receipt of written cancellation. 9. Exhibitor Cancellation by : Exhibit space may be cancelled by for failure to make payments when due or failure by Exhibitor to comply with this Agreement or the applicable rules and regulations hereunder. If an exhibit space is cancelled by, the Exhibitor shall forfeit all payments made and shall have the right to rent such cancelled space to another Exhibitor at s sole discretion without mitigation of such forfeited amounts. 9

Attendance: uses reasonable efforts to market its events and attract attendees, but does not guarantee specific levels of attendance at the conference. makes no representations or warranties, express or implied, regarding attendance levels at hosted events. 11. Mediation: If a dispute arising out of or related to this Agreement cannot be settled through negotiation, then the parties shall first attempt, in good faith, to settle the dispute by mediation through a commercially recognized mediation body to be agreed upon by the parties, and conducted in Jacksonville, FL, before resorting to any other dispute resolution procedure including, but not limited to, litigation. will not be liable for any fees associated with mediation for the Exhibitor. This Agreement shall be governed by and interpreted under Florida law, and any action required to enforce this Agreement or its terms shall be brought exclusively in the state or federal courts located in Jacksonville, Florida. The parties expressly submit to personal jurisdiction in such location, and agree that this venue constitutes the most appropriate jurisdiction for any such action. 12. Exhibitor Responsibility Clause: To the fullest extent permitted by law, the person/legal entity described as Exhibitor in this clause and in this Agreement (regardless whether such person/legal entity is also described as Exhibitor in this contract) hereby assumes full responsibility and agrees to indemnify, defend and hold harmless The National ATM Council, Inc. and its members, officers, directors, contractors and agents ( Group ), from and against any and all claims or expenses arising out of Exhibitor s use of the event hotel s exhibition premises. 13. Insurance: Exhibitor agrees to obtain and maintain during the use of the exhibition premises, Comprehensive General Liability Insurance, including contractual liability covering the Exhibitor s indemnity obligations in this clause. Such insurance shall be in the amount of not less than $1,000,000 combined single limit for personal injury and property damage. Group shall be named as an additional insured on such policy, and Exhibitor shall supply Group with a Certificate of Insurance at least 30 days prior to use of the exhibition premises. The Exhibitor understands that the Group does not maintain insurance covering the Exhibitor s property and it is the sole responsibility of the Exhibitor to obtain such insurance. 14. Operation of Exhibits: Displays in exhibit space must be designed and operated in a manner that respects the rights of other Exhibitors and Attendees. Displays shall not be designed in a manner that will block or otherwise interfere with a neighboring Exhibitor. If this occurs, reserves the right to alter or remove that Exhibitor. 15. Security: In no case will be responsible for theft, loss or damage to Exhibitor s products, exhibit space display or any other personal or company property. Exhibitor agrees that it is wholly responsible for protecting its property on and off the venue premises. 10
