1 CITIBANK CLEAR CARD OFFER TERMS AND CONDITIONS THE COFFEE BEAN & TEA LEAF Terms and Conditions ("these Terms and Conditions") 1. Subject to these Terms and Conditions, with effect from 5 th October 2010 and until further notice, each principal or supplementary holder of the Citibank Clear credit card issued in Malaysia ( Citibank Clear Card ) ( Citibank cardmember ) who purchases a CBTL Drink (defined to mean a Coffee Bean & Tea Leaf drink served in a cup, glass or bottle with a Coffee Bean & Tea Leaf logo) at any of the following participating The Coffee Bean & Tea Leaf stores in Malaysia using a Citibank Clear Card will receive one free CBTL Drink of the Citibank cardmember s choice which is of an equal or less value. The free CBTL Drink is not exchangeable for cash, credit or kind whether in part or in full. The benefit described above is hereinafter referred to as Privileges. Participating The Coffee Bean & Tea Leaf stores : All The Coffee Bean & Tea Leaf stores in Peninsular Malaysia, except for the stores at the Penang International Airport and at the Low Cost Carrier Terminal, Sepang. 2. The Privileges do not apply in conjunction with any other promotion(s) relating to the Citibank Clear Card. 3. Citibank shall not be liable for any default or for any loss, damages, costs or expenses suffered or sustained by any Citibank cardmember due to any act of God, war, riot, strike, lockout, industrial action, fire, flood, drought, storm, technical or system failure or any event beyond the reasonable control of Citibank. 4. Citibank shall not be liable for any loss, damages, costs or expenses suffered or sustained by any Citibank cardmember howsoever arising from or in connection with the purchase of CBTL Drinks at any The Coffee Bean & Tea Leaf store. All refunds, if any is sought for whatever reason, must be sought from The Coffee Bean & Tea Leaf (M) Sdn Bhd or in accordance with the terms and conditions levied by The Coffee Bean & Tea Leaf (M) Sdn Bhd. Citibank shall not be responsible to assist any Citibank cardmember if any claim for anything whatsoever is made by any Citibank cardmember in this connection. Citibank will bear no responsibility for resolving any dispute and Citibank cardmembers are not to liaise with Citibank in regard to all such matters. 5. Citibank reserves the right at its absolute discretion to vary, delete or add to any of these Terms and Conditions from time to time with notice. These Terms and Conditions may be modified, added, deleted or varied by Citibank by way of posting on Citibank s website (the Website ), or in any other manner deemed suitable by Citibank. The Citibank cardmembers are deemed to have accessed the Website and to have knowledge of and to have agreed to any changes or variations to these Terms and Conditions.

These Terms and Conditions (as amended from time to time pursuant to Clause 5) shall prevail over any provisions or representations contained in any other promotional materials advertising the Privileges. 7. Citibank reserves the right to cancel, terminate or suspend the Privileges with notice. For the avoidance of doubt, cancellation, termination or suspension by Citibank of the Privileges shall not entitle the Citibank cardmembers to any compensation whatsoever against Citibank for any and all loss or damage that may be suffered or incurred by the Citibank cardmembers as a direct or indirect result of the act of cancellation, termination or suspension. 8. To the fullest extent permitted by law, Citibank cardmembers are deemed to have waived any right they may have against Citibank and its officers, servants, employees, representatives and/or agents (including without limitation, any third party service providers that Citibank may engage for the purposes of the Privileges), in respect of any loss or damages (including without limitation, loss of income, profits or goodwill, indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising whether in contract, tort, negligence or otherwise, in connection with the Privileges, even if Citibank has been advised of the possibility of such damages in advance, and all such damages are expressly excluded. 9. Citibank's decision on all matters relating to the Privileges will be final and binding on all Citibank cardmembers. 10. All transactions as recorded by Citibank shall be final and conclusive. 11. The Privileges are subject to these Terms and Conditions and the terms and conditions in the Citibank Card Agreement governing the Citibank Clear Card. In the event of any conflict or inconsistency between these Terms and Conditions and the terms and conditions of the Citibank Card Agreement, these Terms and Conditions shall prevail.

3 PRIVILEGES AT ZOUK CLUB KL Terms and Conditions ("these Terms and Conditions") 1. Subject to these Terms and Conditions, with effect from 5 th October 2010 and until further notice, a principal or a supplementary holder of a Citibank Clear credit card ( Citibank Cardmember ) will be eligible to receive the benefits set out below. 2. In these Terms and Conditions: 2.1 Entry shall mean the right to an individual to enter all the 6 rooms at the Zouk Club, namely, Zouk, Velvet Underground, Aristo, Phuture, Bar Sonic and Terrace Bar ; 2.2 Zouk Club shall mean the club presently operated through the premises located at No. 113 Jalan Ampang, Kuala Lumpur or any other location operated by Zouk Club (KL) Sdn Bhd (Co. No M); 2.3 Privileges shall mean the benefits jointly offered by Citibank and the Zouk Club on the terms set out herein. 3. Subject to these Terms and Conditions, Citibank Cardmembers will receive the following Privileges at the Zouk Club. 3.1 Free Entry for the first 300 people, comprising Citibank Cardmembers and a maximum of one guest of each Citibank Cardmember, who enter the Zouk Club on any day from Tuesday to Saturday from 9pm to midnight, except on the eve of a public holiday or on a day when there is a Special Event (defined as Zouk s anniversaries/ Grade A or B international DJ nights/ sponsored nights/ clients private events and other events which are announced as Special Events on promotional materials issued by Zouk Club); 3.2 The abovesaid first 300 people shall be entitled exclusively to queue to enter the Zouk Club through the Citibank VIP Lane; 3.3 Any Citibank Cardmember who buys a drink at the Terrace Bar using a Citibank Clear credit card shall receive one free drink of his choice which is of less or equal value. The free drink is not exchangeable for cash, credit or kind whether in part or in full; and 3.4 A Citibank Cardmember will enjoy a 10% discount off the price of any bottle of hard liquor, paid with a Citibank Clear credit card, except items on promotion as announced by the Zouk Club, in all the abovementioned 6 rooms at the Zouk Club, except on the eve of a public holiday or on a day when there is a Special Event. 4. The Citibank Cardmembers must abide by the house rules and regulations of the Zouk Club which are applicable to all individuals entering the Zouk Club in relation to age limit, dress code, behaviour and conduct, which house rules and regulations are

4 displayed at the Zouk Club and also available on its website. Zouk Club shall be entitled to refuse entry, or to remove from the Zouk Club, any Citibank Cardmember if he/she violates such house rules and regulations. For the avoidance of doubt, Citibank shall not in any event be responsible or be held liable for any misconduct or misbehaviour of any Citibank Cardmember. 5. Citibank shall not be liable for any default or for any loss, damages, costs or expenses suffered or sustained by any Citibank Cardmember due to any act of God, war, riot, strike, lockout, industrial action, epidemic, pandemic, fire, flood, drought, storm, technical or systems failure or any event beyond the reasonable control of Citibank. 6. Citibank shall not be liable for any loss, damages, costs or expenses suffered or sustained by any Citibank Cardmember howsoever: 6.1 at the Zouk Club; or 6.2 directly or indirectly arising from or due to or in respect of any incident at the Zouk Club; or 6.3 directly or indirectly arising from or in respect of the Privileges or in connection with the Privileges. 7. Citibank shall not be responsible to assist any Citibank Cardmember if any claim for anything whatsoever is made by any Citibank Cardmember against Zouk Club (KL) Sdn Bhd or any other person in connection with the Privileges or any other incident or matter at the Zouk Club. Citibank will bear no responsibility for resolving any dispute and Citibank Cardmembers are not to liaise with Citibank in regard to all such matters. 8. The Citibank Cardmembers agree that notwithstanding the Privileges, Citibank is not a partner or agent of Zouk Club (Kuala Lumpur) Sdn Bhd and is not responsible or liable for any default, act omission of Zouk Club (Kuala Lumpur) Sdn Bhd. 9. Citibank reserves the right at its absolute discretion to vary, delete or add to any of these Terms and Conditions from time to time with notice. These Terms and Conditions may be modified, added, deleted or varied by Citibank by way of posting on Citibank s website (the Website ), or in any other manner deemed suitable by Citibank. To the fullest extent permitted by law, Citibank Cardmembers are deemed to have waived any right they may have against Citibank and its officers, servants, employees, representatives and/or agents (including without limitation, any third party service providers that Citibank may engage for the purposes of the Privileges), in respect of any loss or damages (including without limitation, loss of income, profits or goodwill, indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising whether in contract, tort, negligence or otherwise, in connection with the Privileges and/or Zouk Club (KL) Sdn Bhd, even if Citibank has been advised of the possibility of such damages in advance, and all such damages are expressly excluded. 13. Citibank's decision on all matters relating to the Privileges will be final and binding on all Citibank Cardmembers. 14. All transactions as recorded by Citibank shall be final and conclusive. 15. The Privileges are subject to these Terms and Conditions and the terms and conditions in the Citibank Card Agreement governing each of the Citibank Credit Cards. In the event of any conflict or inconsistency between these Terms and Conditions and the terms and conditions of the Citibank Card Agreement, these Terms and Conditions shall prevail.

6 1-FOR-1 FRIDAY MOVIE PRIVILEGES AT MAJOR CINEMAS Terms and Conditions ("these Terms and Conditions") 1. Subject to these Terms and Conditions, on Fridays with effect from 5 th October 2010 and until further notice, the principal and supplementary holders of the Citibank Clear credit card ( Citibank cardmembers ) will be entitled to purchase cinema tickets at: o all Cathay Cineplexes ( Cathay ) o all Golden Screen Cinemas except Golden Screen Cinemas Signature and Golden Screen Cinemas Maxx outlets ( GSC ) outlets in Malaysia at a special rate as follows : 1 free cinema ticket for every cinema ticket purchased using a Citibank Clear credit card at any Cathay or GSC or outlet, subject to the following : (a) the foregoing applies only to over-the-counter purchases at the respective Cathay or GSC or outlets and not to e-payment ticketing facilities, online ticket purchases or purchases made over the telephone; (b) the foregoing applies only to purchases of tickets for normal seats, ie not to twin seats, couple seats or Gold Class seats nor tickets for screenings of premiere movies or digital 2D/3D movies; (c) the free ticket will be given only for the same screening of the movie for which the ticket paid for with the Citibank Clear credit card was purchased; (d) the free ticket is not exchangeable for cash, credit or kind whether in part or in full. The benefit described above is hereinafter referred to as Privileges. 2. Citibank shall not be liable for any default or for any loss, damages, costs or expenses suffered or sustained by any Citibank cardmember due to any act of God, war, riot, strike, lockout, industrial action, fire, flood, drought, storm, technical or system failure or any event beyond the reasonable control of Citibank. 3. Citibank shall not be liable for any loss, damages, costs or expenses suffered or sustained by any Citibank cardmember howsoever arising from or in connection with the purchase of cinema tickets. All refunds, if any is sought for whatever reason, must be sought from Cathay Cineplexes Sdn. Bhd. or Golden Screen Cinemas Sdn Bhd, as the case may be, in accordance with the terms and conditions levied by Cathay Cineplexes Sdn. Bhd., Golden and Screen Cinemas Sdn Bhd, as the case may be. Citibank shall not be responsible to assist any Citibank cardmember if any claim for anything whatsoever is made by any Citibank cardmember in this connection. Citibank will bear no responsibility for resolving any dispute and Citibank cardmembers are not to liaise with Citibank in regard to all such matters. 4. 8 CITIBANK CLEAR CARD 3X REWARDS ALL YEAR LONG Terms and Conditions ("these Terms and Conditions") 1. These Terms and Conditions shall apply to the Citibank Clear Visa/Mastercard credit card. Eligibility 2. Subject to Clause 3 below, with effect from 5 th of October 2010 and until further notice, all principal holders of Citibank Clear credit cards who are residents of Malaysia ( Eligible Cardholders ) are eligible to enjoy three (3) times the Rewards Points ( 3X Rewards Points ) that they would have been entitled to in accordance with the Citibank Rewards Program. The term Reward Point has the same meaning as in the terms and conditions of the Citibank Rewards Program. The entitlement to 3X Rewards Points subject to these Terms and Conditions is hereinafter referred to as 3X Rewards Points Feature. 3. The following persons are NOT eligible to enjoy the 3X Rewards Points Feature: (a) a holder of a Citibank Clear credit card not issued in Malaysia; (b) a holder of a Citibank Clear credit card who is in default of facilities granted by Citibank or whose facilities granted by Citibank have been cancelled, subject to Citibank s discretion; or (c) a holder of a Citibank Clear credit card who has committed or is suspected of committing any fraudulent or wrongful act in relation to the use of his/her Citibank Clear credit card. The 3X Rewards Points Feature 4. An Eligible Cardholder who uses his/her Citibank Clear credit card to effect any retail transaction at any of the retail outlets in Malaysia selected by Citibank ( Qualifying Outlets ) shall be entitled to receive 3X Rewards Points as set out in Clause 5 below. At present, the Qualifying Outlets are : No. Name of Qualifying Outlets in Malaysia 1. Zouk Club Kuala Lumpur 2. Zouk café & Bar 3. G Zara 5. Charles & Keith 6. Borders Bookstore 7. Pedro For the avoidance of doubt, for the purpose of the 3X Rewards Points Feature, the Qualifying Outlets selected are only the retail outlets which are stand-alone stores and not those which are within other larger stores. The list of Qualifying Outlets is provided for Eligible Cardholders information only, and there is no representation that the Qualifying Outlets listed are Citibank merchants. Citibank reserves the right to amend the list of Qualifying Outlets from time to time with

9 notice by way of posting on its website at ( Website ) or in any other manner deemed suitable by Citibank. 5. Subject to these Terms and Conditions, Eligible Cardholders shall be entitled to receive 3 Reward Points for every RM1.00 spent on retail transactions at Qualifying Outlets and posted to the Eligible Cardholder s credit card account. [For instance, if an Eligible Cardholder has effected a retail transaction of RM50 with his Citibank Clear credit card, he shall be entitled to receive a total of 150 Rewards Points (RM50x3=150) for the month.] Citibank will not be liable for any delay in the actual posting of the retail transactions and/or Rewards Points earned to the Eligible Cardholder s credit card account unless such delay is attributable to the wilfull default or negligence of Citibank. 6. No Eligible Cardholder shall hold Citibank responsible for the quality, merchantability or the fitness for any purpose or any other aspect of the products and/or services provided by third parties. Citibank shall not be liable for any loss, damages, costs or expenses suffered or sustained by any Eligible Cardholder howsoever arising from or in connection with any retail transaction. Citibank shall not be responsible to assist any Eligible Cardholder if any claim for anything whatsoever is made by any Eligible Cardholder in this connection. Citibank will bear no responsibility for resolving any dispute and Eligible Cardholders are not to liaise with Citibank in regard to all such matters. 7. For the avoidance of doubt, the following transactions will not qualify for 3X Rewards Points: (a) Purchases made using the Citibank Easy Payment Plan, Flexi Payment Plan, Autobilling or similar program by whatever name called; (b) Cash advance or cash withdrawal debited to the Citibank Clear credit card account; (c) Outstanding balance transferred from any other credit card account to the Citibank Clear credit card under the Citibank Balance Transfer Program or similar program by whatever name called; (d) Payment made towards any fees and/or charges prescribed from time to time by Citibank to be paid to or in connection with the Citibank Clear credit card (including without limitation entrance fee, annual fee, finance charges, handling charges and interest payment charges); (e) Charges to the Citibank Clear credit card which are disputed by the Eligible Cardholder (principal and/or supplementary), or which are alleged to be made on unauthorised or fraudulent retail transactions, that are subsequently reversed by Citibank; and (f) Any other charge that is subsequently reversed by Citibank for any other reason. 8. Subject to these Terms and Conditions, transactions made at any Qualifying Outlet by a supplementary holder of a Citibank Clear credit card will also qualify for 3X Rewards Points. However, only the principal Eligible Cardholder will be able to redeem the Rewards Points.

10 9. Rewards Points must be redeemed and used only by the principal Eligible Cardholders themselves. Redemption of Rewards Points is subject to the sole discretion of Citibank. Further, Citibank reserves the right to cancel Rewards Points earned on a credit card account where the minimum payment has been due for thirty (30) days or more, or where the credit limit has been exceeded, or where an account is believed by Citibank to be operated fraudulently or any account closed by Citibank for any other reason. 10. Rewards Points earned are not transferable nor can they be sold to any other person. In the event that the 3X Rewards Points are awarded to and received by a person who is not an Eligible Cardholder, Citibank reserves the right to disqualify such a person from enjoying the additional Rewards Points and/or from redeeming or using the additional Rewards Points. Miscellaneous 11. The 3X Rewards Points Feature is subject to these Terms and Conditions and the terms and conditions in the Citibank Card Agreement and the Citibank Rewards Program. In the event of any conflict or inconsistency between these Terms and Conditions and the terms and conditions of the Citibank Card Agreement governing the Citibank Clear Card or the terms and conditions of the Citibank Rewards Program, these Terms and Conditions shall prevail. 12. Citibank reserves the right at its absolute discretion to vary, delete and/or add to any of these Terms and Conditions and to cancel, terminate and/or suspend the 3X Rewards Points Feature at any time or from time to time with notice by way of posting on its Website or in any other manner deemed suitable by Citibank. The Eligible Cardholders are deemed to have accessed the Website and to have knowledge of and to have agreed to such cancellation, termination, suspension, variation, deletion or addition, as the case may be. For the avoidance of doubt, the foregoing shall not entitle Eligible Cardholders to any compensation whatsoever against Citibank for any and all loss or damage that may be suffered or incurred by any Eligible Cardholder as a direct or indirect result of the act of cancellation, termination, suspension, variation, deletion or addition. 13. Citibank shall not be liable for any default or for any loss, damages, costs or expenses suffered or sustained by any Eligible Cardholders due to any act of God, war, riot, strike, lockout, industrial action, epidemic, pandemic, fire, flood, drought, storm, technical or systems failure or any event beyond the reasonable control of Citibank. 14. Citibank s decisions on all matters relating to the 3X Rewards Points, including the determination of Eligible Cardholders, will be final and binding. Citibank is entitled, with notice, in its absolute discretion, at any time and from time to time and without giving any reason to take into account or refuse any card transaction or charges or retail purchase in the calculation of Rewards Points or to otherwise vary the basis of calculation of Rewards Points.

These Terms and Conditions (as modified or varied from time to time) shall prevail over any provisions or representations contained in any other promotional materials advertising the 3X Rewards Points Feature. 16. To the fullest extent permitted by law, each of the Eligible Cardholders is deemed to have waived any right he/she may have against Citibank and its officers, servants, employees, representatives and/or agents (including without limitation, any third party service providers that Citibank may engage for purposes of the 3X Rewards Points Feature) in respect of any losses or damages (including without limitation, loss of income, profits or goodwill, indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising whether in contract, tort, negligence or otherwise in connection with the 3X Rewards Points Feature, even if Citibank has been advised of the possibility of such damages in advance, and all such damages are expressly excluded.

12 BONUS 10,000 REWARDS POINTS PROMOTION TERMS AND CONDITIONS This Promotion shall end on 4 March 2011 and shall be replaced by the Citibank New Cardmembers Promotion. These Terms and Conditions and Promotion will however continue to apply to all Applicants whose Cards applications are successfully approved by Citibank on or before 4 March 2011 under this Promotion. Promotion Period 1. This promotion organized by Citibank Berhad (Co. No M) ( Citibank ) called the Bonus 10,000 Rewards Points ( Promotion ) will run from 1 st December 2010 to 31st July 2011 (both dates inclusive) ( Promotion Period ). Eligibility 2. Subject to these Terms and Conditions, any person ( Applicant ) who applies for a principal Citibank Clear credit card ( Card ) and such application is successfully approved by Citibank during the Promotion Period, will be eligible to receive the Rewards Points (as hereinafter defined)(such person is hereinafter referred to as the Eligible Cardmember ). 3. The following persons are NOT eligible to participate in this Promotion: (a) permanent and/or contract employees of Citibank (including its subsidiaries and related companies) and their respective immediate family members. (b) representatives and/or agents (including advertising and promotion agents) of Citibank and their respective immediate family members; (c) an Applicant who had cancelled his/her Card within three (3) months before the date of application and is re-applying for the Card under the Promotion; (d) present holders of any Citibank credit card(s) whether issued in Malaysia or otherwise. The Promotion 4. To be entitled to receive 10,000 Rewards Points ( Rewards Points ), Eligible Cardmembers must register the successfully approved Citibank Clear credit card for the Citibank One Bill service and use such credit card to effect transactions at the participating merchants as set below through the Citibank One Bill service within 60 days from the date of such approval. Citibank One Bill is a smart billing service where you may be able to register and combine your household bills to charge to your Citibank credit card account every month. The use of the Citibank One Bill service shall also be subject to the terms and conditions of the service.

For the avoidance of doubt, "successfully approved" means that the Applicant's Card application has actually been approved by Citibank and the Card is being or has been issued to the Applicant during the Promotion Period. Conditional approvals of Card applications which may be received by an Applicant from Citibank are not deemed to be successfully approved Card applications. 6. An Applicant may verify and confirm the Card approval status by contacting Citiphone at the following telephone numbers: (Kuala Lumpur), (Penang), and (Johor Bahru). 7. An Eligible Cardmember s Card account must be in good standing during the Promotion in order to be entitled to earn the Rewards Points. 8. The Rewards Points awarded to an Eligible Cardmember throughout the Promotion Period will be reflected in the monthly Card statement of the Eligible Cardmember within 60 days after the first transaction made through the Citibank One Bill service. 9. Citibank One Bill transactions made by a holder of a supplementary Card will be aggregated with those of the holder of the principal Card but only the holder of the principal Card will be entitled to the Rewards Points. 10. Citibank reserves the right to cancel with notice, the Rewards Points earned on a Card account: (a) where the minimum payment under the Card account has been due for thirty (30) days or more; or (b) that is believed by Citibank to be operated fraudulently; or (c) that is closed by Citibank for any reason whatsoever.

14 11. Rewards Points earned is not exchangeable for cash, credit or kind and has no monetary value. Eligible Cardmembers are not allowed to transfer or sell their right to the Rewards Points to any other person. 12. In the event that Rewards is awarded to and received by a person who: (a) is not eligible to receive the Rewards Points in accordance with these Terms and Conditions; and/or (b) has committed or is suspected of committing any fraudulent or wrongful acts in relation to the use of his/her Card; Citibank reserves the right to disqualify such person from participating in the Promotion and/or from being awarded or redeem using the Rewards Points. 13. Each Eligible Cardmember is only entitled to receive the Rewards Points once. 14. An Applicant may also be participating in more than one Citibank credit card promotion organized to acquire or in conjunction with the acquisition of new credit card customers where the Applicant may also be similarly entitled to gifts. In the event that the promotion periods for such other promotions overlap with the Promotion Period, then the Applicant understands that he/ she shall only be entitled to receive the gift from only ONE of such promotions, regardless of the number of successfully approved applications in such promotions.
