(Protos) is a data driven hedge fund with an investment strategy of investing in digital tokens, cryptocurrency and other appropriate crypto investments (and derivatives linked thereto) to achieve their investment goals. Digital tokens are a new asset class that in our experience has captured public attention in some cases because of outsized increases in value, but overall because of the extraordinary advantages blockchain technology brings to thousands of different industries worldwide. As people, businesses, and governments use a certain blockchain, for example Bitcoin, demand increases for digital tokens. 3 Protos believes it will be a leader in the field with its approach because, in addition to investing in new digital tokens at an early stage, it will be among the first funds of its kind to build what Protos views is a robust database of digital token and cryptocurrency market data and using advanced technical trading strategies. Protos is among those unlocking the second major investing wave in crypto and, once data on the market exists, Protos anticipates that the market will see a significant increase in trading strategies just as it occurred in the equities markets. Protos will be helping to drive this second wave with the goal of benefiting its token holders through proprietary crypto trading strategies. The Protos investment strategy includes purchasing digital tokens as an investment. The value of Protos tokens, may, in part, be indirectly based on the investment returns that Protos earns by investing in and trading digital tokens and cryptocurrencies, as outlined in Overview of this Offering on the next page. Protos will use strategies to filter and invest in early stage (pre-ico) opportunities as well as ICOs and advanced data driven trading strategies. Protos intends as part of its investment strategy vision to develop a multi-manager strategy where data scientists in the community may contribute to and be rewarded for trading strategies. 4 Overview of this Offering PRTS Token An ERC20 smart contract digital token representing an indirect fractional non-voting economic interest in the sole Class A share in Protos, a fund investing in digital tokens, cryptocurrency and other appropriate crypto investments Target Amount Offered Price per Unit Currencies Accepted Presale Dates and Minimums Public Sale Realization Buybacks Soft cap of 50,000,000 PRTS Tokens and a hard cap to be disclosed on or before the presale. USD $1.00 per PRTS Token BTC, ETH and USD. Subscribers for PRTS Tokens using USD must subscribe for a minimum of $25,000 in PRTS Tokens. October 9, 2017 to November 6, 2017, $250,000 minimum investment for US residents and $50,000 minimum investment for those resident outside of the US Commencing on November 7, 2017 with no minimums other than a minimum of $25,000 for subscriptions in USD If there are realizations in the portfolio of Protos, then the funds received from such realizations shall be treated as follows: 1. A minimum of 50% of any such funds are expected to be used in reinvestment into additional portfolio investments (save where such funds have been held by Protos for more than 18 months in which case they may be used per clause 2 below); and 2. A minimum of 10% of any such funds shall be distributed to Protos solely for use to repurchase PRTS Tokens on the open market. All PRTS Tokens repurchased by Protos will be cancelled, thereby increasing each remaining PRTS Tokenholder s indirect fractional non-voting economic interest in Protos s sole Class A share. Liquidity Buybacks Fixed Price Offer NAV Reporting Fund Management Fee; Carried Interest Offering Memorandum If the market price of a PRTS Token (determined to be the average price at 3:00 pm Eastern Standard Time over the three largest cryptocurrency exchanges by liquidity) drops below 75% of the NAV per PRTS Token (as defined below) based on Protos s last quarterly NAV report, Protos may, at its sole discretion, make purchases of PRTS Tokens on the open market. Such purchased PRTS Tokens can be sold again by Protos, subject to an applicable exemption from registration under the applicable securities laws. Protos may at any time after Protos issues its first NAV report offer to repurchase PRTS Tokens at a fixed price notified through a notice published on TokenHub with prior disclosure on a minimum of thirty days notice. Such purchased PRTS Tokens can be sold again by Protos, subject to an applicable exemption from registration under the applicable securities laws. During the first year following the closing of this Offering, the Fund s NAV will be reported monthly as at the 30th of each month within 5 business days of such date. After the first anniversary following the closing of this Offering, it is expected that the Fund s NAV will be reported more frequently than monthly. It is expected that there will also be a monthly conference call where the Manager will be available to respond to questions proposed in advance. The manager of Protos will charge Protos an annual management fee of 2.5% of NAV, which will be paid in USD in quarterly increments in advance. In addition, the Class B shareholder will be entitled to receive twenty-five percent (25%) of the increase, if any, in the NAV of the Class A shares in Protos, after the deduction of all fees and expenses, on a high watermark basis. Ongoing operating expenses of the Fund including accounting, legal and tax expenses will be charged to the Fund.
