1 Terms and Conditions governing Shopping Festival 2014 I. DEFINITIONS Alliance Partner shall mean various merchants / partners, who have entered into an alliance agreement with ICICI Bank for purpose of providing the incentive or reward to the Net Banking User on his over-all Internet Banking Targets. Net Banking User shall mean a person who holds an ICICI Bank savings account (not including NRE and/or NRO saving account) and is using ICICI Bank Net Banking Services and who has received communication from ICICI Bank with respect to the Offer. ICICI Bank Net Banking Service(s) shall mean internet banking services of ICICI Bank offered to Net Banking User. Offer(s) shall mean offers such discount(s) /benefit(s) / reward(s) provided by the Alliance Partner when the Net Banking User makes Retail Purchases as mentioned below using ICICI Bank Net Banking Services, during the Offer Period on the Alliance Partner Website and reaches his Targets. Program Period or Offer Period shall mean the period commencing from November 24, 2014 to December 31, ; both days inclusive. "Primary Terms and Conditions" shall mean the terms and conditions applicable to ICICI Bank s internet banking facility/service. Products/Services shall mean the goods/benefits/facilities offered by the Alliance Partner. Alliance Partner's Website shall mean the Alliance Partners website as will be mentioned on the Program micro-site & ICICI Bank Offer-Zone. 2 Void Transaction shall mean any transaction wherein the transaction has taken place but has been cancelled /rejected /unsuccessful by the Alliance Partner. Program shall mean the reward(s) / discount voucher(s) offered to Net Banking User by Alliance Partner Merchants during or after the Offer Period for achieving his Targets. Retail Purchase / Transaction shall mean such purchase of goods /services on Alliance Partners Website, which has been made by the ICICI Net Banking User by using ICICI Bank Net Banking Service(s). Targets shall mean required number of Retail Purchase / Transactions the Net Banking User does using ICICI Bank Net Banking Services during the Offer Period to be eligible for the Program. All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms ( Terms ) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail. II. OFFER To avail benefits under the Program the Net Banking User shall be required to make Retail Purchase / Transaction as mentioned below during the Offer Period on the Alliance Partner's Website. Eligibility for the Program shall be computed on the basis of Targets achieved by making Retail Purchases / Transactions on the Alliance Partner's Websites during the Offer Period. The following Retail Purchases / Transactions shall be considered for calculating the Targets during the Offer Period and eligibility in the Program:- 3 1 TO BG: Please confirm if the duration is correct. 2 TO BG: Please provide the correct website. 3 TO BG: Please confirm if this is as per business intent.

2 Consumer Shopping E-commerce IRCTC Quick Pay Travel Utility Bill Payments Prepaid Mobile Recharge When the Net Banking User achieves the indicated Targets he shall be eligible for the Program as mentioned in the Annexure. ICICI Bank retains the right to change the rewards available at each Targets. ICICI Bank shall retain the rights to offer Net Banking User with an alternate reward in case of any delay, damage or breakage, subject to availability of the reward and favorable conditions of delivery of reward. The Offer is valid only for a select set of Net Banking User(s) selected at the sole discretion of ICICI Bank and who have received communication about the Offer from ICICI Bank, during the Offer Period. Registration for the Program by the Net Banking User(s) is on a voluntary basis. The Net Banking User(s) may avail the Offer during the Offer Period or until the stock lasts, whichever is earlier. This Offer cannot be clubbed with any other Offer that may be made available to the ICICI Bank Net Banking User/s by the Alliance Partner. The Offer is non-transferable, non-binding and non-encashable. The Offer is not valid for Void Transactions. III: TERMS PRESCRIBED FOR THE PROGRAM Top 100 daily spenders using Net Banking services will be rewarded with a complimentary 2 nights 3 days stay at specified locations by Magic Holidays. 4 Top 5 highest spenders using Net Banking services will be rewarded with an I-Phone 6 by Rediff. Eligible Net Banking Users would be informed through communication on their secured in box and /or by mail and / or by message center in the logged in section, on the rewards and its redemption process. Qualifying Net Banking User for the Program would be contacted by ICICI Bank over phone and the Net Banking User would be physically handed over the rewards. Rewards shall be sent at least 45 days after the Net Banking User is informed about his eligibility by ICICI Bank or once the Program is over, whichever is earlier. Net Banking User/s are eligible for only one reward in each category as per the Program. In case more than one Net Banking Users qualify for the reward, the first Net Banking User would be considered for the rewards.e.g. - If there is a tie between "A" & "B" where "A" spent Rs /- on September 15, 2012 (1500 hrs) & "B" spent Rs /- on September 15, 2012 (1000 hrs) then "B" will be offered the reward as per the Program The color representation of the rewards on the banners, landing page / mail may not be similar to the one that shall get dispatched to the winner. Redemption Process : 1. Daily Top 100 Rewards: Magic Holiday 2 nights and 3 days complimentary stay: Top 100 spenders everyday using Net Banking services shall be entitled to get a Magic Holiday 4 TO BG: Please confirm if this factually correct.

3 voucher which will entitle the customer to a complimentary 2 nights and 3 days stay at the following specified Magic Holidays Resorts/Hotels: Redemption Process id and phone number will be published to enable eligible customers to contact Magic Holidays. Magic Holidays will invite and schedule an appointment with customers for handover of physical booking vouchers at its nearest venue. Magic Holidays will make a 45 minute presentation to customers 5. Voucher will be handed over at the venue when the customer appears for the appointment, post the presentation. Customer can call the number printed on the voucher to book his reservation The booking of Holidays is subject to availability and excluding blackout dates, as specified by Magic Holidays at the time of reservations. Voucher issued to ICICI customers will be redeemed at the following locations only 6 Malvan Chail Kodaikanal Kanha Jim Corbett Allepy Pench Gir Todhgarh Goa Specific serial number will be assigned to the vouchers and the date of issue will be mentioned. The voucher will have to be redeemed within 6 months from the date of issue. Offer is valid for 2 adults and 1 kid below the age of 12. The voucher will be valid till March 31, 2014 The eligible ICICI Bank Internet Banking Customers will be informed through communication on their secured in box and /or by mail and / or by message center in the logged in section, on the reward and its redemption process. Qualifying Net Banking User for the Program would be contacted by ICICI Bank over phone/mail and the Net Banking User would be handed over the physical voucher of Thomas Cook on the registered address provided by the customer. Reward shall be sent at least 45 days after the Net Banking User is informed about his eligibility by ICICI Bank or once the Program is over, whichever is earlier. 2. Reward for Top 5 highest spenders during the program period: I-Phone 6: The eligible ICICI Bank Internet Banking Customers will be informed through communication on their secured in box and /or by mail and / or by message center in the logged in section, on the reward and its redemption process. I-Phone 6 shall be shipped to the customer by Rediff on the registered address provided by the customer on mail. The Eligible Net Banking User will need to log on to Enter the unique voucher code. Enter the details required, confirm and proceed. 4 Reward shall be sent at least 45 days after the Net Banking User is informed about his eligibility by ICICI Bank or once the Program is over, whichever is earlier. IV. TERMS & CONDITIONS FOR REWARDS:- The Offer is valid only for Net Banking Users wherein the Retail Purchases / Transactions are made for products under the select categories mentioned above. Any cancellations or foreclosures on the Facility before the dispatch of the reward will amount to cancellation from the Program. The following transaction types of Retail Purchases / Transactions are excluded from the Program: Mutual funds, 2. Broking, 3. Loans, 4. Asset management companies (AMC) 5. Fund transfer - within ICICI bank 6. Fund transfer - outside ICICI bank 7. ICICI credit card payment 8. Visa Money Transfer 9. Money Order 10. Cards 11. Insurance 12. Tax ICICI Bank fully reserves the right to ask the customer to furnish further proofs to substantiate the genuineness of the transaction. The transactions would be scrutinized by ICICI Bank internally before the rewards are confirmed to eligible Net Banking Users. Decisions by ICICI Bank in this matter would be final and binding on the Net Banking Users. A Net Banking User will be entitled to only one reward during the Program Period. In case ICICI Bank decides to extend the Program period beyond December 31, 2013 then Net Banking Users qualified for rewards during Novemebr 24, 2013 to December 31, 2013 will not be considered. Reward is non-transferable, non-binding and non-encashable. No substitutions or exchange of reward, other than what is detailed in the communication sent to the Net Banking User shall be allowed. However, ICICI Bank reserves the right to substitute and/or change the reward or any of them, without any intimation or notice, written or otherwise to the Net Banking User. The Net Banking User may however, at the time of redemption of the reward voucher, choose to upgrade the version of the reward, by paying the differential in the price of the reward and the upgraded version. ICICI Bank shall not be liable for any payment of any such variable amounts or any other issues related thereto. All visuals of the reward in the communication sent to the Net Banking User are indicative only. All Rewards will be subject to TDS as per Income Tax Act, A person receiving rewards in kind exceeding Rs.10000/-, will have to pay 30% of the value of reward before collecting the reward towards TDS. The tax amount shall be paid to the Alliance Partner by the Net Banking Users using ICICI Bank Net Banking Service(s). A TDS certificate will be issued to the Net Banking User as per the prescribed timeline. TDS will be collected first before dispatching the reward to the Net Banking User. If a Net Banking User is unable to redeem the voucher within the validity period TDS amount will not be reversed. If the market price of the reward which is offered using the voucher is reduced there will be no change in TDS amount. 7 TO BG: Please confirm if this is factually correct.

5 In case the Net Banking User cannot be contacted on all the numbers available with ICICI Bank, then ICICI Bank reserves the right to declare the next highest spender as the winner. For redemption of the reward, the Net Banking User shall be required to redeem the Reward at the end of the Program Period in the manner specified by ICICI Bank and /or the Alliance Partner. The Net Banking User will need to visit the Alliance Partners Website for redemption of the incentives The terms and conditions of this offer are subject to change without any prior notice. All disputes are subject to the exclusive jurisdiction of the competent courts/tribunals of Mumbai. V. GENERAL TERMS ICICI Bank does not guarantee and/or make any representation about the usefulness, worthiness and/or character of the discount / benefit or of the Products/Services under the Offer provided by the Alliance Partner. Service of transacting on ICICI Bank Internet Banking is available even without this program. Any tax or other liabilities or charges payable to the government or any other statutory authority/body or any participating establishment, which may arise or accrue to the Net Banking User/s due to provision of the Offer, shall be to the sole account of the Net Banking User/s. Tax deducted at source, if any, on the monetary value of the Offer shall be payable by the Net Banking User/s. All issues / queries / complaints / grievances relating to the Offer, if any, shall be addressed to the Alliance Partner directly by mail without any reference to ICICI Bank. The same shall be addressed by the Alliance Partner, only up to a period of 30 days after the date of transaction /purchase. The existence of a dispute, if any, regarding the Offer shall not constitute a claim against ICICI Bank and shall be addressed directly by the Alliance Partner. All communication / notices with regard to this Offer should be addressed to the Alliance Partners directly. The Offer is not available wherever prohibited and / or on products / services for which such offers cannot be made available for any reason whatsoever. ICICI Bank / Alliance Partner reserve the right to modify/ change all or any of the terms applicable to the Offer without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever. If the ICICI Bank Net Banking User ceases to be a ICICI Bank Net Banking User at any time during the currency of the Offer Period, all the benefits under the Offer shall lapse and shall not be available to the ICICI Bank Net Banking User.
