1 VODAFONE VIVO OFFER TERMS AND CONDITIONS 1. This is a limited period promotional offer ("Offer") provided by Vivo Mobile India Pvt. Ltd. ("Vivo") and made available on and the mobile application/ website thereof (collectively, "Amazon.in") by Amazon Seller Services Private Limited ("Amazon"). 2. These Offer terms and conditions ("Offer Terms") are in addition to the Amazon.in Conditions of Use & Sale and Privacy Notice to which you agree by using Amzaon.in and any other terms and conditions prescribed by Vivo with respect to the Offer ("Vivo Terms"). To the extent the Amazon.in Conditions of Use & Sale and Privacy Notice are inconsistent with these Offer Terms; these Offer Terms will prevail with respect to the Offer only. To the extent the Vivo Terms are inconsistent with these Offer Terms; the Vivo Terms will prevail with respect to the Offer. Notwithstanding anything contained herein, Amazon shall have the right to remove these Offer Terms from Amazon.in at any time without any prior notice. 3. You may only avail this Offer if you are: (a) located in India; (b) have set India as your current country in your account settings on Amazon.in; and (c) have a billing address in India. 4. This Offer will commence on November 1, 2017 from 12:00 am and continue till 11:30 pm on January 31, 2018, (both days inclusive) until stocks of the Eligible Products (as defined hereinafter) is made available for purchase by the seller on Amazon.in ("Offer Period"), unless extended or revoked by Vivo at its sole discretion, without prior notice. 5. Subject to these Offer Terms, during the Offer Period any person who (a) purchases a Vivo device specified in the table attached as Annexure 1 below (each such device hereinafter referred to as "Eligible Product") from Cloudtail India Private Limited or Appario Retail Limited, the authorized re-sellers of Vivo listed on Amazon.in and (b) either has or gets an active Vodafone India ("Vodafone") connection (each such 6. person hereinafter referred to as a "Eligible Purchaser"), will be eligible to avail the following data benefits from Vodafone on the Eligible Product(s) ("Benefits"): S. The Benefit will be credited to the Eligible Purchaser's Vodafone account within 2 hours of the Recharge.

2 9. Each Eligible Purchaser may avail the Benefit a maximum of 5 (Five) times during the Offer i.e. on the first six Recharges during the Offer Period and once a month. Any data Benefit remaining unutilized at the time of the next Recharge will expire and will not be carried over to the next cycle. 10. The Offer and the Benefits thereof will not be available on any other product listed on Amazon.in other than the Eligible Product. Notwithstanding anything contained herein, this Offer will not be available on any Eligible Product which is returned or refunded by the Eligible Purchaser or if the order for such Eligible Product is cancelled by the Eligible Purchaser or the authorized seller. 11. By participating in this Offer, you will be deemed to have accepted these Offer Terms and expressly agree that Amazon or any of its affiliates will not be liable or responsible for any loss or damage whatsoever that you may suffer, directly or indirectly, in connection with this Offer, including the credit of the Recharge and/ or Benefit, or quality or delivery/ non-delivery of the Benefit provided under this Offer. 12. Vivo reserves the absolute right to withdraw and/ or alter any of the terms and conditions of these Offers at any time without prior notice. 13. Terms and Conditions Shared by Vivo One Time Screen Replacement offer This offer is valid from 1st November 2017 to 31st December 2017, both dates included or till stocks last whichever is earlier. Offer is available on purchase from Cloudtail India seller ( Online Outlet ). The offer is being provided by Vivo Mobile India Pvt. Ltd. (VIVO) and reserves the right to extend/ annul/modify the offer at any time at its sole discretion without prior information. For availing this offer the customer needs to purchase Vivo Mobiles during the Offer Period and activate the same by 15th January He/she can avail this offer by paying just Rs.990 (Labor Charge) anytime during a period of 12 months from the date of the activation of the Product if the screen suffers external damage. Please note that in case the customer activates the product after the above mentioned date they shall not be eligible for the offer. The offer can be availed only once by visiting the authorized service center of Vivo. Redemption of One Time Screen Replacement offer: 1. Every customer who has purchased and activated the Product during the Offer Period shall be eligible to avail the One time screen replacement offer by paying just Rs.990 (Labor Cost) anytime during a period of 12 months from the date of the activation of the Product if the screen suffers external damage. 2. The offer can be availed only once by visiting the authorized service center of Vivo. Forfeiture clause: One time screen replacement offer (i) In case the customer activates the product after the Offer Period he/she shall not be eligible for the offer. (ii) Also if the customer doesn t avail this offer within 12 months from the date of the Product activation (i.e. activation during Offer Period) the offer shall stand forfeited and no claims will be entertained in this regard against Vivo. General Conditions Vivo reserves the right to change/alter & modify the terms & conditions of this Offer at any given point at its sole discretion without giving any reason whatsoever. Vivo reserves the right to substitute the Screen Replacement Offer with some other gift(s) of equivalent value under this Offer at its sole discretion without giving any reasons. Vivo shall not be liable for any technical, physical delay in transmission or submission of the entries by the customer or any disruptions, losses, damages, computer related malfunctions/ failures which affect the

13 participation of the customer or any force majeure conditions or damages caused by Act of God, Governmental actions. Failure by Vivo to enforce any of its right at any stage does not constitute a waiver of those rights. In no event shall Vivo be liable for losses or any incidental or consequential damages arising out of or in connection with the Offer, its services these Terms(however arising, including negligence). Vivo shall not be responsible for any product or service liability of any kind. In the event of any conflict or inconsistency regarding any instructions, rules and conditions on any advertising or promotional material relating to the Offer, these Terms shall prevail over all such other instructions, rules and conditions. You will need to back-up any data and/or software you have on your Vivo V7/V7Plus as it may, at Vivo s discretion, be replaced and not repaired. Vivo accepts no liability for the loss, corruption or destruction of any data or software on your Vivo V7/V7Plus handset. Replacement products or parts will have a warranty until the expiry of the original warranty of the product. Old parts become property of Vivo. Spare parts covered - a) Touch panel/lcd as applicable. Any other type of malfunctioning other than breakage will be covered as per the Vivo warranty policy. Scheme is valid only for a single time replacement of the touch screen/lcd In case of touch screen breakage, customer should visit Vivo authorized service center in person to avail this scheme. Customer must possess original proof of purchase, Identity proof and valid contact number and same will be validated by Vivo service team before final approval. Scheme is valid for Vivo V7/V7Plus handsets sold within India within the promotion period of 1st November, 2017 to 31st December, No cash refund will be given to customer. Only broken touch screen replacement is covered under this scheme. Customer needs to pay labor charges as applicable, for the screen replacement under this scheme. In case of spare parts other than the screen are required to be changed due to any physical damage, then the repairs will be done as per Vivo warranty policy. Cost of same will be borne by the customer. This Screen Replacement Offer excludes: o Damage suffered as a result of liquid ingress. o If another part of the phone (other than the screen) is damaged beyond economical repair. o If the damage is suffered as a result of use of the phone other than for its ordinary and generally accepted purpose or is deliberately damaged. Jurisdiction Decision of Vivo in relation to the Offer and matter incidental thereto shall be final and binding on the customer. All disputes shall be governed by the laws of India. These Terms shall be governed by exclusive laws of India and the courts located at New Delhi shall have the exclusive jurisdiction in respect of all the subject matter with relation to the Offer.
