BY PROCEEDING WITH U S E O F T H E S E R V I C E D U R I N G T H E O F F E R P E R I O D, Y O U (HEREINAFTER ALSO REFERRED TO AS THE SUBSCRIBER OR PARTICIPANT ), AGREE TO REGISTER YOURSELF AS PARTICIPANT FOR THE OFFER AND FURTHER ACKNOWLEDGE AND AGREE ON IRREVOCABLE BASIS, TO BE LEGALLY BOUND BY THIS T&C.IF YOU DO NOT AGREE TO THE T&C, PLEASE DO NOT PARTICIPATE IN THIS OFFER. 1. Offer Period/Participant Circle/Term This Offer is open for a limited period from 12 August 2011 ( at 00:00 hrs) upto 10 Sept, 2011 ( t i l l 23:59:59 hrs) and meant only for the active pre-paid as well as post-paid category of cellular subscribers of Vodafone in all the licensed telecom circles (the circles ), wherein Vodafone is offering its telecom services ((hereinafter also referred to as the Subscribers ). This contest is open for Vodafone Haryana, Punjab, Rajasthan, Mumbai, WB, Bihar, AP, Gujarat, MP, UPw, Upe, Kolkata and J&K circle. 2. ELIGIBILITY AND PARTICIPATION Eligibility Subscribers who fulfill the following criteria are eligible for participating in this Offer: He/she must be above 18 years of age. He/she must be a citizen of India. He/she must not have any criminal record nor be of an unsound mind This offer is not meant for the roaming subscribers of Vodafone The employees of Vodafone and sdl and their group companies, affiliate(s) or associate companies, are not eligible for this offer T o P a r t i c i p a t e This Offer is purely on best effort basis and participation in this Offer is voluntary The subscriber irrevocably agrees that subscription to the Service is an integral part of the Offer and further agrees that subscription to this Service is based on applicable charges mentioned in sub-clause 3.1 of this T&C. You agree that in order to avail the Service and participate in this Offer, the applicable charges shall be paid by you in accordance with clause of this T&C A Subscriber for participation to this Offer, shall have to dial short code 55121/ / to subscribe to the Service. By Dialing the short code(s) mentioned herein above, the Subscriber entitles himself/ herself, to (i) browse the Service and chat with friends

2 In furtherance to Clause And 2,1,3,, a Subscriber will be asked one multi-choice question each day of the contest period and given a chance to WIN an I-POD. The user who gives the maximum number of correct answers will be gratified at the end of the month and subscriber is entitled to by virtue of the subscription pack availed by him/her in lieu of and the applicable charges paid by him/her. 3. APPLICABLE CHARGES 3.1 The applicable charges for Service are as under- (i) Voice Chat Subscription Pack Charges : Rs 30/Month, Rs 2/Day (ii) Browsing Charges: Rs 2/Min Vodafone Shortcode Call Charges Subscription Charges Pan India /Min Rs 30/ Month Pan India /Min Rs 2/Day 3.2 Vodafone and SDL reserve the right to extend, cancel, discontinue, prematurely withdraw, change, alter or modify this offer or any part thereof including the eligibility criteria at its sole discretion at anytime during it s validity as may be required in view of business exigencies and/or changes by regulatory authority and/or statutory changes and the same shall be binding on the Subscriber. 4. Selection of Highest Scorer/ Top Performer of the Offer 4.1. Selection criteria (i) (ii) (iii) Customers who come on board will be asked one multi-choice question each day of the contest period and given a chance to win an I-POD. The user who gives the maximum number of correct answers will be gratified at the end of the month. In case of a tie, the user who is the first to answer the question correctly on the last day of the contest will be declared as the Final Top Scorer(s) Four final Top Scorers from amongst the Participants of each telecom circles and in conformity with sub-clause-4.1(i) and 4.1(ii), shall be selected for Gratifications as per Clause 4 of this T&C.

3 4.2. The Subscribers hereby understands and agrees that in case of a tie, the Subscriber who is the first to answer the question correctly on the last day of the contest will be declared as the Final Top Scorer(s) 4.3. The Top Final Scorers shall be selected by SDL as per the process finalized by SDL and SDL fully indemnifies Vodafone, from such selection process and subsequent Gratification disbursement process. 5. GRATIFICATION: 5.1. SDL will bear the cost of gratification, which is as follows: Four Final Top Performers, selected from each circle in conformity with clause 4, shall be given an I-pod and the value of the I-POD will be Rs.4000.(Approx) The Gratification by each circle will be given at the end of the month Single gratification will be offered to a single MSISDN The gratification(s) under the Offer is neither assignable nor transferable under any circumstance The Gratification(s) as mentioned above shall be subject to such other terms and conditions as may be applicable to specific Gratification(s) and shall have to be duly complied with by the Final Top Scorers The gratification(s) to the eligible subscriber shall be given subject to compliance with all applicable statutory legislations/ processes /formalities in connection with the gratification(s) and on production all such documents/papers as required by Vodafone/ SDL before accepting the delivery of the gratification. Any failure on the part of the eligible subscriber to comply with directions issued by V o d a f o n e /SDL for claim of gratification shall entitle Vodafone/ SDL to forfeit the gratification(s) Top Performers, who are selected by SDL for Gratification, shall be required on mandatory basis, to submit the following documents PAN Number Letter of Compliance with rules and regulations Identity Proof and Address Proof This list is only inclusive and not exhaustive and can change as per the requirements of law) 5.2 The gratification(s) must be claimed within 5 days of receiving the intimation from SDL failing which Vodafone/SDL reserves the right to forfeit the same.

4 5.3 The Gratification or its equivalent shall be handed over by SDL on receipt of all the documents, from the eligible subscriber, required to process the distribution of the Gratification. 6. It is understood and agreed by the Subscribers that mere participation to this Offer during the Offer Period, does not entitle the participant/ subscriber/s to claim the Gratification. He /she should be a selected/ declared Top Performer by SDL in conformity with the terms of clause 4 of this T&C, to claim the Gratification(s) mentioned in sub-clause 5.1 of this T&C. 7. It is understood and agreed by the subscribers that a selected winner/ Top Performer shall have to be the rightful owner of the particular mobile phone number/ connection, registered as per the records maintained by Vodafone (and which shall be conclusive). If the winner is not able to provide sufficient evidence to show that he/she is the rightful owner/user of the particular mobile connection, SDL and Vodafone reserves the right to award the Gratification to the next eligible winner. 8. By entering the Offer, the Subscribers confirm and waive the applicability of rules and regulations of the National Do Not Call Registry and also agree to receive promotional messages from SDL/ Vodafone, as they may deem fit and proper, at their sole and absolute discretion. 09. The Subscribers including the Top Performer understand and agree that any Gratification of value in excess of INR Rs. 5,000/-, will attract tax deduction of at source and in conformity with Section 194 B of the Income Tax Act 1961 or as applicable under law,in force from time to time. The successful subscribers will receive the gratification money after deduction of all applicable taxes thereon. The Top Performer / Highest Scorer will be provided with an appropriate TDS certificate by SDL in respect of the amount of tax deducted from the gratification money. 10. By participating in the Offer, the Subscriber hereby further understands and agrees that SDL shall at its sole discretion be responsible for inter-alia the selection of the Top Performer and delivery of the Gratification at the mentioned venue which shall be the Vodafone s Circle Office of the particular telecom circle (wherein the Final Top Scorers MSISDN is/are registered). The decision of SDL in this regard shall be final and binding upon the Final Top Scorers and other Subscribers. 11. The Top Performers shall be intimated through web-site of SDL. The results of the Offer shall be published/uploaded on the website of SDL: The subscriber/s can log into the aforementioned address to check if he /she has won the Gratification from the Offer. The subscribers/top Performers are required to be vigilant on their part in gathering information regarding the selection of Top Performers and/or for collection of Gratification. The date and time of selection of Top Performers shall be within 10 working days from the date of the closure of the Offer and the information shall be uploaded on the website as aforesaid, after the closure of the Offer. It is specifically mentioned that no information by post/courier/fax/telegram or any other mode shall be given by the SDL. However, SDL may at its sole discretion, call the Top Scorers on the particular mobile numbers.

All participants/subscribers from the Circles who have been declared Top Performers and who have won the gratification as per clause 5 of the T&C, shall have to make their own arrangements for travel, accommodation to claim the Gratifications from Vodafone s circle office, which fall under the selected Final Top Scorer s registered MSISDN circle (the venue ). SDL/ Vodafone shall not responsible for the travel arrangements and/or any cost incurred by any of these Top Performers for the collection of their respective Gratification(s). 13. Vodafone and SDL are not responsible nor guarantee the quality of the goods/ services being offered as gratifications nor is liable for any defect or deficiency of goods or services so obtained/availed, by the subscribers under this Offer. SDL is also not liable for any defect/ deficiency in the gratification(s) so offered or availed, by the subscribers under this Offer. 14. All incidental costs/taxes/levies related to the gratification(s) including but not limited to TDS, Gift tax (if any), Road Tax, Insurance and any other taxes applicable by the government Central, State or Municipal; shall be exclusively borne by the Final Top Scorers, 15. The Subscriber hereby further understands and agrees that SDL shall be solely responsible for interalia the selection of the eligible subscribers and delivery of the gratifications and Subscribers can directly contact SDL regarding any queries/complaints. Alternatively the subscriber can send an to helpdesk@spicedigital.in. All disputes must be addressed by the Subscriber in writing to SDL directly. 16. The Subscriber hereby understands and agrees that Vodafone s responsibility in the Offer is limited to communicating the list of eligible Subscribers to SDL. 17. Subscriber hereby understands and gives his/ her irrevocable consent for personal information relating to the Subscriber to be exchanged with SDL. 18. SDL may to its best ability inform the eligible subscribers by calling them on their registered Mobile only. All gratifications must be claimed by the Final Top Scorers, along with the documents specified herein c l a u s e. 19. The Subscriber hereby agrees and undertakes not to hold Vodafone/ SDL and/ or any of their group entities or affiliates, their respective directors, officers, employees, agents, responsible for or liable for, any actions, claims, demands, losses, damages, costs, charges and expenses that the Subscriber may/might have suffered, sustained or incurred, or claims to suffer, sustain or incur, by way of and /or on account of the present Offer. 20. Vodafone/SDL shall not be liable for any loss or damage whatsoever that may be suffered, or for any personal loss or injury that may be suffered (including loss of life), to a Subscriber and/or any third party, directly or indirectly, by use or non-use of the gratification. 21. This Offer cannot be used in conjunction with any alternative offer or promotion.

6 22. This Offer is subject to force majeure circumstances (i.e. Act of God) or any circumstance beyond the reasonable control of Vodafone/ SDL. The terms and conditions stated herein shall not override the terms and conditions of the Subscriber Enrolment Form. 23. The `Offer is valid subject to compliance with all formalities as required by Vodafone / SDL. Any failure on the part of the Subscriber to comply with the specified formalities shall disqualify the Subscriber. This Offer is subject to guidelines/ directions issued by Telecom Regulatory Authority of India or any other statutory authority from time to time. 24. The decision of Vodafone and SDL in respect of all transactions under this offer shall be final and binding. 25. The Terms & Conditions are subject to Indian Laws and the exclusive jurisdiction of the Courts of New Delhi.
