1 Terms and Conditions for The Vodafone McLaren Mercedes Competition (hereinafter referred VMMC ): The VMMC is organized jointly by Limited, Mobile Services Limited, South Limited, Gujarat Limited, East Limited, Digilink Limited, Cellular Limited, Spacetel Limited (collectively as ) in their respective telecom service areas (as listed here in below***) and Mobile2win Mobile 2 Win India Private Limited (Mobile2win ) (hereinafter referred to as Organizers ) for valid prepaid and postpaid cellular mobile subscribers (hereinafter referred to as Subscribers ) of subject to the terms and conditions of the VMMC. Duration of the VMMC: The Competition starts from 25 th March 2009 and shall be valid till 18 th Oct 2009 (both days inclusive). Eligibility to participate in the VMMC: Who can participate? The Prepaid and Postpaid subscribers of who are using certain services or subscribed for Motorsport Alerts services, or such other services which shall be specified during each round of the Competition. In all there will be 16 rounds of the Competition which are based upon total number of Formula 1 car races being held in the international Formula 1 season of 2009 as specified by The Fédération Internationale de l'automobile (FIA). How to Participate: (i) The eligible Subscribers may send SMS with the keyword RACE to a toll free short code from his/her Vodafone mobile number. Or A Company

2 The eligible Subscribers may participate in this Competition by sending through Fax at fax number , duly filled in Entry Form, available on Vodafone Essar s website (ii) The medium of participation in the VMMC is through the SMS or fax only. (iii.) The Subscribers participating in the competition shall be asked 1 Question/s per round which may have 2 multiple options. (iv.) There will be total number of 16 winners during the Competition i.e. one winner each round of the F1 race. Each round shall have a different Winner i.e. no subscriber can be Winner in more than one round of the Competition. Subscribers can answer such question/s by sending SMS RACE A/B/C/D to toll free number The Participant who answers correctly (across Telecom Service Areas as listed herein) will be the Winner of the Prize of the Competition: Prizes: (A) Grand Prize to the Winner: A ticket to the Abu Dhabi Grand Prix to be held at 1 st November, 2009 including only the following: a. Air Ticket (Ex-Mumbai) to Abu Dhabi where the Vodafone Mclaren Mercedes Event is organsied. b. Hotel Accommodation excluding food expenses at Abu Dhabi for 1 person double occupancy for 1 night 1 day. c. Event Ticket (as per schedule the event shall be held on 1 st Nov, 2009) Wherever, Winner is required to be selected through draws due to tie, the same shall be done through a random draw. s decision is this regard shall be final and bindling. No communications/disputes/ differences on this shall be entertained by the Organisers. Draws will be conducted in batches at Organizers discretion, based on number of participants to the Competition.

3 Terms and Conditions: Please read these terms and conditions carefully before registering /participating in the Competition. By proceeding with registration for and/or participating in the Competition, you accept and agree to be legally bound by these terms and conditions: 1. The Competition is open from 25 th March 2009 till 18 th Oct 2009 (both days inclusive). 2. All valid Vodafone Subscribers* (except the Subscribers from s Chennai and Tamil Nadu Telecom Service Area) shall be entitled to participate in the Competition. If, in any State and/or territory or part thereof, the running of the Competition is prohibited, the Subscribers from such State and/or territory or part thereof shall not be eligible to participate in the Competition. 3. There will only be ONE winner to the Competition subject to these terms and conditions and further there shall be no consolation prize/s for subscriber participants even if their score/s are similar to the Winner. 4. The Winner/s ("Winner") may be announced through 's website ' and/or through any other manner, which shall be available for a limited period only, as Organizers may deem appropriate. 5. Wherever, the Winner is required to be picked through draw due to tie or otherwise, the selection of the Winner will be by way of a random computer-generated draw amongst correctly answered entries, and decision of the Auditors, appointed by the Organisers in this regard, and / or of the Organisers shall be final and binding on the Subscribers and participants of the Competition. No dispute, of whatsoever nature, in this respect shall be entertained by the Organizers. 6. On announcement of the Winner, the Winner will be required to confirm his/her acceptance of the Prize within 48 hours of receiving information about the same to the designated number and / or person. The Organisers reserve the right to replace the Winner in case of non receipt of said confirmation from the Winner within said 48 hours. 8. The Winner name can be withdrawn, in case he/ she fails to clear all outstanding dues payable to and / or is not a Valid*/Active** Vodafone Subscriber on the date of claiming the Prize. 9. The Prize for the Competition will be given only to the Winner in whose name the Vodafone mobile phone number is registered and is the winner's responsibility to produce such document and/or credentials to prove his/her identity. It is the responsibility of the Winner to produce such identity proof and/or credentials at his/her own cost. The Prize is non transferable, non-negotiable and non assignable in any other person;

The Prize shall be subject to Income tax, gift tax or any other statutory levies / tax (including withholding taxes) as may be applicable and the Winner of the respective Prize shall be responsible and liable to pay such taxes, if any. In case the Winner fails to comply with the applicable law/s, the Organisers will be entitled to pick another name of the Winner to replace the Winner who is in default. 11. The Prize will stand withdrawn in case it is found that there are any criminal or other proceedings against subscriber prohibiting him from any international travel. 12. The Winner/s of the Competition shall be given the Grand Prize mentioned hereinabove. The Winner shall not be given any option to choose airlines / hotels etc. No request of preferred airlines / hotels etc. of the Winner shall be entertained by. The Winners shall bear the cost and incidental expenses of traveling from their respective locations to Mumbai International airport or to such other Airport in India as may be required by. To clarify further the Grand Prize will mean and include only the following: a. Return air ticket from Mumbai to Abu Dhabi. shall have absolute discretion to decide the airline/s, class of travel, accommodation and other facilities etc. to be made available therein. The Food expenses during the trip and stay in Abu Dhabi shall be borne and paid by the Winner only and shall not be liable or responsible for the same. b. Any other expense, of whatsoever nature, will not be borne by Vodafone Essar. The Winner will have to arrange local travel at his/her own cost, for all requirements for the Prize and to collect the Prize from Vodafone Essar s designated place / office. 13. Any additional expense (including local travel, food etc.), of whatsoever nature, will not be borne by and the winner has to bear such additional expenses at his own. The Winner will have to arrange local travel in Abu Dhabi at his/her own cost, for all requirements for the Prize and to collect the Prize, if required. 14. Any or all requirements relating to Visa for the country of destination (as mentioned hereinabove), shall be complied by the Winner himself and shall not be responsible in case the concerned government authorities do not approve the Visa within the stipulated time period. In such case, reserves the right to nominate the next highest scorer of the Competition or shall pick another participant as Winner of the Grand Prize and so on so forth. 15. shall not be responsible for any change in the schedule of the travel to the event including coming back from the country where the event is being

5 organsied. In case, the Winner wishes to stay or extend its stay beyond the stay organised by the Organisors, the Winner shall bear all expenses / charges including charges towards traveling back to India, accommodation, food, local travel, insurance etc. during his extended stay in the country where the even is organised. In case of extended stay of the Winner in the country where the event is organsied, the Winner, specifically releases from any and / or all liabilities/ responsibilities whatever has towards the Winner due to his participating in the Competition or being Winner of the Competition. 16. shall not be responsible for travel insurance, passport and/or its validity. The Winner of such Grand Prize will have to arrange valid Passport, valid VISA and Travel insurance, at his/her own cost, for all requirements for the trip to the Event. 17. To comply with all terms and conditions of the air-ticket, airline operator, travel operator, Hotel, destination country etc. will be the responsibility of the Winner. shall be no way responsible to the Winners or their legal heirs/successors/representatives. 18., no where guarantees / warrantees about the fitness, quality, suitability etc. of the Prize. 19. The Subscribers/participant/winner hereby irrevocably authorize the Organisers, that the data gathered during and/or after the Competition in respect of the participants (including Subscriber name and photograph etc.) shall be the property of and shall be entitled to use the same in its communications including marketing promotions and advertisements along with/without s brand. 20. All costs and expenses for collecting (including travel etc.) the Prize will be borne by the Winner and no claim of whatsoever nature will be entertained by in this regard. 21. The Winner shall be responsible for his / her own behavior, misconduct, unlawful acts, actions / inactions etc. during the entire trip including his/her stay in Abu Dhabi and the Winner hereby indemnify and shall keep indemnified, Limited, its subsidiaries, affiliates, associates, directors, employees, agents etc. from any claim, actions, suits, dispute/s, liability etc. arising due to or in connection thereto or out of the aforesaid misbehavior, misconduct, unlawful acts, actions/inactions etc. of the Winner. 22. shall not be liable in any manner for any mishap, accident, injury or damages etc. of whatsoever nature, caused to the Winner while availing the benefits of the Prizes. Further, shall not be liable in any manner for any loss, damage, theft, or any other mishap caused in respect of the Prize/s.

6 23. There are no charges for participating in the Competition. However, merely participating in the Competition will not entitle any participant to win the prize, and the participant who answer correctly may, at the end of the Competition, be declared the winner unless there are more than 1 such winning entries, when the Winner shall be based on a draw of lot (as mentioned elsewhere in these terms). 24. Apart from the entitlement to the above Prize, the Winner or their legal heirs will have no other rights or claims against the Organisers. 25. Employees / Associates / Agents / Dealers (including their family members / relatives) of and/or Organisers will not be qualified for winning the Prize. 26. The Prize shall not be transferable / redeemable against any other service offered by the Organisors nor for cash. No request shall be entertained by the Organisers in this regard. 27. The Organisers reserve the right to change / modify the Competition or terms and conditions of the Competition, at any time at its own discretion, without assigning any reason. The Organisers shall not be obliged to give any prior notice for aforesaid change / modification. 28. In case of any dispute or difference in respect of or in connection with the Competition and/or the Prizes herein, the decision of the Organisors shall be final and binding on all concerned. 29. Participation in this Competition implies acceptance to all the terms and conditions of the Competition mentioned herein. 30. The Competition will be conducted under the supervision/control of a Chartered Accountant in whole time practice. 31. Any dispute/matter arising out of or in relation to the Competition is subject to jurisdiction of competent court/s of Mumbai alone. *Valid Subscriber means having valid Subscription of Vodafone cellular mobile telephony services as per Law. ** Active Vodafone Subscriber means a subscriber whose Vodafone mobile number subscription is valid and whose Vodafone number is active on Vodafone s network at the time of distribution of the Prizes by the Organisors. ***List of Telecom Service Areas (including list of Circles for which entries from participants shall be considered for the Competition)
