ELIGIBILITY: The 2018 ATOM DISCOUNT TICKETS ( Promotion ) is open only to individuals who are: (i) legal residents of, and residing within, one of the fifty (50) United States of America (including the District of Columbia) ( US ), (ii) 18 years of age or older at the time of entry, and (iii) members of the Fuel Rewards program with Gold+ Status ( Eligible Members ). Employees of Equilon Enterprises LLC dba Shell Oil Products US ( Sponsor ), Wunderman Worldwide LLC, Excentus Corporation, Atom Tickets, LLC ( Prize Provider ), HelloWorld Inc., and their parents, affiliates and subsidiary companies, participating advertising and Promotion agencies, prize suppliers, including but not limited to those entities involved in the preparation of materials for, administration and/or execution of this Promotion (collectively, Promotion Entities ) and their immediate family members (spouse, siblings, children and parents including step-relations) and/or those living in the same household of such employees (whether or not related) are ineligible. 2. PROMOTION PERIOD: The Promotion starts at 12:00 A.M. (midnight) Central Time ( CT ) on September 28, 2018 and ends at the earlier of: (i) 11:59 P.M. CT on February 28, 2019, (ii) when all available Tickets (as defined below in Section (4) have been redeemed, or (iii) by the Redemption End Date (as defined in the Table in Section (3) below). Sponsor s computer will be the official timekeeping device for entry and qualification and Atom Tickets computer will be the official timekeeping device for redemption. The Sponsor and Prize Provider are not responsible for late, incomplete, or misdirected Claims. 3. HOW TO CLAIM: All Claimants must be Eligible Members ( Claimants ). During the Promotion Period, Claimants shall be able to log in to the Gold+ website ( and claim a Redemption Code that can be used to claim a discount of seven dollars ($7) off one (1) movie ticket ( Redemption Code ) when purchasing tickets at participating movie theater venues to (a) Venom, (b) Creed II and (c) Bumblebee collectively, the ( Films ). Each Claimant shall be limited to one (1) Redemption Code per Film. A Claimant may redeem a total of three (3) Redemption Codes during the Promotion Period. Claimants must purchase tickets using the claimed Redemption Code at (a) the Atom website ( or (b) the Atom mobile application available on the App Store or Google Play (the website and mobile application collectively being the Atom Platform ). Sponsor is not a ticket seller for any Film. Claimant acknowledges that his / her purchase of the tickets are subject to the terms and conditions of Prize Provider and the movie theater venue. Claimants who apply a Redemption Code to their purchase of a ticket to an applicable Film through the Atom Platform during the applicable Redemption

2 Eligibility Period (as defined below) will have a discount applied to their purchase up to the amount of the Redemption Code value, unless the price of the ticket is less than the Redemption Code s full value, in which case the Claimant will not be given a credit for that difference. Claimants may claim a Redemption Code for the applicable Film between the Qualifying Start Date and Qualifying End Date specified in the promotion schedule below (the Qualifying Period ). Offers will be eligible for redemption on the Atom Platform beginning on the Redemption Start Date specified in the promotion schedule below (or, if later, the date that tickets for the applicable Film are first available for purchase on the Atom Platform) through and including the Redemption End Date (or, if earlier, until tickets for the applicable Film are no longer available for purchase through the Atom Platform) ( Redemption Eligibility Period ). Any attempt by any Claimant to obtain more than the stated maximum number of Offers by using multiple / different addresses, identities, registrations, and logins, cheating or fraud, through a club or similar entity, or any other unauthorized methods will void all of the Claimant s purchases and Claimant will be disqualified from the Promotion. 4. TICKETS: (A) For the First Offer, no more than 2,500 Redemption Codes will be eligible for redemption. If less than 2,500 Redemption Codes are redeemed as part of the First Offer, the unredeemed number of Redemption Codes will be added to the number of Redemption Codes eligible for the Second Offer. For the each of the Second Offer and the Third Offer, no more than 2,000 Redemption Codes will be eligible for redemption. If less than 2,000 Redemption Codes are redeemed as part of the Second Offer, the unredeemed number of Redemption Codes will be added to the number of Redemption Codes eligible for the Third Offer. If less than 2,000 Redemption Codes are redeemed for the Third Offer, the unredeemed number of Redemption Codes will remain unused and expire after the Redemption End Date of the Third Offer. No more than 6,500 total Redemption Codes will be available for redemption for this Promotion.

3 (B) Except where prohibited, redemption of the Redemption Code constitutes Claimant s consent to Sponsor s and its agents (including Excentus Corporation) use of winner s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration. 5. LIMITATIONS OF LIABILITY/INTERNET: SPONSOR, PRIZE PROVIDER AND/OR PROMOTION ENTITIES ARE NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL, HUMAN OR OTHER ERROR IN THE PRINTING OF PROMOTION COMMUNICATIONS AND/OR COLLATERAL ADVERTISING MATERIALS, ADMINISTRATION OF THE PROMOTION, PROCESSING OF REQUESTS FOR REDEMPTION CODES, OR DELIVERY OF THE TICKETS. ADDITIONALLY, SPONSOR AND/OR PROMOTION ENTITIES ARE NOT RESPONSIBLE FOR ERRORS RESULTING IN OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATIONS OR TRANSMISSION, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO OR ALTERATIONS OF PROMOTION MATERIALS, OR FOR TECHNICAL, NETWORK, TELEPHONE EQUIPMENT, ELECTRONIC, COMPUTER, HARDWARE OR SOFTWARE, TELEPHONE OR OTHER COMMUNICATIONS, INCOMPATIBILITY, MALFUNCTIONS OR LIMITATIONS OF ANY KIND, OR INACCURATE TRANSMISSIONS OF OR FAILURE TO RECEIVE INFORMATION BY SPONSOR ON ACCOUNT OF TECHNICAL PROBLEMS, LOST OR UNAVAILABLE NETWORK CONNECTIONS, TELEPHONE CONNECTIONS, WIRELESS DEVICE CONNECTIONS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, HUMAN ERROR, OR ANY COMBINATION THEREOF. IF FOR ANY REASON THE PROMOTION, OR ANY ELEMENT THEREOF, IS NOT CAPABLE OF RUNNING AS PLANNED, INCLUDING INFECTION BY COMPUTER VIRUS, BUGS, TAMPERING, UNAUTHORIZED INTERVENTION, CHEATING, FRAUD, TECHNICAL FAILURES, OR ANY OTHER CAUSES, TECHNOLOGICAL OR OTHERWISE, WHICH CORRUPT, DISRUPT OR OTHERWISE AFFECT THE ADMINISTRATION, SECURITY, FAIRNESS, INTEGRITY, OR PROPER CONDUCT OF THIS PROMOTION, SPONSOR RESERVES THE RIGHT IN ITS SOLE DISCRETION, BUT NOT THE OBLIGATION, TO CANCEL, TERMINATE, MODIFY, EXTEND OR SUSPEND ANY AND ALL ASPECTS OF THE PROMOTION. INDEMNIFICATION: EACH CLAIMANT AGREES, BY USING THE REDEMPTION CODE TO OBTAIN A TICKET FOR A FILM TO RELEASE, DISCHARGE, INDEMNIFY AND HOLD HARMLESS SPONSOR AND PRIZE PROVIDER, AND THEIR RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DISTRIBUTORS, PROMOTION ENTITIES, WEB DEVELOPMENT COMPANIES, ADVERTISING AGENCIES, (AND THEIR PARENTS, SUBSIDIARIES AND AFFILIATES), SOCIAL MEDIA PLATFORMS (E.G., FACEBOOK, TWITTER, INSTAGRAM), PROMOTION AGENCIES, TICKET SUPPLIERS, AND ANY OTHER PERSONS OR ENTITIES PARTICIPATING IN THE DESIGN, ADMINISTRATION OR FULFILLMENT OF THIS PROMOTION AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY RELEASED PARTIES ) FROM AND AGAINST ANY AND ALL LIABILITY FOR ANY THREATENED OR ACTUAL INJURIES, LOSS, COSTS, SETTLEMENTS (WHETHER OR NOT LITIGATION IS COMMENCED), OR DAMAGES OF ANY KIND TO ANY PERSON, INCLUDING DEATH OR DISABILITY, AND PROPERTY, ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ENTRY IN THIS PROMOTION OR ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE TICKETS, PARTICIPATION IN ANY PROMOTION - RELATED ACTIVITY WHETHER HOSTED BY SPONSOR OR A THIRD PARTY OR INABILITY TO PARTICIPATE IN PARTS THEREOF INCLUDING, WITHOUT LIMITATION, CLAIMS, SUITS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH, DAMAGE TO OR DESTRUCTION OF PROPERTY, RIGHTS OF PUBLICITY OR PRIVACY, DEFAMATION OR PORTRAYAL IN A FALSE LIGHT (WHETHER INTENTIONAL OR UNINTENTIONAL), WHETHER UNDER A THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR OTHER THEORY, AND WHETHER OR NOT CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES. INDIVIDUALS COVENANT NOT TO SUE ANY RELEASED PARTY OR CAUSE THEM TO BE SUED REGARDING ANY MATTER RELEASED ABOVE; AND FURTHER COVENANT NOT TO DISAFFIRM, LIMIT OR RESCIND THIS RELEASE. A WAIVER BY SPONSOR AND/OR THE PROMOTION ENTITIES OF ANY TERM IN THESE OFFICIAL RULES DOES NOT CONSTITUTE A WAIVER OF ANY OTHER PROVISION.

GOVERNING LAW; DISPUTES: By entering the Promotion, each Claimant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, the Redemption Codes, the Tickets, or any portion thereof, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court in Houston, Texas; and (ii) in addition to the limitations in Section 5 of these Official Rules, any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys fees. Except where prohibited by law, all issues concerning the construction, validity and enforcement of these Official Rules, or the rights and obligations of the Claimant and Sponsor, shall be construed and governed by the laws of the State of Texas, without regard to conflicts of law rules. 8. POSTING TERMS AND PRIVACY: By entering the Promotion, each Claimant will be sharing his/her personal information with Sponsor and/or the Promotion Entities (or its authorized representatives), for the purposes of entering this Promotion.
