1 SERPENTINE KIT GOLDEN TICKET PROMOTION OFFICIAL RULES OPEN TO ELIGIBLE LEGAL RESIDENTS OF THE 50 UNITED STATES (INCLUDING THE DISTRICT OF COLUMBIA) AND CANADA WHO ARE AT LEAST 18 YEARS OLD AS OF THE DATE OF ENTRY AND MEET THE ELIGIBILITY REQUIREMENTS STATED BELOW. NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. ELIGIBILITY: Serpentine Kit Golden Ticket Promotion ( Promotion ) is open only to individuals who are legal residents of and residing within the fifty (50) United States of America (including the District of Columbia) ( U.S. ) and Canada, who are at least eighteen (18) years old (or the legal age of majority in his or her province of legal residence, whichever is greater) at the time of entry. A person who is eligible to participate in the Promotion will be referred to as a Participant. Employees of Gates Corporation ( Sponsor ) and its parent, affiliates and subsidiaries, participating advertising and promotion agencies, including but not limited to those entities involved in the preparation of materials for, administration and/or execution of this Promotion (collectively Promotion Entities ) and their immediate family members (spouse, parent, child or sibling) and/or those living in the same household (whether or not related) are ineligible. 2. HOW TO PARTICIPATE IN THE PROMOTION: The Promotion Period starts 12:00 A.M. (midnight) Central Time ( CT ) on May 21, 2018 and ends at 11:59 P.M. CT on May 31, 2020, or when the supply of prizes identified below has been exhausted; whichever is sooner. There are two (2) ways to participate in the Promotion. A. Purchase Method Entry: A Participant must purchase a Gates Complete Serpentine Kit that includes a Belt, Tensioner and Pulley (where applicable); everything needed to do a system restoration of the Accessory Belt Drive at participating retailers or resellers within the fifty (50) United States of America (including the District of Columbia) and Canada during the Promotion Period. If a participant finds a Golden Ticket hidden within the kit they have purchased, the ticket holder must go online to the website printed on the Golden Ticket. If it is their first time to check the Golden Ticket code, they are required to register their basic information (name, address, , location name, and password). Canadian participants must answer a skill test once their basic information is entered. After the process is complete the ticket holder can enter the Golden Ticket code and will be instantly notified if their ticket is a winning ticket or not. Subsequent times when a ticket holder would like to check a Golden Ticket code, they will just need to login and check the Golden Ticket code number. If the ticket holder is a winner, they will be notified that they are a winner and will be asked to check their to see what prize they have won. The prize will be ed to the winner in the form of an electronic card ( Ecard ). This Ecard can be redeemed online with the specific merchant or it can be printed and taken to the specific store to be used. Please allow 1-2 weeks for prize delivery. B. Alternative Entry without Purchase: If a Participant would like to receive a Golden Ticket without making a purchase, the Participant may hand print their complete name, address, address and daytime phone number on a 3 x 5 piece of paper and mail it in an envelope with sufficient postage affixed during the Promotion Period to:

Only one (1) request per postmarked envelope. All mail-in requests must be postmarked by June 1, 2020 and received by June 8, Participants, at their option and discretion, may elect to opt-in to receive future marketing and promotional communications from Sponsor. Failing to opt-out or opt-in or later opting out will not affect Participants chances of winning a specific Prize. Participants should regularly check their spam filters and messages to ensure they do not contain any important Promotion notifications. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE PROMOTION SHOULD SO INDICATE, UNLESS AND UNTIL PARTICIPANT S ELIGIBILITY AND THE POTENTIAL WINNING TICKET HAS BEEN VERIFIED AND PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. 3. PRIZES, APPROXIMATE RETAIL VALUE ( ARV ), AND ODDS OF WINNING A SPECIFIC PRIZE: A. Total ARV of All Prizes: $365, USD Prizes that are unclaimed, unredeemed or returned as undeliverable will not be awarded. The Potential Winners of the Grand Prize will be required to execute and return an Affidavit of Eligibility/Liability & Publicity Release ( Affidavit ) (or a Declaration of Eligibility/Liability & Publicity Release if a Canadian resident) or his/her Prize may (in Sponsor's sole discretion) be

3 forfeited. The Affidavit will be sent to the potential winner s address and must be returned to the Sponsor within ten (10) days from the date that the is sent. If the is returned as undeliverable, the potential winner will forfeit the Grand Prize. Failure to properly complete the Affidavit may result in forfeiture of the Grand Prize. The Grand Prize winner if a resident of the United States will be issued an IRS Form 1099 for tax purposes in the amount of the ARV of the Grand Prize and must submit his/her Social Security Number or Taxpayer Identification Number as required by law. All federal, state, municipal and local taxes and withholdings are solely the responsibility of each winner. If a potential winner is a resident of Canada, he/she will be required to answer correctly a time limited mathematical skill testing question without assistance of any kind whether mechanical or otherwise to be declared a winner and be eligible to collect the applicable prize. If a potential winner is found to be ineligible or not in compliance with these Official Rules; or declines to accept a Prize; or if the Prize is returned as undeliverable, the Prize will be forfeited, and the Prize will not be awarded. Each potential winner may be required to furnish proof of identification and other proof of eligibility under these Official Rules. Participants agree that the Sponsor has the sole right to decide in all matters and disputes arising from this Promotion and that its decisions shall be final and binding in all matters pertaining to this Promotion. A Prize is not redeemable for cash nor is it transferable, assignable or substitutable, in whole or in part, except by Sponsor, in its sole discretion, with one of equal or greater value. The Promotion Entities are not responsible and will have no liability if a confirmed Grand Prize winner and/or his/her guest is for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. 4. LIMITATIONS OF LIABILITY/INTERNET: SPONSOR OR THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL, PRINTING, HUMAN OR OTHER ERROR INVOLVED OR RELATING TO THE ADMINISTRATION OF OR ASSOCIATED WITH THE PROMOTION, THE SELECTION OF THE WINNERS OR THE ANNOUNCEMENT OF THE PRIZE. A WAIVER BY SPONSOR OF ANY TERM IN THESE OFFICIAL RULES DOES NOT CONSTITUTE A WAIVER OF ANY OTHER PROVISION. 6. GOVERNING LAW; DISPUTES: Any and all disputes, claims and causes of action arising out of or connected with this Promotion or the Prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court in Houston, Texas and in addition to the limitations in Rule 4, any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys fees. Except where prohibited by law, all issues concerning the construction, validity and enforcement of these Official Rules, or the rights and obligations of the participant and Sponsor, shall be

5 construed and governed by the laws of the State of Texas, without regard to conflicts of law Official Rules. 7. GENERAL: By participating in the Promotion, each Participant agrees to these Official Rules and the decisions of Sponsor, which are final and binding in all matters and all respects relating to this Promotion. Participants waive any right to claim ambiguity in these Official Rules. In the event of a dispute as to the identity of a winner based on an address, the winning entry will be declared made by the authorized account holder of the address submitted at time of entry. The "Authorized Account Holder" is defined as the natural person who is assigned to an address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning addresses for the domain associated with the submitted address. A potential winner may be required to show proof of being the authorized account holder. This Promotion is void outside of the 50 United States and the District of Columbia, and Canada, wherever else prohibited or restricted by law. All entries and/or materials submitted become the property of Sponsor and will not be returned. Acceptance of a Prize constitutes permission for Sponsor and its agencies to use a winner s persona, name, biographical information, opinions, voice, photograph and/or likeness for advertising and promotional purposes in any and all media now known or hereinafter developed throughout the world in perpetuity, without additional compensation, review, notification or permission, unless prohibited by law. 8. FOR RESIDENTS OF QUEBEC: Notwithstanding Rule 8, for Participants residing in the Province of Quebec, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux (the Régie ) for a ruling. Submission to the Régie is only for the purpose of helping the parties reach a settlement. Subject to the jurisdiction of the Régie, Sponsor reserves the right to terminate, suspend or modify the Promotion. In the event of any discrepancy or inconsistency, between the Englishlanguage version and the French language version of these Official Rules, the English version shall prevail and govern. 9. PRIVACY: By entering the Promotion, each Participant will be sharing his/her personal information with Sponsor. SPONSOR: Gates Corporation, th Street, Denver, CO Severability: If any provision should be found by a court of competent jurisdiction to be invalid, the remaining provisions shall survive and be construed in a manner consistent with the intent of this Agreement. In interpreting this Agreement, all clauses shall be reasonably construed in a manner so as to render them valid and enforceable. All trademarks are the property of their respective owners.
