1 Shell L.A. Rams Promotion Official Rules NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. 1. Eligibility: Shell L.A. Rams Promotion (the Promotion ) is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry with a Gold+ Status in the Fuel Rewards program as of September 28, Employees of Equilon Enterprises LLC dba Shell Oil Products US ( Shell Oil Products US or Sponsor ), Shell wholesalers and Shell station employees, Wunderman Worldwide LLC, HelloWorld, Inc., Excentus Corporation, The Los Angeles Rams, LLC and the NFL Entities and each of their respective parent companies, affiliates, subsidiaries, distributors, dealers, sales representatives, web masters/suppliers, advertising and promotional agencies and their immediate family members (spouse, parent, child, sibling, grandparent, and/or step of each) and household members (whether or not related) are not eligible.. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes entrant s full and unconditional agreement to these Official Rules and Sponsor s and Administrator s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. 2. Sponsor: Equilon Enterprises LLC dba Shell Oil Products US, 3333 Highway 6 South Houston, TX Administrator: HelloWorld, Inc., 3000 Town Center, Suite 2100, Southfield, MI Timing: The Promotion begins on September 28, 2018 at 12:00 a.m. Eastern Time ("ET") and ends on December 14, 2018 at 11:59 p.m. ET or when all the prizes have been claimed for each applicable Game, whichever comes first (the "Promotion Period"). Administrator s computer is the official timekeeping device for the Promotion. 4. How to Enter: During the Promotion Period, visit and click on the sign in to learn more about Gold+ button or on the enter Gold+ button to access the Gold+ website. After logging in, navigate or scroll to the page advertising this Promotion and complete and submit the online form (the name and address used to complete the online form must match the name used on your Fuel Rewards account). Then, follow the links and instructions to select one (1) NFL football game ( Game ) for which you would most like to win tickets. There will be four (4) Games available. If you are one (1) of the first four (4) people per game to register for the Promotion and select the Game, you are the potential winner of the tickets to the Game you selected. If the selected Game is not available, you may select another Game. Limit: You may enter one (1) time during the Promotion Period regardless of which Game you selected. Multiple entrants are not permitted to share the same address. Any attempt by any entrant to play more than one (1) time by using multiple/different addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the address used to register will be deemed to be the entrant. The authorized account holder is the natural person assigned an address by an Internet access provider, online service provider or other organization responsible for assigning addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being the authorized account holder. 5. Winner Selection: Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of the potential winners are final and binding in all matters related to the Promotion. If you are one (1) of the first four (4) people to register for the Promotion and select the Game, you are the potential winner of the tickets to the Game you selected. The potential winners will be notified by and phone. If a potential winner of any prize cannot be contacted, fails to provide any other requested information within the required time period of two (2)

2 calendar days, or the prize is returned as undeliverable, the potential winner forfeits the prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by selecting the next fastest entrant that entered the Promotion and selected the applicable Game. Only three (3) alternate potential winners will be notified, after which the prize will remain un-awarded. Winners must provide a mailing address to receive the Prize. Prizes will be fulfilled within approximately 2-3 weeks after the conclusion of the Promotion. 6. Prizes: SIXTEEN (16) GRAND PRIZES (Four (4) prizes awarded per Game): Prize consists of one (1) pair of tickets to the Game selected during the entry process. Games are outlined below: Game Approximate Retail Value ( ARV ) Per Pair of Tickets LA Rams / Green Bay Packers Game on October 28, 2018 $ LA Rams / Seattle Seahawks Game on November 11, 2018 $ LA Rams / Philadelphia Eagles Game on December 16, 2018 $ LA Rams / San Francisco 49ers Game on December 30, 2018 $ The odds of winning a prize depend on the time you register for the Promotion and select the Game in relation to the rate at which others register for the Promotion and select the Game. Transportation is not included. Sponsor is not responsible if any scheduled event is delayed, postponed or cancelled for any reason and winner will not be reimbursed. Tickets, if any, may be subject to issuer s standard rain-check policies and procedures. All expenses, travel, and other costs, including but not limited to parking, concessions and merchandise that are not expressly stated in the package description above are the sole responsibility of winner. Restrictions, conditions and limitations may apply. Lost, mutilated, or stolen tickets, vouchers or certificates will not be replaced. By accepting ticket prize, winner agrees to abide by any terms, conditions and restrictions provided by the ticket. Sponsor is not responsible if winner does not use ticket on day of event. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor s sole discretion. No cash redemption allowed by winner. All Prize details are at Sponsor s sole discretion Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Limit: one (1) prize per person. Total ARV of all prizes: $4480. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. 7. Release: By receipt of any prize, winners agree to release and hold harmless Sponsor, Shell wholesalers and Shell station employees, Wunderman Worldwide LLC, Excentus Corporation, The Los Angeles Rams, LLC and the NFL Entities, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company s officers, directors, employees and agents (collectively, the Released Parties ) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any prize. 8. Indemnification: EACH ENTRANT AND PRIZE WINNER AGREES, BY ENTERING AND/OR ACCEPTING A PRIZE, TO RELEASE, DISCHARGE, INDEMNIFY AND HOLD HARMLESS SPONSOR, AND ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, DISTRIBUTORS, WEB DEVELOPMENT COMPANIES, ADVERTISING AGENCIES, (AND THEIR PARENTS, SUBSIDIARIES AND AFFILIATES), PROMOTION AGENCIES, PRIZE SUPPLIERS, SOCIAL MEDIA PLATFORMS (INCLUDING BUT NOT LIMITED TO FACEBOOK, INC., TWITTER, INC. AND INSTAGRAM, LLC), AND ANY OTHER PERSONS OR ENTITIES PARTICIPATING IN THE DESIGN, ADMINISTRATION OR FULFILLMENT OF

3 THIS PROMOTION AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY RELEASED PARTIES ) FROM AND AGAINST ANY AND ALL LIABILITY FOR ANY THREATENED OR ACTUAL INJURIES, LOSS, COSTS, SETTLEMENTS (WHETHER OR NOT LITIGATION IS COMMENCED), OR DAMAGES OF ANY KIND TO ANY PERSON, INCLUDING DEATH OR DISABILITY, AND PROPERTY, ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ENTRY IN THIS PROMOTION OR ACCEPTANCE, POSSESSION, USE, OR MISUSE OF THE PRIZE, PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY WHETHER HOSTED BY SPONSOR OR A THIRD PARTY OR INABILITY TO PARTICIPATE IN PARTS THEREOF INCLUDING, WITHOUT LIMITATION, CLAIMS, SUITS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH, DAMAGE TO OR DESTRUCTION OF PROPERTY, RIGHTS OF PUBLICITY OR PRIVACY, DEFAMATION OR PORTRAYAL IN A FALSE LIGHT (WHETHER INTENTIONAL OR UNINTENTIONAL), WHETHER UNDER A THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR OTHER THEORY, AND WHETHER OR NOT CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES. INDIVIDUALS COVENANT NOT TO SUE ANY RELEASED PARTY OR CAUSE THEM TO BE SUED REGARDING ANY MATTER RELEASED ABOVE; AND FURTHER COVENANT NOT TO DISAFFIRM, LIMIT OR RESCIND THIS RELEASE. A WAIVER BY SPONSOR AND/OR THE PROMOTION ENTITIES OF ANY TERM IN THESE OFFICIAL RULES DOES NOT CONSTITUTE A WAIVER OF ANY OTHER PROVISION.. 9. Publicity: Except where prohibited, participation in the Promotion constitutes each winner s consent to Sponsor s and its agents use of winner s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration. 10. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 11. Limitations of Liability: SPONSOR, ADMINISTRATOR, AND/OR PROMOTIONAL ENTITIES ARE NOT RESPONSIBLE FOR ANY TYPOGRAPHICAL, HUMAN OR OTHER ERROR IN THE PRINTING OF PROMOTION COMMUNICATIONS AND/OR COLLATERAL ADVERTISING MATERIALS, ADMINISTRATION OF THE PROMOTION, PROCESSING OF ENTRIES, SELECTION OF THE POTENTIAL WINNER, OR IN THE ANNOUNCEMENT OF THE PRIZE WINNER OR IN ANY OTHER MATERIALS OR INFORMATION ASSOCIATED WITH THE PROMOTION. IN NO EVENT WILL MORE PRIZES BE AWARDED THAN ARE STATED IN THESE OFFICIAL RULES. IF, THROUGH PRINTING OR PRODUCTION ERROR, OR FOR ANY OTHER REASON WHATSOEVER, MORE PRIZES ARE CLAIMED THAN INTENDED AND/OR SET FORTH IN THESE OFFICIAL RULES, SPONSOR RESERVES THE RIGHT TO AWARD THE PRIZE BY RANDOM DRAWING FROM ALL ENTRIES FOR THE PRIZE. 4 ACCOUNT OF TECHNICAL PROBLEMS, LOST OR UNAVAILABLE NETWORK CONNECTIONS, TELEPHONE CONNECTIONS, WIRELESS DEVICE CONNECTIONS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, HUMAN ERROR, OR ANY COMBINATION THEREOF. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-ofpocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan. 13. Entrant's Personal Information: Information collected from entrants is subject to Administrator s Privacy Policy and Sponsor s Privacy Policy The Fuel Rewards program is owned and operated by Excentus Corporation.
