Ref:-Enq.No. EBP17 O 0035, dt Number of Sources One Mode of Tendering THREE cover CENVAT Credit on Service Tax Applicable 1.Tenders are invited from reputed, bonafide and competent firms/contractors, having required Vehicle/ equipment and suitable experience for Hiring of 3KL Capacity Tractor Mounted Water Tanker for Rechini Railway Siding for a period of one (1) Year, Bellampalli Area as per the Scope of work and terms and conditions mentioned in this NIT. 2. The approximate value of the contract would be Rs.9,40, Lakhs Bidder shall submit bids with EMD of Rs.15,000/- Last Date of Closing Date : up to Noon Date of Opening of Tender : after 3.00 PM

The Technical (Part-A) and Commercial (Part-B) covers will be opened at one time on date of opening b. The price bids of the techno-commercially qualified offers will be opened at a later date with intimation to all the qualified bidders. c. Therefore, firms are advised to submit three different sealed covers as detailed below. 1. The firm should submit their bids in THREE part as mentioned below: i. Part - A: Technical offer (in one cover) a. The spares (MAKE) proposed to be used by the manufacturers/dealers b. Technical competence of the manufacturers/dealers c. Order copies for supplies made to reputed concerns or Govt. undertakings d. Performance reports. e. ISO or other certificates along with other documents. f. Guarantee/Warranty g. Service support, Spares replacement to be made (Whether OEM spares or alternate spares) h. Any other relevant technical details ii. Part - B: Commercial terms (in one cover) a. Validity, EMD, delivery period, applicability of taxes and duties, LD penalty, warranty/guarantee, Penalties against non-rectification of repairs as per terms in the annexure-ii, acceptance to all terms specified in Annexure-II, etc. b. Specimen copy of Part C without prices (as per the list of Item-wise details) iii. Part - C: Price bid (in one cover): Basic price quoted, PVC formula, if any, duty taxes and other commercial terms viz. credit rebate etc. 2. To avoid inadvertent opening of the cover, all the Three covers should be distinctly marked with the following on its left hand top corner: i. Enquiry Number & Date and Name & address of the bidder ii. Cover No. i.e. Part A / Part B / Part C as the case may be, and Name & address of the bidder. iii. Closing & Opening date of the tender and Name & address of the bidder 3. All the Three covers are to be individually sealed and superscripted as Mentioned above and shall be kept in another sealed cover superscripting enquiry No., due date of submission of the tender and due date of opening of tender and name & address of the bidder. 4. The firm should also confirm the status of registration under MSMED (Micro, Small & Medium Enterprises).

3 Enq. No. EBP17 O 0035, Dt Annexure-I I. SCOPE OF WORK / WORKS TO BE TAKEN UP THROUGH TRACTOR: SL. NO 01 DESCRIPTION PROVIDING OF 39HP or more TRACTOR ALONG WITH 3000LTRS. CAPACITY DETACHABLE WATER TANKER WITH CENTRUFUGAL PUMP ARRANGEMENT FOR WATER SPRAYING WITH 24 HOURS AVAILABILITY PER DAY FOR A PERIOD OF 1 YEAR ON HIRE BASIS FOR USE AT Rechini Railway Siding, BPA Area. LEAD IN KM FROM WATER SOURCES Below 1 KM NO. OF TRIPS 7200 Rate to be quoted per Trip in Rs. A. SPECIFICATIONS : i) HP of the tractor should be 39 OR above ii) The tractor to be deployed should be provided with detachable water tanker for water spraying fitted on the two/four wheel trailer. iii) Mounting : Tractor mounted iv) Arrangement : With centrifugal pump v) Capacity of tanker : 3000 Liters vi) Minimum No. Trips required/month : 600 Nos. vii) Minimum Guarantee Trips/Month : 300 Nos. viii) Model of Tractor on or after : B. SCOPE OF WORK: i. The Tractor should have a capacity of 39HP or above and attached with 3000 ltrs. Capacity detachable water tanker with centrifugal pump arrangement fitted on two/four wheels trailer. ii. The tractor should available for 24 hours per day. iii. The tractor should haul water by tanker to the site from the nearest available source. iv. Water should be hauled continuously, if required irrespective of number of trips. C. GENERAL TERMS: 1. The Contract shall be valid for a period of 1 year. Tractor should be registered on or after for the first time are only to be deployed for the above purpose with permanent registration & valid fitness issued by Transport Authorities are only permitted for deployment. The Vehicle documents must be available with the driver at all times. 2. AVAILABILITY HOURS: The duration of the availability is for 24hours a day along with driver. 3. MAINTENANCE: The Vehicle is required to be provided on all working days of the Mine including weekly play days and holidays as per the requirement and Eight hours/week will be spared on weekly holiday for maintenance works.

The cost of diesel, Lubricants, repairs, Taxes, Insurance and any other incidental expenses in running the Vehicle shall be borne by the Contractor. 6. The Vehicle is required to be operated as per the advice of In-Charge, Rebbana Rly siding and Rechini Rly Siding, BPA Area. II) ELIGILIBILITY: Sealed tenders are invited by the under signed from Interested contractors, who can provide tankers of capacity not less than 3kl as per the specifications are eligible to participate in the enquiry. III) OTHER TERMS: TECHNICAL DETAILS OF WATER TANKER Tractor mounted 3 KL water tanker with centrifugal pump arrangement for water spray. The tanker should be leak proof and tractor should be registered on or after and in good working condition. 1. Audio-visual alarms of reputed make should be provided for cautioning during reverse travel. 2. Battery cut-off switch should be provided on the negative side to cut-off battery power in case of emergency. 3. Turn signal lamps and stoplights should be provided. 4. Well-trained operators, who are conversant with various operations of the water TANKER, should operate the water tanker. The operators should always wear Safety gadgets including Shoes, Helmets etc. The operator should possess valid Driving License & Registration certificate of vehicle during duty hours. 5. The speedometer of the vehicle shall always be in working order with provision to read fraction of KM. Flashing type-parking lamps should be provided at suitable height in front and rear. The operator cabin should be provided with rear view mirror and glass windows. The contractor should not engage workmen below 18 years of age. TERMS AND CONDITIONS: 1. The Vehicles are to be provided within 7 days from the date of receipt of order along with Drivers. The contractor should follow all the labour legislations as amended from time to time including the minimum wages Act etc. 2. Good and worthy condition of water tanker is to be deployed. Before engaging the Water tanker, DGM (E&M), Goleti CHP, BPA will inspect the tanker and after certificate only the contract will come into effect. 3. The vehicles are required to be provided on all working days including weekly play days and holidays. 4. All the RTA rules and regulations shall be compiled with by the contractor who will be solely responsible for such compliance SCCL will not be responsible for violation of any of these rules and regulations. 5. SCCL will not take any responsibility if any accident/damages happen to the vehicle or to driver or to any other person during period of contract. 6. The contractor should employ his own drivers, mazdoors, staff etc., for the awarded work. 7. The contractor shall arrange insurance coverage of the personnel employed on the work.

The trip sheet/log Book should be maintained and should be available with driver for obtaining the official s signature for the trip made/work done. 9. The contractor should positively deploy the vehicle within the stipulated period as per the order terms and conditions. If he fails to deploy the vehicle within stipulated period a penalty of Rs.450/- per day will be recovered from the contractor s future bills. The Area GM/Head of Department will take a decision either to penalize the contractor or cancel the order depending on the need & situation (From the date of completion of the lead period and till deployment of vehicle. 10. The SCCL will not be held responsible for any Taxes, dues, loans or debts on the Vehicle provided by the Agency and should ensure no involvement of SCCL on such accounts. 11. Payment terms: 100% payment will be arranged monthly for value of the work done on receipt of the bill in complete shape. However, the payment will be subject to TDS recoverable as per statute. A Certificate will be given for the TDS recovered by the Company within one week after remitting the same to Government. The taxes ruling from time to time are applicable. 12. SCCL reserves the right to cancel the allotted tender work during the Contract period at any time without assigning any reason with one month notice. 13. Agreement is to be entered within 15 days from the date of commencement of order on Rs.100/- non-judicial stamp paper. 14. In all cases of disputes, the decision of the company shall be final. 15. The contract is liable for termination in cases. a. There is continued default by the Contractor for three days and if the concerned officer certifies that the performance of contract is not satisfactory. b. The performance of Contractor is unsatisfactory at any stage. 16. Pollution under Control Certificate is to be obtained from the concerned Statutory Authorities from time to time and the Certificate is to be kept in the Vehicle. 17. Any contravention by the contractor or any person employed by him or acting on his behalf of any of the terms of contract or any of the provisions or any Act. Rules Regulations of Company s standing orders or any rules regarding conduct and discipline as formulated by the Company would be communicated in writing to the contractor or to the person acting on his behalf by General Manager/DGM (Transport). After having been informed of such contravention, if he fails to take appropriate action, Area General Manager has the right to refuse the person responsible for such contravention to enter into the premises of company s establishments till the cause of such contravention is removed or informed in writing of the corrective action taken by the contractor with an assurance about non-recurrences of such contravention. 18. General Manager, BPA is the authority to determine whether there is failure on the part of the contractor regarding providing of Vehicle services. 19. The SCCL is not liable to pay any compensation in case of any accident caused by/to the hired vehicle in respect of such vehicle or driver or cleaner or the third party. The owner and the insurance company are only liable to pay any compensation in case of such accident by/to the hired vehicles. 20. The water tanker deployed shall be as per OEM specifications and no modifications or alterations shall be carried out on the equipment during the contract period. 21. GENERAL TERMS AND CONDITIONS: 1. The contractor should carry out all the repairs/maintenance with their men. 2. The required lubricants and fuel would be to the account of contractor.

6 6 Enq. No. EBP17 O 0035, Dt The contractor should obtain all the statutory licenses required to operate the water TANKER. 4. The contractor should carry out the work as per mines act under SCCL guidance and supervision. 5. During the contract period, the contractor should comply with all the legal and statutory obligations and should thoroughly understand the mines act. 6. The contractor should not engage operators below 18 years of age. 7. Not-withstanding anything mentioned above/herein, the SCCL can engage more than one contractor and reserves the right to terminate the contract with immediate effect without assigning any reasons, if SCCL is of the opinion that the hired equipment is not being worked to its satisfaction and General Manager, SRP shall be the sole Judge in this regard. Due to imposition of any Law/change in Law by Government/Court decision, if the work is to be stopped, the work will be terminated and payments will be made only for the portion of the works executed on the principle of quantum merit. No payments will be made for shifting of equipment or personnel. 8. The performance of the equipment would be monitored continuously from the date of commencement of work and in case the performance is not satisfactory at any stage of the contract, SCCL reserves the right to terminate the contract and/or induct new contractor including Government Agency, duly imposing penalties as per terms and conditions of the order. 10. The contractor has to bear all expenses involved in engaging of water tanker. The contractor will pay wages, as per minimum wages act, allowances including other benefits such as workmen compensation, CMPF, 10% quarterly bonus, profit sharing bonus and any other claims arising out of employment under law and award, to the workers employed by him from any claims by the employees of contractor or by court of law or by any outside agency. a) The contract will remain in force for a period of TWELVE Months from the date of deployment and may be extended beyond the said period at the discretion of SCCL. The contract can be terminated before the expiry of the said period at the discretion of SCCL by giving one month notice to the contractor and without assigning any reason what soever. The contractor can also give one month notice of his intention to terminate the contract, but in such case, security deposit of contractor will be forfeited, irrespective of the reasons for serving of such notice by the contractor. b) During the contract period the contractor, his agent or his employee should keep all necessary documents. GM, SCCL, BPA will have discretion either to terminate the contract or forfeit the SD, or to do both. c) During the contract period, the water tanker should be deployed as per the instructions of concerned authorities. d) The contractor shall execute the work by themselves without subletting or sub-contracting to others. However, as per terms hiring / leasing of equipment is allowed by the contractor from others. STATUTORY RULES:- 1. The contractor should comply with all statutory provisions applicable from time to time. 2. The contractor to whom the work would be allotted should follow all statutory rules, regulations, applicable laws etc. and statutory requirement related to Government licenses, workmen compensation, working hours of the workmen, insurance etc., including minimum wage act, for their personnel/works.

No. EBP17 O 0035, Dt Rules, if any, imposed by local/state/central authorities should also be complied with by the contractor, including working the equipment with audio-visual alarms, operators and other using safety shoes and helmets etc., at their cost. 4. The contractor should indemnify the Company (SCCL) from any liability befalling on SCCL due to any commission/ omission by himself or by his representative or by his employee or by any third party in execution of contract. If the Company (SCCL) is made liable for such claims by the Court or authority, the same should be reimbursed to the Company (SCCL) by the contractor as if the Company (SCCL) has paid on his behalf. 5. During the course of execution of the work, if any accident occurs whether major or minor, the contractor or his supervisory staff should inform the same immediately without any delay to the concerned to take steps in accordance with the mines act and other relevant laws. Otherwise, the contractor or his supervisory staff will be prosecuted for violation of the mines act and other relevant laws. 6. The expenditure incurred for accidents, damages should be borne by the contractor. PAYMENT TERMS: 100% payment will be made by SCCL for the number of TRIPS against the bills duly certified by concerned Authorities on monthly basis. NOTE: 1. In the event of implementation of GST, the supplier shall upload the GST invoice into the GSTN portal (GSTR-1) within the time period as prescribed under GST Act i.e., by 10 th of the following month. Payment against the invoice will be released to the supplier within the time limit prescribed for payment, only if the invoice is uploaded into the GSTN portal within the prescribed time as mentioned above. SECURITY DEPOSIT: 1. The contractor has to submit 2% of the order value towards Security deposit before commencement of the contract otherwise the same will be deducted from the first bill. 2. The SD of the contractor will be returned after faithful execution of the order and on satisfactory completion of work. 3. SD will bear no interest. TAXES AND DUTIES 1. Service Tax: The proposed scope of work attracts service tax. Service tax under the contract would be reimbursed by SCCL at applicable rate from time to time against the Tax Invoice to be issued by the successful bidder as per Tax Rules. 2. All taxes and duties imposed by local, Municipal, Provincial, State or Central authorities and if payable or may become payable during the currency of contract or at a later date will be to the account of contractor only and shall be deemed to have been included in the rates indicated for the work to be executed by the contractor. 3. Income tax deduction will be made as per IT act and as per rules announced by Government authorities, from time to time. a. SERVICE TAX : At present the service tax is b. SWATCH BHARAT CESS : 0.5%. c. KRISHKALYAN CESS : 0.5%.

8 Enq. No. EBP17 O 0035, Dt GST TAX: Note: 1. In the event of a change in the law after signing of contract/agreement, including the introduction of the GST, the supplier shall agree to the revised contract price such that the net impact of the GST gets factored in the price. To this end, the incidence of any benefit of cost reduction, on account of GST, shall be to the account of SCCL. 2. In case any credit, refund or other benefit is denied or delayed to SCCL due to any non-compliance by the Supplier (such as failure to upload the details of the sale on the GSTN portal, failure to pay GST to the Government) or due to non-furnishing or furnishing of incorrect or incomplete documents by the supplier, the supplier would reimburse SCCL the loss to SCCL including, but not limited to, the tax loss, interest and penalty. SETTLEMENT OF DISPUTES: Any dispute or difference of opinion arising between SCCL or its authorized representative and the agency in respect of manner of execution or anything connected with the work, not specially provided for, herein under the specification or in respect of meaning of any clause of the terms and conditions of the tender document shall have to be got decided through Civil Court situated in Kumrambheem Asifabad, Kumrambheem Asifabad District in the state of Telangana. FORCE MAJEURE CONDITIONS The following shall be treated as force majeure conditions. Strikes, lockouts, law and order problem, Natural calamities, War and fire. The force majeure conditions shall be considered subject to documentary evidence. The beginning and the ending of force majeure conditions shall be recorded in the SITE REGISTER maintained by the concerned authorities of SCCL and signed by the contractor and concerned SCCL authorities. Otherwise such a plea of force majeure cannot be agreed. The force majeure conditions are considered for levying penalties. The same force majeure conditions mentioned above are applicable to SCCL and for non-utilization and availability of the machine under above conditions, payment will not be made. EMD: EMD amount Rs. 15, (Rupees Fifteen thousand only). i) No interest will be paid on the EMD. ii) EMD of contractor will be retained as security deposit and will be refunded after faithful execution of the order. a. Forfeiture of EMD: EMD of the contractor will be forfeited in the following circumstances: i) Withdraws the offer during validity / extended validity period. ii) Changes the terms and conditions of the offer during validity/ extended validity period. iii) Does not accept the LOI / order placed within the offer validity period / extended validity period, in accordance with terms & conditions of NIT, offer & negotiations.

No. EBP17 O 0035, Dt iv) Breach of contract during execution, wherever PBG clause is not applicable. v) The information/documents submitted by the bidder proved to be false/ incorrect. 9 OTHERS: 1. The contractor should deploy his equipment within 7 days from the letter of award. If the contractor fails to commence the contract as per the terms and conditions of the letter of award within the stipulated time it will be deemed that the contractor backed out unilaterally. 2. If the contractor fails to fulfill the contractual obligations and the work is stopped due to failure on the part of the contractor, his security deposit amount will be forfeited and also the contract will be terminated. Further, in case the said amounts are not sufficient to meet with the expenditure for engaging other agencies, such additional expenditure including on account of publishing the fresh tender notification and the higher rate, if any payable to another contractor will be deducted from the bills of other contracts, if any, of the defaulted contractor. 3. In case the contractor fails to deploy the water TANKER the company shall have the right to engage other agency for carrying out the work and the differences in the rate of such work if any, will be recovered from the contractor's pending bills, SD amount and also from the bills of other contracts if any, of the defaulted contractor. The contractor should be in possession of the necessary equipment to carry out the above work. The contractor should abide to the terms and conditions and agree for any amendments made from time to time during the period of contract. The contractor further agree to sign an agreement bond within two weeks from the date of receipt of LOI / Order. 7. PENALTIES A) The successful Tenderer should positively deploy the vehicle within the stipulated period as per the order terms and conditions. If he fails to deploy the vehicle within stipulated period, a penalty of Rs.450/- per day will be recovered from the contractor s future bills. The Area GM / Head of Department will take a decision either to penalize the contractor or cancel the order depending on the need & situation (From the date of completion of the lead period and till the deployment of vehicle). B) If the Tractor is not available in any month, payment will be deducted on hourly basis (i.e., rate accepted per hour) for the shortage of hours. C) If the agency fails to provide the Vehicle on any day or if the Vehicle is stopped due to trouble or if any stoppage occurs in the middle of the journey, an immediate substitute is to be provided to the place specified on request. If agency fails to provide the vehicle a penalty of Rs per day will be recovered or cost of engaging a separate vehicle from any other agency whichever is higher will be deducted for each such failure at the discretion of the officer admitting the Bill. 8. PRICE FALL CLAUSE: Bidder shall pass on the benefit to the SCCL on its own, in case the bidder sells same item to any Public or Private sectors within a period of 6 months from the date of receipt of order at price less than the price offered to SCCL with same terms and conditions, otherwise, SCCL reserve its right to recover 1½ times the difference amount from the running bills anywhere in the company for the items delivered and to be delivered. In case the running bills amount is not sufficient, SCCL may give notice to pay the amount, the

10 10 Enq. No. EBP17 O 0035, Dt bidders shall pay the amount within 15 days of receipt of the notice, otherwise the amount will be recovered by invoking the Security Deposit. 9. Risk purchase clause: In case the firm fails to execute the contract on any day and SCCL is forced to order for such work from any other contractor at a higher price, the firm should pay the difference amount to SCCL and also SCCL will have the right to collect liquidated damages from the defaulted firm. 10. The SCCL is not responsible in any way for the safety of the Tractor during the period when the Tractor is at its disposal, but the owner of the Tractor is responsible for the safety of such vehicle. All the safety features are to be equipped with vehicle. 11. The contractor / agency and his workmen should abide by all statutory rules, regulations and acts applicable to mines and also should wear safety gadgets with I.D. Card while on duty. Contractor should issue authorization slips. 12. The SCCL is not liable to pay any compensation in case of any accident caused by/to the hired equipment in respect of such equipment or Operator or cleaner or the third party. The owner and the insurance company are only liable to pay any compensation in case of such accident by/to the hired equipment. 13. Contractor should hand over copies of the valid driving license of the Operators engaged by contractor to the concerned authorities for their security. 14. The firm shall follow: a. Contractor labour (R&A) Act b. Payment of Wages Act c. Minimum Wages Act d. Workmen s Compensation Act e. Coal Mines Provident Funds & Miscellaneous Provisions Act. f. Mines Act and any other Act, Rules or Regulations for Labour may be enacted by the Government or any modification there of or any other Law relating thereto and rules made there under from time to time. Wages, Bonus etc., including CMPF / PF to the personnel employed shall be borne by the firm only duly aforesaid Law / Acts. 15. Sub-contracting is not allowed. The firm shall employ their own persons who receive wages from them. The SCCL shall not accept any claim from their employees whatsoever. 16. The firm shall ensure that their man power do not take part in any Trade Union activity or join in any Trade Union directly or indirectly. 17. The Contract is liable for termination in cases: i. There is continued default by the Contractor for three days and if the concerned officer certifies that the performance of contract is not satisfactory. ii. The performance of Contractor is unsatisfactory at any stage 18. AGREEMENT BOND: The successful firm has to execute an agreement bond on nonjudicial stamp paper worth Rs.100/- (Rupees One hundred only) at his own cost after receipt of order.

11 Enq. No. EBP17 O 0035, Dt V. COMMERCIAL INFORMATION AND OTHER TERMS: 1. OFFER VALIDITY: Bidder shall keep the offer valid for a period of 6 months from the date of opening of the tenders. The offer with less validity period than stipulated is liable for rejection. 2. BIDDER S DETAILS: Bidder shall furnish the following information: a. Name and address, Phone number, Fax number, ID and Name of the contact person. b. Indicate clearly, the constitution of the bidder i.e., Sole Proprietorship, Partnership, limited liability company etc., together with names of proprietor, partners and directors respectively. c. Indicate clearly, if it is a Government company, MSME or SCCL ancillary unit or DGS&D registered firm. A copy of valid documentary proof shall be enclosed. d. Indicate clearly, whether the bidder is a Manufacturer, Dealer or Trader. e. In case of overseas supplies, the country of origin of the materials offered shall be clearly specified. f. Banker s Name and address together with Branch Code and IFSC / RTGS Code. g. Tax registration and other details to the extent applicable along with documentary evidence. : i) TIN Registration No. ii) TOT Registration No. iii) CST Registration. No. iv) Central Excise Registration No. v) Service Tax Registration No. vi) IT PAN Registration No 3. UNSOLICITED DISCOUNT: Suo-moto reduction shall not be considered for evaluation whether given before or after opening of price bids. If any bidder other than lowest offers suo-moto reduction in the prices after opening of the price bid, the offer shall be rejected out rightly. However, if there is a suo-moto reduction from the lowest bidder adjudged on the basis of comparative statement as per price bids before such reduction, the benefit of suo-moto reduction shall be availed of at the time of placement of order on the lowest bidder. SCCL reserves the right not to accept the lowest bid. 4. LAWS APPLICABLE: The contract shall be governed by the Laws of Indian Union for the time being in force. The marking of all Stores supplied must comply with the requirements of

12 12 Enq. No. EBP17 O 0035, Dt Indian Laws relating to the merchandise marks and all the Acts and rules made under such Laws. 5. INDEMNITY: The supplier shall at all times indemnify the Singareni Collieries Co. Ltd., against all claims which may be made in respect of the Stores for infringement of any right reflected by the patent registration of design or trade mark shall take all risk of accidents of damage which causes failure of the supply. 6. ARBITRATION: Normally all disputes should be settled by negotiations between the Company and the concerned parties. In case any dispute/difference is not settled through negotiations, the respective parties can seek remedy by Arbitration by invoking the same within 120 days of dispute. (a) In case of any dispute Sole Arbitrator shall be appointed from the list of 3 judicial officers maintained by SCCL duly following the provisions of Arbitration and conciliation act 1996 as amended from time to time. The list of such names shall be forwarded to the party as and when the party requests for resolving the dispute. Such Judicial Officer as chosen by the party will be appointed by the Chairman & Managing Director to adjudicate the dispute as a Sole Arbitrator. The Arbitrator so appointed shall conduct the proceedings in accordance with the Arbitration & Conciliation Act.1996 as amended from time to time and pass a reasoned award. Both the parties should bear the cost of the arbitration equally. (b) If the Sole Arbitrator appointed by the Chairman & Managing Director of the Singareni Collieries Company Limited is unable to continue as an Arbitrator for any reasons to be recorded in writing and the Chairman & Managing Director of Singareni Collieries Company Limited thinks fir for appointment of new Arbitrator in the place of existing Arbitrator, he is having a power to do so. Such new Arbitrator shall be appointed following the same procedure as contemplated in (a) above. (c) As and when such new Arbitrator is appointed, he can either continue the arbitration proceedings from the stage where the earlier Authority discontinued his proceedings or alternatively the new Arbitrator may start proceedings de novo if the circumstances warrant him to do so. (d) Failing to invoke Arbitration clause within 120 days of dispute, the matter is to be decided by Civil Courts at BHADRADRI KOTHAGUDEM District in Telangana alone and not at any other place. 12. WORK AND PAYMENT DURING ARBITRATION: Work under the contract, shall if reasonable, continue by mutual agreement during the arbitration proceedings, and no payment due to or payable by the Singareni collieries Co. Ltd., will be withheld without reasonable cause and merely on account of the pendency of such proceedings. 13. CORRESPONDENCE AFTER PLACING ORDER:

In case the issues are not settled at GM (MP) level, correspondence shall be made with Director (Operations). In case the issues are not settled at Director (Operations) level also, correspondence shall be made with C&MD. BRIBES & GIFTS: Any Bribe, Commission, gift or advantage given, promised or offered by or on behalf of the Supplier or his partner, agent or servant or any one on his or their behalf to any Officer, Servant, representative or agent of the Singareni Collieries Company Limited, or any person on his or their behalf for obtaining or executing of this or any other contract with Singareni Collieries Co. Ltd., shall in addition to any criminal liability which the Supplier may incur, subject the Supplier in the cancellation of this and all other contracts with and also to payment of any loss of damage resulting from any such cancellation to the like extent as is provided in case cancellation under clauses thereof.
