3 TERMS AND CONDITIONS: 1. Name of The Work: Drilling of New Bore well and providing UPVC casing, at Corporate Training Institute (CTI), TSTRANSCO, Erragadda, Hyderabad. 2. Filling of Schedule: a) While submitting the tender, the schedule should be filled in properly and the rate should be quoted for the complete works involved. b) All the corrections in the schedule should be attested by the tenderer, failing which the tender will be rejected. c) Rates should be quoted as per given specification and make only. The bidder shall be completed in full shape to the satisfactory of officer in charge. All the materials required for finishing of work in full shape is in the scope of bidder only. d) The material for which make is not specified should be supplied with any of standard make. e) The quotations received with other make (wherever specified in the specification) will be rejected. 3. Clearing of doubts: If the Tenderer has any doubt about the meaning of any portion of this specification, he should at once obtain the required clarifications information in writing from the Superintending Engineer/CTI & Enqs./CTI/TSTRANSCO, GTS Colony, Erragadda, Hyderabad from whom he has received the specification, before 15 days from the date of tender opening after which no correspondence will be entertained. Further the bidder shall visit the site & know the quantum of work before submitting the bid. 4. Validity of Tender: a) Tender should be kept valid and open for acceptance for a period of 90 days counted from the date of opening of the Tenders. The period of validity cannot be counted from any due date other than the date of opening of Tenders. The tenderers will not be permitted to withdraw or vary their offers once made within 90 days from the date of opening of the Tenders. b) The Tenderer should clearly super scribed on the sealed tender envelope about the validity of Tender i.e. No. of days. Any offer giving a lesser period of validity other than 90 days is liable to be returned un-opened at the discretion of the TSTRANSCO. 5. The Sealed Tender Must Be With The Following Superscription: a. Specification No. b. Name of work. c. Tender opening date and time d. TS TRANSCO payment terms acceptence. e. Tender is valid for 90 days from the date of opening The tenders without the above details on the envelope will be rejected. The Tender Document duly completed in all respects shall be dropped in the Tender Box kept at the office of the Superintending Engineer (CTI & Enquiries), Corporate Training Institute, TSTRANSCO, GTS Colony, Erragadda, Hyderabad Page 3 of 11

4 6. Work Awarding Criteria: a) The work will be awarded to the lowest bidder. b) TSTRANSCO has got full powers to finalize the tenders and is not bound to accept the lowest tender. TSTRANSCO also reserves the right to cancel or reject all or any Tender(s) without assigning any reason and without being liable to refund the cost of Tender Specification there upon. 7. Deviations from Specification: No deviations from the terms and conditions are allowed. All Tenders shall strictly conform to the conditions notified. Any Tenders not strictly in conformity with the notified conditions are liable to be rejected. 8. Prices: The prices quoted under Schedule of Material are Firm in Rupees and inclusive of all taxes including the costs of all other necessary items not covered in the schedule of material for completing the above work. The estimated value of the works is given in the Schedule-A. The Bidder has to quote his offer prices in Schedule-B. The rates quoted by the tenderers should be firm for complete period of work. Tenders without the signature of the tenderer in the space provided will be rejected. 9. Taxes And Duties: a) The prices accepted are inclusive of all taxes. Any variation up or down in statutory levy or new levy introduced after opening of the Tender/after placing of the order under this specification shall be to the account of the TSTRANSCO, within delivery period. In cases where delivery schedule is not adhered to by the Tenderer and there is upward variation/revision after the agreed delivery date, the Tender/Supplier shall bear the impact of such levies and if there is downward variation/ revision, TSTRANSCO shall be given credit to that extent. b) TSTRANSCO assumes full power to recover the statutory taxes and duties, if levied at a later date, either in full or in part from the securities provided by you against this order. 5 10. Terms Of Delivery: 11. Payment: a) The work should be completed in full shape and to the complete satisfaction of officer in-charge within 30 days from the date of receipt of Purchase Order. b) The contractor shall obtain the dated acknowledgement after completion of the work in full shape. a. 100% Payment will be made based on actual quantities within a period of 10 days after completion of work on submission of the GST invoice in triplicate. b. The payment will be arranged by the Senior Accounts Officer / CTI / TSTRANSCO and payment will be made through crossed cheque only. All Bank Commission charges if any will be to your account only. 12. Deviation Quantities: The rates accepted for individual items of work covered under Schedule-B work portion +hold good upto 25% over the agreement quantities. For the quantities exceeding 25% over and above the agreement quantities, the rate payable will be TSTRANSCO estimate rate (or) accepted rates, whichever is less. 13. Insurance: The prices quotated by the bidder shall include insurance charges for transit, storing and erection risks of materials and insurance for labour as per the labour laws in vogue. Any insurance premium payable shall be borne by the contractor and shall cover the following risks also: a) Full coverage against damage to other people s property b) Coverage against death or injury caused by the contractor s acts or omissions to: (i) (ii) Anyone authorized to be on the site. Third parties who are the site. While doing the insurance for the workmen, the contractors are advised to follow the labour department rules in vogue. Any additional insurance premium if required during the course of work execution shall be borne by the bidder. 14. Supplemental/New Items: The contractor is bound to execute all the supplemental / new items that are found essential incidental and inevitable during execution of main work. The rates for supplemental items shall be derived as per the current SSR rates during the period of execution. Page 5 of 11

STATUTORY RULES ACT AND REGULATIONS: The Tenderer shall indemnify TSTRANSCO against all claims which may be made under the workmen s compensation act or any statutory modification thereof or rules there under or otherwise for in respect of any damage or compensation payable in consequence of any accident or injury sustained by any workmen engaged in the performance of the work relating to this contract. In all cases of personal injury to workmen employed by the tenderer on the work for which the tenderer is liable to pay the compensation medical fee to the medical officer for issue of c - d forms as prescribed. i. The tendered shall indemnify TSTRANSCO against all claims which may be made under the Minimum Wages Act and child labor act or any statutory modification thereof on rules there under or otherwise for in respect of any damages or compensation arising in consequence of any dispute under these acts ii. The contractor shall indemnify the TSTRANSCO against all claims which may be made in respect of any person employed by the tendered on these works towards insurance charges of claims what so ever. iii. The form of contract will be lump sum iv. The rate and prices of the tenderer while submitting the tender shall be firm till the work is completed. The quoted rates shall be binding on the tenderer ever for the award of part work. 16. General Terms & Conditions: i. The tenderer is responsible for any accidents to the personnel labor deployed by him for carrying out the tendered work and damage to the TSTRANSCO property during the period of contract the tenderer is responsible for the loss sustained by TSTRANSO due to damage of the equipment/ lines, personnel or any other agency in TSTRANSCO premises arising out of the carelessness/negligence on part of tenderer or his representatives. ii. The tenderer should follow all statutory rules acts and regulations that are relevant and necessary for carrying out the work. iii. The contract will be liable for termination if the work is not being carried out satisfactorily in accordance with the specified work or if the terms and conditions of the agreement/contract are breached. iv. No child labour shall be employed. v. The tenderer may engage persons who are skilled and capable as required by him for the work vi. TSTRANSCO has got full powers to decide the tenders and is not bound to accept the lowest tender. vii. TSTRANSCO also reserves the right to cancel or reject all or any tender without assigning any reasons and without being liable to refund the cost of tender document there upon. viii. Any other terms and conditions as per TSTRANSCO Rules and Regulations not covered herein will be binding on the tenderer. Page 6 of 11

7 17. Loss /Damages: 18. Penalty: External damages or shortages that are prima facie, the results of rough handling in transit due to defective packing and Internal defects, damages or shortages of any internal parts which cannot ordinarily be detected on a superficial visual examination, though due to bad handling in transit or defective packing or other reasons; in either case, the defective or damaged material should be replaced and the shortages made good by you free of cost to TSTRANSCO. Failure on the part of the delivery and installation of the goods within the stipulated period set out in the contract will attract 0.5% per week of delay or part thereof on the value of the undelivered portion, subject to maximum of 5% of the contract value. If the period of the delay exceeds the specified maximum, the TSTRANSCO reserves the right to terminate the contract. 19. Force Majeure: The supplier will not be liable for forfeiture of performance security, penalty for late delivery or termination for default if and to the extent that the delay in performance or other failure to perform its obligation under the contract in the result of an event of Force Majeure. If a Force Majeure situation arises, the supplier will promptly notify the purchaser in writing of such condition and the cause thereof. Unless otherwise directed by the purchaser in writing, the supplier will continue to perform its obligations under the contract as far as is reasonable practice and will seek all reasonable alternatives means for performance not prevented by Force Majeure event. No price variation will be allowed during the period of Force Majeure. 20. Jurisdiction: All and any disputes of differences arising out of or touching this order will be decided by the Courts or Tribunals in Hyderabad only. No suit or other legal proceedings will be instituted elsewhere. 21. General: a) All general and technical correspondence shall be addressed to the Superintending Engineer (CTI & Enquiries)/ CTI/ TSTRANSCO/Hyderabad. b) Unless otherwise specified, you shall abide by all the terms and conditions specified in this tender specification.
