3 Terms & Conditions Parties Associazione Wonderlake Como via Alessandro Volta 70, Como, Italy C.F P.IVA hereinafter referred to as Lake Como Design Fair and Company name VAT number City Post code Country hereinafter referred to as the Contractual Partner. Lake Como Design Fair and the Contractual Partner hereinafter jointly referred to as the Parties make the following agreement. 1. Presentation Lake Como Design Fair is a new design event from 19th to 23rd September 2018 at Teatro Sociale Como. A snapshot of contemporary design, with an original selection of objects and furniture to discover, collect and use. The items on show are for sale. 2. Selection process, acceptance and authenticity 2.1 Lake Como Design Fair will select individual items from the Contractual Partner s inventory to be sold. The selection process is at the sole discretion of Lake Como Design Fair, which is under no duty to explain or justify its selection process. 2.2 The Contractual Partner warrants that all work submitted for exhibition is authentic. Lake Como Design Fair has the right to request complete details on items submitted. 2.3 By submitting an Application for Lake Como Design Fair, the Contractual Partner declares an intention to be retained as an exhibitor, and authorises the sale of any items in accordance with the conditions of sale provided for in n 6. via Alessandro Volta 70, Como, Italia - C.F P.IVA / 6

4 3. Duration, installation and transport 3.1 The Fair will take place in Teatro Sociale Como, via Vincenzo Bellini 3, Como, Italy. The dates of the fair are: Wednesday 19 September Press preview from 4 pm to 6 pm - Vernissage from 6 pm to 10 pm Thursday 20 September 2018 from 10 am to 7 pm Friday 21 September 2018 from 10 am to 7 pm Saturday 22 September 2018 from 10 am to 7 pm Sunday 23 September 2018 from 10 am to 7 pm 3.2 The installation and dismantling are in the hands of Lake Como Design Fair. It is a mandatory condition for items to be sent by the Contractual Partner, in the period from Thursday 30 August to Friday 07 September 2018, to the warehouse at the following address: Progress Transport Globus srl via Arno 5, Casnate con Bernate (Como), Italy T info@ptgitalia.it Person in charge: Mr Carlo Rumi Opening hours: 8:00-12:00 / 14:00-18:00 The Contractual Partner will organise the pick up from the warehouse from Tuesday 25 September to Friday 28 September The costs of outward bound and return shipping, import tax, and custom duties shall be borne by the Contractual Partner. The project s curators determine the location and the display of the selected items in the exhibition space. Each item shall be securely packed by the Contractual Partner. Lake Como Design Fair will use the same packaging provided by the Contractual Partner to pack the item for its return. 4. Insurance and security 4.1 The Contractual Partner must insure their items against risks of fire, theft, burglary, breakage, leakage and water damage during both outward bound and return shipping. 4.2 Lake Como Design Fair will provide insurance and secure service during transport to and from the warehouse and during the exhibition. 4.3 Lake Como Design Fair will provide insurance for any item at 50% of the price to the public as declared by the Contractual Partner. via Alessandro Volta 70, Como, Italia - C.F P.IVA / 6

5 5. Payment terms and conditions 5.1 The costs of participation are specified on the Application form. The payment is due in full by the deadline for the application, that is July 20th In the event of withdrawal, the payment will be forfeited by the Contractual Partner. 5.2 Payment must be made in EUR into the following bank account: ASSOCIAZIONE WONDERLAKE COMO BANCA INTENSA SANPAOLO IBAN: IT21J BIC/SWIFT: BCITITMM 6. The sale procedure 6.1 Sales are authorised for the 5 days of the event. For security reasons no items may be removed during the time of the fair. Otherwise Lake Como Design Fair offers no guarantee that any item at the Fair will be sold. 6.2 If there is interest in a purchase from a buyer, 20% of the price shall be paid to Lake Como Design Fair by the buyer at the time of the exhibition. Lake Como Design Fair shall provide the Contractual Partner with the details of the interested buyer. The balance of 80% shall be paid to the Contractual Partner by the buyer directly. Lake Como Design Fair shall give the buyer a receipt for the 20% paid and the details of the Contractual Partner for the purposes of concluding the sale and settling the balance. 6.3 Lake Como Design Fair commits itself to notifying the Contracting Partner of all clients interested in items. 7. Authorisation for use of images, advertising and documentation 7.1 The Contractual Partner authorises Lake Como Design Fair to use all information and visual images of the works and products, free of charge, whether sent with the Application or subsequently, for the communication of information on the Lake Como Design Fair in all media (internet, press, television, etc.) as well as for administrative, statistical and promotional purposes. 7.2 The Contractual Partner also authorises Lake Como Design Fair to, free of charge, photograph/film items and use images in all media at the time the report or filming is produced. Photographic images shall be used only for the purposes of Lake Como Design Fair s internal and external, national and international communications, for training purposes, for promotional needs or for informing the public on its activities. Lake Como Design Fair shall retain sole ownership and reproduction rights of all images and video documentation taken during the Fair, as well as for following the Fair, for an undetermined period. via Alessandro Volta 70, Como, Italia - C.F P.IVA / 6

6 7.3 The Contractual Partner represents that it has the required authorisation from the copyright owner and any other interested parties in relation to any works exhibited at Lake Como Design Fair. This authorisation also related to the right afforded to Lake Como Design Fair to use, reproduce and distribute, in full or in part, through any media and under the above-mentioned conditions, any observations Como Design Fair takes from duly commissioned views, in its internal and its external communications. Such authorisation shall be valid without limit of time and may be used for subsequent events of Lake Como Design Fair. THE AGREEMENT By signing and submitting this application, the undersigned acknowledges that he has received and read a copy of the terms and conditions, and agrees to the same.
