1 Corporation Bank Information Technology Division, Head Office, Mangalore Corrigendum Tender No. 16/ dated Supply,Installation,Upgradation & Maintenance of Microsoft Software Licenses under Enterprise Agreement The change in the specifications, Terms & Conditions are as under: Sl. No. 1 EMD Earnest Money Deposit (EMD): Bidders are required to give EMD by way of a Demand Draft/Bank Guarantee valid for 180 days from the due date of the tender for Rs.60,00, (Rupees Sixty lakhs only) as Earnest money Deposit (EMD) along with their Offer. Offers made without E.M.D. will be summarily rejected. (For each alternative Offer, a separate EMD must be submitted). The format for the Bank Guarantee is attached to this tender document (Annexure J). The Bank reserves the right to ask for extention of BG/furnishing a fresh BG to cover the period until the execution of all the ordered supply of goods and services Particulars Existing Clause/Terms/Specification Modified Clause/Terms/Specification 2 Instruction to Bidder - Performance Guarantee is complete Successful Bidder will submit a performance Bank Guarantee as per prescribed proforma equivalent to 25% of the order value (installation/upgradation) for the contract period. The Specimen of PBG is given in Annexure-R. Earnest Money Deposit (EMD): Bidders are required to give EMD by way of a Demand Draft/Bank Guarantee valid for 180 days from the due date of the tender for Rs.25,00, (Rupees Twenty Five lakhs only) as Earnest money Deposit (EMD) along with their Offer. Offers made without E.M.D. will be summarily rejected. (For each alternative Offer, a separate EMD must be submitted). The format for the Bank Guarantee is attached to this tender document (Annexure J). The Bank reserves the right to ask for extention of BG/furnishing a fresh BG to cover the period until the execution of all the ordered supply of goods and services is complete Successful Bidder will submit a performance Bank Guarantee as per prescribed proforma equivalent to 10% of the total contract value valid for the contract period. The Specimen of PBG is given in Annexure-R.

2 3 Annexure D: Payment Terms a. Payment towards SOFTWARE Assurance: The total cost of the Software [Microsoft products] will be paid in 3 Years as per commercial offer annexure-h2 as under: 75% of the first year cost shall be made on delivery of the software and licenses and updation of licenses in the Microsoft Volume Licensing Portal. The balance of 25% amount will be payable on production of Performance Bank Guarantee (PBG) valid for the contract period as mentioned in this tender. The amount will be paid in stages depending upon the progress in implementation and submission of installation reports to the Bank. The PBG shall be as per the format provided in Annexure-R of the Tender. For the 2nd year and 3rd year, the payment in respect of EA will be made 100% in advance at the beginning of each year. b. Payments towards supply of new products under Enterprise Agreement: Software license value will be paid on delivery of licenses. i.e., against Proof of Delivery (POD) at ITD, HO and updation of licenses in the Microsoft Volume Licensing Portal. c. Payments towards Implementation, Support & Maintenance: Payment of items as mentioned in Annexure H2: Table C (Implementation, Support & Maintenance) will be done after the respective activity is completed. A formal sign-off should be taken from the Bank as proof of completion for the respective activity. Support charges: The support charges will be paid Quarterly in arrears against submission of Invoice to the Bank at ITD,HO. a. 3 4 Pricing & Payments The price offered to the Bank must be in Indian Rupees, inclusive of all prevailing taxes and duties such as Excise, Sales, Customs etc., packing, forwarding, import and custom clearance, transportation to respective sites, insurance till delivery at sites, Octroi / Entry tax, if applicable, will be paid / reimbursed by the Bank at actuals on production of original payment receipt. No price increase on account of changes in tax structure in future shall be permitted. From the date of placing the order till the delivery of the licenses, if any changes are brought in the tax structure by the Government resulting in reduction of the cost of the systems, the benefit arising out of such reduction shall be passed on to the Bank. The scope is explained in Annexure B under heading Support and Maintenance Section.The bidder have to provide break up of this cost engineer wise along with commercial bid separately as annexure. This should be submitted without fail. 7 Note: In respect of Slno 1 to 5, one time implementation charges need to be mentioned which can be completed any time during the 3 year period in agreement with the Bank. However, in respect of Sl.no-6 the support charges for 3 years should be mentioned separately year-wise as per the above table. Note: a. We confirm that the Bank is not liable to pay any other charges / fees / outflow of whatsoever nature it be on account of rendering these services. 4. We confirm that the Bank need not pay any amount to the Bidder towards any tools / software utilized for rendering the services, except for the commercial quoted herein above. 5. We confirm that the above commercial offer is in full & unconditional, and not subject to any conditions / qualifications / suggestions / deviations. 6. We confirm that the above Pricing is inclusive of applicable taxes, and in the last column the taxes applicable as on date is indicated as a percentage %. 7. We understand that the above-mentioned figure is for price-comparison purpose only and the Bank will pay on actuals, taking into account the actual products & licenses ordered and the services availed by the Bank from time to time. 8. We are agreeable to the payment terms specified in the Tender and to provide the services mentioned in the Tender as per the above rates specified. 9. We understand that any statement or request for deviation in either Technical specifications or Terms & Conditions specified in the Tender should not form part of Commercial Offer. In case if any commercial offers contain such requests or submissions the offer will be summarily rejected without any further process or communication in this regard. Any commercial offer, which is conditional and /or qualified or subjected to suggestions, will also be summarily rejected.
