Order description The order involves the purchase of raw materials needed to carry out industrial research and development work on the development of a new collection of ceramic tiles which are part of the ceramic mass or are responsible for the tile color and correct pattern. The subject of this inquiry involves the acquisition of one type of raw material for glazing engobe in total kg, which meet the technical requirements of Ordering Party indicated below.

Term of the contract Planned term of execution of the contract: till Conditions for participation in the proceedings together with a description of their fulfillment 1. Contractor shall hale the power to operate in accordance with the order. 2. Contractor should be in the economic situation ensuring the implementation of the contract. 3. The Contractor shall have the technical capability to perform the contract. 4. Contractor should have the necessary knowledge and experience to perform the contract. The condition will be considered met if the Contractor demonstrates the execution of at least 2 similar deliveries over the past 3 years before the deadline for submission of bids, and if the business activity period is shorter - within this period. Similar supplies should be understood as a one-time delivery of a minimum of kg - of engobe raw material. To confirm the fulfillment of the above condition Contractor shall submit a statement according to Annex 2. Reasons for exclusion of contractors from the procedure Ordering Party will exclude from the proceedings entities linked personally or by capital with the Ordering Party. Capital or personal connections shall mean the interactions between the Ordering Party or the persons authorized to enter into commitments on behalf of the Ordering Party or persons

3 performing on behalf of the Ordering Party the activities related to the preparation and proceedings for selecting the contractor and the contractor, in particular: Participation in the company as a partner or partnership, Possession of at least 10% of shares, Performance of the function of a member of the supervisory or management body, proxy, plenipotentiary, Being married, in consanguinity or affinity in a straight line, in consanguinity or affinity of the second degree in the collateral line or by adoption, custody or guardianship. In confirmation of the absence of evidence for exclusion from the proceedings the contractor is obliged to submit a declaration pursuant to Annex 3. Tender validity Contractor shall remain bound by the offer for 60 days. The period begins with the deadline for submitting bids. The Ordering Party reserves the right to request an extension of the bid validity. No consent to the extension of this deadline will result in rejection of the offer. Date and place of bid submission Bids must be submitted no later than the date of in person or by mail (completed tender form with annexes, signed by the person authorized to represent) to the address of the Ordering Party: Ceramika Paradyż Sp. z o. o., ul. Piotrkowska 61, Opoczno, by hrs. in electronic form (scan of the completed tender form with annexes signed by the person authorized to represent) to the address joleksik@paradyz.com.pl with the title of the message, "Tender for raw materials - engobe ROP WŁ" by hrs. Submission of a tender is deemed to be effective if the complete offer is received by the Ordering Party or on box of the above address within the period specified in this paragraph. Date of postmark is not decisive for effective submission of the offer. The tender form is attached as Annex 1. Tender evaluation criteria and description of the method of their calculation The evaluation criteria are: Net price for 1 kilogram of raw material - 100%. The Ordering Party will evaluate the bids based on the result of the accumulated number of points calculated on the basis of the above criteria and their set weight. The number of points for each criterion after summing up will provide the final number of points awarded to the tender. The tender which obtains the highest final amount of points will be considered the best.

4 Price proposed by the Contractor should be given in the tender as a gross price and broken down into the net price and VAT, expressed in PLN. If you specify the price in the offer in a currency other than PLN, the price will be converted into PLN at the average exchange rate published by the National Polish Bank on the date of posting this inquiry on the website of the Ordering Party. The tender price (both gross and net price) should include all the costs necessary for the execution of the Contract. To ensure equality of domestic and foreign bidders, price being assessed as a criterion for evaluating an offer will be net price (excluding VAT) specified in the tender, expressed in PLN ( if necessary after conversion of the price shown in foreign currency according to the rules described above). In making the calculation of prices all the elements, making up the execution of the Contract, should be taken into account. In the offer the price should be presented according to the rules resulting from the tender form. Points for the criterion of "Net price of raw material" will be awarded for the unit net price specified in the tender, according to the following formula: Lowest offered net price for 1 kilogram of raw material Amount of points = x 100 Net price for 1 kilogram of raw material in the analyzed offer The amount of points for each criterion after summing up will provide the final number of points granted to the tender. The tender with the highest final number of points will be considered the most advantageous one. Conditions for agreement change The Ordering Party reserves the right to change the terms of the agreement signed with the Contractor as a result of the proceedings, if one of the following conditions is met: a) change is justified by the circumstances which the Ordering Party acting with due diligence could not have foreseen; b) change will be beneficial for the Ordering Party; Changes may relate in particular to order delivery dates, payment terms, among other things in the case of the conditions justifying such change, caused by adverse weather conditions for the order implementation, force majeure, changes in the order delivery dates due to the delay of the contractor or due to delays of other contractors by which execution of orders is a prerequisite for the implementation of this order as well as other causes which the contracting authority could not have foreseen. Other information Ordering Party does not accept partial or variant bids. Submitting a partial offer (not including the full range of the contract) or a variant offer results in the exclusion from participation in the proceedings. Tenders will be opened on , at

5 The Contracting Authority reserves the right to leave without consideration the tender which is not in accordance with the requirements of this inquiry i.e. which does not meet the formal or substantive requirements. In the case of the above circumstances bidders shall not be entitled to claim against the Ordering Party. The Ordering Party informs that the proceeding is not based on the law of 29 January Public Procurement Law, so it is not possible to use the remedies provided in this Act. In the course of examination and evaluation of tenders the Contracting Authority reserves the right to request the Bidder to complete missing information, correct errors or explain the contents of the submitted tenders. For these purposes, the Ordering Party determines the scope of required corrections and / or additions and the deadline for their accomplishment. Failure to meet this deadline will result in rejection of the tender. The Ordering Party reserves the right to withdraw from the tendering procedure, cancel the tender procedure, to recognize that the tender procedure did not give results. Opoczno,
