1 HINDUSTAN SHIPYARD LIMITED:: GANDHIGRAM :: VISAKHAPATNAM NOTICE INVITING TENDER Sealed Tenders from reputed and experienced parties are invited in two-bid system for CPP Pitch Trimmers to be Overhauled/Renewed and prove for satisfactory operation on INS MAGAR 1 Tender Number 20 / 2935 / CPP Pitch Trimmers / 007 / dated 28 June Description of work CPP Pitch Trimmers to be Overhauled/Renewed and prove for satisfactory operation on INS MAGAR 3 Due date for submission of bid Up to 14:00 hrs. On 05 July, Date of opening of T- bid 1500 hrs. On 05 July, Opening of Price bid Price bids of technically qualified parties after technical evaluation would be opened under advance intimation. 6 Bid validity 180 days from the date of opening of Technical Bid. 7 Guarantee Workmanship shall be guaranteed for a period of 12 months from the date of completion of work. 8 Experience Documentary proof of execution of similar works in Ship Building/Ship repairs to be furnished. Details of manpower and machinery to be indicated. 9 Period of completion 10 days. 10 Taxes and Duties Rate should be quoted exclusive of taxes and duties and indicate separately applicable taxes and duties. L1 shall be evaluated on all inclusive basis. 11 Payment terms 100% payment within 30 days against completion of SoW. 12 Essential requirements Valid PF and ESI on the firm s name are essential and a copy of the same shall be submitted along with the techno commercial bid. Following documents are to be submitted along with the invoice in support of PF and ESI remmitance, (a) Combined challan. (b) EPFO payment proof (c) Electronic Challan cum Return (ECR) (d) ESIC: Monthly Contribution (Transaction Details) (e) Contribution history 1 of 13

2 13 Performance Bank Guarantee Performance Bank guarantee for an amount equivalent to 10% of the order value shall be submitted as per the prescribed format from Nationalized/ Scheduled Bank within 15 days from the date of confirmatory order. The validity of the PBG shall be for one year from the date of completion. Performance Bank Guarantee/Security Deposit should be submitted by the suppliers/contractors within the time stipulated in the contract/order. In case, any supplier/contractor delays the submission of PBG beyond the time stipulated in the contract/order, interest will be charged for such delay at the prevailing rate which is charged by our bankers on Cash Credit. 14 Rejection Criteria Offers received without the following will be rejected: 1) Valid PF and ESI Registration 15. Quotation should be submitted as per PRICE FROMAT enclosed. 16. HSL at its discretion may engage multiple sub-contractors to maintain the repair schedule. Established L1 rate will be offered to the bidders in chronological ranking L2, L3, L and individual purchase order will be issued. 17. L.D will be levied at a rate of 0.5% per week or part thereof, for the delay subject to a maximum of 10% of the order value. 18. Taxes and Duties: 1) Changes or Amendment or Introduction of any Law/Act. In the event of introduction of any new legislation like Goods & Service Tax Act (GST) or any change or amendment or enforcement of any Act or Law, rules or regulations of Government of India or State Government then the applicable taxes/duties would be as per the new legislation / Statutory Act/Law. Any reduction in incidence of tax on inputs, consumables, raw materials, capital goods or services due to introduction of Goods and Service Tax, the benefit of reduction in tax incidence shall be passed to the principal/employer/buyer. Any benefit of input tax credit or new credits arises as result of introduction of GST shall be passed on to the principal/employer/buyer. The above benefits shall be passed on to the principal/employer/buyer in the form of reduction in the contract/award price. To this extent the contract price will vary and it will be decreased 2) Bidders are advised to indicate all taxes applicable in terms of percentage for services in the Technical bid. 2 of 13

3 19. Before allocating the work, the party s performance in all other divisions of HSL (if applicable) will be reviewed. In case any adverse remarks are reported from any of the divisions, such parties will not be considered for allocation of work. Also the output being produced by the party will be assessed by the Works Allocation Committee and the overall performance will be reviewed by the Committee. 20. In case of poor performance and if scheduled targets are not met, work will be withdrawn and allotted to a suitable contractor. 21. Contractor is required to cover all the workmen under them under ESI & EPF Acts. All these workmen are to be covered under separate Code Nos. of the Contractor. Contractor should also ensure their own PF & ESI Code while entering into the contract. Contractor is solely responsible for compensation, if any, in case of untoward incident take place. 22. Safety and cleanliness: Fire and safety precautions should be followed strictly and necessary PPE should be provided to work men. Working premises should maintain neat and clean, failing which Rs.1000/- shall be collected as fine and after three occasions disciplinary action will be initiated. 23. Facility for transportation like Trailer, Fork lift, Cranes will be provided by HSL as per the prescribed procedure for shifting & lifting of materials. 24. Bidders may note that HSL reserves right to accept or reject any offer or cancel the whole process without assigning any reasons to the bidders what so ever. 25. Tenderers shall accept all terms and conditions of tender enquiry in TOTO and the same shall be clearly indicated in technical bid. 26. Acceptance Format Matrix should be filled up and attached with techno-commercial bid as marks of acceptance of NIT/SOTR/STAC. In case of non-receipt of filled in acceptance format matrix, it would be presumed that you have accepted all our terms& conditions as per HSL tender until & unless deviation is specially mentioned in offer. 27. In case the tender conditions as above are not met or sufficient information is not provided / certified or any exceptional conditions introduced then the offers of such parties are liable for rejection. 28. For any discrepancy between NIT (Notice Inviting Tender) and STAC, NIT may be taken as final. 29. 5 ANNEXURE-II TERMS AND CONDITIONS 1. GENERAL: 1.1 Contractors may submit their Tenders on their own forms as per the enclosed formats. The tenders should be in English Language only. 1.2 Tenders posted or submitted after the due dates are considered as LATE TENDERS and are liable for rejection. Tenders posted before the due date but received after the due dates are considered as DELAYED TENDERS and are liable for rejection. 1.3 Each page of the Tender must be numbered consecutively and bear the Tender number and signature of the Contractors. 1.4 Corrections and alterations in the Tenders, if any shall be initialed by the Contractor without fail 1.5 Only the authorized representative(s) of the Contractors who have submitted their Tenders are eligible to be present at the time of opening of Tenders and they may if they so desire, note down the particulars of the other Tenders in the manner directed by the officer who presides over the said Tender opening. 1.6 Contractors or their representative(s) who failed to attend the Tender Opening on the specified date(s) are not entitled to have the particulars of the other Tenders at a later date(s). 1.7 Non-adherence to any of our conditions may render your quotation liable to be rejected. 2. TAXES & DUTIES: The rates quotes shall be exclusive of all taxes and duties. Bidders are requested to indicate the % of taxes and duties applicable on the rates quoted in their techno commercial bid and as well as in price bid. Service Tax : extra Other taxes (if any): extra 3. SERVICE TAX: (a) The Bidder should quote the applicable Service Tax, clearly indicating the rate and the amount of Service Tax included in the bid and the description of the respective service (as per Service Tax rules) under which the Service Tax is payable. (b) In case the Services Tax is not quoted explicitly in the offer by the Bidder, the offer will be considered as inclusive of all liabilities of Service Tax. HSL will not entertain any future claim in respect of Service Tax against such offers. (c) In case, the quoted information related to various taxes and duties subsequently proves wrong, incorrect or misleading:- (i) HSL will have no liability to reimburse the difference in the duty/tax, if the finally assessed amount is on the higher side. 5 of 13 SIGNATURE OF BIDDER WITH SEAL AND DATE

6 (ii) HSL will have the right to recover the difference in case the rate of duty/tax finally assessed is on the lower side. (d) The Service Provider should have a valid Service Tax registration certificate with the concerned authorities of Service Tax department and a copy of such registration certificate should be submitted along with the offer. In case the registration certificate is not available at the time of submission of offer, an undertaking should be furnished for submission of copy of requisite Service Tax registration certificate along with the first invoice under the contract. 4. HSL reserves the right to increase/decrease the scope of work without any limitation whatsoever or omits items on award extra work to this contract. The contractor is bound to carry out the work at the rate quoted in the tender and as per the same terms and conditions contained therein. 5. If the bidders who are not registered with HSL, they are required to register themselves by downloading the registration form from HSL web site before awarding the job as the payment system shall be made through ERP. 6. In case the work is abandoned by the sub-contractor or terminated by HSL for reasons of slow progress of work or bad quality of work or any other reason attributed to the contractor, the total work shall be completed by HSL and consequential additional cost, if any, will be recovered from the sub-contractor. 7. Bids determined to be responsive will be checked by the Employer for any arithmetic error. Errors will be corrected by Employer as follows: a) Where there is a discrepancy between the rates in figures and in words, the rates in words will govern. b) Where there is a discrepancy between the unit rate and the line item total resulting from multiplying the unit rate by the quantity, the unit rate as quoted will govern. 8. In case contractor fails to quote for a defect list item in view of lack of expertise/facility or otherwise, their bid will be loaded by the amount quoted by the highest bidder for that particular Defect List item for evaluating the L1 status and job shall be awarded on overall L1 basis until otherwise specified in tender document. 9. The rates quoted by the contractor shall not subject to any revision after award of work. No clause for escalation shall be admissible in the contract on account of cost of materials or for labour charges or for any other reasons. 10. Liquidated Damages (LD) will be levied at a rate of 0.5 % per week or part thereof, for the delay subject to a maximum of 10% of the order value. 11. The firm/bidder winning the contract shall sign an agreement with HSL for FALL CLAUSE accordingly during the contract period firm/bidder cannot offer the item/s to anyone else for rates lower than the rates quoted or the same lowest rates shall be applicable to the contract with HSL. (Applicable in case of Rate Contracts only) 12. The contractor is expected to mobilize and employ sufficient resources and manpower to achieve the laid down targets for completion of this work. The contract is liable to be terminated if the pace of the execution of the contract is found to be slow or workmanship at any stage is found to be substandard in stipulated time. 13. Sub-letting of the job under any circumstances is not allowed. 6 of 13

7 14. The work shall be executed as per the schedule drawn by the Shipyard. No claim for idle labour or delay in completion of work shall be entertained. 15. The entire safety of the workmen and equipment is the responsibility of the contractor. Necessary safety gadgets, viz. helmets, safety shoes, rubber / leather hand gloves, sleeves, aprons, working dress, etc. shall be arranged by the contractor by themselves to their workmen / supervisors and ensure that they should wear the same without fail. 16. All tools and tackles, equipment s, testing instruments, etc., as required to carry out the job are to be arranged by the contractor. Unless otherwise specified in the tender, Shore crane services and power supply will be provided for the works undertaken inside HSL. However, in case of failure of power supply, the idle labour hours will be to contractor's account. 17. The Contractor should ensure possessing ESI / PF code numbers and furnish required records to that effect to issue entry passes to their employees. 18. Required staging to carry out the job is under contractor s scope and materials required for staging will be supplied by HSL free of cost and rigging of staging & removal after repairs/renewals & handing over to Rigging Dept. shall be the responsibility of contractor. Materials required for temporary supports will be supplied by HSL at free of cost. However, in extra- ordinary areas (viz., Hopper, Heli deck and areas of 8 mts. and above heights from working/floor level) where the normal staging is not possible, HSL shall arrange the staging on specific request by the contractor. 19. Required consumables like industrial gases and electrodes will be given free of cost, for the quantum of work involved. Any usage in excess of the normal quantity will be recovered from the bills. Contractors are advised to preserve the electrodes properly for an effective use and shall not cause any wastage of the gases. All other unused materials and other consumables and empty cylinders shall be returned back to our stores/department/work shop after usage. 20. The work shall not be considered complete and taken over, unless a suitable completion certificate has been issued by the ship staff/hsl Rep. 21. Contractor shall give guarantee of 12 months from the date of completion for the services rendered and material defects regarding items repaired under the contract. Any defects noticed during this guarantee period due to defective workmanship or material shall be rectified free of cost by the contractor to the requirements of the specifications. 22. The HSL shall have the right to insist on replacement of contractor s employees if the performance of the employees is not satisfactory. The contractor is entirely responsible for the proper and timely execution of the work. The contractor employees are to be highly skilled and certified. 23. Payment shall be made against completion of work within 30days from date of submission of invoice in quadruplicate (4-Copies) along with work completion certification duly signed by HSL Production officer along with other statutory clearances of PF/ESI from Workmen cell of HSL. 24. As HSL is a Govt. Public Sector Unit, no advance payment will be made as per company rules. Payment will be made on actual work done as per work done certificate duly signed by Production officers. 25. In case passes are issued to any contractor 7 of 13 for working beyond normal working in

8 any day, it is the responsibility of the contractor to intimate Chief Security officer and the staff, incase the firm is not working/working in reduced nos. on these days. 26. All correspondence are to be addressed to the General Manager, Dry dock & Ship Repairs Division, Hindustan Shipyard Limited, Gandhigram,Visakhapatnam (Fax No ) on any working day during office hours (i.e to 1700hrs). 27. The Contractor shall ensure that the labour employed by them abides by all labour and security regulations imposed by the HSL and does not in any manner compromise government regulations and security of HSL property. If any employee engaged by the Contractor met with an accident during and in the course of employment the contractor will pay compensation as per the provisions of the Workmen's Compensation act, 1923 and in its connection any other statutory Act/law/amendment in force and to indemnify HSL in case it has to pay certain amounts to the statutory authorities on contractor behalf as the Principal Employer. 28. Labour above 60 years and below 18 years of age should not to be employed by contractor to carry out work, since they cannot be covered by insurance policies and labour act. 29. Negotiations shall be held with the L-1 party. HSL reserves the right to cancel/increase or decrease/award the job to more than one party, depending on quantum of job. At the discretion of HSL, work may be distributed to more than one party who accepts L-1 rates. Further, HSL reserves the right to cancel the order/works contract placed with contractor at any time at any stage without showing any reason. 30. To indemnify HSL, by the contractor for any liabilities / taxes / levies / dues payable to the statutory authorities on contractor s firm behalf, HSL as Principal Employer. 31. The Contractor to ensure complying of all security and safety regulations of HSL. Any damaged caused to HSL property during process of execution of work, the same is to be rectified/repaired at free of cost to HSL to restore to original condition. 32. The entire safety of the workmen and equipment is the responsibility of the contractor. 33. Necessary safety gadgets viz. helmets, safety shoes, rubber / leather hand gloves, sleeves, aprons, working dress, etc. shall be arranged by the contractor by themselves to their workmen / supervisors and ensure that they should wear the same without fail. 34. The contractor is to ensure that labour be secured to a strong point with long rope acting as a safety belt/life line while working at site wherein the risk of fall exists. Where no suitable strong support exists, may specifically be constructed / fabricated prior to commencement of work. 35. If any accident occurs during the execution of the work, HSL is not liable for such incidents and the contractor shall stand responsible for the same. GM (SR&SB) is to be informed as soon as any accident occurs. 36. In case of an accident, contractor shall pay compensation as per the provisions of the workmen s Compensation Act 1923 or Payment of Wages Act 1936 and in its connection any other statutory Act/law/amendment in force and to indemnify HSL in case you have to pay certain amounts to the statutory authorities on firm behalf as the Principal Employer. 9 37. Compensation to the family of the deceased on account of death of the labour will be contractor s liability. It is to ensure that the labour employed abides by all labour and security regulations imposed by HSL and does not in any manner compromise government regulations and security of HSL property. 38. The contractor while executing the work in HSL should be governed by official secret act and also will be subject to security check as per rules and regulations in force from time to time. 39. It is the responsibility of contractor to maintain cleanliness of the working area and the same is to be cleared of any rubbish prior to close of days work. 40. Special permission is to be obtained to undertake hot work beyond 1800 hrs and during Sundays/holidays in HSL Drydock. In case passes are issued to any contractor for working beyond normal working in any day, it is the responsibility of the contractor to intimate Chief Security officer and the staff, in case the firm is not working/working in reduced nos. on these days. 41. CORRUPT PRACTICES: The Contractors shall not offer or give or agree to give any person in the employment of the HSL or working under the orders of the HSL any gift or consideration of any kind as an inducement or reward for doing or forbearing to do or for having done or forborne to do any act in relation to the obtaining or execution of the contract or any other contract with HSL or for showing any favour for forbearance to show dis favour to any person in relation to the contract or any other contract with HSL. Any breach of the aforesaid condition by the Contractors, or any one employed by them or acting on their behalf whether with or without the knowledge of the Contractors or the commission of any offence by the contractors or by any one employed by them or acting on their behalf under Chapter-IX of the Indian Penal Code 1860 or the Prevention or Corruption Act or any other Act enacted for the prevention of corruption by Public Servants shall entitle HSL to cancel the contract and all or any other contracts with the Contractors and to recover from the Contractors the amount of any loss arising from such cancellation in accordance with the provision of clause. 42. APPROPRIATION: Whenever under the contract any sum of money is recoverable from and payable by the contractor, HSL shall be entitled to recover such sum by appropriating in part or whole by deducting any sum then due or which at any time thereafter may become due to the contractor in this or any other contract. Should this sum be not sufficient to cover the full amount recoverable the contractor shall pay to HSL on demand the remaining balance due. 43. ARBITRATION: All disputes between the parties shall be referred to the Sole Arbitration of the Chairman, Hindustan Shipyard Ltd., or a person to be appointed by the Chairman/Managing Director and if the Arbitrator so appointed resigns his appointment or vacates his office or is unable to and unwilling to act due to any reason whatsoever, the authority appointing him may appoint a new Arbitrator to act in his place. The Arbitrator so appointed may from time to time with the consent of the parties enlarge the period of time for making and publishing the award. The Arbitrator shall on all matters referred to him indicate his SIGNATURE OF BIDDER WITH SEAL AND DATE 9 of 13

10 findings along with the sums awarded separately on each individual item of dispute and the venue of Arbitration in all cases, subject to the convenience of the Arbitrator, be Visakhapatnam only. The award of the Arbitrator shall be final and binding subject to the provisions of the Indian Arbitration Act, Or any other reenactment thereof as may be in force at the time of such arbitration commenced. The place of arbitration shall be Visakhapatnam and the proceedings shall be in ENGLISH only. 44. JURISDICTION: The enforcement of the term of the contract as well as all the transactions entered into by the Contractors, with the Purchasers shall be deemed to have taken place within the jurisdiction of Visakhapatnam where Hindustan Shipyard is situated and any cause of action arising in the due performance or breach of contract by either of the parties hereto shall be deemed to have arisen within the jurisdiction of Visakhapatnam notwithstanding the residence or place of the Purchasers or Contractor. 45. LAWS APPLICABLE: Execution of work(s) covered by this Tender Schedule shall be governed by all the Laws of Government of India including the labour laws in force. You shall undertake to fulfill all claims that may become payable under these previsions. 46. ESTOPPEL: In case any term(s) specified in this Tender Schedule are not acceptable, the Contractors shall make a positive statement to that effect in their Tenders. And where no such mention is made, it shall be construed as acquiescence on the part of the Contractors to execute the work(s) for which the Tenders are submitted in strict accordance with the terms and conditions specified in the Tender Schedule. And where an order is placed on the basis of such Tenders, such order shall be deemed to be the concluded contract between HSL and Contractors and the Contractors are bound to or execute the work(s) covered by such contract. Failure on the part of the Contractors to execute the contract so concluded, without prejudice to the other rights available to the Purchasers, shall make the Contractors liable under the terms and conditions of this Tender Schedule. 47. VALIDITY OF THE CONTRACT: Please note that the rates quoted by the bidder should be firm and remain fixed without any variation till successful completion of the works allocated during the operation of the contract. 48. FORCE MAJEURE: Un-forcible causes beyond the control and without any fault or negligence of the party which may affect delay or failure to fulfill this agreement/contract partially or wholly shall be regarded as force majeure and shall include causes of such as acts of god, war, fires, floods, epidemics, quarantines, government restrictions, heavy rains, storms, typhoons, etc. The occurrence of case of force majeure shall be communicated by the party immediately, not later than TWO DAYS, by cable/fax and confirmed by registered letter stating the nature of occurrence.
