PHL/MKT/4817/79 FOR LEASE OF HELICOPTERS The following tender term is amended and should be read as below: Existing Terms NIT, Point 8, Page No.5 - Performance Security 10% of the one year contract value will be deposited by the successful bidder as a Performance Security before signing of the agreement, valid for 120 days beyond the contract completion period. Bid Security/ Earnest Money Deposit (EMD) already deposited by the successful bidder will be adjusted against the above amount of Performance Security. Performance Security may be paid in the form of Bank Guarantee Proforma as per Annexure-T10 in favor of Pawan Hans Limited from any of the following categories of banks : a. Any scheduled bank incorporated in India, bank guarantee issued by foreign branches/ foreign offices of such scheduled banks be counter guaranteed by the Indian branch of any scheduled bank incorporated in India. OR b. Any branch of an international bank situated in India and registered with Reserve Bank of India as Revised Terms 10% of the one year contract value will be deposited by the successful bidder as a Performance Security before signing of the lease agreement and kept valid for 60 days beyond the date of delivery of last helicopter in India and its acceptance as per DGCA regulations. The Performance Security of unsuccessful bidder will be returned thereafter. Bid Security/ Earnest Money Deposit (EMD) already deposited by the successful bidder will be adjusted against the above amount of Performance Security. Performance Security may be paid in the form of Bank Guarantee Proforma as per Annexure-T10 in favor of Pawan Hans Limited from any of the following categories of banks: a. Any scheduled bank incorporated in India, bank guarantee issued by foreign branches/ foreign offices of such scheduled banks be counter guaranteed by the Indian branch of any scheduled bank incorporated in India. OR b. Any branch of an international bank situated in India and registered with Reserve Bank of India as

Any foreign bank which is not a scheduled bank in India provided the Bank Guarantee issued by such bank is counter guaranteed by any branch situated in India of any scheduled bank incorporated in India. Notice Inviting Tender (NIT), Point-8, page No.6 Delivery Schedule of offered Helicopters Delivery schedule of helicopters are as follows: Category - A : 01st & 2nd Helicopter - 1st November, st December, 2015 Category B : 01st to 4th Helicopters 1st January, st March, 2016 Category C : 01st & 2nd Helicopter 1st November, st December, 2015 In case of any delay in Mobilization of helicopter(s), the bidder will pay Liquidated Damages (and not by way of penalty) an amount equivalent to 1% of the annual lease contract value for each week of delay or part thereof, subject to a maximum of 10% of the annual contract value and the same will be recovered from monthly lease amount or from the Performance security deposit. scheduled foreign bank. In case of default by the bidder, whether delay in mobilization of helicopter(s) or failure to deliver the helicopter(s), the Performance Security in respect of the defaulted helicopter(s) submitted by the bidder shall be forfeited. Delivery schedule of helicopters are as follows: Category A: Within 4 months of issue of LOA. Category B: Within 12 months of issue of LOA Category C: Within 4 months of issue of LOA. Deliveries prior to schedule may be accepted. In case of increase in requirements in any category, delivery schedule for increased requirements will be decided mutually. In case of any delay in Mobilization of helicopter(s), the bidder will pay Liquidated Damages (and not by way of penalty) an amount equivalent to 1% of the annual lease contract value for each week of delay or part thereof, subject to a maximum of 10% of the annual contract value and the same will be recovered from monthly lease amount or from the Performance security deposit.

3 NIT, POINT 9.1.2, Page No.6 Bidders Eligibility Criteria Leasing Companies registered as aircraft leasing and/or assets leasing companies in the country of location and in the business of aircraft leasing. Leasing Companies participating in the tender should have leased atleast 2 or more aircrafts during last 05 years prior to the date of bid submission. NIT Point 10, Page No.7 Only those bidders who own/ possess the title of the helicopter offered on the date of their offer made are eligible to bid. For Helicopters under construction, firm offer letter/ purchase agreement from the manufacturer for supply of specific aircraft (giving MSN, delivery date) will be acceptable. Proof of ownership/ possession of title / firm offer letter / purchase agreement from the manufacturer for supply of specific aircraft (giving MSN), as specified above, are to be enclosed with the Bid, failing which their bids will be rejected. Only those bidders who own/ possess the title of the helicopter offered on the date of their offer made are eligible to bid. For Helicopters under construction, firm offer letter/ purchase agreement/loi/mou with the manufacturer/ or Letter of Intent (LOI)/ MoU with current owner for supply of specific aircraft (giving MSN, delivery date) will be acceptable and should be submitted as part of bid for supply of specific aircraft (giving MSN), failing which their bids will be rejected. NIT, POINT 16 (g) If the helicopters to be offered are under construction, copy of a purchase order of the bidder to manufacturer and acceptance of the order by manufacturer with delivery schedule need to be submitted in Technical Bid. Appendix 1, Para 9 (i), Page No.13 The Lessor shall enter each helicopter at Lessee s cost into fully inclusive OEM approved and supported overhaul and maintenance program (Scheduled and Unscheduled) covering the Helicopter, Engines and Avionics components and other accessories. Maintenance Support per FH/ Cycle/ month as applicable shall be quoted on Power By Hour (PBH) basis in respect of maintenance/ repair of Airframe, Engines, Avionics components and other accessories. 30% or more of the annualized bid value. Point-16 (h) Copy of Annual Accounts of last 03 financial years ( , & ) or Calendar Years (2012, 2013, and 2014) or any other accounting year being followed by the bidder as per Laws applicable in the country of the bidder confirming Turnover, Net Profit and Net worth of the bidder. In case of bidders where audited accounts are not required as per local laws, bidders may submit accounts certified by Chairman of Board of Directors/ CEO and Chief Financial Officer of the bidder. The Lessor shall enter each helicopter at Lessee s cost into fully inclusive OEM approved and supported overhaul and maintenance support program (Scheduled and Unscheduled) covering the Helicopter, Engines and Avionics components and other accessories excluding consumables and labor. Maintenance Support per FH/ Cycle/ month as applicable shall be quoted on Power By Hour (PBH) basis in respect of maintenance/ repair of Airframe, Engines, Avionics components and other accessories.

5 Appendix 1, Para 9 (iii), Page No.13 - Maintenance In case of delay or failure in providing maintenance support under the PBH Programme leading to Aircraft on Ground (AOG) for 02 days per helicopter per month, (and not by way or penalty) will be recovered from the monthly lease rent to the 5% of the monthly lease charges per helicopter per day plus nonpayment of proportionate monthly lease charges for the number of days the helicopter is on ground. Further, in case of delay in providing maintenance support under PBH for a consecutive period of 30 days and above, may lead to termination/ cancellation of the lease agreement at the sole discretion of PHL. Appendix 1, Para-10(g) PHL shall re-deliver the Helicopter in as is where is condition, at Mumbai, India with valid C of A issued by DGCA, India. In case of delay or failure in providing maintenance support under the PBH Programme leading to Aircraft on Ground (AOG) for more than 02 days per helicopter per month, Liquidated damages (and not by way or penalty), will be recovered from the monthly lease rent of the 5% of the monthly lease charges per helicopter per day plus non-payment of proportionate monthly lease charges for the number of days the helicopter is on ground. Further, in case of delay in providing maintenance support under PBH for a consecutive period of 30 days and above, may lead to termination/ cancellation of the lease agreement at the sole discretion of PHL. On re-delivery, the helicopter shall be airworthy and fully serviceable within the limits of maintenance planning documents with no limitations and inspections items on watch or requiring repetitive inspection at an interval lower than described in Maintenance Manual. Appendix 1, Para-11, 12 & 13, Page No Para 11 In case of any Airworthiness Directive (AD) and/or Service Bulletin (SB)/mandatory The conditions of the helicopter shall be such as to demonstrate that the Lessee has in all respect complied all the mandatory requirements such as Airworthiness Directives and service bulletins/ mandatory modification, of Airframe/engines/ transmission systems/ Landing Gears and any other components etc. issued or its due during the lease period. Para 11 In case of any Airworthiness Directive (AD) and/or Service Bulletin (SB)/mandatory

6 modification, up gradation of Engines or any other components etc. issued or is due during the lease term on terminating basis, PHL shall be entitled to pro-rata reimbursement of the total cost (including labour and material cost) for complying with the such AD/ SB/ Mandatory Mod/ upgradation in accordance with the following formula: [(Lease Term in months - m) Lease Term in months] X Cost of the Mod where m denotes the remaining months of the lease term at the time of incorporation of the Mod. modification, up gradation of Engines / Landing Gears and any other components etc. issued or is due during the lease term on terminating basis, PHL shall be entitled to pro-rata re-imbursement of the total cost (including labour and material cost) for complying with the such AD/ SB/ Mandatory Mod/ up-gradation in accordance with the following formula: [(Lease Term in months - m) Lease Term in months] X Cost of the Mod where m denotes the remaining months of the lease term at the time of incorporation of the Mod. The above will be applicable in case such AD/ SB/ Mandatory Modification/ Up gradation cost is above US Dollar 5000/- Para 12 If the Lessor wants PHL (Lessee) to comply with any optional or recommendatory SB, the Lessor shall reimburse the total cost incurred by the Lessee and also the pro-rata credit for Helicopter lease rent for the grounding time of the Helicopter for the purpose. Para - 13 In case of grounding of Helicopter arising out of any Airworthiness Directive/ SB/ mandatory modifications etc., PHL shall be entitled to abatement of pro-rata lease rent for the total grounding period for complying with such AD/ SB/ mandatory mod / upgradation. 7 Appendix 2 Para 13.2(a), Page No.23 Delivery Condition - Helicopter Helicopter must be fresh from a major inspection and available for use for 1200 hours/ 01 year. Appendix 1, Para 27, Page No.16 - Insurance a. The Helicopter will be insured by Lessee (PHL) with combined single liability not to exceed US $ 20 million and deductibles US $ 100,000. Helicopter should not fall due for any major inspection like G Inspection or D check or Overhaul requiring prolonged grounding during next 03 years/3600 hours of operations after commencement of lease period. a. The Helicopter will be insured by Lessee (PHL) with combined single liability clause as follows : For Helicopter in Category - A Combined single liability not to exceed US $ 20 million and deductibles US $ 100,000. For Helicopters in Category B & C Combined single liability not to exceed US $ 10 million and deductibles US $ 100,000. However, if the bidder / Lessor insists for insurance of higher value than tender, the financial impact of the same shall be factored in its bid during financial evaluation. b. The bidder has to provide the Hull value of Helicopter for insurance and annual reduction in insurance value in the Annexure-F2A/F2B/F2C of Financial Bid based on which the lessee (PHL) will undertake the Hull and War insurance. b. The bidders have to provide the Hull value of each of the Helicopters for insurance and annual reduction in insurance value of each of the helicopters for the entire contract period in the Annexure-F2A/F2B/F2C of Financial Bid based on which the lessee (PHL) will undertake the Hull and War insurance. c. If the bidder insists for insurance of higher value than tender, the financial impact of the same shall be factored in its bid while financial evaluation.
